Kalshi CEO Says State Oversight Could Push U.S. Prediction Markets Offshore

Kalshi CEO Tarek Mansour says forcing prediction markets under state-by-state gambling oversight could drive the industry out of the United States. The warning comes as courts weigh whether sports-event contracts are federally regulated derivatives or sports wagers controlled by individual states. The legal answer remains unsettled: appellate courts have split, and New Jersey is asking the U.S. Supreme Court to intervene.

Why is Kalshi fighting the states?

At DC Fintech Week near Washington on October 14, 2026, Mansour described the dispute as a choice between keeping prediction markets in the United States or allowing them to move offshore. His formulation, reported by CoinDesk, was: “It’s not a choice of state versus federal market. It’s a choice of whether prediction markets exist in the U.S. or whether they go offshore.”

He was speaking principally about contracts tied to sports events. State regulators argue that these products function as sports wagering and should be licensed and supervised under state gambling laws. Kalshi and the Commodity Futures Trading Commission (CFTC) characterize them as event contracts traded on a federally regulated derivatives exchange.

Mansour also rejected the idea that sports contracts have no financial significance, calling the notion “ludicrous.” He said Kalshi felt “pretty good” about its overall legal position, but that confidence is not a nationwide legal victory.

Is Kalshi sports betting or a derivatives exchange?

The answer depends on which legal and structural test a court applies.

How states characterize the contracts

States focus on the underlying event. A contract that pays according to whether a team wins, loses or reaches a particular result can look like a sports bet, regardless of the trading interface. Under that view, state gambling agencies should control licensing, permitted markets, consumer protections and taxation.

How Kalshi and the CFTC characterize them

Kalshi says its exchange matches bids and asks from participants rather than taking the opposite side of a customer’s position. That differs, in the company’s description, from a sportsbook or casino that acts as counterparty or earns money from losing bets. Kalshi also argues that a national order book needs nationwide participation to provide sufficient liquidity.

The CFTC’s position is based on federal derivatives law. In an April 28, 2026 release, the agency said Congress gave it exclusive jurisdiction over specified derivatives, including event contracts traded on designated contract markets (DCMs). Chairman Michael S. Selig said states “cannot circumvent the clear directive of Congress.”

What is the current court situation?

The legal picture was still unresolved on October 14, 2026. CoinDesk reported that federal appellate courts had issued conflicting decisions: one major ruling favored Kalshi, while two favored the states. New Jersey has asked the U.S. Supreme Court to hear the dispute.

That split means neither side can yet claim a definitive nationwide rule. The cited material does not establish a later Supreme Court decision, so the practical outcome depends on further appellate and Supreme Court proceedings, as well as how individual state cases develop.

What does federal oversight require?

Federal status does not mean an exchange operates without rules. The CFTC’s February 25, 2026 enforcement advisory said every DCM has an independent duty to keep audit trails, conduct market surveillance and enforce rules against prohibited conduct.

Conduct covered by CFTC rules

  • Insider trading or misuse of confidential information
  • Pre-arranged trading and wash sales
  • Disruptive trading
  • Fraud
  • Market manipulation

The advisory described two Kalshi enforcement cases. In one, a political candidate traded a contract concerning his own candidacy. Kalshi imposed a $2,246.36 penalty and a five-year suspension. In another, an editor for a YouTube channel traded while likely having advance knowledge of upcoming videos; the penalty was $20,397.58 and the suspension lasted two years. Those figures were reported by the regulator, not estimated independently.

How the two regulatory models differ

Issue State gambling model Federal derivatives model
Legal authority State gambling regulators and state statutes CFTC jurisdiction over qualifying derivatives and DCMs
Market structure Sportsbook or casino framework, typically with an operator taking the other side Exchange order book matching bids and asks, as Kalshi describes its model
Geographic scope Separate licensing and restrictions in each state One national market operating under federal rules
Consumer safeguards State-specific gambling controls and responsible-gaming requirements Exchange surveillance plus tools Kalshi says it offers, including trading breaks, self-exclusion, deposit limits and accountability limits
Enforcement tools State lawsuits, licensing actions and gambling-law penalties DCM rule enforcement, required surveillance and CFTC action

Why would state regulation push Kalshi offshore?

Mansour’s warning is about fragmentation as much as jurisdiction. If every state required a separate license, imposed different market prohibitions or treated sports contracts as illegal wagering, an exchange could face incompatible operating rules and a much smaller pool of legal U.S. participants. Kalshi argues that reduced participation would weaken liquidity and make a national exchange impractical.

“Offshore” is therefore a prediction about business consequences, not a court finding. The available statements do not prove that Kalshi would leave the country or that state oversight would inevitably cause that result. They establish the company’s stated concern that a state-by-state regime could make domestic operation uneconomic or legally impossible.

Can states ban prediction markets?

States can bring enforcement actions under their own gambling laws, and several have done so. The CFTC said it sued Wisconsin after the state sued Kalshi, Polymarket, Crypto.com, Robinhood and Coinbase, and it noted related actions involving New York, Arizona, Connecticut and Illinois.

Whether a state ban can stand when a contract falls within the CFTC’s exclusive jurisdiction is the central preemption question. Courts must decide both how the contracts should be classified and how far federal law displaces state gambling regulation. Until the appellate conflict is resolved, a state may continue litigating even while the CFTC argues that federal authority is controlling.

How broad is the state opposition?

In an August 27, 2026 response, Kalshi said 20 states were engaged in active litigation with Kalshi and/or other prediction markets. The company also said 44 states had signed a letter to the CFTC arguing that prediction markets had evaded state regulation and failed to pay state taxes. Those counts are Kalshi’s characterization of the situation, not an independent court finding.

What happens if Kalshi loses?

A ruling for the states could require Kalshi to obtain state licenses, remove or redesign sports contracts, restrict access based on residence, or contest individual state orders. The exact remedy would depend on the judgment and each state’s law; the available material does not establish a single automatic shutdown procedure.

A ruling for Kalshi would strengthen the argument that qualifying event contracts on DCMs fall under federal supervision, but it would not eliminate every federal obligation. Kalshi would still need to maintain surveillance, audit trails and controls against manipulation and insider trading, and states could continue testing the boundaries of federal preemption in other kinds of contracts.
