Do not decide whether to apply for the Jio IPO from subscriber numbers or headline profit alone. Jio Platforms has exceptional scale and reported FY2025-26 profitability, but an IPO investor will pay a price that could already assume continued tariff increases, 5G monetisation and flawless execution. The sensible decision is to wait for the final Red Herring Prospectus (RHP), price band and post-issue share count, then test valuation, debt, customer retention, regulation, network investment and group-governance terms against conservative assumptions.
What is proposed, and what is still unknown
The proposed issuer is Jio Platforms Limited. Reliance Industries announced on June 19, 2026 that its board had approved a draft red herring prospectus (DRHP) for a fresh issue of up to 27 crore shares. The eventual price is to be discovered through book building, so the announcement does not establish the valuation at which public investors will buy.

Several details that determine whether an application is attractive were not final in the announcement: the price band, issue dates, minimum lot, final number of shares issued, allocation between investor categories, use of proceeds and the exchange disclosures available at launch. Treat every valuation conclusion as provisional until those terms appear in the latest RHP and official notices.

The six risks that should drive your decision
| Risk | Why it matters to an IPO buyer | Evidence to check in the RHP |
|---|---|---|
| Valuation and earnings quality | A high entry multiple can produce poor returns even when the business grows. | Price band, post-issue shares, cash flow, depreciation, finance costs and comparable multiples. |
| Debt and capital intensity | Large funding needs can absorb cash and make returns sensitive to interest rates. | Borrowings, leases, deferred payments, covenants, maturity schedule and capex plans. |
| Customer economics | Churn, weak ARPU growth or resistance to tariff rises can slow profit growth. | Active subscribers, ARPU, usage, plan mix, churn and competitor responses. |
| Spectrum and regulation | Licences and spectrum are essential; policy or renewal problems can interrupt service or add cost. | Renewal dates, spectrum dues, compliance matters, data-protection obligations and regulatory contingencies. |
| Network, cyber and technology execution | Outages, delayed upgrades or breaches can cause customer losses, penalties and remediation costs. | Capex, depreciation, service-quality measures, incident history, security controls and upgrade timetable. |
| Governance and group arrangements | Shared brands and related-party contracts can affect economics, independence and accountability. | Contract terms, transfer pricing, trademark rights, promoter control and board independence. |
1. Valuation: separate business quality from the price you pay
The first calculation is market capitalisation at each end of the price band: offer price multiplied by post-issue shares. Use the final post-issue count, not merely the maximum of 27 crore fresh shares, because the RHP may specify a different final size and the company may have other outstanding securities. Then compare the resulting equity value with FY2025-26 profit, the latest quarter and—preferably—cash generated after network and spectrum investment.
Use more than a headline P/E
- Calculate price-to-earnings using audited FY2025-26 profit, then show how the multiple changes if profit grows more slowly.
- Compare enterprise value with EBITDA, adding borrowings, lease liabilities and other debt-like obligations rather than treating equity value as the whole cost of the business.
- Use price-to-sales only as a secondary measure; telecom revenue can rise while financing, depreciation and spectrum costs consume the cash.
- Check operating cash flow, capital expenditure, working-capital movements and the reconciliation from EBITDA to profit. A reported profit that does not convert into cash deserves a lower valuation than the same profit with durable cash generation.
Build a downside case before subscribing
Model at least three cases: the RHP forecast or your base case, a case with slower subscriber and ARPU growth, and a downside case combining smaller tariff increases, higher churn, greater depreciation and higher finance costs. Apply a lower valuation multiple to the downside case. The exercise is not to predict a precise share price; it is to discover whether an ordinary execution setback would erase your expected return.
Do not annualise one strong quarter mechanically. The June 2026 quarter may include seasonality, one-off items or a different cost mix. Read the notes for exceptional income, accounting changes, tax effects and contributions from subsidiaries before using that quarter as a run-rate.

Check what the fresh issue actually funds
Fresh-issue proceeds can reduce debt, fund network expansion, refinance existing commitments or support new digital infrastructure. Those uses have very different effects on risk. If proceeds mainly replace one source of financing with another, leverage may not fall materially. Wait for the objects-of-the-issue section and reconcile the stated amount with the capex and repayment schedule.
2. Debt, deferred payments and the cost of staying ahead
The risk disclosure reports ₹715,292 million of fund-based outstanding borrowings for Jio Platforms and its subsidiaries at March 31, 2026. It also warns that the capital-intensive business needs continuing funding and that debt covenants can require lender consent for certain corporate actions. A single net-debt headline can conceal obligations that still require cash, so read every debt-like line.
Include liabilities that are not labelled bank debt
At June 30, 2026, the balance sheet reported deferred payment liabilities of ₹995,517 million non-current and ₹49,620 million current. These amounts are separate from the fund-based borrowing figure and should not be silently added or ignored: identify what each liability represents, when it falls due and whether it carries an implicit financing cost. Add lease liabilities, supplier-finance balances, guarantees and spectrum-related payment commitments where the RHP treats them as material.

Map the funding need to the investment plan
5G densification, fibre, AirFiber and other digital infrastructure require continuing capital. Compare planned capex with depreciation, operating cash flow and available financing. A business can report rising EBITDA while its cash remains tied up in towers, fibre, radio equipment and customer-premises devices. Ask whether the issue proceeds reduce that funding gap or merely postpone it.

Read covenant and refinancing risk
List each material covenant, the lender consent it requires, the nearest maturity and the consequence of a breach. Rising interest rates, weaker cash generation or a market closure could make refinancing more expensive. A covenant that restricts acquisitions, dividends, asset sales or changes in control can also limit management flexibility after listing.
3. Customer economics: scale helps only if users stay and pay
RJIL’s customer base was 524.4 million with a 1.67% monthly churn rate at March 31, 2026. That scale is a competitive asset, but churn is a recurring monthly measure, not a guarantee of annual retention. A sustained increase can raise acquisition costs, reduce usage revenue and weaken the return on network investment.

Track the metrics behind the headline count
- Distinguish total registered customers from active subscribers and paying users.
- Follow average revenue per user (ARPU), data consumption, voice usage and the share of users on low-value plans.
- Separate gross additions from net additions; a large addition number can hide equally large disconnections.
- Measure migration between prepaid, postpaid, bundled and fixed-wireless products.
- Compare churn by cohort, geography and plan where the RHP provides the data.
Test tariff elasticity
The prospectus warns that tariff increases may meet customer resistance. In your model, test a delayed tariff increase, a smaller increase and a competitor response that forces discounts. Higher ARPU is valuable only if the extra revenue exceeds lost users, additional subsidies and the cost of winning them back. Also examine whether growth depends on one-time promotional offers that cannot be repeated.
Consider concentration and competition
Jio’s scale does not eliminate competitive pressure. Rival networks can match prices, bundle content, improve coverage or target high-value customers. Check whether the RHP attributes growth to structural usage increases or to temporary market-share gains, and whether the company has enough capacity to serve heavier data use without a disproportionate rise in capex.

4. Spectrum, licences and regulation
Telecom licences and spectrum are essential operating assets. The DRHP identifies the risk that failure to maintain or renew licences, or to obtain needed spectrum, could materially harm operations. Review each major licence, renewal date, service obligation and payment commitment rather than assuming that a national footprint guarantees continuity.
Best Value
Regulatory items to verify
- Compliance with rules of the Telecom Regulatory Authority of India (TRAI), the Department of Telecommunications and other authorities.
- Outstanding notices, penalties, litigation, licence conditions or additional payments.
- Changes to spectrum pricing, usage charges, sharing rules, numbering, interconnection and quality-of-service standards.
- Data-protection, lawful-interception and cybersecurity obligations, including the cost of compliance.
- Whether a regulatory change could force network modifications or limit pricing flexibility.
Non-compliance can lead to modification, suspension or non-renewal of permissions, as well as additional payments. Historical margins therefore cannot be treated as permanent if policy or spectrum economics change.
5. Network reliability, cyber risk and technology obsolescence
The filing warns that a prolonged network disruption can reduce customers, trigger penalties and damage reputation. Delayed upgrades can produce congestion and churn, while cyberattacks or privacy breaches can interrupt operations and create investigation, compensation and remediation costs.
Questions for the RHP and company disclosures
- How much of planned capex maintains existing capacity versus adds new 5G, fibre or AirFiber capacity?
- Does depreciation reflect the useful life of equipment, and could faster obsolescence require an earlier replacement cycle?
- What redundancy, disaster recovery and incident-response arrangements protect core, transport and customer systems?
- How frequently have material outages or security incidents occurred, and were penalties or provisions recorded?
- Are critical network components concentrated among a small number of suppliers?
Compare the upgrade timetable with customer growth and data usage. If adoption is faster than capacity expansion, service quality can deteriorate; if adoption is slower, the company may carry underused assets and depreciation.

Jio uses non-exclusive arrangements with Reliance Industries, Reliance Retail and other group entities for important business functions. The filing also notes that Jio Platforms does not control how other Reliance Group companies use the Jio trademark. These arrangements are not automatically harmful, but they create questions about pricing, dependence and accountability for a newly listed company.
Read the agreements, not just the transaction totals
- Identify the service, asset or brand right supplied, the term, renewal mechanism and termination rights.
- Check how prices are set, whether they are benchmarked to independent market terms and who can change them.
- Look for guarantees, cross-defaults, shared employees, common infrastructure and data access.
- Review the audit committee’s role, independent-director composition and procedures for approving related-party transactions.
- Understand promoter voting control and any difference between economic ownership and voting power after the issue.
A shared brand can provide marketing strength, yet it can also make reputation and customer complaints harder to attribute. The RHP should explain how trademark use is licensed and what happens if a group relationship changes.
How to examine the latest RHP before applying
- Confirm the document and terms. Use the latest RHP or official exchange notice, and record the price band, issue dates, lot size, final share count, reservation categories and objects of the issue.
- Rebuild the capitalisation table. Calculate market capitalisation at both price-band points, account for dilution and identify any options, convertibles or other securities that could increase the share count.
- Reconcile the financial statements. Tie revenue, profit, EBITDA, depreciation, tax and finance costs to audited statements and notes. Separate recurring operations from exceptional items.
- Calculate cash conversion. Compare operating cash flow with profit and capex; investigate large working-capital movements and payments capitalised on the balance sheet.
- Map every debt-like obligation. Include borrowings, leases, deferred payments, spectrum commitments, guarantees, maturities, interest rates and covenant restrictions.
- Analyse customer quality. Read active-user definitions, ARPU methodology, churn, plan mix, 5G adoption and any reliance on promotions or bundled services.
- Check regulatory exposure. List licence and spectrum renewals, dues, notices, litigation, data-protection requirements and assumptions about future policy.
- Test operational resilience. Review outage history, supplier concentration, cyber controls, insurance, disaster recovery and the capex needed to meet service-quality targets.
- Review governance. Examine related-party contracts, trademark arrangements, promoter rights, board independence and the process for approving future transactions.
- Run a decision stress test. Lower growth, delay tariff increases, raise depreciation and finance costs, and apply a lower exit multiple. Apply only if the resulting return still compensates you for the risks.
Signals that should make an applicant pause
- The final valuation requires uninterrupted high growth even though tariff increases, churn or regulation could weaken it.
- Most proceeds refinance obligations while the capex programme continues to expand.
- Operating cash flow trails profit for several periods without a clear, temporary explanation.
- Deferred payments, leases or guarantees materially exceed the liabilities highlighted in the headline net-debt discussion.
- Churn rises while ARPU growth depends on price increases that customers resist.
- Licence renewals, spectrum dues, regulatory notices or cyber incidents are unresolved.
- Related-party agreements are material but lack transparent pricing, independent oversight or clear termination rights.
When an application can be rational
An application can be defensible only when the final price leaves room for slower growth, the balance sheet remains serviceable after including deferred and lease liabilities, customer economics are stable without aggressive tariff assumptions, and the RHP provides satisfactory answers on spectrum, resilience and governance. The fact that Jio is profitable and nationally scaled is a starting point for analysis—not a substitute for that margin of safety.
