Japan’s M&A activity has been rising, but the headline figures measure different things: publicly reported transactions, merger-review filings and cross-border deal trends are not interchangeable. This cheat sheet explains what the latest official indicators show, which agencies publish the guidance, how competition review works at a high level, and why closing is only the start of integration.
What the latest figures say about M&A in Japan
Official indicators point to increased activity, but each has a distinct scope and should be read on its own terms.

- Reported transactions: The Small and Medium Enterprise Agency’s 2025 White Paper, citing Recof Data, counted 4,700 publicly reported M&A transactions in 2024. It cautions that unpublished transactions also occur, so this is not a census of all deals. Small and Medium Enterprise Agency, 2025 White Paper.
- Competition-review notifications: The Japan Fair Trade Commission (JFTC) received 437 business-combination notifications in FY2024, a 26.7% increase year over year. These are regulatory filings, not a count of all announced M&A. JFTC, June 18, 2025.
- Overall direction: In a June 2026 announcement, the Ministry of Economy, Trade and Industry (METI) said the number and value of transactions involving Japanese companies rose in both 2024 and 2025. That statement is not a complete published deal-count table. METI, June 26, 2026.
These figures answer different questions. The reported-deal count reflects transactions made public; JFTC notifications reflect cases filed for competition review; METI’s statement describes a directional rise without supplying a complete count in that announcement.

JETRO’s 2025 Invest Japan Report tracks cross-border investment and M&A through different lenses, including transaction type and whether the investing party is an investment firm or an operating company.

Investment-firm transactions targeting Japan
In JETRO’s three-year moving-average series for investment firms’ Japan-targeted cross-border M&A, transaction value rose from ¥0.2 trillion in 2011 to ¥2.2 trillion in 2023, while deal count rose from 18 to 118. These are moving-average figures for that investor category, not raw annual totals for all cross-border deals. JETRO, Invest Japan Report 2025.
What JFTC filing data does—and does not—show
The JFTC’s FY2024 table lists 7 notifications involving Japanese and foreign companies, and 37 involving foreign companies on both sides. The latter category should not be treated as inbound acquisitions into Japan: it identifies the parties’ national composition, not necessarily the direction or location of the investment. JFTC, FY2024 report.
For additional official context on foreign capital, METI lists a June 2025 guidebook on leveraging foreign capital to enhance corporate value and materials from a study group on inbound M&A. These resources are not a complete guide to foreign-investment screening requirements. METI foreign-investment portal.

- METI: Publishes the Guidelines for Corporate Takeovers and other fair-M&A materials. Its June 2026 public-comment announcement concerned draft interpretation, key points and Q&A; METI said the 2023 guidelines themselves would be maintained. The comment period closed July 17, 2026, but the cited announcement does not establish whether the supplemental materials were finalized afterward. - JFTC: Reviews business combinations under Japan’s Antimonopoly Act and publishes filing statistics, process information and case results. A qualifying transaction may require advance notification; whether the obligation applies depends on the transaction and statutory conditions. JFTC, FY2024 report.
- Small and Medium Enterprise Agency: Its White Paper discusses M&A as a growth and scale-up option for smaller businesses and emphasizes post-merger integration. 2025 Small and Medium Enterprise White Paper.

How JFTC merger review works at a high level
The JFTC’s FY2024 report describes a process that applies to notifications meeting specified conditions. The periods below are review stages, not a universal timetable for closing every Japanese transaction.
- Advance notification: A company that meets the applicable conditions must file before implementing the business combination.
- Preliminary review: For a notified case, the preliminary review period is 30 days from acceptance of the notification.
- Detailed review, if required: The JFTC may request reports. The stated 90-day period runs from receipt of all requested reports.
- Possible remedies: If the JFTC identifies competition concerns, remedies may address them. An outcome that depends on proposed remedies is not, by itself, proof that the parties completed the transaction.
Exact filing applicability and the steps for a live transaction depend on the facts and current rules. Check the JFTC’s current notification guidance and consult qualified Japanese counsel. JFTC, FY2024 report and process information.
Review status is not the same as closing
A regulatory announcement can describe a proposal, a review outcome or conditions for proceeding. Those statuses do not establish that a transaction later closed.
Rank #4
- Proposed integration under review: The JFTC’s merger index includes a September 18, 2026 review of a proposed integration involving Oki Electric Industry, Hitachi and Hitachi Channel Solutions. The indexed announcement supports describing it as under review, not as completed. JFTC merger review index entry.
- Outcome premised on remedies: In its FY2024 annual status report, the JFTC said it would not issue a cease-and-desist order in the proposed AEON–Tsuruha management integration on the premise that the parties implemented proposed remedies. That is a regulatory outcome; check a separate reliable source to establish whether and when the transaction closed. JFTC, FY2024 report.
When evaluating a specific deal, keep its announcement, regulatory review, any remedy-based decision and closing separate. Also distinguish domestic transactions from inbound or outbound combinations, and do not infer value or rationale unless a source states it.

Why closing is the start of post-merger integration
The Small and Medium Enterprise Agency’s 2025 White Paper treats post-merger integration (PMI) as essential to business continuity and growth after an M&A closes. It calls closing the “starting line”: the acquired business must continue smoothly, and both sides need to work toward growth. For a smaller firm, that makes integration and continuity part of the transaction’s practical outcome, not an administrative afterthought. Small and Medium Enterprise Agency, 2025 White Paper.

What these indicators cannot tell you
- The 4,700 figure is a public count, not the total number of transactions, because unpublished deals exist.
- The 437 JFTC notifications measure filings, not all deal announcements or completed transactions.
- JETRO’s investment-firm comparison uses three-year moving averages and a defined investor scope, not annual totals for every cross-border deal.
- These sources do not establish the post-consultation final status of METI’s 2026 draft supplemental materials, the filing threshold for a particular transaction, foreign-investment screening applicability, tax consequences or the current closing status of every proposal.
