Yes. Buying XRP gives you the digital asset recorded on the XRP Ledger. Buying shares in an XRP treasury company gives you equity in a business that may hold XRP alongside cash, debt, other assets and operating activities. The share price can respond to XRP, but it can also move because of dilution, financing, management decisions, expenses, custody arrangements, liquidity and the premium or discount investors assign to the stock.
You do not personally own the company’s XRP when you buy its shares. You own a security issued by the company, with whatever shareholder rights and risks its corporate documents and filings provide.

What you own in each investment
Buying XRP directly
XRP is an open-source digital asset native to the XRP Ledger. Direct ownership is represented by control of an XRP address through a private key or by a custodian that holds the asset for you. Your return is primarily tied to the market price of XRP, although trading costs, custody fees, taxes and the way you hold the asset affect your result.

Direct XRP does not give you stockholder rights, a claim on a company’s profits or a stream of income. Holding the token and holding shares are legally and economically different positions.

Buying shares in a treasury company
A share represents an equity interest in the issuing corporation. The company owns its assets, including any XRP in its treasury. Shareholders normally have rights defined by the company’s charter, bylaws and securities filings, such as voting rights or a claim on residual assets if the company is liquidated, but those rights do not turn into a personal allocation of the company’s XRP.
The SEC filing for the Bitwise XRP ETF explains the distinction this way: “Stocks represent ownership in a company, entitling shareholders to a portion of the company’s profits.” It also states: “Ownership of XRP does not entitle its holders to any portion of a company’s profits or any stream of income payments.” Those statements describe the basic difference between equity and a digital asset; they do not promise that a treasury company will pay a dividend or that an XRP holder will receive income.
How an XRP treasury company creates exposure
A treasury company raises or uses capital to acquire XRP and places the asset on its balance sheet. It may already have an operating business, or it may make digital-asset accumulation a central part of its strategy. Investors then value the entire corporation, not just the XRP it reports.
Your indirect exposure is therefore a chain:
- You buy shares in the corporation through a securities market.
- The corporation owns XRP and may own cash, equipment, intellectual property or other investments.
- The corporation may issue more shares, borrow money, sell assets, pay expenses or change its treasury policy.
- The stock market sets a share price that can be above or below the value of the company’s reported assets.
Even if the company holds one XRP for every share on an accounting basis, that ratio can change. New share issuance can reduce the XRP exposure per share; debt can increase gains and losses for common shareholders; operating costs can reduce net assets; and a change in investor sentiment can expand or eliminate a premium to the company’s asset value.
Why the stock and XRP can produce different returns
Corporate operations
An operating company may generate revenue, incur payroll and other costs, face lawsuits, or make acquisitions. Good operating results can support the stock even when XRP is flat. Losses, weak guidance or a failed strategy can depress the stock while XRP rises.

Share issuance and dilution
Management can raise money by selling additional shares, issuing warrants or using other equity-linked instruments. The cash may be used to buy more XRP, but each existing share then represents a different fraction of the company. Evaluate the change in XRP per diluted share, not merely the company’s total XRP balance.
Debt and leverage
Borrowing can magnify a treasury strategy. If XRP appreciates, leverage may increase the value left for common shareholders after creditors are paid. If XRP falls, interest obligations and principal repayments can make the decline in equity more severe. Debt covenants can also force asset sales at an unfavorable time.

Expenses and taxes
Audit, legal, custody, insurance, listing, interest and administrative expenses reduce the value available to shareholders. Tax treatment depends on the corporation’s jurisdiction, its transactions and your own residence; a stock sale and a digital-asset sale may be reported differently.
Premiums, discounts and liquidity
A share can trade at a premium to the company’s net asset value when investors prize access, management or future fundraising. It can trade at a discount when investors doubt the strategy, dislike the capital structure or cannot easily value the assets. The premium or discount can change independently of XRP.
Custody and counterparty events
Institutional disclosures identify loss, theft, cyberattack, operational failure and custodian insolvency as risks. A treasury company may use one or more custodians, multisignature controls or other arrangements; the exact protection depends on its contracts and filings. A direct holder faces a different question: whether an exchange or personal wallet can protect the private key and process transfers.

| Question | Direct XRP | Shares in an XRP treasury company |
|---|---|---|
| What is the property? | XRP recorded on the XRP Ledger. | Equity in a corporation that may hold XRP. |
| Do you own the company’s XRP? | Not applicable; you own your own XRP. | No. The corporation owns its assets; you own shares. |
| Main price driver | XRP market supply, demand and network-related factors. | XRP plus business results, financing, dilution, costs, governance, liquidity and valuation multiples. |
| Control of transfers | You or your custodian controls transfers, subject to the custody arrangement. | The company controls its XRP; shareholders cannot normally instruct transfers. |
| Trading venue | A digital-asset exchange or other supported venue, subject to local availability. | A securities exchange or over-the-counter market, during its market hours. |
| Possible premium or discount to asset value | The token has a market price; there is no corporate net-asset-value discount to calculate. | Shares can trade above or below the value of the company’s assets attributable to each share. |
| Income or profit claim | No claim on a company’s profits or income stream. | Potential residual claim on corporate profits and assets, subject to the share class, creditors and company policy. |
| Fees | Trading, network, withdrawal, custody or wallet costs, depending on how you transact. | Brokerage costs plus the company’s operating, financing and custody expenses; an investment product may charge a separate sponsor fee. |
| Digital-asset functions | Transfers and other XRP-specific functions may be available, subject to wallet and venue support. | Share ownership does not provide those XRP functions. |
| Regulatory and tax treatment | Depends on the asset, transaction and jurisdiction. | Depends on the security, issuer, market and investor’s jurisdiction. |
Do treasury shares track XRP closely?
They may track XRP over some periods, especially when the company’s balance sheet is dominated by the token and its operating business is small. Correlation is not a guarantee, however. The stock can lag a rally if investors reduce its premium, or fall during an XRP rally if management announces dilution or a costly financing.

To measure the relationship, read the latest filing and calculate more than the headline token balance:
- Reported XRP held and the date of that measurement.
- XRP per basic share and per fully diluted share.
- Cash, debt, preferred securities, warrants and other senior claims.
- Operating revenue and expenses unrelated to XRP.
- Custody providers, insurance terms and restrictions on withdrawals.
- The market capitalization of the common stock compared with the company’s net assets.
These figures change after purchases, sales, financing transactions and market movements. A treasury headline is not a substitute for current filings.
What fees and rights differ in an XRP investment product?
A listed fund or trust that holds XRP can provide brokerage-account access without being an operating treasury company. It has its own creation and redemption process, custody structure, expenses and legal risks. It should be analyzed separately from both direct XRP and a corporation with an operating business.
A Bitwise XRP ETF filing reported a 0.34% annual sponsor fee and described a limited launch-period waiver. That is a product-specific charge, not a general cost of buying XRP or a standard fee for every treasury company. Fee waivers and rates can change, so check the latest prospectus and annual report before investing.

The same filing notes that fund performance will not equal the return from directly holding XRP because of fees and transaction costs. It also says fund investors forgo certain rights available to direct XRP holders, including potential claims connected with airdrops. Whether any particular distribution or network event is available depends on the product documents and the relevant rules.
How to investigate an alleged XRP treasury company
Do not rely on a press release, ticker description or social-media post alone. Use the issuer’s most recent regulatory filings and confirm the date of every number.
- Confirm the legal issuer and listing. Identify the corporation that issues the shares, its exchange or quotation venue, share classes and any trading suspensions.
- Read the balance sheet. Find the reported XRP amount, acquisition cost or valuation method, cash, debt and other material assets and liabilities.
- Check whether the strategy is implemented. A prospectus can describe an intended XRP treasury strategy without proving that the company has completed purchases or still follows the plan. For example, Wellgistics Health’s SEC prospectus described an intended strategy; that document alone does not establish current holdings.
- Calculate dilution. Review recent share sales, at-the-market programs, warrants, options, convertible notes and authorized but unissued shares.
- Review the operating business. Determine whether revenue, costs and liabilities come from a business unrelated to XRP and how much those activities can affect equity value.
- Examine custody. Look for named custodians, withdrawal controls, insurance limitations, cold-storage policies, collateral arrangements and insolvency risks.
- Compare market value with assets. Use the current share count and market price, then compare the resulting equity value with net assets attributable to common shareholders. Treat the result as a moving estimate, not a guaranteed redemption value.
- Read risk factors and subsequent events. A filing may be months old. Check later reports for additional purchases, sales, financing, litigation, regulatory changes or custody incidents.
Buying XRP directly: access and custody decisions
Direct ownership requires a route to the asset and a plan for holding it. Availability depends on your country, the provider’s licensing and current market support. Ripple says it does not endorse a particular exchange, so verify the venue yourself rather than treating a company reference as a recommendation.
Using an exchange or custodian
An exchange or custodian can handle private keys and may simplify buying and selling. You still face account-security, withdrawal, counterparty, service outage and insolvency risks. Review its withdrawal rules, insurance language, fee schedule and legal entity before depositing funds.
Self-custody
A personal wallet gives you control of the private key and lets you authorize transfers directly. It also makes you responsible for backups, device security, recovery procedures and protection against phishing. Loss or compromise of the key can permanently remove access; a hardware wallet can reduce some attack surfaces but cannot eliminate user error, theft or loss.

Neither exchange custody nor self-custody makes XRP risk-free. The choice changes who controls the key and which failure modes you must manage.
Regulatory and tax qualifications
Rules differ by jurisdiction, transaction type and product structure. The Bitwise filing describes the history of the U.S. Securities and Exchange Commission’s case involving XRP and the conclusion of appeals in 2025, while warning that future regulatory treatment could affect XRP and the trust. That history should not be simplified into a blanket statement that every XRP transaction has the same legal status everywhere.
A stock purchase, a token purchase, a transfer, a sale and an airdrop can each have different reporting consequences. Keep transaction records and obtain advice from a qualified professional familiar with both digital assets and securities in your jurisdiction.

No. Ripple’s official FAQ says Ripple is a technology company, XRP is an open-source digital asset native to the XRP Ledger, and Ripple is privately owned rather than publicly traded. Ripple therefore is not an example of a publicly listed XRP treasury company, and buying XRP is not buying Ripple equity.
Choosing between direct XRP and a treasury share
Direct XRP may fit when
- You want the asset itself rather than an equity claim.
- You value the ability to transfer XRP, subject to wallet and venue support.
- You are prepared to manage exchange or private-key risks.
- You want price exposure without a corporate operating business, share dilution or stock-market premium.
A treasury company may fit when
- You specifically want a security held in a brokerage account.
- You accept that management, financing, custody and operating results can outweigh XRP’s price move.
- You have reviewed the issuer’s latest filings and understand its debt, dilution and asset coverage.
- You prefer shareholder rights and securities-market trading over direct token control.
A fund or trust may fit when
- You want brokerage access to XRP exposure without selecting an operating corporation.
- You accept sponsor fees, tracking differences, product-specific custody and the loss of some direct-holder functions.
- You have checked the current prospectus rather than relying on an older fee or waiver.
None of these structures removes XRP’s market risk. They package that risk differently and add different layers of cost, control and legal exposure.
Quick Recap
A practical checklist before placing an order
- Write down whether you want XRP, a company’s equity or a fund interest.
- Confirm the exact issuer, ticker, share class and trading venue.
- Use the latest filing date, not an old treasury announcement.
- Estimate exposure per diluted share after warrants, options and convertibles.
- Identify debt, preferred claims, operating expenses and custody counterparties.
- Check whether the stock trades at a premium or discount to reported net assets.
- Compare all-in fees, including brokerage, trading, custody and product expenses.
- Verify local availability, investor protections and tax reporting requirements.
- Decide how you would exit if XRP, the stock or the custodian became difficult to trade.
