An IRS audit is an examination of a tax return; an appeal is an administrative review; a lawsuit is a court case; and a settlement is an agreement that can resolve a dispute at several points in the process. They are not interchangeable labels. For U.S. federal taxes, the notice you receive determines which options are available and whether a filing deadline is running.
How an audit, appeal, lawsuit, and settlement differ
| Term | What it means | Who handles it | Typical result or next step |
|---|---|---|---|
| Audit (examination) | The IRS reviews return items to check whether they were reported accurately. | IRS examination function | The examination may end with no change, a refund, agreed adjustments, or proposed adjustments. IRS Publication 556 |
| Appeal | Administrative review of an eligible disputed IRS decision. | IRS Independent Office of Appeals | Appeals reviews the positions and may resolve the dispute without litigation. IRS Appeals at a Glance |
| Lawsuit | A judicial challenge to an eligible IRS determination. | U.S. Tax Court or another eligible federal court, depending on the matter | A Tax Court case begins when an eligible taxpayer files a petition within the applicable period. U.S. Tax Court petition guidance |
| Settlement | An agreement resolving some or all disputed issues or liability. | IRS Appeals, the parties in a pending Tax Court case, or a collection program, depending on context | An agreement may be reached before or after a court petition; a Tax Court settlement can be submitted for entry as a court decision. What happens during an IRS audit?
An audit is a review, not a finding that you did something wrong. The IRS says it accepts most returns as filed and selects some for examination through methods that can include computerized screening, random sampling, or information matching. Selection alone does not show that a return contains an error or that the taxpayer was dishonest; examinations can end with a refund or no change. IRS Publication 556

If the IRS proposes adjustments, read the examination report and accompanying letter closely. Identify the items you disagree with and collect records supporting your position. The letter matters because it explains whether and how you can challenge the proposed result.

How an IRS appeal works
The IRS Independent Office of Appeals is separate from the office that examined the return. It reviews eligible disputes, including some cases after a Tax Court petition has been filed, with the aim of resolving tax controversies without litigation. Appeals considers the facts, applicable law, and each side’s position. IRS Appeals at a Glance

Not every IRS decision or bill can be appealed. The IRS says an appeal may be appropriate when its letter explains appeal rights, you disagree with the decision, and you have not signed an agreement. A bill that does not describe appeal rights, or a concern limited to inability to pay, generally calls for a different route. Follow the instructions in your correspondence. Fast Track mediation
Fast Track is a voluntary mediation option for many unresolved examination and collection issues after the examiner or collection officer has completed their work. A mediator can help the parties try to reach an agreement, but cannot require either side to participate or accept a proposed resolution. If the matter does not resolve, traditional Appeals may remain available. IRS Fast Track

When a tax dispute becomes a lawsuit
A Tax Court case starts with a petition filed in response to a qualifying notice; disagreement with an auditor, by itself, is not a lawsuit. The filing period depends on the notice and case type. For a deficiency notice, the general deadline is 90 days after mailing, or 150 days if the notice is addressed to a person outside the United States. The Tax Court describes the deficiency deadline as strict and generally not extendable. Check the specific notice and the Court’s instructions rather than applying these periods to every IRS letter. How settlement fits into the process
Settlement describes an outcome, not a single procedural stage. IRS Appeals may help resolve an eligible dispute before litigation. The parties may also settle after a Tax Court case begins. In the situation described by the Court for self-represented petitioners, the IRS prepares a stipulated decision, both sides sign it, and the IRS submits it for the Court to enter; once entered, the case closes without a trial appearance. U.S. Tax Court: Things That Occur Before Trial
An agreement may resolve only some disputed issues, so read its terms and any related notice carefully. A settlement does not make a separate notice’s petition deadline disappear.

Offer in Compromise is a specific collection option
An Offer in Compromise (OIC) is an agreement to settle a tax liability for less than the full amount owed. It is handled as a collection matter, including through Appeals when appropriate; it is not a synonym for negotiating an audit adjustment or settling a Tax Court lawsuit. What to check before choosing a next step
- Who sent the document? An examination report, an appeal-right letter, a bill, and a statutory notice can call for different responses.
- What exactly is disputed? Identify each item and the records or legal position supporting your view.
- Does the notice state a deadline or petition right? Use the deadline and instructions in the specific notice; other notice and case types may have different filing periods.
- Is the issue about the tax determination or paying the balance? Appeals, a court challenge, and collection options address different problems.
This article covers U.S. federal tax procedure, not state tax agency audits or state court processes. It is general information, not advice about a particular return or notice. If a petition deadline is active or the dispute is complex, consider contacting a qualified tax controversy attorney or a Low-Income Taxpayer Clinic.
