IPO Lockup Expiration vs. a Secondary Offering: What Investors Should Know

Short answer: A lockup expiration ends a contractual restriction on certain shareholders; it does not mean those shares were sold. A secondary offering is a transaction in which existing holders sell shares. An offering can also include newly issued shares sold by the company, so investors must read the issuer’s current prospectus and supplements to determine who is selling, where the money goes, and how many shares may enter the market.

Lockup expiration and secondary offering are different events

These terms are often discussed together because both can increase the number of shares that may be available for public trading. Legally and economically, however, they describe different things.

Question Lockup expiration Secondary offering
What is it? The end of a contractual restriction on specified shareholders’ sales. A transaction involving the sale of already-outstanding shares by selling stockholders.
Does it itself transfer shares? No. It creates potential eligibility to sell. Yes. Shares are offered for sale under stated transaction terms.
Who may be involved? Insiders, founders, employees, early investors or other holders covered by the agreement. Existing holders, the issuer, or both, depending on whether the deal includes secondary resales, a primary issuance, or a combination.
Who normally receives proceeds? No proceeds arise merely because the restriction ends. For resold shares, the selling holders generally receive the proceeds; for newly issued shares, the issuer receives proceeds after offering costs and subject to the stated terms.
What is the main investor issue? Additional shares may become sale-eligible, creating possible supply overhang. The transaction can change public supply, proceeds allocation and, if new shares are issued, the company’s share count and dilution.

A holder can decide not to sell after a lockup expires. Conversely, an offering of existing shares can occur while some other holders remain bound by lockups. Treat the expiration date and the offering date as separate facts in your analysis.

How IPO lockups work

A post-IPO contractual restriction

An IPO lockup is an agreement that restricts named shareholders from selling or otherwise transferring shares for a specified period after the initial public offering. The issuer’s registration statement and prospectus generally identify the agreement, the covered holders and the duration. Investment banks may also require lockups as a condition of the IPO underwriting.

Investor.gov states: The terms of lockup agreements may vary, but most prevent insiders from selling their shares for 180 days. The 180-day figure is a common practice described by the SEC’s investor-education material, not a statutory deadline. An issuer can use a shorter or longer period, staggered release dates, volume limits or other conditions.

Terms can limit more than the calendar date

Read the agreement for provisions that affect what happens at expiration. A lockup may cover only certain securities, exclude shares purchased in the IPO, restrict pledges or derivatives, or permit transfers to particular family members or entities. It may also release shares in stages or allow an underwriter or the issuer to waive the restriction early. A date printed in an IPO summary is therefore only the starting point.

Expiration creates eligibility, not an order to sell

When the restriction ends, a covered holder may become able to sell, but other requirements can still apply. The shares may need to be registered, qualify for an exemption, or satisfy broker and exchange procedures. Investors cannot infer the actual volume sold from the number of shares that become eligible.

What a secondary offering actually describes

Secondary resale by existing holders

In the narrow financing sense, a secondary offering is a registered offering of shares that already exist and are held by selling stockholders. The company does not issue those shares again. The sellers can include founders, venture investors, affiliates or other large holders. Because the shares are resales, the issuer generally receives none of the sale proceeds attributable to those shares.

Primary issuance by the company

A primary offering is the sale of newly issued shares by the issuer. The company receives the gross proceeds, less underwriting discounts, commissions and other offering expenses described in the documents. New shares increase the outstanding share count, so investors should examine the potential dilution to existing holders and the stated use of proceeds.

Combined transactions

One prospectus or supplement can cover both a primary and a secondary component. The title or headline may call the deal a “secondary offering,” yet a portion of the shares can be newly issued by the company. The only reliable way to separate the components is to read the offering summary, the selling-stockholder table, the description of capital stock and the use-of-proceeds section.

Why a lockup expiration can affect the stock price

Supply overhang

Investor.gov uses “market overhang” for outstanding shares that were not tradable at the IPO but may become available later. If many shares become sale-eligible at once, investors may anticipate additional supply. That expectation can weigh on the price, and the SEC investor bulletin notes that a significant decline is possible when a large number of shares become available at the same time.

This is a risk mechanism, not a price forecast. The available information does not establish how many holders will sell, when they will sell, whether buyers will absorb the shares or what direction the price will take. A lockup expiration can pass with little trading if holders retain their shares or if demand is strong.

Factors that determine the practical impact

  • The number of shares released compared with the existing public float and average trading volume.
  • Whether the holders are insiders, strategic investors, employees or diversified funds with different reasons to sell or hold.
  • Whether shares become eligible all at once or in tranches.
  • Any continuing registration, exemption, volume or manner-of-sale restrictions.
  • The company’s results, valuation, news and broader market conditions when selling becomes possible.

No general source establishes an average post-expiration price change or a universal percentage of unlocked shares that are sold. Company-specific conclusions require current filings and market data.

How a secondary offering changes the analysis

Resale shares: proceeds go to sellers

For an offering composed solely of existing shares, the issuer’s cash balance and share count do not increase from the sale. The market still receives a disclosed block of shares, and the transaction can alter the public float and trading supply. Read the selling-stockholder table to see each seller’s offered amount and remaining ownership.

New shares: proceeds and dilution

When the company issues shares, examine the number of new shares relative to shares outstanding before the deal. The resulting dilution affects the proportional ownership and voting power of existing holders. The use-of-proceeds section should explain whether management plans to fund operations, repay debt, make acquisitions or pursue another stated purpose. Offering costs reduce the amount available to the issuer.

Mixed deals require a line-by-line split

A combined deal can send one portion of proceeds to the company and another portion to selling stockholders. It can also combine dilution from newly issued shares with an increase in tradable supply from resales. Do not estimate the effect from the total deal size alone; calculate each component separately.

What to read in the issuer’s filings

Use the current IPO prospectus, later supplements and the specific secondary-offering prospectus or supplement. Older summaries can omit an amendment, an early release or a change in the number of shares.

  1. Locate the lockup section in the IPO prospectus. Record the agreement date, expiration date, covered holders, securities covered, release conditions, volume limits and any party authorized to waive the restriction.
  2. Find the capitalization and share-availability disclosures. Compare shares outstanding, shares held by affiliates, shares registered for resale and shares that may become available without registration. These figures establish the potential overhang.
  3. Read the offering summary for the new transaction. Identify whether the issuer, existing holders or both are selling, and separate primary shares from secondary shares.
  4. Use the selling-stockholder table. Note each seller’s beneficial ownership before the offering, shares offered and ownership after the offering if disclosed. Large holders can have different incentives from one another.
  5. Trace the proceeds. The use-of-proceeds section should state what the issuer expects to receive from primary shares. The selling-stockholder section should state that proceeds from resold shares go to the sellers, subject to transaction expenses.
  6. Check the share count and dilution discussion. For new shares, compare the pre-offering and post-offering totals and review any effect on voting rights or per-share measures.
  7. Confirm the resale pathway. Determine whether the shares are registered for resale or are expected to be sold under an exemption, and identify the conditions that apply to the seller and security.
  8. Review amendments and supplements. An updated supplement can change the number of shares, seller list, price mechanics, use of proceeds or timing. Use the latest filing available before making an investment decision.

Resale registration, Rule 144 and legal characterization

Registration is not the same as lockup release

A lockup is a private contractual restriction. Registration under the Securities Act addresses the public resale process. A holder can be released from a lockup yet still need a registration statement or an available exemption before selling. Conversely, shares may be registered while contractual restrictions continue.

Rule 144 is one possible exemption

The SEC describes Rule 144 as a pathway for resales of restricted securities, subject to conditions that can include a holding period, current issuer information, manner-of-sale requirements and limits on the amount sold. The details vary according to whether the issuer is reporting and whether the seller is an affiliate. A lockup expiration does not waive those conditions.

“Secondary” is not conclusive in every case

SEC staff guidance treats the legal characterization of a resale as fact-specific. Relevant facts can include how long sellers held the shares, how they acquired them, their relationship with the issuer, the quantity involved and whether they may be acting as a conduit for the issuer. Do not rely solely on a press-release label; read the transaction’s legal analysis and selling arrangements.

A concrete filing example

An offering circular supplement filed by Immersed Inc. on March 27, 2026, illustrates the distinction without creating a rule for other issuers. The supplement separately described a primary offering of shares issued and sold by the company and a secondary offering of shares sold by selling stockholders. It stated that the company would not receive proceeds from the selling-stockholder shares.

The useful lesson is structural: identify the seller for each block of shares and follow the corresponding proceeds. The example does not establish a standard lockup period, pricing outcome or disclosure format for every public company.

Comparing a lockup event with an offering: an investor worksheet

Axis Questions to answer Why it matters
Share origin Are the shares newly issued or already outstanding? New issuance can dilute existing holders; a resale generally does not change total shares outstanding.
Seller Is the company selling, are existing holders selling, or are both involved? Seller identity determines proceeds and can signal different incentives.
Amount How many shares are offered or released, and what percentage of the public float do they represent? A large amount relative to float can increase potential supply pressure.
Timing What is the lockup end date? Are there staged releases, early waivers or a separate offering date? Eligibility and actual sale may occur at different times.
Resale route Is the resale registered or dependent on an exemption such as Rule 144? Registration and exemption conditions affect when and how shares can be sold.
Proceeds Who receives the money, and what expenses are deducted? Issuer proceeds can fund the business; seller proceeds do not strengthen the company’s balance sheet.
Ownership after sale What percentage will each major holder and the public own afterward? Ownership concentration, voting power and float can change even when the company receives no proceeds.

Common mistakes and how to avoid them

“The lockup expired, so insiders sold.”

Expiration means the contractual bar ended. Verify an actual sale through a filing or trading disclosure; do not equate eligibility with execution.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

“A secondary offering raises money for the company.”

That is true only for the primary portion. In a pure resale, the selling holders receive the proceeds and the issuer receives none from those shares.

“Every lockup lasts 180 days.”

180 days is common according to Investor.gov, but the agreement controls. Check the issuer’s dates, exceptions and release mechanics.

“All shares released at expiration are immediately unrestricted.”

Other securities-law requirements, registration status, affiliate rules and broker procedures can still limit resale.

“A large unlock guarantees a price drop.”

Additional potential supply can create overhang, but the actual outcome depends on selling behavior, demand and market conditions. No general statistic guarantees a direction or magnitude.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

“The offering label tells me the legal result.”

Combined primary and secondary transactions are common, and SEC staff analysis can be fact-specific. Read the transaction documents rather than relying on a headline.

A practical decision framework before trading

  • Separate eligibility from execution. Mark the contractual expiration date, then look for evidence of actual sales.
  • Measure potential supply. Compare released or offered shares with the public float and normal trading volume.
  • Identify the seller and cash recipient. Distinguish issuer financing from holder liquidity.
  • Model dilution only where new shares exist. Do not apply dilution to a pure resale, but do account for float changes.
  • Check legal conditions. Determine whether registration, Rule 144 or another exemption governs the resale and whether the seller is an affiliate.
  • Read the latest supplement. Earlier IPO language may not reflect waivers, amended share counts or a new seller list.
  • Keep the price conclusion conditional. Treat overhang as a risk to investigate, not as a stand-alone forecast.

For U.S. companies, the issuer’s filings in SEC EDGAR are the primary record for these questions. The most useful documents are the IPO prospectus, registration statements, prospectus supplements, selling-stockholder tables and filings reporting changes in ownership.

What the terms mean for investors

A lockup expiration answers, “When may specified holders begin trying to sell, subject to other rules?” A secondary offering answers, “Who is offering a defined block of shares now, and who receives the proceeds?” The events can coincide, but neither term substitutes for reading the transaction documents.

Use the lockup agreement to understand contractual timing; use the offering prospectus to understand share origin, sellers, proceeds and dilution; and use resale-law disclosures to determine whether a sale is legally available. That three-part review gives a more reliable picture than treating an expiration headline or the word “secondary” as a prediction about the stock.
