In early February 2000, Infineon Technologies agreed to acquire 20% of Enhanced Memory Systems Inc. (EMS), a wholly owned Ramtron International subsidiary. In return, EMS received access to Infineon DRAM and embedded-DRAM process technology, selected design technology and a manufacturing commitment supporting up to $200 million of EMS products per year. The reported arrangement was a six-year deal; the price paid for the equity stake was not disclosed.

The distinction matters: this transaction concerned 20% of EMS, not 20% of Ramtron International. Infineon made a separate direct investment in Ramtron later in 2000.

What Infineon actually bought

The transaction gave Infineon a minority interest in Enhanced Memory Systems. Contemporary reporting described EMS as Ramtron International’s wholly owned subsidiary and identified the acquired interest as 20% of EMS. The principal report did not disclose the cash or other consideration paid for that stake (EE Times).

Infineon was not buying control. The deal was an operating and technology partnership as much as an equity investment: EMS contributed a minority ownership position, while Infineon supplied process know-how, design access and reserved manufacturing capacity.

What EMS received

  • Access to Infineon’s 0.20-micron DRAM process.
  • Planned access to a 0.17-micron DRAM and embedded-DRAM process.
  • Selected product and design technology, including Infineon’s 256-megabit SDRAM design.
  • A wafer-capacity arrangement supporting up to $200 million of EMS products annually.

The $200 million figure was an annual product-capacity ceiling described in the agreement’s reporting—not the price of the 20% stake and not proof that EMS shipped that amount. A related account described the arrangement as providing guaranteed wafer access and leading-edge process technology relative to the year 2000 (EE Times).

Why capacity mattered to a fabless memory company

EMS designed memory products but did not operate its own wafer fabs. That fabless model reduced the capital required to build and upgrade a plant, but it left the company dependent on outside manufacturers’ schedules, yields and allocation decisions.

  • NON-ECC Unbuffered | 1Rx8 or 2Rx8 - Single or Dual Rank | JEDEC DDR4 standard 1.2V

In the capacity-constrained semiconductor market of early 2000, a promising design could still fail commercially if its developer could not obtain wafers in volume. The Infineon agreement paired three scarce resources:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. EMS architecture and product IP: a low-latency memory design intended to narrow the performance gap between DRAM and SRAM.
  2. Infineon process expertise: production technology and design knowledge developed for high-density DRAM.
  3. Manufacturing access: a committed route to wafers instead of relying entirely on spot or allocated supply.

That combination could shorten the path from design to qualified production and let EMS expand without financing a proprietary fab. It did not, however, guarantee acceptable yields, customer qualification, demand or profitability.

The memory technology behind the deal

EMS’s proposition was low-latency memory that combined the density and cost orientation of DRAM with SRAM-cache characteristics on one chip. Contemporary coverage presented the technology as a potential cache substitute or high-performance alternative, particularly for networking and telecommunications systems—not as a universal replacement for every SRAM application (Electronics Weekly).

The product roadmap mentioned 64-Mbit EDRAM and ESDRAM devices, embedded-memory applications and work on an Enhanced SRAM, or ESRAM, architecture. The reports describe development plans and strategic positioning; they do not establish that these products achieved broad commercial adoption.

Stage Technology or site What was reported
Existing relationship 0.35-micron process, Corbeil-Essonnes, France EMS already had a foundry relationship with Infineon at this facility.
Initial new devices 0.20-micron DRAM process Expected to enter use later in 2000.
Embedded products 0.17-micron DRAM/embedded-DRAM process Planned for embedded products in 2001.
Advanced development Dresden, Germany Associated with development of 64-Mbit EDRAM and ESDRAM products and ESRAM work.

The six-year duration appears in the detailed contemporary account and should be understood as a reported term of the arrangement. The 0.20- and 0.17-micron labels are historical process generations; they should not be translated directly into today’s nanometer node names.

Why Infineon participated

For Infineon, the deal offered an option on a differentiated specialty-memory architecture while deepening its relationship with a fabless designer. It could place additional products on Infineon manufacturing lines, apply its DRAM process capabilities beyond standard memory and gain exposure to possible telecommunications and networking demand.

Infineon’s manufacturing and process assets were central to the value exchange. The arrangement was not simply a financial holding: it linked the minority stake to technology cooperation and wafer supply. One contemporary report said Infineon had no immediate plans to use EMS’s technology in its own products, so the agreement should not be read as an announced integration into Infineon’s mainstream portfolio (EE Times).

What the February deal did—and did not—mean

  • It did mean: Infineon owned 20% of EMS and EMS gained process access and a committed manufacturing relationship.
  • It did not mean: Infineon had bought 20% of Ramtron International in that transaction.
  • It did not mean: Infineon had invested $200 million; that number referred to the stated annual value of EMS product capacity.
  • It did not guarantee: production yields, customer acceptance, sales volume or a successful replacement for conventional SRAM.

The existing 0.35-micron relationship also shows that the agreement expanded an Infineon–EMS manufacturing connection rather than creating one from nothing (EE Times).

Separate transactions that are often conflated

Date Transaction Significance
Early February 2000 Infineon acquired 20% of EMS DRAM-oriented technology exchange and foundry-capacity commitment.
December 2000 Infineon agreed to invest approximately $30 million directly in Ramtron $10 million cash and $20 million in Infineon stock for approximately 20% of Ramtron, alongside a FRAM cross-license.
March 2002 Infineon and Ramtron expanded their collaboration The companies announced an extension of committed EMS manufacturing capacity through 2010.

The December investment involved Ramtron’s FRAM technology and was separate from the February EMS transaction. Infineon’s later filings listed the holdings separately—20.0% of EMS and approximately 20.1% of Ramtron—and treated them under the equity method because Infineon did not have unilateral control (EE Times; EE Times; Infineon 2002 Form 20-F; SEC filing).

Historical significance and limits

The agreement is an example of an early fabless–foundry partnership in which equity, process technology and capacity were bundled together. EMS obtained a way to scale a specialized memory design without building a fab; Infineon gained a minority position and a technology option while placing its manufacturing capabilities at the center of the relationship.

What the contemporary record does not establish is equally important. It does not verify that EMS reached the $200 million annual ceiling, that the planned products achieved sustained volume production or that the architecture displaced established memory technologies. Those outcomes require evidence beyond the February 2000 announcements.
