Indian SaaS vs Overseas SaaS: GST and Invoicing Differences for Businesses

Indian SaaS and overseas SaaS are not taxed differently simply because of the vendor’s country. GST depends on who supplies the service, where supplier and customer are located, the customer’s status, the place of supply, and whether the transaction satisfies India’s export or import conditions. An Indian business buying a foreign cloud subscription may have to account for IGST under reverse charge, while an Indian SaaS company serving a foreign customer may make a zero-rated export if every statutory condition is met. A domestic Indian SaaS sale generally carries GST and must be invoiced under the Indian rules.

The practical approach is to classify the transaction first, then prepare the invoice, tax calculation and records for that classification. The following guide applies the Central Board of Indirect Taxes and Customs (CBIC) rules and explains where a tax professional should verify the current notified law for a particular contract.

What actually determines GST on a SaaS subscription?

“Indian versus overseas” is only a starting description. GST treatment follows the legal supplier, recipient, transaction type and place-of-supply rules. A monthly subscription, implementation fee, support package or licence may also require separate classification if the bundle contains different elements.

Three common transaction patterns

  1. Indian supplier to an Indian business: This is normally a domestic taxable supply. The supplier issues an Indian GST tax invoice and charges the applicable tax after determining whether the supply is intra-State or inter-State.
  2. Indian supplier to an overseas customer: This may be an export of services and therefore zero-rated, but only when all statutory export conditions are fulfilled. A foreign billing address by itself is not enough.
  3. Foreign supplier to an Indian business: This is an import-of-services question. Where the statutory conditions place the supply in India, the Indian recipient may need to pay IGST under reverse charge. Paying the foreign invoice in rupees does not, by itself, change that result in the example described by CBIC.

CBIC’s Sectoral FAQs and the IGST Act explainer provide the starting points; apply the current law to the actual agreement, users, registrations and payment flow.

Side-by-side comparison of the main cases

Transaction Typical GST question Who normally documents the tax Invoice or endorsement focus
Indian SaaS supplier → Indian business Is the service taxable, and is the supply intra-State or inter-State? Indian supplier charges and reports GST on its tax invoice. Supplier and recipient details, service value, rate and tax amount, place of supply where relevant, and reverse-charge field.
Indian SaaS supplier → overseas customer Do all export-of-service conditions hold? Indian supplier follows the chosen zero-rated route and maintains export evidence. Export endorsement stating payment of IGST or supply under bond/LUT without payment of IGST.
Foreign SaaS supplier → Indian business Is this an import of services with place of supply in India, requiring reverse charge? Indian recipient accounts for IGST when reverse charge applies. Foreign commercial invoice may not contain Indian GST fields; the recipient’s records and tax documents must support the reverse-charge entry.
Foreign OIDAR supplier → non-taxable online recipient in India Special OIDAR collection and registration rules may apply. The supplier may have collection obligations under the OIDAR provisions. Customer status and location evidence are central; do not treat this as identical to a registered-business purchase.

The table shows why a blanket statement such as “overseas SaaS has no GST” or “all Indian SaaS is 18%” is unsafe. The legal facts must be established for each sale.

When the supplier issues the tax invoice

CBIC’s invoice rules generally require a registered supplier of taxable services to issue an invoice within 30 days from the date of supply. The exact rule text and any transaction-specific exception should be checked when the invoice process is designed. A recurring subscription should have a reliable service-period and invoice-date process rather than relying on an informal receipt or card statement.

What the invoice should contain

The CBIC tax-invoice rules identify fields that allow the customer and tax authorities to connect the document to the supply:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Supplier’s legal name, address and GSTIN.
  • A consecutive, unique invoice serial number and the invoice date.
  • Recipient name and address, GSTIN or other recipient information where required.
  • A clear description of the SaaS, licence, hosting, support or other service, together with its value.
  • The applicable tax rate and tax amount, shown separately as required.
  • Place of supply, including the State name for an inter-State supply where applicable.
  • An indication of whether tax is payable under reverse charge.
  • Any other particulars required by the current rules for the transaction or recipient.

Is the rate always 18%?

CBIC’s Sectoral FAQs state: "The rate of GST on IT services is 18%." That is the official FAQ’s stated rate for IT services, but it should not be converted into a universal answer for every software bundle, support arrangement, licence or electronically supplied product without a classification check. The FAQ page does not state a publication year. Confirm the applicable tariff entry and current notifications for the actual service before placing a rate in an automated invoice.

Intra-State and inter-State consequences

After identifying supplier and recipient locations, determine the place of supply and whether the transaction is intra-State or inter-State. The invoice should show the relevant tax components and place-of-supply information. A customer’s office address, GST registration used for the purchase, implementation location and contractual recipient should be consistent; a mismatch can create credit and audit problems even when the subscription itself works correctly.

Indian SaaS sold to an overseas customer

Why a foreign customer does not automatically mean “export”

CBIC describes exports of services as zero-rated when the statutory conditions are met. Those conditions address matters such as the supplier’s location, the recipient’s location, the place of supply, receipt of payment in the permitted manner and the parties’ relationship. A foreign email domain, card issued abroad or billing address is not conclusive proof. The contract, customer identity, place-of-supply analysis and payment records should tell the same story.

Choose one of the two zero-rated routes

CBIC identifies two routes for a qualifying export:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Pay IGST and seek a refund: The supplier charges and pays IGST on the export, then follows the refund process for the eligible amount.
  2. Supply under bond or LUT without payment of IGST: The supplier makes the export without charging IGST and seeks a refund of eligible input tax credit, subject to the applicable bond or letter-of-undertaking requirements.

The choice affects cash flow and documentation. It should be made deliberately for the supplier’s registration, refund process and working-capital position, not selected by copying a foreign customer’s purchase-order wording.

Export wording that belongs on the invoice

CBIC’s invoice rules prescribe the relevant endorsement. Use the wording that matches the route:

  • “SUPPLY MEANT FOR EXPORT ON PAYMENT OF IGST”
  • “SUPPLY MEANT FOR EXPORT UNDER BOND OR LETTER OF UNDERTAKING WITHOUT PAYMENT OF IGST”

Do not use both endorsements or omit the one that explains the tax treatment. Keep the export contract, customer details, service period, payment evidence and refund or LUT records with the invoice.

Buying overseas SaaS as an Indian business

When reverse charge can apply

CBIC’s import-of-services FAQ explains that an Indian recipient may have to pay IGST under reverse charge when the supplier is outside India, the recipient is in India and the place of supply is in India. The statutory conditions must be tested against the real transaction. A foreign supplier’s decision not to show Indian GST on its invoice does not settle the recipient’s obligation.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

CBIC’s stated example also makes clear that payment in Indian rupees does not change the conclusion. Currency, payment gateway and card location are evidence about the transaction, not substitutes for the place-of-supply and recipient analysis.

Practical reverse-charge workflow

  1. Identify the recipient: Record the Indian legal entity that actually buys and uses the subscription, including the GST registration used for business records.
  2. Identify the supplier: Keep the foreign supplier’s legal name, address, invoice number, contract and service description.
  3. Classify the service: Separate SaaS access from implementation, consulting, support or other charges if the agreement does so.
  4. Determine place of supply: Apply the relevant IGST Act rule rather than assuming it from the supplier’s country.
  5. Test reverse charge: If the import conditions are met, calculate and report the IGST in the recipient’s return and accounting records as required.
  6. Preserve the audit trail: Store the invoice, order form, renewal notice, payment proof, exchange-rate basis where relevant and the return entry together.

The supplier’s foreign invoice may not contain an Indian GSTIN, Indian tax rate or reverse-charge declaration. That does not remove the need for the Indian recipient to create clear internal documentation and complete the applicable tax accounting.

OIDAR: why online software needs a separate check

The IGST Act’s definition of online information and database access or retrieval services (OIDAR) includes software and other intangibles supplied through the internet or an electronic network. A cloud application can therefore fall within OIDAR analysis, but the customer category still matters.

CBIC’s OIDAR explainer distinguishes supplies by a foreign OIDAR provider to an Indian business recipient, where reverse charge is described, from supplies to a non-taxable online recipient. Those cases are not interchangeable. Establish whether the buyer is a registered business, another business recipient or a non-taxable online recipient, and retain the evidence used to make that determination.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not promise a customer that the supplier will always collect Indian GST, or that the customer will always self-assess it, without checking the recipient status and current OIDAR provisions. The customer’s GST registration, business documentation, login or consumption records and contract should be consistent with the selected treatment.

How to decide the treatment before invoicing

Use this sequence for every new SaaS contract, renewal or material change in users or billing entity:

  1. Map the parties: Write down the legal supplier, contracting customer, actual recipient and each relevant location.
  2. Confirm customer status: Note the GSTIN, if any, and whether the recipient is a taxable business or a non-taxable online recipient.
  3. Describe what is sold: Identify access to software, hosting, licence rights, support, implementation, data services and any bundled deliverables.
  4. Apply place-of-supply rules: Check the general and special IGST Act rules that match the service and customer.
  5. Label the direction: Mark the file as domestic supply, possible export or possible import before choosing a tax code.
  6. Test export conditions: For an Indian supplier serving a foreign customer, verify every statutory condition and select the IGST-paid or LUT route.
  7. Test reverse charge: For a foreign supplier serving an Indian business, determine whether the import conditions require the recipient to account for IGST.
  8. Build the invoice: Populate supplier and recipient identifiers, serial number, date, description, value, rate, tax, place of supply, reverse-charge indication and export endorsement where applicable.
  9. Reconcile the records: Match the invoice to the contract, service period, payment, GST return and general-ledger entry.
  10. Review changes: Recheck the analysis when the customer changes entity, adds a foreign branch, switches GST registrations, changes the bundle or moves from business to consumer access.

Worked examples

Example 1: Indian vendor, Indian registered company

An Indian SaaS company provides a twelve-month analytics subscription to an Indian company that supplies its GSTIN. The vendor confirms the service classification and place of supply, issues the invoice within the applicable 30-day window and shows the taxable value, rate and tax amount. If the official classification supports 18%, a hypothetical taxable value of ₹100,000 would produce ₹18,000 GST at that rate; the invoice must still show the correct tax components for the actual intra-State or inter-State result. The arithmetic example is illustrative, not a determination of the customer’s classification.

Example 2: Indian vendor, overseas business customer

An Indian SaaS company contracts with a business established outside India. Before treating the invoices as zero-rated, it checks the recipient’s legal identity, place-of-supply result, payment evidence and every other export condition. The company then chooses either the IGST-paid refund route or the bond/LUT route and prints the matching export endorsement. The customer’s foreign location is one fact in the file, not the entire export test.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Example 3: Foreign subscription purchased by an Indian company

An Indian company buys a cloud subscription from a supplier established abroad and uses it for business operations in India. The company identifies the contracting recipient, determines the place of supply and tests the import-of-services conditions. If reverse charge applies, it records and pays IGST as required, retains the supplier invoice and payment proof, and reports the transaction through its GST process. The fact that the card was charged in rupees does not remove this analysis.

Invoice checklist for finance and procurement teams

Before approving a domestic Indian invoice

  • Legal supplier name, address and GSTIN are correct.
  • Invoice number is unique and sequential under the company’s control.
  • Invoice date and service period are clear.
  • Customer legal name, address and GSTIN match the purchase order.
  • Description distinguishes subscription, licence, support and implementation where needed.
  • Taxable value, rate and tax amount are mathematically consistent.
  • Place of supply and intra-State or inter-State treatment are correct.
  • Reverse-charge status is marked where relevant.

Before approving an export-service invoice

  • The foreign recipient is identified by legal name and address.
  • The export conditions have been tested and documented.
  • The selected IGST-paid or LUT route is authorized internally.
  • The exact corresponding export endorsement appears on the invoice.
  • Contract, service delivery and payment evidence are retained for refund or audit questions.

Before posting an overseas supplier invoice

  • The Indian recipient and GST registration are identified.
  • The service and any bundled charges are classified.
  • Place of supply and OIDAR status have been assessed.
  • Reverse-charge responsibility is assigned to a named finance owner.
  • Invoice, payment proof, exchange-rate support and return entries are filed together.

Common mistakes and how to correct them

Using the vendor’s country as the tax rule

Problem: A team labels every foreign subscription “no GST” or every Indian subscription “18%.” Correction: Reopen the supplier, recipient, service classification and place-of-supply analysis before issuing or posting the invoice.

Treating a foreign billing address as proof of export

Problem: A foreign card or email domain is used as the only export evidence. Correction: Verify the statutory conditions, recipient identity, payment and place of supply, then use the correct export endorsement.

Ignoring reverse charge because the supplier did not collect tax

Problem: Accounts payable closes the invoice with no Indian tax entry. Correction: Test the import conditions independently and document the conclusion; supplier billing practice is not the legal test.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Confusing business and consumer OIDAR treatment

Problem: A process designed for a registered company is applied to a non-taxable online recipient, or vice versa. Correction: Capture recipient status at checkout or contracting and apply the current OIDAR provisions to that category.

Leaving invoice fields to a payment receipt

Problem: A card receipt lacks GSTIN, serial number, place of supply or export wording. Correction: Generate a compliant tax invoice or maintain the recipient-side records required for reverse charge; keep the payment receipt as supporting evidence, not as a substitute.

Systems and record controls that prevent errors

Configure the billing system around transaction attributes rather than a single “Indian” or “international” toggle. Useful fields include supplier country, recipient legal entity, GSTIN, customer type, service classification, place-of-supply code, export route, reverse-charge flag, currency, service period and evidence links. Lock tax-code changes behind an approval workflow so a renewal cannot silently inherit the wrong treatment after a customer changes its contracting entity.

Store the invoice and its supporting records for the period required by the applicable GST record-retention rules. A useful file links the signed order form, tax determination, invoice, credit notes, payment confirmation, foreign-exchange support where needed, return reference and any refund or LUT documentation. Reconcile recurring subscriptions monthly so that failed payments, upgrades, cancellations and credits do not leave tax invoices unmatched to revenue.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Keeping the position current

CBIC’s statutory pages and FAQs are official references, but consolidated pages and explanatory flyers can be older than the date on which you process a transaction. Tax rates, notifications, place-of-supply rules, OIDAR procedures and invoice requirements can change. For a live contract, check the current notified law, the supplier’s and recipient’s registrations, the exact service bundle and any later amendments with a qualified Indian GST adviser.

For the reader’s core question, the answer is therefore conditional: domestic Indian SaaS generally follows Indian taxable-supply invoicing; an Indian SaaS export can be zero-rated only after the export test; and overseas SaaS bought by an Indian business can trigger reverse-charge IGST when the import conditions place the supply in India. The invoice must reflect that conclusion rather than the vendor’s nationality alone.
