What India Cements has agreed to
The transaction combines a long-term renewable-power supply arrangement with a minority investment in Zenataris. India Cements would acquire a proposed 3.62% stake, paying no more than ₹20.90 crore (₹20,90,00,000) in cash, subject to the final transaction terms.

What “11 MW group-captive” means
MW is a measure of power capacity, not the total amount of electricity delivered over a year. The 11 MW figure therefore describes the contracted or associated generation capacity; actual energy supplied will depend on plant availability, renewable-resource conditions, transmission constraints, scheduling and curtailment.

Under a group-captive model, the consuming company takes power from a project in which it and other eligible users hold an ownership interest. The structure is designed to support captive-consumption treatment under India’s electricity framework, but eligibility depends on the applicable ownership, consumption and regulatory conditions. The disclosed materials do not state the project’s exact tariff, India Cements’ annual consumption share, transmission charges or other landed-power costs.

Where the renewable project is located
Zenataris is described as the special-purpose vehicle for an inter-state transmission system (ISTS) hybrid renewable-energy project at Kudligi in Vijayanagara district, Karnataka. An ISTS project can move electricity across state transmission networks, which is relevant for a cement producer whose plants and demand may not be at the generation site. The available disclosure does not identify the specific combination of renewable technologies, the project’s total capacity, commissioning date or the plants that will receive the 11 MW.
Why India Cements is pursuing the arrangement
India Cements has cited three objectives: meeting green-energy requirements, optimizing energy costs through captive consumption and supporting compliance with electricity-law requirements. Those objectives explain the strategic rationale, but they do not establish a guaranteed saving.

For a cement manufacturer, electricity is a significant operating input, so a captive renewable supply could change the mix of grid power, open-access power and on-site generation. Whether it lowers the final cost will depend on the delivered tariff and all transmission, scheduling, balancing and compliance charges, rather than on the headline 11 MW capacity alone.
Zenataris financial information disclosed so far
The reported turnover history is limited and does not by itself show that the project is profitable, commissioned or delivering electricity.

The sharp change from nil turnover in FY24 and FY25 to ₹7,782.08 lakh in FY26 needs to be read alongside project-level information that has not been disclosed, including revenue composition, operating margins, debt, commissioning status and cash flow.
Has India Cements completed the acquisition?
Not according to the disclosed timetable. The agreements set an expected completion period of 120 days from execution of the Energy Supply Agreement and Share Subscription and Shareholders Agreement. “Expected within 120 days” is a target, not confirmation that the share subscription has closed, that the stake has been issued or that power deliveries have started. A later filing would be needed to establish completion.

- Project performance: generation, curtailment, outages and any delays affecting supply.
- Financial risk: Zenataris’ debt, cash flows, profitability and the terms governing India Cements’ minority investment.
What the announcement means for electricity costs
The transaction creates a route to more renewable electricity and may improve cost visibility if the group-captive supply is delivered at a competitive landed price. The announcement alone cannot establish that India Cements’ electricity bill will fall. Without a tariff, transmission-cost schedule, expected utilization and evidence of operational delivery, the financial benefit remains unquantified.
