In India, “independent director” is a defined legal status under the Companies Act, 2013. “Executive director” is generally a description of a director who takes part in company management, not its statutory opposite. The Act names specific management roles, including managing director and whole-time director, and excludes those roles from its definition of an independent director. All directors have duties under section 166; independent directors also have oversight responsibilities under Schedule IV. Listed entities face additional board-composition requirements under SEBI’s LODR framework.

How the two director labels differ

Question Independent director Executive director
Legal classification A status defined by section 149(6) of the Companies Act, 2013, subject to eligibility and relationship tests. A common functional description for a director involved in company management. The reviewed Act provisions do not define it as the direct counterpart to “independent director.”
Management involvement Must not be a managing director or whole-time director, or a nominee director, and must satisfy the statutory independence criteria. Typically participates in management. For the specific statutory office, identify the role—for example, managing director or whole-time director—rather than relying on the general label.
Independence test Must meet requirements concerning integrity, expertise and experience, promoter and director connections, pecuniary relationships, relatives, employment or key-management history, and other prescribed qualifications. No comparable independence status follows from the label. A director who is not independent is not necessarily an executive director.
Director duties Owes the duties that apply to all directors and has additional responsibilities in Schedule IV. Owes the duties that apply to all directors. Management responsibilities do not replace those statutory duties.
Tenure and remuneration Subject to specific statutory limits, including limits on consecutive terms and stock options. The independent-director-specific restrictions do not automatically apply merely because someone is called an executive director; the person’s statutory office and applicable rules matter.

The distinction is therefore not simply “independent versus executive.” A board may include independent directors, executive directors in management roles, and other non-executive directors who do not meet the independent-director criteria.

What makes a director independent?

Section 149(6) of the Companies Act defines an independent director as a director other than a managing director, whole-time director or nominee director who meets the conditions in that subsection. The test is about relationships and circumstances that could affect independence; it is more specific than a general assertion that a person is “unconnected to management.”

  • The Board must be of the opinion that the person has integrity and relevant expertise and experience.
  • The person must satisfy restrictions involving the company’s promoters and directors, including specified connections involving relatives.
  • The test addresses pecuniary relationships and specified employment or key-management history, as well as other prescribed qualifications.

An independent director must give a declaration that they meet the independence criteria at the first Board meeting in which they participate, at the first Board meeting of each financial year, and whenever a change in circumstances may affect their status. The company and independent directors must also abide by Schedule IV.

Duties every director shares

Section 166 applies to directors generally; it does not reserve fiduciary or governance duties for independent directors. Directors must act in accordance with the company’s articles and in good faith to promote its objects for the benefit of members, while having regard to the interests of the company, employees, shareholders, the community and the environment.

They must exercise their duties with due and reasonable care, skill and diligence, use independent judgment, avoid situations involving direct or indirect conflicts with the company’s interests, and not obtain an undue gain or advantage for themselves or others. Although the Board acts collectively, each director remains responsible for their own statutory conduct.

What Schedule IV adds for independent directors

Schedule IV sets out the role and code of conduct for independent directors. It expects them to bring independent judgment to Board deliberations and help safeguard the interests identified by the Act. In practice, that includes:

  • Seeking clarification or further information when needed and, where appropriate, obtaining professional advice or an outside expert opinion at the company’s expense.
  • Making reasonable efforts to attend Board and committee meetings, participating actively, and attending general meetings.
  • Staying informed about the company and ensuring that concerns are addressed; if a concern remains unresolved, seeking to have it recorded in the minutes.
  • Scrutinising related-party transactions and checking that the vigil mechanism is adequate and functioning.
  • Reporting concerns about unethical conduct, suspected fraud or violations of the company’s code of conduct, and acting within their authority to protect legitimate interests.
  • Protecting confidential information and avoiding unfair obstruction of the proper functioning of the Board or its committees.

These responsibilities are an oversight role, not a substitute for the Board’s collective work or for the director’s general statutory duties.

Board composition: public companies and listed entities

Under section 149(4), every listed public company must have independent directors making up at least one-third of its total number of directors; a fraction is rounded up. This Companies Act threshold is not the whole compliance picture for listed entities. SEBI’s LODR framework adds board-composition conditions, with the required share varying according to whether the chair is a regular non-executive chair and whether that chair is a promoter or related to promoters or management.

The LODR framework also requires at least one meeting of independent directors in a financial year without non-independent directors and management present. At that meeting, independent directors review the performance of non-independent directors and the Board as a whole, the chair, and the quality, quantity and timeliness of information flowing to the Board. The applicable requirements depend on the entity and the rules in force; a company-specific conclusion should be checked against the current SEBI regulations and related materials. The SEBI master circular located for this article reports an update through January 30, 2026.

Appointment, tenure and remuneration

The Companies Act provides for shareholder approval of an independent director’s appointment. An appointment may be for a term of up to five consecutive years; reappointment requires a special resolution, and an individual may serve no more than two consecutive terms. A three-year cooling-off period applies after the person ceases to be an independent director, subject to the statutory details.

An independent director is not entitled to stock options. The Act permits specified fees, reimbursement of expenses for attending Board and other meetings, and a profit-related commission approved by members, subject to statutory qualifications. These limits are specific to independent directors; do not infer an executive director’s appointment terms or compensation from the general label alone.

When can an independent director be liable?

Independent status does not provide blanket immunity. Section 149(12) limits the liability of an independent director—and a non-executive director who is not a promoter or key managerial personnel—for acts or omissions that occurred with that director’s knowledge through Board processes and with their consent or connivance, or where they did not act diligently. The provision does not erase other legal obligations or make the title itself a defence.

Which rules to check for a specific company

  • Confirm whether the company is a public company, a listed public company or another kind of listed entity; the applicable composition requirements differ.
  • For a proposed independent director, assess every relevant condition in section 149(6), including relationships and financial or employment connections, rather than relying on a general independence statement.
  • Identify the person’s actual role. If they manage the company, establish whether the statutory office is managing director or whole-time director instead of treating “executive director” as a complete legal classification.
  • Check the Companies Act and current SEBI LODR requirements in force for the relevant entity and date before drawing a compliance conclusion. India Code identifies the Act record as last updated in 2019; the applicable text should be confirmed against subsequent amendments and current regulatory materials.
