IBL Finance proposes secured NCD issue of up to ₹50 crore: dates, minimum investment and risks

IBL Finance Limited is proposing a public issue of secured, rated, listed and redeemable non-convertible debentures (NCDs). Contemporary reports put the issue at a ₹25 crore base size, with an option to retain up to ₹25 crore of oversubscription, taking the potential total to ₹50 crore. The reported subscription window is 12 October to 26 October 2026, but investors should rely on the issuer’s final prospectus and exchange notices for the live status and terms.

What IBL Finance is offering

An NCD is a debt security: investors lend money to the issuer and receive interest under the selected series’ terms, followed by redemption of principal at maturity. This is not a bank deposit and neither the reported yield nor the credit rating guarantees repayment.

The proposed issue is by IBL Finance Limited and is described as secured, rated, listed and redeemable. The Economic Times/PTI reported that the company is seeking funds as part of its lending strategy. Managing Director Manish Patel said: “The proposed NCD public issue is part of our funding strategy as we continue our lending operations across lending to individuals and financial institutions,” according to the 8 October 2026 report.

Issue size, dates and minimum application

Item Reported detail
Base issue ₹25 crore
Oversubscription retention Up to ₹25 crore
Potential aggregate size Up to ₹50 crore
Reported opening date 12 October 2026
Reported closing date 26 October 2026
Face value ₹1,000 per NCD
Minimum application 10 NCDs, or ₹10,000

These figures come from contemporaneous coverage by The Economic Times/PTI and Capital Market. Because subscription dates and allotment rules can change, check the final prospectus before applying.

Tenors, coupons and reported yields

Reported series maturities are 13, 24, 36 and 60 months. Coverage cites yields of up to 12.12% per annum. A secondary issue page lists coupon rates ranging from 10.00% to 11.50%, but it also contains inconsistent issue fields. Coupon and yield are different measures: the coupon is the stated interest rate, while the effective yield reflects the purchase price, payment schedule, tenor and redemption cash flow.

The final prospectus should be used to compare each available series on:

  • maturity and exact redemption amount;
  • coupon rate and whether interest is paid monthly, quarterly, annually or on maturity;
  • effective annual yield and the calculation basis;
  • total rupee cash received over the life of the NCD;
  • tax treatment and any applicable deductions; and
  • any call, put, early-redemption or reinvestment provisions.

Do not select a series solely because its headline coupon is highest. Exact cash flows and the final list of series were not available in the issuer-page text reviewed for this article.

Where the NCDs may be listed

PTI reporting identifies BSE as the proposed exchange. A secondary listing page mentions both BSE and NSE, so the exchange or exchanges should be confirmed against the final prospectus and exchange filings rather than assumed. Listing can create a route to sell before maturity, but it does not guarantee that a buyer will be available or that an NCD can be sold at face value.

What “secured” and “rated” mean

Security

“Secured” means the issuer is expected to provide specified security for the debenture holders. It does not, by itself, disclose what assets are charged, the collateral’s value, the cover ratio, priority among creditors, enforcement process or likely recovery time. Those details must be read in the prospectus and security documents. The collateral pool and cover ratio were not established in the available material.

Credit rating

A secondary issue page identifies Acuité Ratings & Research Limited and reports a BBB-/Stable rating. Verify the rating letter’s date, amount, instrument and current status in the final issue documents. A rating is an opinion about credit risk, not a guarantee of interest or principal. A downgrade, missed payment or deterioration in the issuer’s lending book can affect the NCD even when it remains listed and secured.

How IBL Finance says it will use the proceeds

The proposed uses are principally onward lending and financing, repayment or prepayment of principal and interest on existing borrowings, and potentially general corporate purposes. The permitted allocation, monitoring and any limits should be checked in the prospectus.

Issuer figures reported by a secondary source

K2M Stocks lists standalone figures for the year ended 31 March 2026: total assets of ₹129.86 crore, total income of ₹17.33 crore, profit after tax of ₹2.44 crore, reserves and surplus of ₹36.37 crore, and total borrowings of ₹131.55 crore. It says total income increased 33% and profit after tax 4% compared with the year ended 31 March 2025. These are secondary-source figures, not a substitute for audited statements; verify them against the issuer’s filings before relying on the numbers.

Intermediaries named in secondary coverage

K2M Stocks names Comfort Securities Limited as lead manager, Beacon Trusteeship Limited as debenture trustee and KFin Technologies Limited as registrar. Treat these names as provisional until they match the final prospectus and application materials.

Documents to check before applying

The issuer’s Investor Desk lists debt prospectus and related issue-document sections, including a prospectus, abridged prospectus, advertisements and investor presentation. Searchable page text did not expose the linked prospectus itself. Before submitting an application, obtain the current documents and verify:

  1. the issue opening and closing dates, issue status and permitted payment methods;
  2. the series table, interest frequency, effective yield and redemption value;
  3. the final exchange listing, allotment basis and oversubscription treatment;
  4. the rating letter and outlook;
  5. collateral description, security cover, trustee powers and default remedies;
  6. tax provisions, transfer restrictions and demat requirements; and
  7. any call, put, buyback or early-redemption rights.

Risks an investor should weigh

  • Credit risk: IBL Finance may fail to pay interest or principal on time.
  • Liquidity risk: a listing does not assure trading volume or a sale at a desired price.
  • Interest-rate and price risk: selling before maturity can produce a capital loss if market yields rise.
  • Security-enforcement risk: collateral value, priority and enforcement timing determine how much secured holders might recover.
  • Reinvestment risk: periodic interest may have to be reinvested at lower rates.
  • Information risk: terms reported by secondary pages may be incomplete or inconsistent until the final prospectus is published.

Bottom line for prospective applicants

This is a proposed ₹25 crore base NCD issue that could reach ₹50 crore, with a reported ₹10,000 minimum and 13- to 60-month maturities. The reported maximum yield is 12.12% a year, but the applicable series, cash flows, security terms, listing venue and final timetable require primary-document confirmation. Consider the NCD only after comparing the complete prospectus terms with your risk tolerance, liquidity needs and tax position.
