Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Repair Windows errors before they cause bigger problemsFix Now →Hyperliquid co-founder and CEO Jeff Yan says U.S. regulation should follow the firms that operate markets on Hyperliquid—not automatically the Layer-1 blockchain that provides the shared infrastructure. His proposal is about where controls are exercised; it is not a U.S. approval of Hyperliquid, a new rule, or a change to the platform’s access restrictions.
What Jeff Yan is proposing
In a Bloomberg interview reported on October 15, 2026, Yan argued that regulation should attach to the deployers and operators of individual markets. Those firms decide who may trade, onboard customers, impose restrictions, monitor activity and submit reports. Hyperliquid would supply execution and settlement infrastructure while the regulated market operator carries the customer-facing obligations.

“The regulation sits at the layer where there are controls, and indeed the deployers are the ones that exercise these controls,” Yan said, according to reporting on the interview.

That distinction separates a blockchain’s technical function from the financial firm using it. Yan also said, “We’re not trying to displace anything. In fact, I think the technology can benefit everyone who currently operates markets in a more traditional setting.”

Why the control layer matters
Customer access and restrictions
A market deployer can determine who is eligible to trade, conduct onboarding and maintain an allowlist. Under Yan’s model, those are the activities that should trigger regulatory duties because the operator—not the underlying chain—controls the customer relationship.
Surveillance and reporting
The deploying firm would be responsible for monitoring trading, identifying prohibited activity and making required reports. The blockchain would record and settle transactions, but it would not automatically become the regulated customer-facing venue simply because it hosts the market.

Clearing and settlement
In a U.S. structure, regulated intermediaries could perform clearing and hold customer accounts while Hyperliquid remains the execution and settlement technology. Which entity performs each function would determine which registration and supervisory requirements apply.

HIP-3 is the protocol mechanism described in the October 15, 2026 reporting that allows outside builders to deploy perpetual-futures markets on Hyperliquid. The report says deployers must stake 500,000 HYPE and keep that stake for at least 183 days. It also describes permissioned markets that can use allowlists.

Those details do not make a deployer a U.S.-licensed exchange by themselves. They show how the protocol can separate market creation from the base network, which is central to Yan’s argument that the operator of a market should bear the relevant obligations.
Can Americans trade Hyperliquid legally now?
The reported position was that Hyperliquid’s own perpetual-futures interface remained closed to U.S. customers. Therefore, Yan’s proposal should not be read as a declaration that Americans can currently access the native interface or that the platform has received U.S. authorization.

Whether a U.S. resident may trade a particular product depends on the entity offering it, the product’s approvals, customer eligibility rules and applicable federal and state requirements. The material reported on October 15 does not establish a blanket legal answer for every U.S. customer or every market deployed on the network.
How Payward’s proposed U.S. route would work
Payward, the parent company of Kraken, has proposed offering onchain perpetual futures to U.S. clients through a regulated chain of entities. The plan remains subject to regulatory approval.

- Bitnomial Exchange would provide the venue. It is identified in the proposal as the CFTC-regulated designated contract market.
- Bitnomial Clearinghouse would clear the trades. It is described as the registered derivatives clearing organization.
- NinjaTrader Clearing would hold client accounts. It would act as the futures commission merchant in the proposed structure.
- Hyperliquid technology would provide the onchain market infrastructure. The arrangement is intended to place customer-facing controls and regulated functions with the approved intermediaries rather than with the base blockchain.
Payward separately announced an agreement to acquire Bitnomial and described Bitnomial as a fully CFTC-licensed U.S. digital-asset derivatives platform. That corporate transaction and the proposed product route do not, by themselves, mean U.S. customers can already trade Hyperliquid perpetuals.

| Regulatory question | Yan’s proposed model | Payward’s proposed U.S. structure | Status reported in October 2026 |
|---|---|---|---|
| Who controls customer access? | The firm deploying and operating the market | Approved intermediaries handling onboarding and account relationships | Proposed arrangement |
| Who performs surveillance and reporting? | The regulated market operator | The regulated venue and related intermediaries | Dependent on approval and final operating rules |
| Who provides the underlying technology? | Hyperliquid as execution and settlement infrastructure | Hyperliquid technology within a regulated intermediary structure | Technology use does not equal regulatory approval |
| How would U.S. access occur? | Through the firm operating a compliant market, rather than automatically through the native interface | Through Bitnomial Exchange, Bitnomial Clearinghouse and NinjaTrader Clearing | Not live under the reported proposal |
| Does the blockchain itself receive a CFTC license? | Not automatically; obligations attach where controls are exercised | The named firms provide the regulated venue, clearing and account functions | Hyperliquid was not reported as receiving a CFTC license |
What the CFTC’s October 2026 proposal does—and does not—do
On October 13, 2026, the Commodity Futures Trading Commission published an advance notice of proposed rulemaking concerning crypto-asset transactions and markets. The notice discusses a framework for retail leveraged crypto transactions and related market structures.
An advance notice starts a rulemaking and comment process. It is not a final rule, an operating authorization or a license for Hyperliquid. It also does not approve Payward’s proposed Bitnomial route. Any U.S. launch would still need to satisfy the applicable requirements and receive the necessary regulatory approvals.

The practical takeaway for readers
- Yan is advocating regulation at the market-operator layer, where customer controls, restrictions, surveillance and reporting are exercised.
- Hyperliquid’s native perpetual-futures interface was still closed to U.S. customers in the reported period.
- HIP-3 illustrates how outside builders can deploy markets, with the reported 500,000 HYPE stake and 183-day minimum holding period, but protocol participation is not a substitute for U.S. licensing.
- Payward’s Bitnomial proposal is a concrete test of whether regulated intermediaries can offer products using Hyperliquid technology.
- The CFTC’s October 13 ANPRM supplies policy context; it does not itself authorize access or certify Hyperliquid as a U.S. trading venue.
