Investors price a class of preferred shares by weighing potential outcomes, risk, capital requirements, market evidence and the rights written into the deal. The same startup can therefore have different headline valuations at different dates, or a different value for preferred stock than for employee common stock.
To judge whether a number is meaningful, look past the headline. Check whether it is pre-money or post-money, how many shares are counted, how the option pool is treated, what ownership the new money buys, which liquidation and anti-dilution rights apply, and how much future funding may dilute everyone. Those details explain what a financing valuation actually means.

What a startup valuation in a VC round actually represents
In a priced round, the company and investors agree on a share price for preferred stock. That price, the number of shares outstanding under the financing documents and the amount of new capital determine the round’s pre-money valuation, post-money valuation and investor ownership. It is a transaction price for a specific security at a specific time.

Post-money valuation is the pre-money value plus the investment in the commonly used priced-round framing. If a company raises $10 million at a $40 million pre-money valuation, the post-money value is $50 million and the new investor group owns 20 percent before considering later changes. The arithmetic is simple; the share-count definition and treatment of convertibles, warrants and option-pool expansion can make the actual ownership calculation different.

An option pool can materially change the economics. If investors require a larger pool to be created before the round, existing holders usually absorb that dilution before the new money is counted. A term sheet should state the pool size, whether it is measured on a fully diluted basis and whether the expansion occurs before or after the investment. Carta’s term-sheet guidance identifies valuation, investment amount, preferred-share pricing and option-pool terms as connected parts of the same negotiation.
The financing price is evidence about value, but it is not a universal appraisal. It reflects the bargaining power of this investor and this company, the amount being raised, expected milestones, market conditions and contractual rights. A later round can reprice the business even if no single operating metric changed, because risk appetite, comparable transactions or the terms of the security changed.
How investors build a valuation view
1. Start with the company and the financing context
The first question is not “What multiple applies?” It is “What price and terms will an investor accept for this financing?” Investors examine growth, retention, margins, product differentiation, customer concentration, regulatory exposure, competition, cash runway and the amount of capital required to reach the next fundable milestone. They also model the ownership they need and the number of future rounds likely to be required.
The Financial Conduct Authority reported that the venture firms it reviewed generally used the market approach as their primary approach. Those firms commonly began with the latest transaction price and applied multiples when a business had revenue. This is evidence about the reviewed firms, not a rule that every VC, country or stage must follow. A previous financing may stop being informative after a major change in performance, prospects, market conditions or investor rights.

2. Work backward from possible outcomes
The venture-capital method asks what the company might be worth at a future liquidity event and what return an investor requires for the risk of getting there. Stanford Graduate School of Business describes terminal value, risk, required funding and multiple financing rounds as central issues in this method and in real negotiations.
An investor may estimate a future sale or public-market value, then model dilution from subsequent rounds and discount the expected proceeds for the probability and timing of success. The resulting price is highly assumption-sensitive. A projected exit is not a forecasted fact, and a target return is not a guaranteed outcome. Ask which assumptions drive the result: revenue or user growth, margins, exit timing, financing needs, ownership after later rounds and the probability assigned to downside cases.
3. Use comparable companies and multiples carefully
A multiple compares a company’s value with an operating measure such as revenue. The National Venture Capital Association’s example uses peer-company revenue multiples as a reference for a startup in a similar broad category. The useful comparison is not simply “software equals a certain multiple.” Business model, growth rate, gross margin, recurring revenue quality, geography, stage, financing date and market sentiment all affect comparability.
Current peer multiples were not established by the evidence available for this article, so no single revenue multiple should be treated as a rule of thumb. A comparable transaction can be a useful anchor when its date, sector and rights are genuinely similar; it becomes misleading when a fast-growing startup is compared with a mature company, a different geography or a financing completed in another market cycle.

4. Reconcile valuation with capital needs and ownership goals
Founders and investors must agree not only on price but also on how much money the company needs and how much ownership the round should transfer. Raising too little can force an unfavorable bridge round before milestones are reached. Raising more than the business can deploy efficiently may create unnecessary dilution or pressure to pursue an unrealistic growth plan.
Investor ownership is generally the investment divided by the post-money capitalization used in the documents. The denominator may include the unissued option pool, outstanding options, warrants, notes or other convertible instruments. Read the capitalization table and definitions rather than relying on a headline percentage in a presentation.
Deal terms can change the economic value of the headline price
Two rounds with the same post-money valuation can produce different outcomes because preferred stock can carry rights that common stock does not. A liquidation preference gives preferred holders priority to specified proceeds in a sale or liquidation. Depending on its structure, a preference can let investors recover their investment before common holders participate, or can affect how proceeds are shared after conversion.

Anti-dilution provisions can adjust the conversion economics if the company later issues shares at a lower price. The adjustment depends on the negotiated formula and the facts of the later financing. Other provisions, including participation rights, conversion rules, voting rights and protective provisions, can also affect control or proceeds. A valuation that omits these terms is incomplete as a description of investor economics.

The NVCA model financing set includes a certificate of incorporation, stock purchase agreement, investor-rights agreement, voting agreement and right-of-first-refusal/co-sale agreement. NVCA describes the documents as a starting point to tailor and provides explanatory commentary; they are not legal advice for a particular company or jurisdiction. Founders should have counsel analyze the actual documents and the consequences in realistic sale and down-round scenarios.
Why a 409A valuation is not the VC round valuation
A 409A valuation is an independent appraisal of the fair market value of a private company’s common stock for setting employee option exercise prices in the United States. A fundraising round prices preferred stock sold to investors. Preferred shares may have liquidation preferences, conversion rights and other protections that common shares lack, so the two values can differ substantially.
The difference is intentional, not evidence that one number is wrong. The 409A analysis allocates value among share classes and applies assumptions appropriate to common-stock fair market value. The financing price reflects negotiated preferred-stock rights, the amount invested and the investor’s expected return. Do not apply a fixed “409A discount” to a preferred share price as a universal rule; the allocation depends on the company’s capitalization, rights and valuation assumptions.
How to interpret recent market medians
Market statistics can provide context, but only when the period, sample, stage, geography, valuation basis and company mix match the company you are evaluating. Carta’s figures below describe companies on its platform, not the entire venture market.
Best Value
| Figure | Scope and qualification | What it does—and does not—tell you |
|---|---|---|
| $30.4 billion raised in Q1 2026 | Carta platform companies, Carta 2026 | Measures financing recorded on that platform; it is not total global venture investment. |
| More than 60% of Q1 2026 Carta-company funding went to AI companies | Carta platform data for Q1 2026 | Shows concentration in that sample and explains why an aggregate median may not describe a non-AI startup. |
| $300 million median valuation for an AI foundational-model startup at Series A | Carta 2026; narrow foundational-model subgroup | Not a general Series A benchmark and not transferable to other AI categories or sectors. |
| $76.3 million median Series A post-money valuation on $14.7 million raised; founder dilution about 18.7% | Carta term-sheet guide reporting Q2 2026 data; check the report’s scope and methodology | Provides a dated Series A reference, but should not be combined casually with the Q1 foundational-model subgroup. |
| $40 million median Series A pre-money valuation | Carta, Q3 2023 | Historical data, not a present-day benchmark; it also uses pre-money rather than post-money valuation. |
These numbers are not directly comparable without matching the quarter, valuation type, stage definition, geography, sample composition and the effect of large AI rounds. None establishes the “right” valuation for an individual company. A company should use them as a sense check, then explain why its growth, margins, market, financing needs and rights justify a position within or outside the range.
A practical way to compare two VC offers
When competing term sheets show different prices, compare the complete economics in this order:
- Confirm the valuation basis. Mark each offer as pre-money or post-money and identify the exact fully diluted share count used.
- Calculate new ownership. Divide the investment by the stated post-money capitalization, then include any pool expansion, notes, warrants or other securities that the documents count.
- Map the option pool. Record the pool percentage before and after the financing and who bears the dilution from any increase.
- Read the preference stack. Identify the liquidation preference, whether it is participating, the conversion trigger and any seniority over earlier or later preferred stock.
- Check anti-dilution mechanics. Note the adjustment formula and the circumstances that activate it in a down round.
- Model future funding. Estimate how many additional rounds the plan requires and what ownership could remain after those rounds.
- Match the market evidence. Compare only with transactions sharing the company’s stage, sector, geography, date and valuation definition.
- Test downside cases. Model a modest exit, a delayed exit and a down round; compare proceeds and control, not only the best-case headline.
Worked ownership example
Suppose a startup agrees to a $40 million pre-money valuation and raises $10 million. Ignoring other instruments, the post-money valuation is $50 million and the new investors receive 20 percent. If the investors require an option pool equal to 10 percent of the post-financing capitalization and that pool is created before the investment, existing holders bear more dilution than the simple 20 percent calculation suggests. The exact result depends on the existing share count and the documents’ definition of fully diluted capitalization.

This example illustrates why two founders can report the same pre-money valuation yet receive different outcomes. One may have an existing pool, outstanding convertible notes or a different pool-sizing convention. Always reconcile the term sheet to the capitalization table before concluding that an offer is cheaper or more expensive.
Common valuation mistakes and how to avoid them
- Treating valuation as an objective appraisal. It is a negotiated financing price tied to a security, date and terms.
- Using a universal revenue multiple. Multiples require relevant, dated comparables and adjustment for growth, margins, business model and geography.
- Quoting a market median without its scope. Preserve the quarter, platform sample, stage, subgroup and pre- or post-money basis.
- Calling a forecast an outcome. Terminal values, target returns and exit assumptions are scenarios that must be stress-tested.
- Equating preferred and common stock. A financing price does not set the 409A fair market value of common shares automatically.
- Ignoring rights in the term sheet. Liquidation preferences and anti-dilution provisions can change proceeds even when the headline valuation is unchanged.
- Overlooking later dilution. Follow-on rounds, option grants and convertible instruments can materially reduce ownership after the initial financing.
The bottom line for founders and employees
For founders, “How much is my startup worth?” has no reliable answer without specifying the financing, share class, date, capital required and negotiated rights. The strongest valuation case connects measurable traction and credible milestones to a financing plan, uses comparable evidence with matching scope and shows the ownership and downside consequences of the proposed terms.
For employees, a 409A value and a VC headline valuation answer different questions. The former supports option strike pricing for common stock in a US tax context; the latter prices preferred stock in a negotiated investment. For anyone assessing a deal, the useful number is not the largest headline but the economic value after preferences, dilution, future funding and realistic outcomes are modeled.
