There is no single new EU-wide tax on U.S. technology companies. The main issues to assess are the EU’s 15% Pillar Two minimum tax for large groups, country-specific digital-services taxes, reporting and information-exchange rules, and VAT provisions that affect certain platform transactions. Which apply depends on the group’s size, structure, income, services, and role in each market. The practical first step is to map those facts by country, then test each rule separately.

Which European tax rules should a U.S. technology company check?

These measures are not interchangeable: some can create tax, while others impose reporting or transaction-level obligations. The European Commission’s Pillar Two overview and the Council’s digital-taxation overview describe the EU-level framework. National law and the company’s particular facts still matter.

Area What to assess Status and boundary
Pillar Two minimum tax Whether the group meets the size and EU-presence test, and its effective tax rate in each jurisdiction. EU rules are implemented from 2024. A qualifying group may owe a top-up tax where a jurisdiction’s effective rate is below 15%, subject to the applicable rules and safe harbours. European Commission
U.S. side-by-side arrangement Whether a U.S.-headquartered group can and should make the safe-harbor election, and what obligations remain in each country. Treasury announced the agreement in January 2026 and described an election mechanism in September 2026. It is not a blanket exemption from European taxes or local reporting. January announcement; revised return announcement
National digital-services taxes (DSTs) Whether the company’s revenue categories and local activity fit a country’s current tax base and thresholds. These are country-level rules, not one EU-wide levy. The Council says the EU’s 2018 proposal for a common DST is on hold. Council overview
Tax reporting and information exchange Which group entity files, what information is required, and how filing is coordinated across countries. DAC9 provides a unified filing form for Pillar Two obligations and improves information exchange. Further changes in the Commission’s June 2026 tax-simplification package are proposals, not enacted requirements. Council overview; Commission proposal
VAT for certain platform transactions Whether the business operates an electronic interface and whether its transaction flows fall within a specified VAT rule. The VAT in the Digital Age directive includes selected amendments scheduled to apply from January 1, 2027; it does not cover every technology company or digital service. Directive (EU) 2025/516

Does Pillar Two apply to my company?

The European Commission says Pillar Two covers large domestic or multinational groups with more than €750 million in combined annual financial revenue and an EU presence. For an in-scope group, the effective tax rate is calculated jurisdiction by jurisdiction; a rate below 15% may trigger a top-up tax through the Income Inclusion Rule (IIR), Undertaxed Profits Rule (UTPR), or a qualified domestic minimum top-up tax. The threshold and rate are the Commission’s description of the EU rules, not a calculation of any particular group’s liability. European Commission Pillar Two overview

Start with the scope test, then test the numbers

  • Establish the ultimate parent, constituent entities, permanent establishments, and countries where the group has an entity or other relevant presence.
  • Compare the group’s combined annual financial revenue with the threshold and check whether an exclusion or safe harbour may apply.
  • For groups that appear in scope, assemble the income and covered-tax data needed to assess the effective rate in each jurisdiction and any potential top-up.

The Commission notes that safe harbours can simplify calculations and may reduce a jurisdiction’s top-up tax to zero if their requirements are met. Eligibility is technical; do not assume a safe harbour applies from a high-level review alone. European Commission

Will the U.S. side-by-side deal protect us from EU tax?

Not by itself, and not from every European obligation. On January 5, 2026, the U.S. Treasury said it had secured agreement on a side-by-side package with more than 145 Inclusive Framework jurisdictions. On September 11, Treasury said a revised GloBE Information Return provides a mechanism for a U.S.-headquartered group to elect the safe harbor from Pillar Two IIR and UTPR. Treasury also described the return as serving local minimum-tax reporting. The announcements explain the U.S. government’s position and mechanism; a company must verify election conditions, local recognition, and remaining country-level requirements. Treasury’s January announcement; Treasury’s revised return announcement

Have U.S. tax counsel determine whether the group qualifies and should elect, and confirm the precise return and local filings that remain. Treasury Secretary Scott Bessent characterized the agreement as recognizing U.S. tax sovereignty over U.S. companies’ worldwide operations and other countries’ sovereignty over business activity within their borders; that is Treasury’s characterization, not a company-specific legal conclusion. Treasury statement, January 5, 2026

Which countries have digital-services taxes?

DST exposure must be checked country by country. A 2025 European Parliamentary Research Service briefing reported 3% DSTs in France, Italy, and Spain, alongside a €750 million global-revenue threshold and differing domestic thresholds. It also reported that Italy’s domestic threshold was lowered to zero in 2025. These figures are a dated snapshot, not a current compliance table; they should not be used as a substitute for checking each country’s present law, tax base, thresholds, registration rules, and deadlines. For the country review, inventory revenue from online advertising, user data, and digital platforms, then determine whether the particular service and local receipts fall within the current DST rules. Do not infer that every technology company is covered, or that a tax applies simply because a company operates in a country.

What do we need to file?

Build a reporting calendar alongside the tax analysis. The Council says DAC9 establishes a unified filing form for Pillar Two obligations and improves tax-authority information exchange. The European Commission’s June 24, 2026 tax-simplification package proposes additional reporting changes, but proposals still require legislative adoption. Track their status rather than treating proposed measures as current filing duties. Council digital-taxation overview; Commission proposal summary

The available information does not establish filing deadlines or a complete list of filings for a particular group. Confirm the responsible filing entity, applicable forms, deadlines, and local minimum-tax reporting with advisers in the relevant countries.

Could the VAT in the Digital Age rules affect our platform?

Review VAT separately from corporate income tax and DST exposure. Directive (EU) 2025/516 includes deemed-supplier treatment for specified transactions through electronic interfaces, with selected amendments due to apply from January 1, 2027. The rule’s relevance turns on the platform’s role and the transaction pattern; it is not a general VAT change for all technology firms. Map who sells to the customer, who operates the interface, and what transactions the platform facilitates, then test those facts against the directive’s exact scope and national implementation. A practical preparation sequence

  1. Map the group and markets. Record the ultimate parent, constituent entities, permanent establishments, and countries where group entities or platforms operate.
  2. Screen for Pillar Two. Compare consolidated annual financial revenue with the €750 million threshold, assess EU presence, and identify potentially relevant exclusions or safe harbours.
  3. Build jurisdiction-level tax data. Gather qualifying income and covered taxes needed to assess each jurisdiction’s effective rate and possible top-up exposure.
  4. Resolve the U.S. election question. Ask U.S. tax counsel to assess eligibility and whether to make the side-by-side safe-harbor election; document which local minimum-tax and reporting obligations remain.
  5. Test DST exposure market by market. Classify relevant revenue streams and verify current local scope, thresholds, tax base, registration, and due dates.
  6. Review reporting and legislative status. Address DAC9 and other applicable information reporting, while tracking the Commission’s proposed simplification measures separately from enacted rules.
  7. Trace platform transactions for VAT. Identify the platform’s role and transaction flows that could fall within the directive’s specified provisions, including those scheduled from 2027.
  8. Validate decisions locally. Have advisers confirm country positions before making an accrual, filing, restructuring, or pricing decision.

What a company-specific answer still depends on

No general overview can determine a group’s liability, filing dates, or best structure without its entity map, revenue, jurisdiction-level income and covered taxes, digital-service mix, platform role, and countries of operation. The Commission’s June 2026 simplification package is a proposal, while the VAT directive and existing national tax rules have their own scopes and implementation details; distinguish enacted obligations from measures still under consideration when planning.
