Build those answers from the executed agreement, every schedule and incorporated document, any applicable law, and—if the deal relies on one—the deployed vesting contract. A promise such as “four-year vesting” is not enough to establish a release date or a right to sell.
The controlling result depends on the actual instrument, transaction, code and jurisdiction. Examples filed with the U.S. Securities and Exchange Commission show why: one document can tie use restrictions to vesting, another can restrict trading and transfer while still permitting staking, and a smart contract can run on a different timetable from the purchase agreement.

What you must establish before signing
Create a written record for each of these items and identify the clause, schedule or code reference that supports it:

- What is promised: the legal issuer, any foundation or affiliate, token name, network, number of tokens or calculation formula, delivery address and delivery conditions.
- What starts the clock: the defined launch, network event, milestone or other trigger; who determines that it occurred; how it is evidenced; and what happens if it is delayed or never occurs.
- How vesting works: commencement date, cliff, release frequency, amount per release, final release, acceleration, forfeiture and any rounding or block-counting rule.
- What remains restricted: sale, transfer, disposal, spending, exchange, staking, delegation, governance, pledging and other uses.
- Who controls changes: an administrator, multisignature wallet, upgrade authority, amendment process or incorporated document that can alter the outcome.
- What rights you have: notices, information, copies of later documents, amendment consent, waiver protections and any right to receive more favorable later-round terms.
Keep the executed agreement and the exact version of every schedule, term sheet, risk factor, offering material and amendment. A restriction hidden in Schedule I has the same practical importance as one in the main body.

Step 1: Establish exactly what is being delivered
Identify the parties and the asset
Write down the legal issuer, token foundation or affiliated entity, token name, chain and contract address if one exists. Confirm whether the signer receives tokens directly, a future right to receive them, or an amount contingent on a milestone. Do not assume that a token symbol identifies one asset across networks.
Separate delivery from vesting
Delivery may occur at signing, at launch, after a milestone, or only after a refund condition expires. Vesting may begin on a later event. An agreement can therefore deliver a contractual entitlement while withholding the tokens, or deposit tokens into a controlled wallet while limiting release. Record the delivery date or trigger, the vesting commencement trigger and the address to which tokens will ultimately be sent as separate fields.
Test the amount calculation
For a fixed amount, confirm the precise number and unit. For a formula, identify every variable, data source, valuation date, rounding rule and party responsible for the calculation. Ask whether the amount changes with supply increases, burns, network migrations or a milestone. A percentage of “fully diluted supply” is not equivalent to a percentage of the circulating supply.

Make a schedule that another person could reproduce without asking the issuer for interpretation.
- Locate the commencement event. It might be a defined launch, token-generation event, network activation, block, milestone or other event rather than the signature or payment date.
- Define the evidence. Specify the announcement, transaction, block number, oracle result, board certificate or other record that proves the event occurred.
- Record the cliff. State whether nothing releases until the cliff, whether a catch-up tranche releases at the cliff, and whether the cliff is measured in calendar time, blocks or another unit.
- Record the cadence and quantity. Note each release interval and the exact number or percentage released at each interval. “Monthly” needs a definition if months have different lengths or if the contract uses a fixed number of seconds.
- Calculate the final release. Determine the date or block, the remaining balance after earlier tranches and the treatment of rounding.
- Check acceleration and forfeiture. Identify change-of-control, termination, death, disability, breach, abandonment and performance conditions, including who decides whether a condition is met.
- Check schedule-change powers. Look for unilateral amendment, waiver, replacement-token, migration and force-majeure clauses.
Do not infer linear monthly vesting from a headline such as “four-year vesting.” The text must say how each tranche is calculated. A 2019 SEC-filed Blockstack Token LLC SAFT illustrates a different model: it described releases of “1/24th of the Tokens” per completed blockchain block after the vesting commencement date. That is an example of one filed agreement, not a market standard.
Step 3: Separate vesting from lock-up, transfer and use restrictions
Vesting answers when an entitlement becomes earned under the agreement. It does not, by itself, answer when a token can be sold, transferred or used. Search every document for vest, lock-up, lock-in, transfer, sale, dispose, spend, exchange, staking, pledge, release and use restriction.
Ask four separate timing questions
- When is a token considered vested under the agreement?
- When may it be sold or transferred under the agreement and applicable law?
- Can it be spent, staked, delegated, used in governance, pledged or exchanged while it remains restricted?
- Does the restriction bind the token itself, the holder, a wallet, or only a named party?
One SEC-filed example used a broad use restriction tied to vesting. A later filing described tokens restricted from trading or transfer while staking remained permitted. The distinction matters: a wallet may technically stake tokens that the holder still cannot sell, or a contract may block transfers while the written agreement imposes additional obligations on the holder.

Check exceptions and consequences
Look for permitted transfers to affiliates, trusts, heirs, employees, controlled entities or approved buyers. Determine whether a transfer requires issuer consent, a legal opinion, a representation by the recipient or a minimum holding period. Record the remedy for an unauthorized transfer: cancellation, forced sale, damages, loss of future tranches, indemnity or another consequence.
Step 4: Verify an on-chain vesting mechanism
If the agreement relies on code, request enough information to compare the programmed behavior with the written promise. Practical due-diligence requests include:
- the network and deployed contract address;
- verified source code or a bytecode reference that can be independently inspected;
- the transaction showing the token deposit or allocation;
- the beneficiary address and the amount deposited;
- the programmed start time, total duration, cliff and release cadence;
- the administrator, multisignature signers and upgrade authority;
- pause, withdrawal, rescue, emergency-release and migration functions; and
- an explanation of how a chain halt, reorganization, delayed launch or token migration affects the schedule.
Compare the observed parameters with the executed agreement. Check that the beneficiary address is yours, that the deposited amount covers the promised amount and that the start time is the contractual event rather than deployment time unless the contract expressly says otherwise.
Understand control risk
A vesting contract may be immutable, upgradeable or controlled by an administrator. An upgrade key can change release logic; a pause function can delay a release; a rescue function can move deposited tokens; and a multisignature arrangement can make control depend on several signers. Ask which actions require notice or consent and whether an administrator can change parameters without amending the agreement.
Resolve mismatches before signing
If the code and text differ, request a written statement identifying the controlling version and a corrective amendment or redeployment. Do not rely on an informal chat message. Preserve the contract address, source-code version, transaction hashes and screenshots or exported data used for your review.
Step 5: Review governing law and amendment rights
Identify the governing law, dispute forum, arbitration clause, transfer restrictions, securities-law conditions, eligibility representations, required approvals and any obligation to obtain an opinion of counsel. A contractual release date may not create a lawful resale date. Holding periods, registration exemptions, investor eligibility and other legal conditions can continue after vesting.
Read amendment and waiver clauses closely
Determine whether the issuer can amend the schedule, definitions, token rights or incorporated materials unilaterally; whether your consent is required; and whether a waiver for one holder affects others. Check whether a website, policy or technical document can be updated without your signature.

Check later-round and information rights
Look for rights to receive notices, financial or technical information, offering documents, amendments and copies of later agreements. Some filed instruments include provisions addressing more favorable later-round terms; others do not. Treat notice, information and most-favored-nation treatment as negotiated rights, never as automatic features of a token deal.
Step 6: Obtain written answers before signing
Send a focused question list and attach the schedule you believe the agreement creates. Ask the issuer to confirm:
- the exact delivery trigger, amount and receiving address;
- the event that starts vesting and the evidence used to establish it;
- the cliff, cadence, tranche size and final release date;
- when sale, transfer, spending, staking, delegation, governance and pledging are permitted;
- which document controls if the agreement, schedule, term sheet and code disagree;
- who can pause, upgrade, withdraw or change the vesting contract;
- what happens if launch, migration or network operation is delayed;
- how termination, breach, change of control and forfeiture affect earned and unearned tokens; and
- whether any amendment, notice, information or later-round rights apply.
Preserve the responses with the final signed documents. If a material point remains ambiguous, obtain independent legal advice tailored to your role, instrument, issuer and jurisdiction. Open-source SAFT forms state that they are not legal advice and direct participants to their own counsel; a filed SAFT likewise recommends legal, financial and tax advice based on the purchaser’s circumstances.
How to compare two or more token offers
Use identical questions for every offer so a favorable headline cannot hide a restrictive clause. A comparison worksheet should contain these fields:
- legal issuer and affiliated entities;
- token, network and promised amount or formula;
- delivery trigger and delivery conditions;
- vesting commencement event and evidence;
- cliff, release cadence, quantity per release and final date;
- sale and transfer restrictions, including required approvals;
- permitted staking, delegation, governance, spending or exchange;
- administrator, upgrade, pause and withdrawal powers;
- acceleration, forfeiture, termination and change-of-control treatment;
- total supply and insider-allocation disclosures;
- notice, information, amendment and later-round rights; and
- governing law, forum and legal eligibility conditions.
When an offer uses a smart contract, add the deployed address, source-code status, deposit transaction, beneficiary, programmed parameters and control keys. A shorter lock-up is not necessarily better if the issuer can change the start event or the administrator can pause releases.

Block-based release
The Blockstack Token LLC SEC-filed SAFT example specified “1/24th of the Tokens” per completed blockchain block after vesting commencement. To evaluate a schedule like this, confirm the exact block-counting rule, the chain used, how reorganizations are handled and whether the agreement defines a minimum or maximum block time. A block-based formula cannot be converted reliably into a calendar date without an assumption about block production.
Issuer-specific multi-year disclosure
A 2025 Form 10-K filed with the SEC reported 164,520,049 TON units vesting during 2026–2029 for that reporting issuer. The figure is issuer-specific and does not establish a general market schedule. It demonstrates why you must identify whose tokens are covered, which documents impose restrictions and whether legal purchase-agreement limits differ from the smart-contract mechanism. That filing also distinguished trading and transfer restrictions from permitted staking.

Common failure modes and how to correct them
Relying on the term sheet alone
Problem: The term sheet says “four-year vesting,” while Schedule I adds a cliff or a transfer ban.
Correction: Read the executed instrument, every incorporated document and every amendment as one set. Record the controlling-document clause.
Treating signature or payment as day zero
Problem: The schedule starts at launch or a milestone, which occurs months later or never occurs.
Correction: Define the trigger, evidence, decision-maker and fallback if the event is delayed or absent.
Assuming vested means transferable
Problem: Tokens are earned but remain subject to sale, transfer or securities-law restrictions.
Correction: Obtain separate written answers for vesting, sale, transfer and each intended use.

Assuming every deal includes later-round protections
Problem: You expect most-favored-nation treatment or information rights that were never granted.

What the official guidance does—and does not—say
In recommendations dated August 15, 2025, SEC Commissioner Hester M. Peirce listed the disclosure topic: “Distribution Schedule – Overview of the timing and mechanics of token release, lock-ups, and vesting schedules.” This is a bullet in a Commissioner’s recommendation document, not a generally applicable Commission rule. It supports asking for clear disclosure; it does not dictate the terms of your agreement or determine enforceability.
SEC EDGAR filings are useful examples of how particular issuers define triggers, schedules, restrictions and rights. Their clauses are transaction-specific and should not be copied as universal requirements. The legal effect of any lock-up, securities-law holding period, tax treatment or smart-contract arrangement depends on the actual transaction and applicable jurisdiction.
