An “investor network” is only a description; it does not prove that a group is registered, vetted, or legitimate. Check the professional through the regulator or database that matches the claimed role, authenticate the contact through independently sourced details, then investigate the issuer, security, terms, and risks as a separate exercise.
This U.S.-focused guide explains how to verify an investor, assess an alleged network, understand what a Form D does (and does not) mean, recognize social-media fundraising scams, and decide when to walk away.

What an investor network is—and what it is not
“Investor network” can mean an angel group, an online community, a broker-dealer, an investment adviser’s referral circle, or simply a chat group using a professional-sounding name. The label carries no automatic legal status. A popular website, a warm introduction, a registration record, a Regulation D filing, or testimonials from other members does not establish that a startup is sound or that the person soliciting you is genuine.

There are two different verification questions:
- Who is the person or firm? Does the claimed broker, adviser, fund manager, or placement agent appear in the appropriate official records, and are you actually communicating with that person or firm?
- What is being offered? Is the startup real, are its claims supportable, what security are you buying, what rights and restrictions apply, and could you lose all of the money?
A matching professional record answers only the first question. It does not validate a separate company, offering, relationship, promised return, or use of your money.

Pause immediately when the pitch has these warning signs
The Securities and Exchange Commission (SEC) highlights several patterns that deserve a stop-and-verify response. The SEC’s 2024 alert asks whether you clicked an online or social-media advertisement and were then added to an investment group chat, and whether someone promised high returns with little or no risk. Treat either pattern as a reason to stop communicating through the supplied channel while you investigate independently: SEC Social Media and Stock Tip Scams Investor Alert (September 30, 2024).
- An unsolicited direct message, advertisement, or group-chat invitation that quickly turns into a private investment offer.
- Guaranteed, “risk-free,” or unusually high returns, especially with a deadline or a claim that only insiders can participate.
- Pressure to transfer funds today, keep the opportunity secret, or rely on the promoter’s word instead of documents you can verify.
- Claims that the SEC endorsed, approved, insured, or “cleared” the investment. The SEC states plainly: “The SEC never endorses an investment.” See SEC Investor Alert: Beware Investment Offers Implying SEC Endorsement.
- Requests for payment to a personal account, cryptocurrency wallet, gift card, or an account whose name does not match the legal issuer or escrow arrangement.
- A website, email address, or caller ID that resembles a real firm but was supplied only by the person who approached you.
Do not upload a passport, Social Security number, tax form, bank login, or seed phrase while these basic identity questions remain unresolved.
How to verify an investor: the practical sequence
1. Capture the exact identities and claims
Save the original messages, emails, profile pages, pitch deck, term sheet, subscription agreement, wire instructions, and every attachment. Record the person’s full legal name, firm’s legal name, claimed role, office location, company being funded, security offered, amount sought, minimum investment, deadline, and claimed exemption. Note every promise about returns, liquidity, tax treatment, endorsements, or prior deals.

Ask the promoter to state these details in writing. A legitimate professional should be able to identify the legal entities involved and explain what you would actually purchase. Evasive answers, changing entity names, or a refusal to provide documents are stop signals, not evidence of exclusivity.
2. Check the professional record that fits the claimed role
For a person or firm claiming to be a U.S. registered broker or brokerage firm, use FINRA BrokerCheck. For an investment adviser or adviser representative, use the SEC and state adviser records through Investment Adviser Public Disclosure (IAPD). IAPD provides Form ADV information, employment history, and disciplinary disclosures, and can surface brokerage-firm results. The SEC and FINRA describe the IAPD resource at Investment Adviser Public Disclosure.

Compare the record with the pitch, character for character where possible:
- full name and spelling;
- legal firm name and any “doing business as” name;
- role and registration category;
- office address, telephone number, and domain;
- current employment or affiliation; and
- disciplinary, regulatory, or employment disclosures.
A record that belongs to someone with the same name is not enough. A mismatch in location, employer, role, or contact domain requires an independent explanation before you proceed.
3. Authenticate the person who contacted you
Scammers can copy a real firm’s registration number, logo, website design, and employee biography. Do not use the phone number, email link, calendar invitation, or website supplied in the solicitation as your only confirmation. Find the firm’s contact information independently through an official regulator record or a separately located corporate site, then ask to be connected to the person through that channel.
Tell the firm’s independently sourced contact that you received an investment solicitation and want to confirm whether the individual, email address, phone number, deal, and payment instructions are genuine. Do not rely on a forwarded introduction or a second chat participant who “vouches” for the promoter. The SEC’s warnings about impersonation and false registration claims are collected at False Claims of SEC Registration.
4. Search the SEC’s PAUSE list, but do not treat a clean result as approval
The SEC’s Public Alert: Unregistered Soliciting Entities (PAUSE) list can identify named entities that falsely claim to be registered or located in the United States, impersonate real firms, or use fictitious regulators. Check the exact legal name, trading name, domain, telephone number, and location at SEC PAUSE.

The list is a warning resource, not a clearance database. The SEC says it is incomplete and that inclusion alone is not a legal finding that a securities-law violation occurred. An entity’s absence is therefore not evidence that it is legitimate. Continue with the issuer and offering checks even when the name is not listed.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errors5. Verify the startup and the security separately
Identify the legal issuer—not merely its brand or product name—and search the SEC’s EDGAR filings for relevant disclosures. Request financial statements, audit information, management biographies, operating history, prior financing, material contracts, business metrics, competitor analysis, and a detailed use-of-proceeds budget. Check whether the company’s public claims match its filings, customer evidence, and independently obtained information.
Ask exactly what you would own: common stock, preferred stock, a convertible note, a SAFE, a debt instrument, a partnership interest, or another security. Clarify valuation or conversion mechanics, liquidation preferences, voting and information rights, dilution, fees, minimum investment, transfer restrictions, lockups, redemption provisions, and whether any secondary market exists. Private startup securities can be difficult or impossible to resell, and you may lose the entire investment.
An offering memorandum can help organize this information, but SEC guidance notes that such documents generally are not required for private placements and typically are not reviewed by a regulator. Read the SEC’s Private Placements under Regulation D Investor Bulletin (updated August 17, 2022) for the disclosure and risk context.
6. Confirm the claimed exemption and understand Form D
If the promoter cites Regulation D, ask which rule applies, who the issuer is, whether you qualify as an accredited investor, and when the first sale occurred. For many Regulation D offerings, the issuer must file Form D no later than 15 days after the first sale. That filing is a notice of a claimed exemption; it is not a merits review.

Form D does not mean SEC approval, registration, licensing, or a finding that the investment is safe. Fraudsters can point to a real filing to create the opposite impression. The SEC’s investor bulletin uses the exact warning, “Form D does not represent SEC approval or registration.” See False Claims of SEC Registration and the Regulation D bulletin linked above.
Compare the filing’s issuer name, address, offering amount, related persons, and dates with the documents you received. A mismatch is a reason to stop and obtain an explanation from an independently verified company contact. A matching filing still says nothing about the startup’s prospects, valuation, management quality, or the truth of the sales pitch.
7. Verify the payment path and protect your information
Confirm that payment instructions name the legal issuer or a documented escrow agent. Call the recipient using an independently sourced number before sending a wire. Never “test” an unfamiliar wallet with a small cryptocurrency transfer; an irreversible payment is still a loss if the recipient is fraudulent.
Use a separate email address and strong, unique password for investment portals. Enable multifactor authentication, inspect the domain letter by letter, and avoid installing remote-access software at a promoter’s request. A genuine know-your-customer process does not require your banking password, one-time authentication code, or recovery phrase.
How to evaluate the startup’s business case and risks
Financial condition and use of proceeds
Reconcile the amount sought with the runway, payroll, liabilities, debt maturities, and stated milestones. Ask how much has already been raised, from whom, on what terms, and whether insiders are investing alongside new investors. A polished forecast is not proof; look for assumptions, historical results, cash balances, and sensitivity to slower sales or higher costs.

Management and operating history
Verify founders’ employment and education claims independently. Ask for references from customers, suppliers, or prior investors and contact them using details you locate yourself. Search for undisclosed bankruptcies, litigation, regulatory actions, or repeated corporate name changes. Past success does not guarantee this company’s success, but unverifiable biographies are a serious credibility problem.
Valuation, competition, and the product
Early-stage valuation is inherently uncertain. Test the addressable-market claim against identifiable competitors, pricing, customer acquisition costs, retention, intellectual-property ownership, and regulatory dependencies. Request a product demonstration or verifiable customer evidence rather than relying on screenshots, testimonials, or projected partnerships.
Investor rights and liquidity
Read the governing agreement, not only the slide deck. Determine who controls future financing, whether your security is subordinated, how dilution works, what information you receive, and whether transfers require company consent. Assume that a private startup investment may be held indefinitely. The possibility of a later funding round or acquisition is not a liquidity promise.
Regulation Crowdfunding: a process is not a safety certificate
For a Regulation Crowdfunding offer, confirm that the intermediary is a registered funding portal or broker-dealer and review the prescribed offering information available through that intermediary. Use the SEC’s Updated Investor Bulletin: Regulation Crowdfunding for Investors to understand the required disclosures and investor limits.
Crowdfunding does not remove startup risk. An early-stage product may never find a market, valuation may be difficult to determine, and the security may be illiquid. Compare the issuer’s claims with the platform disclosure, look for conflicts of interest and related-party transactions, and understand how and when you can transfer the investment. A registered intermediary confirms the channel’s regulatory status; it does not guarantee the company or your return.
Compare two networks or offers without turning diligence into a score
When you have competing introductions, evaluate each on the same evidence. The dimensions below are questions to answer, not a mathematical safety rating.
| Evidence area | Questions to ask | What a weak answer looks like |
|---|---|---|
| Legal identity and contact route | Can you independently confirm the person, firm, address, domain, and payment recipient? | Only a supplied phone number, copied website, or chat-based identity. |
| Professional role | Does the claimed broker or adviser appear in the appropriate record with matching employer and location? | A name match with a different firm, role, or geography. |
| Issuer and documents | Do legal entity names, filings, financials, contracts, and offering documents agree? | Marketing slides without verifiable issuer details or inconsistent names. |
| Terms and risks | Are valuation, use of proceeds, dilution, rights, transfer limits, fees, and total-loss risk explained? | Guaranteed returns, vague “upside,” or no explanation of liquidity. |
| Independence of diligence | Can you contact customers, advisers, auditors, and references through details you found independently? | Pressure to rely on testimonials, a celebrity investor, or the introducer’s reputation. |
| Urgency and exclusivity | Is there a reasonable closing process that allows time for advice and document review? | Requests for immediate payment, secrecy, or a one-hour deadline. |
What to do if the offer fails verification
- Stop replying through the original channel and do not send additional funds or documents.
- Preserve messages, headers, profile URLs, documents, wire instructions, wallet addresses, and transaction records.
- Contact your bank or payment provider immediately and ask whether a transfer can be recalled or frozen. Speed matters, especially for wires.
- Change passwords that may have been exposed, revoke suspicious sessions, enable multifactor authentication, and monitor credit and financial accounts.
- Report suspected securities fraud to the SEC, FINRA, your state securities regulator, and local law enforcement as appropriate. Include the exact identities and evidence you preserved.
- If you signed a subscription agreement or transferred money, consult a securities attorney promptly. Do not pay a second “recovery” service that guarantees it can retrieve your funds; that is a common follow-on scam pattern.
U.S. scope and recordkeeping
This workflow relies on U.S. SEC, Investor.gov, and FINRA-related resources. If the promoter, issuer, or account is outside the United States, identify the applicable national or local securities regulator and offering regime; U.S. databases do not establish equivalent registration or investor protections abroad.
