Build a defensible range from the company’s stage, operating evidence, financing terms, comparable businesses and realistic liquidity scenarios. A quiet IPO market makes exit timing and liquidity assumptions more important, but the available sources do not establish a universal percentage change to startup multiples. Treat an IPO as one possible outcome—not a forecast—and show what happens if a listing is delayed, repriced or replaced by a trade sale.
Start with the valuation question, not the exit headline
“Value” can mean several different things. Before choosing a model, write down the purpose, valuation date, jurisdiction and instrument being valued. A board may need a financing price, an investor may need a fair-value measurement, an employee may want to understand an option’s potential, and a buyer may be assessing an acquisition. Those questions can produce different answers even when they concern the same company.

- Purpose: financing, financial reporting, tax, employee equity, strategic planning or a sale.
- Valuation date: use a stated date; do not blend old operating results with a later financing without explaining the timing.
- Entity and geography: specify the company, subsidiaries, currency and market whose comparables are being used.
- Security: distinguish enterprise value, total equity value, preferred shares, common shares, options and other rights.
- Standard of value: explain whether the exercise is fair value, investment value, a negotiated financing price or an indicative sale range.
A valuation is an analytical estimate. It is not a cash offer, a promise that investors can sell, or proof that founders and employees can realize the headline number.
Why a quiet IPO market changes the analysis
A private company does not become less valuable merely because fewer companies are listing. The practical effect is that a model relying on a future public-market exit has more timing, pricing and liquidity risk. The sources available for this guide do not provide a current, geography-specific measure of how much quieter IPO activity changes startup multiples, so avoid claiming a market-wide discount without dated evidence that defines the market and period.

Instead, make the exit assumptions visible. Use at least three cases:
- Base case: the company reaches the operating milestones in its plan and obtains a plausible liquidity event on the modeled timetable.
- Delayed or lower-value case: the event occurs later, at a lower multiple, or after additional financing that increases dilution.
- Non-IPO case: value is realized through a trade sale, another private transaction or continued ownership without a near-term liquidity event.
The U.S. Securities and Exchange Commission explains that a traditional IPO uses market-based price discovery, whereas in a special-purpose acquisition company transaction the SPAC decision-makers determine the value of the private operating company and the amount paid. The distinction is useful when mapping exit routes, but it does not establish that either route is available or attractive for a particular startup.
Assemble the evidence before selecting a method
Every method is only as reliable as its inputs. Create an evidence pack that another finance professional could audit without relying on optimism or a single slide deck.

- Monthly revenue by product, customer cohort and geography, with a reconciliation to the general ledger.
- Bookings, billings, recurring revenue, churn, retention and concentration where those measures fit the business model.
- Gross margin, contribution margin, operating expenses, cash burn and runway.
- Customer contracts, renewal data, implementation obligations, backlog and pipeline quality.
- Product usage, regulatory dependencies, intellectual-property ownership and material litigation or security incidents.
Forecast evidence
Separate historical actuals from management forecasts. Explain the assumptions for customer acquisition, pricing, conversion, headcount, infrastructure, working capital, capital expenditure and financing. A long-range forecast with no track record can still be used, but its uncertainty should widen the valuation range and increase the weight placed on scenario analysis.
Capitalization and financing evidence
Collect the fully diluted cap table, option pool, warrants, convertible instruments, liquidation preferences, participation rights, anti-dilution provisions, conversion terms and any side letters. Record the closing date, price per share, amount raised and whether the round was primary capital, a secondary sale or both. A headline post-money figure without these terms is incomplete evidence.
Market evidence
For each comparable company or transaction, record sector, business model, revenue scale, growth, margins, geography, stage, transaction date and the security or control rights transferred. A public-company multiple is a reference point, not a direct answer for a private startup: public companies are larger, more liquid and subject to different disclosure and governance conditions.
The four principal valuation approaches
| Approach | Best fit | Core inputs | Key limitation when IPOs are quiet |
|---|---|---|---|
| Income (DCF) | Businesses with defendable operating forecasts | Projected cash flows, discount rate, terminal value | Long-range forecasts and terminal assumptions can dominate the result |
| Market (comparables) | Companies with genuinely comparable peers or transactions | Revenue, earnings or other multiples adjusted for differences | Public-market liquidity and scale may not match a private startup |
| Asset-based | Asset-rich, distressed or floor-value analysis | Assets less liabilities, with appropriate realizability discounts | Often misses growth prospects, talent and other intangible capabilities |
| Venture-capital method | Pre-revenue or loss-making companies raising venture capital | Future exit value, timing, dilution and required return | Highly sensitive to an assumed liquidity event and delay |
The CFA Institute describes income, market and asset-based methods as principal private-company approaches, with adjustments for private-company risk, size and limited public-market access. Use more than one approach when the evidence permits, then explain why the methods receive different weights rather than averaging them mechanically.
Income approach: discounted cash flow
A discounted cash flow (DCF) projects future free cash flow and discounts it to the valuation date. In simplified form:

Present value = Σ [FCFt ÷ (1 + r)t] + [Terminal value ÷ (1 + r)n]
r is the discount rate, t is each forecast period and n is the terminal period. The model should state whether cash flows are to the firm or to equity, how debt and excess cash are treated, and how the terminal value is calculated.
For a young startup, revenue growth, gross margin, reinvestment, working capital and terminal assumptions may be many years away and weakly observed. Show a range of discount rates and terminal assumptions, and identify which variables move the result most. Do not report a single precise figure when a small change in a speculative assumption produces a large swing.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsA quieter IPO market matters if the terminal value implicitly assumes a public listing or uses public-company multiples without adjustment. Model a later liquidity date, a lower terminal multiple and a trade-sale outcome separately. The DCF remains useful when operating evidence is strong, but an exit-dependent terminal value should not be presented as a near-term forecast.
Market approach: comparable companies and transactions
The market approach applies observed multiples from similar public companies or private transactions. Common examples include enterprise value to revenue, enterprise value to gross profit and, for mature companies, enterprise value to EBITDA. Select the metric that reflects how investors actually assess the business and use a consistent numerator and denominator.
Screen comparables for sector, business model, geography, stage, growth, margin profile, customer concentration and date. Explain adjustments for differences in scale, liquidity, control and security rights. A public-company revenue multiple may need a discount or other adjustment for a startup’s smaller size, limited liquidity and execution risk; the adjustment must be reasoned, not automatic.
Transaction data can be more relevant than public prices when the transactions involve similar private companies, but private terms are often less observable. Check whether a reported price includes preferred-share protections, earn-outs, rollover equity or strategic-control value. A transaction involving a full acquisition is not interchangeable with a minority financing.

Asset-based approach
An asset-based valuation estimates the value of identifiable assets and subtracts liabilities. Depending on the purpose, assets may be measured at book value, replacement cost or estimated realizable value, with adjustments for obsolescence and selling costs.
This method can provide context or a floor for a company with cash, equipment, inventory or valuable separable intellectual property. It may be informative in a wind-down or distressed case. It often understates a going concern whose value lies in future growth, network effects, assembled talent, software under development or customer relationships that are difficult to separate and sell.
Do not use an asset value as a substitute for an operating valuation merely because an IPO is unavailable. Use it as a cross-check or downside reference when the assets are material and measurable.

Venture-capital method
The venture-capital (VC) method works backward from a future liquidity event. Singapore government guidance dated 13 May 2026 describes it for pre-revenue or loss-making companies and references a future event such as an IPO or trade sale, with the terminal value discounted to the valuation date.
A transparent VC model should show:
- The forecast year and operating metric at the assumed exit.
- The exit multiple or other basis used to estimate terminal enterprise value.
- Net debt, cash and other adjustments that convert enterprise value to equity value.
- Expected dilution from future rounds, option-pool increases and convertibles.
- The ownership percentage attributed to the current investment.
- The required return or discount rate and the time to the modeled event.
For example, a hypothetical model might assume $100 million of exit equity value in year six, 25% dilution before exit and a 35% annual required return. Those figures are illustrative, not a market forecast. Change the exit year, value and dilution together in sensitivity cases; holding them constant while declaring an IPO “quiet” hides the principal risk.
How to build an exit scenario set
Write the exit tree before calculating the valuation. A practical set can include:
| Scenario | Liquidity route | What to vary | Question for the reader |
|---|---|---|---|
| Base | IPO, trade sale or private transaction judged most plausible | Timing, operating metric, multiple and dilution | What evidence supports this route and date? |
| Delayed/lower value | Same route after a delay or at a lower price | Extra cash burn, financing need, discounting and multiple | Can the company survive until liquidity? |
| Non-IPO | Trade sale, tender, secondary or continued private ownership | Buyer synergies, control premium, transfer restrictions and timing | Who could provide liquidity if no listing occurs? |
| Downside | Restructuring or limited asset recovery | Recovery value, liabilities and liquidation costs | Which obligations rank ahead of common equity? |
Present the resulting values as a range or probability-weighted set only if the probabilities have a defensible basis. A neat probability such as 30% for an IPO can create false confidence when it is merely a guess. It is acceptable to show unweighted cases and explain that the reader should not interpret them as odds.
Why the latest funding round is evidence—not an automatic fair value
A recent priced round tells you what participants paid for a particular security at a particular time. It does not automatically establish the current value of every share. Conditions may have changed, and preferred shares may include liquidation preferences, conversion rights or other protections that common shares do not have.

The Financial Conduct Authority’s review reports that venture-capital firms commonly used the last available transaction price as a valuation basis, then more often used multiples once companies had achieved revenue. That observation describes reported practice, not a rule that makes the last round correct in every case.
For each round, ask:
- Was it an arm’s-length financing, an insider bridge, a strategic investment or a secondary trade?
- Was the price per share for the same class and rights as the interest being valued?
- How much time has passed, and have revenue, retention, cash runway or risk changed?
- Did the round include unusual preferences, warrants, discounts or side agreements?
- Does the post-money figure include an option-pool increase or other dilution?
SEC Staff Accounting Bulletin No. 107 says a valuation technique should be consistent with the fair-value objective, grounded in established financial-economic principles and reflective of the instrument’s substantive characteristics. Apply that principle by separating headline post-money value, enterprise value, total equity value and the value of a particular security.

- Define the assignment. Record purpose, valuation date, geography, currency, standard of value and security.
- Freeze the cap table at the date. Include issued shares, options, warrants, convertibles, preferred rights and the treatment of the unissued option pool.
- Normalize historical results. Separate recurring revenue and costs from one-time items, founder compensation choices and unusual accounting entries.
- Challenge the forecast. Reconcile assumptions to cohorts, contracts, hiring plans, capacity and cash runway. Document who owns each assumption.
- Select comparable evidence. Reject superficially similar companies whose business model, stage, geography or date makes the comparison misleading.
- Run at least two methods where possible. Use DCF, comparables, assets and the VC method according to the evidence, not as a checklist.
- Model liquidity scenarios. Include base, delay/lower-value and non-IPO cases; add downside analysis where obligations or runway make it relevant.
- Allocate value among securities. Apply the actual rights and preferences rather than dividing total equity value by fully diluted shares without analysis.
- Test sensitivities. Show the effect of changing growth, margin, discount rate, exit multiple, timing and dilution. Identify the two or three assumptions that matter most.
- Document judgment and review. State evidence sources, rejected comparables, chosen weights, unresolved uncertainties and the next date on which the valuation should be refreshed.
Comparing methods and deciding how much to trust them
Use the following questions to explain a weighting or to decide that a method is only a cross-check:
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
- Stage and evidence: Is there repeatable revenue and forecast history, or mainly a product concept and market hypothesis?
- Input observability: Are cash flows, cap-table terms and transaction prices documented, or inferred?
- Market relevance: Do peers match sector, model, geography, growth, margins, stage and date?
- Exit dependence: How much of the result comes from a future financing or liquidity event, and what happens if it is delayed?
- Security terms: Does the reference price apply to the same class, seniority and control rights?
- Uncertainty range: Which assumption would materially lower the result, and is that case shown?
A pre-revenue company may reasonably rely more on a scenario-based VC analysis and market evidence than on a precise DCF. A company with stable, observable cash generation may support a DCF and operating multiples. An asset-based result can anchor downside analysis without defining the growth value.
Common failure modes and how to correct them
Treating a hypothetical IPO as a plan
Failure: The model assumes a listing on a fixed date and uses that assumption as evidence of value. Correction: label the IPO as one scenario, add delay and non-IPO cases, and explain the assumptions that would have to occur first.
Applying a public multiple without adjustment
Failure: A small private company is assigned the headline multiple of a large, liquid public peer. Correction: adjust or triangulate for scale, liquidity, growth, margins, control and security rights, and show the source date.
Using the last round as a permanent mark
Failure: The latest preferred-share price is used for common stock months later despite weaker performance or changed terms. Correction: review subsequent events, instrument rights, operating results and market conditions at the valuation date.
Ignoring dilution and senior claims
Failure: Total post-money equity is divided evenly across a simplified share count. Correction: model future rounds, option pools, convertibles, liquidation preferences and seniority before estimating the value of each security.
Best Value
Hiding uncertainty behind a single number
Failure: A spreadsheet reports $X.37 million even though terminal growth and exit timing are speculative. Correction: report a range, sensitivity table and the assumptions that drive the spread.
Confusing valuation with liquidity
Failure: A paper valuation is described as money a founder or employee can withdraw. Correction: state transfer restrictions, tax considerations, vesting, buyer availability and the absence of a guaranteed market.
Mixing dates and currencies
Failure: An old transaction, current forecast and foreign-currency comparable are combined without adjustment. Correction: align dates, currency, inflation treatment and market conditions, or disclose the mismatch.
Communicating the result to investors, boards and employees
Lead with the valuation range and valuation date, then show the methods and scenario drivers. A clear report should include:
- The purpose, standard of value, entity, currency and security.
- Historical operating metrics and the forecast period.
- Comparable selection and adjustments.
- Cap-table and financing terms that affect security value.
- Exit scenarios, timing, dilution and discounting assumptions.
- Sensitivity results and the assumptions that dominate the range.
- Events that would trigger an update, such as a financing, lost customer, major contract, regulatory change or material forecast variance.
Use plain language for non-finance readers: “This is an estimated value as of the stated date under the listed assumptions; it is not a guaranteed sale price.” Keep the technical schedule available for auditors, investors or counsel who need to reproduce the calculation.
When to obtain specialist advice
Independent valuation, tax, accounting or legal advice is appropriate when the result will affect financial statements, employee tax, a contested transaction, a complex preferred-share waterfall, cross-border reporting or a material financing. The valuation should be based on company financials, financing documents, capitalization and dilution details, market and comparable data, and a defined purpose and date. No general framework can replace those company-specific inputs.
A practical decision rule
If the company has little operating history, prioritize transparent scenarios, cap-table accuracy and exit uncertainty over spreadsheet precision. If it has repeatable revenue and credible forecasts, combine a DCF with carefully selected market evidence. If assets are the main source of recoverable value, use an asset-based analysis as a meaningful anchor. In every case, explain what a quiet IPO market changes—timing, route and liquidity assumptions—without claiming that it automatically determines the startup’s worth.
