There is no single reliable multiple for every media company. Estimate value from sustainable operating cash flows, use a discounted cash flow (DCF) model when you can build a defensible forecast, and cross-check it against relevant public-company or transaction multiples. The key is to compare businesses with similar revenue engines, costs, rights obligations, growth and risk—not merely businesses that share the label “media.”
Define what you are valuing
Start by recording the company, valuation date, geography and valuation premise. A going-concern valuation assumes the business continues operating; a liquidation or asset-sale analysis asks a different question. A sale or acquisition may also reflect rights, liabilities, transaction conditions and buyer-specific synergies that do not belong in a standalone operating forecast. MediaCo’s filing describes using income and market approaches in its impairment analysis, but an impairment estimate is not the same thing as evidence of a sale price. MediaCo filing

Be explicit about whether your estimate is enterprise value or equity value. Enterprise value represents the value of the operating business before allocating it among capital providers. Equity value is what remains for shareholders after accounting for debt, cash and other relevant claims. Use the balance sheet as of the valuation date and show the bridge rather than treating operating value as the amount an owner will receive. MediaCo filing FOX fiscal 2026 report

Separate material revenue streams before forecasting. A business may earn money from advertising, subscriptions, retransmission or distribution fees, licensing, events and other activities. Their durability and cost structure differ, so a single blended growth assumption can conceal important risks.

Advertising and distribution
Advertising depends on the audience, its composition and engagement, sellable inventory, advertiser demand and competition from other platforms. For local broadcasters, market size, demographics and alternative media also affect rates. Gray Media identifies broadcast advertising and retransmission consent as primary sources of revenue and describes these factors in its 2025 filing. Gray Media 2025 filing
For broadcasters and networks, assess carriage and affiliate agreements, renewal terms and the durability of distribution fees. Audience reach alone does not establish how much revenue a company can retain or what it will cost to deliver its programming.
Subscriptions and audience retention
For subscription businesses, examine reported subscriber counts, pricing, churn, bundles, retention and revenue per subscriber. The New York Times reports subscription revenue alongside advertising revenue, illustrating why a publisher’s value may rest on more than one monetization engine. The New York Times Company filing

Also consider how much of the audience relationship the company controls. Reliance on third-party platforms, audience fragmentation and shifts toward streaming, podcasts or social networks can affect reach, monetization and competitive position. MediaCo’s filing discusses competition from internet media, streaming, podcasts and social networks as factors affecting traditional broadcasters. MediaCo filing
Content, rights and capital needs
Programming, sports rights, production, licensing and marketing can be substantial cash uses, often with contractual timing that does not line up neatly with reported earnings. FOX’s fiscal 2026 report lists programming-rights payments, production, marketing, capital expenditures, debt repayment and other uses of cash. Include relevant obligations in the forecast, along with working capital, taxes, capital expenditure and debt service. FOX fiscal 2026 report
Normalize the historical numbers
Review several years of reported results and identify unusual items before projecting the business. Separate durable operating trends from one-time events, cyclical advertising swings, changes in programming costs or timing differences in cash receipts and payments. Explain any adjustments you make and keep company-reported figures distinct from your own normalized estimates.

Do not treat EBITDA as cash flow. EBITDA is earnings before interest, taxes, depreciation and amortization; it does not account for working capital, taxes, interest, content commitments or capital expenditures. “Adjusted EBITDA” and “free cash flow” can also be defined differently by different issuers. Label the exact measure used and, where possible, reconcile a non-GAAP figure to the company’s financial statements. FOX fiscal 2026 report The New York Times Company filing

Year-to-year cash flow can be affected by event schedules as well as underlying business performance. FOX reported net cash provided by operating activities of $1,970 million for fiscal 2026, compared with $3,324 million for fiscal 2025. The company attributed the decrease primarily to lower advertising receipts because Super Bowl LIX and the 2024 elections were absent, partly offset by the FIFA Men’s World Cup and higher sports programming payments. These are reported company figures that illustrate timing effects, not a forecast or an industry benchmark. FOX fiscal 2026 report
Build a discounted cash flow estimate
A DCF estimates value by projecting future cash flows and discounting them to present value. State which cash flow you are valuing, the forecast period, the discount rate and the method used for terminal value. For a media company, the forecast should reflect the economics of its revenue streams and the costs needed to sustain them: advertising inventory and demand, subscriber retention and pricing, distribution agreements, rights, production and marketing as applicable. MediaCo identifies projected cash flows, revenue and profitability measures such as EBITDA, long-term growth and weighted-average cost of capital (WACC) as important valuation assumptions. - Forecast revenue by stream. Build separate assumptions for advertising, subscriptions, distribution, licensing or other material sources, informed by historical performance and the company’s specific drivers.
- Forecast operating costs and investment. Include relevant content and rights costs, production, marketing, working capital, taxes and capital expenditure. Make the treatment of financing costs explicit and consistent with the cash flow being valued.
- Select a discount rate. Explain how the rate reflects the business’s risk and the cash-flow measure in the model. WACC is one input used in the approach described by MediaCo; it is not a universal rate for media businesses. MediaCo filing
- Estimate terminal value consistently. State the terminal-value method and ensure its assumptions align with the forecast and discount rate. Long-term growth is a judgmental input, not a guaranteed outcome. MediaCo filing
- Run scenarios. Vary the assumptions that drive results—such as revenue growth, margins, rights costs, discount rate and terminal growth—and report a range rather than implying the model produces a precise, certain answer. MediaCo filing
A DCF is only as dependable as its assumptions. If retention, rights costs, margins or long-term growth are uncertain, show how those uncertainties change the estimate instead of hiding them in a single point value.

A market approach applies multiples observed in relevant public companies or transactions. Enterprise value to EBITDA and enterprise value to revenue are common examples, but the appropriate denominator depends on the business’s profitability, stage and accounting. MediaCo describes using earnings multiples of comparable digital media businesses alongside DCF in an impairment analysis. MediaCo filing

Best Value
- Revenue mix and how recurring or renewal-dependent it is
- Audience ownership, reach and reliance on third-party platforms
- Growth, subscriber retention and operating margins
- Programming, production and rights obligations
- Capital expenditure, leverage and liquidity
- Forecast uncertainty and the risk reflected in the valuation
Do not present an undated “industry multiple” as a rule of thumb. The available evidence does not establish a reliable universal multiple for all media companies. Public-company impairment disclosures can illustrate methods and assumptions, but they are not transaction-price evidence. MediaCo filing
Reconcile enterprise value to equity value
After estimating operating value, make the bridge to equity value using cash, debt and other relevant claims as of the valuation date. Specify which items you include and how you treat them. This step matters because a company with a given operating value can leave shareholders with a different amount depending on its financing and balance-sheet position. MediaCo filing FOX fiscal 2026 report
Present a defensible range, not false precision
Bring the DCF and market cross-check together, explain why they differ, and show a range with the assumptions that move it. The range may widen when growth, margins, rights costs, discount rates or terminal growth are hard to establish. State the valuation date and premise, distinguish reported facts from forecasts, and make clear that the result is an educational estimate rather than a guaranteed sale price. Accounting standards, reporting definitions, geography, private-company liquidity, control rights and transaction terms can all affect an actual valuation.
