The K-1 reports tax items allocated to you; it is not your tax return, and the cash distributions you receive do not by themselves tell you how much taxable income to report. Before buying ET units, understand the extra reporting, basis tracking, loss limits, and sale records that partnership ownership can involve.
Does Energy Transfer issue a K-1?
Yes. Energy Transfer identifies itself as a publicly traded MLP and says its unitholders receive cash distributions while their shares of the partnership’s annual income, gains, losses, deductions, and credits flow through for tax reporting. The company’s K-1 and K-3 Tax Package Information page explains the process.

Schedule K-1 (Form 1065) is an annual statement of your allocated partnership tax items. You use its information, along with your own records and applicable tax rules, to prepare your return. That differs from a typical corporate investment that reports dividends on Form 1099-DIV: partnership tax items pass through to the partners, and the investor has additional basis and loss-limit considerations.

How are ET distributions and K-1 income different?
A cash distribution is money paid to you; K-1 amounts are tax allocations. They are different measures, and the distribution amount alone does not establish your taxable income. The tax effect depends on the K-1 items, your basis, and your circumstances.

- Large Size for Everyday Documents: cover measures about 13 x 9.65 inches, with inside pages about 9.65 x 6.5 inches; The spacious pocket design provides room for receipts, statements, records, and tax-related papers without taking up too much desk or shelf space

Do not assume that every distribution is tax-free, that all distributions are return of capital, or that all allocated income is deferred. The tax package and your tax records—not a general rule about MLP distributions—are needed to determine your treatment. Energy Transfer does not establish a fixed tax-deferred percentage or a typical investor tax bill in the cited materials.

Why do outside basis and records matter?
Outside basis is your tax basis in your partnership interest. The IRS says partners are responsible for maintaining the information needed to determine adjusted basis. A K-1 capital-account figure reflects partnership books and records and is not a substitute for outside basis. Partnership activity can change basis over time; the IRS Partner’s Instructions for Schedule K-1 (Form 1065) (2025) include a worksheet for adjusting a partner’s interest basis.
Keep records that allow you or your tax preparer to follow that history, including purchase information, annual K-1 packages, and distribution records. The right basis and allowable deductions cannot be determined from the distribution total alone.

How can loss limitations affect a K-1?
A loss shown on a K-1 is not automatically deductible in full in the year reported. IRS instructions apply the relevant loss limitations in this order:
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
- Basis limitation
- At-risk limitation
- Passive-activity limitation
- Excess-business-loss limitation
A loss disallowed under the basis rules may carry forward until basis is available. For publicly traded partnerships, passive-activity limitations are applied separately by partnership: a net passive loss from one PTP generally cannot offset passive income from another PTP and instead carries forward against income from that same PTP, subject to the rules. Applying these limits to an individual requires their records and tax circumstances.

What happens to K-1 taxes if you sell ET units?
Selling a partnership interest involves a basis calculation; it is not necessarily complete to treat the transaction like a simple stock sale and calculate only a capital gain from purchase and sale prices. IRS instructions say adjusted basis must be determined when a partnership interest is sold or exchanged, and cash or property received above adjusted basis can result in taxable gain. K-1 history and partnership sales information can affect the result.
Keep your purchase records, annual K-1 packages, distribution history, and any supplemental sales information together. Those records help establish the basis and other details needed for the sale calculation.
What to consider before buying ET
- Tax paperwork: Expect a partnership K-1 package rather than assuming you will receive only a corporate dividend form.
- Annual reporting: You will need to use allocated tax items on your return; cash received is not a substitute for the K-1.
- Recordkeeping: Maintain basis and distribution history over the period you own the units.
- Loss and sale rules: Loss deductions are subject to limitations, and a sale can require a partnership-specific basis calculation.
- Personal circumstances: State filing obligations and the treatment for non-U.S. holders, retirement accounts, and other situations require advice based on the investor’s facts.
For material holdings, a planned sale, foreign tax-credit questions, or uncertainty about your filing obligations, consult a qualified tax professional familiar with publicly traded partnerships. These general rules do not determine whether ET is an appropriate investment for you.
