How to Transfer from a U.S. Tech Role to an India Office Without Losing Benefits or Seniority

You can transfer from a U.S. tech role to an India office without losing benefits or seniority only if your employer’s terms preserve them. A move to a different office does not, by itself, guarantee continuous service, continued U.S. benefits, or the same level of retirement-plan access. Before accepting, get written answers about your legal employer, recognized service date, job level, pay and payroll, equity, retirement accounts, insurance, tax support, work authorization, and return rights.

Start with the employment structure, not the office location

“Transfer to India” can describe different arrangements. You might remain employed by the U.S. company on a temporary assignment, take a local India employment contract, or move under another arrangement the employer offers. Those labels alone do not tell you whether your service is continuous, which benefits apply, who runs payroll, or what happens if the role ends.

The controlling details are in the employer’s written terms and the relevant plan documents. Public tax and social-insurance guidance explains some government rules, but it cannot establish an unnamed company’s policy on seniority, 401(k) participation, equity vesting, insurance, or a return role. Treat every benefit or continuity promise as unresolved until the responsible HR or plan administrator confirms it for your specific arrangement.

Get these decisions documented before accepting

  • Employer and contract: Identify the legal entity employing you in India, the entity that will run payroll, whether your U.S. employment continues, and whether you will sign a new contract.
  • Continuity: Ask which service date will be recognized for vesting, leave accrual, bonus eligibility, promotion and performance-review eligibility, and any severance calculation. Confirm accrued leave treatment and whether past service is recognized across entities.
  • Role and pay: Record the job title, level, responsibilities, reporting line, work location, compensation amounts, currency, and payroll frequency. Ask whether compensation is converted, reset, or otherwise changed and how that is documented.
  • Equity and incentives: Ask what happens to unvested awards, future grants, earned but unpaid compensation, annual bonuses, and deferred compensation. Obtain the applicable plan terms and a written explanation of the move’s effect on vesting.
  • Benefits and return: Confirm which health, life, disability, dependent, and retirement benefits apply in India, when U.S. coverage ends, and what rights you have if the assignment ends or you return to the United States.

A verbal assurance such as “your tenure carries over” is not a substitute for identifying the date and purposes for which it carries over. A company may use different service dates for different plans or policies; have HR specify each one rather than assuming there is a single universal seniority date.

Use a written transfer checklist with HR and mobility

Request a transfer letter and a benefits summary before you commit to a start date or book the move. Send the questions below to the HR, global mobility, payroll, compensation, and benefits contacts who can answer them. Ask for responses in the letter, plan documents, or another written record tied to your transfer.

  1. Confirm the arrangement. Ask: “Is this a temporary assignment, a local India employment contract, or another structure? Which legal entity will employ me, which entity will pay me, and what happens to my U.S. employment status?”
  2. Pin down continuity. Ask HR to state your recognized service date separately for employment continuity, leave, bonus, equity vesting, promotion and performance reviews, and severance. Ask how accrued leave and any earned compensation will be carried over or paid.
  3. Compare the complete compensation terms. Request a written breakdown of salary, currency, payroll entity and frequency, bonus eligibility, deferred compensation, equity already granted, future grants, and any relocation or assignment terms offered. Do not treat an unchanged job title or headline salary as proof that total compensation is unchanged.
  4. Contact the retirement-plan administrator. Ask whether you remain eligible to contribute to the U.S. plan, receive employer matching, vest in existing balances, take loans or distributions, and access the account while living and working in India. Ask what happens if new contributions stop and who can explain the plan rules.
  5. Confirm insurance coverage and dates. Get the names of the health, life, disability, and dependent plans that will apply in India. Ask which dependents are covered, when each plan takes effect, when U.S. coverage ends, and how to handle any gap or transition.
  6. Assign responsibility for tax and payroll coordination. Ask who will handle U.S. and Indian payroll withholding, tax returns, foreign tax credit coordination, and tax equalization, if the employer offers it. Confirm what support is included and whether you must select or pay a tax professional yourself.
  7. Resolve work authorization before setting the start date. Ask which India work authorization applies to your specific circumstances, who will sponsor or arrange it, what documents and approvals are required, and whether approval must be in hand before work begins.
  8. Agree on what happens if plans change. Ask whether a return to the United States is possible, whether a role, level, location, and recognized service date are guaranteed, and how the employer will handle a transfer that ends early or cannot proceed.

Keep a dated copy of the offer, transfer letter, benefit summaries, plan documents, equity notices, and written answers. If an answer refers to a policy or plan, request the relevant document and ask which provision applies to employees moving to India. If the written documents conflict, ask the employer to resolve the difference before you accept.

Protect seniority by defining what “continuous service” means

Seniority is not necessarily one status with one company-wide definition. The transfer documents should identify whether your U.S. service counts after the move and for which decisions. A statement that you remain “senior” or retain your “tenure” is too vague to settle how a plan, policy, or later employment decision will treat your prior service.

Ask about each service-based outcome

  • Vesting: Which service date controls vesting under each relevant equity or retirement plan? Does employment with the India entity count under that plan?
  • Leave: Does accrued leave transfer, get paid out, or remain with the U.S. entity? How will future leave accrual be calculated?
  • Performance and promotion: Will you remain in the same review cycle, and will prior performance history and eligibility for promotion carry forward?
  • Bonus and deferred pay: What service period and eligibility rules apply to an award already earned, a bonus not yet paid, or deferred compensation?
  • Severance and return: Which date and employer count if your position is eliminated, the assignment ends, or you return to the United States?

These questions are especially important when the move changes the legal employer. A change in office location does not answer whether service with one entity is credited by another. Request confirmation from the function responsible for the particular policy or plan, not only a general assurance from the hiring manager.

Handle 401(k) access, matching, and equity as separate plan questions

Do not assume that a move abroad automatically ends or continues participation in a U.S. retirement plan. The available official sources do not establish a universal 401(k) outcome for employees transferring to India. Eligibility and account rules depend on the employer’s plan and your arrangement, so ask the U.S. plan administrator directly.

Questions for the U.S. retirement-plan administrator

  • Can you continue employee contributions while performing work in India, and can the employer continue matching?
  • Does a move to an India affiliate change your eligibility or the compensation counted for contributions?
  • Will service in the India role count toward vesting of the employer contributions already in your account?
  • What happens to contributions if payroll changes entity or currency, or if you stop contributing?
  • Can you still access the account online, request a loan or distribution, and update account details from India?
  • Who is the named administrator or contact who can answer questions about the plan’s written terms?

Separate the status of the account balance from the ability to make new contributions, receive a match, or accrue additional vesting service. Those are distinct plan questions. Get the answer for each rather than inferring all of them from the fact that an account remains open.

Ask equity-plan administrators about each award

For stock awards or other equity compensation, ask how the move affects outstanding unvested awards, future grants, and any compensation already earned. Request the controlling plan or award documents and a written explanation of the applicable vesting schedule and eligibility. A transfer letter that does not mention equity is not evidence that awards will continue unchanged.

Equity can also raise tax questions beyond the plan’s vesting rule. The U.S.–India treaty is a relevant primary document, but the treaty by itself does not settle how your particular wages, equity compensation, retirement benefits, or filing obligations will be treated. Have a cross-border tax professional review your award dates, work locations, payroll, and tax years rather than assuming the plan answer resolves the tax answer.

Check payroll and Social Security by legal employer

Where you sit is not enough to determine payroll withholding or Social Security coverage. The legal employer, the relationship between the U.S. company and any foreign affiliate, and the actual coverage arrangement matter. Ask payroll which entity will pay you and which rules it expects to apply.

The IRS explains that U.S. Social Security and Medicare taxes can apply to services performed abroad in specified arrangements. Its guidance on working abroad does not promise that an employer will continue other benefits or resolve every employee’s coverage. For qualifying foreign affiliates, the IRS describes a possible agreement under Internal Revenue Code section 3121(l), using Form 2032, through which a U.S. employer can extend U.S. Social Security coverage. Do not assume your employer has such an agreement; ask payroll to confirm whether one applies to your employing entity and transfer.

Totalization agreements can coordinate coverage and help prevent dual Social Security contributions where an agreement applies. However, the Social Security Administration’s published list of international agreement countries does not include India. The list and the rules for a qualifying foreign-affiliate agreement are different issues: the absence of India from the agreement-country list does not, by itself, establish your employer’s arrangement. Review the SSA’s guidance for employees of foreign affiliates and ask the employer which coverage applies in your case. The IRS also provides information on totalization agreements.

Ask for a clear payroll explanation that identifies the employing entity, the payroll entity, any applicable Social Security and Medicare withholding, and who can correct a mismatch. A company office in India does not, on its own, establish whether your wages are covered by U.S. Social Security or whether another coverage arrangement exists.

Plan for U.S. and Indian tax rules without assuming one answer fits everyone

A transfer can affect tax residence, wage sourcing, withholding, and filing responsibilities, but the outcome depends on personal facts. Relevant details include citizenship or U.S. resident-alien status, the days you spend in each country, which entity employs and pays you, when compensation is earned or paid, and the tax year. Neither a treaty document nor general tax guidance can determine your individual position without those facts.

Count days and identify the applicable Indian tax year

India determines individual tax residence under statutory tests applied separately for each tax year. The Government of India Income Tax Department’s Non-Resident FAQs describe the framework. For AY 2026–27, its Non-Resident Individual guidance gives a 182-day test or a 60-day-in-the-year plus 365-days-in-the-prior-four-years test, subject to exceptions. Which test and exceptions apply depends on the individual’s circumstances. Keep a reliable record of travel dates and have a tax adviser assess the applicable test rather than treating a planned move date as a residency determination.

The Income Tax Department states that India’s Income Tax Act, 2025 applies to tax years beginning on or after 1 April 2026; earlier years continue under the 1961 Act. A transfer that spans the change needs to be considered under the rules applicable to each tax year, not described with a single undated label. The exact filing and tax result still depends on your facts.

Coordinate advice across both countries

For U.S. citizens and resident aliens abroad, the IRS’s Publication 54: Tax Guide for U.S. Citizens and Resident Aliens Abroad, revised December 2025, is a general reference. It is not a determination of an individual’s India tax residence, employer benefits, or compensation treatment. The U.S.–India income tax treaty is another primary source, but reading the treaty alone does not settle wage sourcing, equity compensation, retirement treatment, or filing positions for a particular employee.

Before accepting the transfer, ask the employer who coordinates U.S. and Indian withholding, tax returns, foreign tax credits, and tax equalization if offered. Confirm whether that assistance covers your own situation, including equity and any compensation earned before or after the move. If employer support is limited, seek advice from a qualified cross-border tax professional who can review citizenship or residence status, travel days, employing entity, payroll, compensation timing, and the relevant tax years together.

Confirm India work authorization before the start date

Do not infer your permission to work in India from your current U.S. role, the fact that your company has an India office, or an immigration page about a different direction of travel. The USCIS source available here concerns L-1 classification for employees moving to work in the United States; it does not establish which authorization applies to a person moving to work in India. USCIS’s L-1 documentation and evidence chapter is therefore not an India work-authorization guide.

Ask the employer’s mobility team or qualified India immigration counsel to identify the route that applies to your circumstances and confirm the sponsor, documentation, approval sequence, and timing. Make the authorization timeline part of the transfer plan. Do not begin work on an assumption that an application, company transfer letter, or U.S. immigration status automatically authorizes employment in India.

Compare offers only after the employer defines the alternatives

There is no universal comparison of “U.S. assignment” versus “India transfer” that can establish which is better for every employee. The available terms are employer-specific. If HR offers more than one structure, compare the actual written terms across the same decision points:

  • Employer and continuity: legal employer, U.S. employment status, recognized service dates, and treatment of leave, vesting, reviews, promotion, and severance.
  • Compensation: pay amounts and currency, payroll entity, bonus eligibility, existing and future equity, deferred compensation, and any assignment terms.
  • Benefits: retirement-plan eligibility and matching, existing-balance vesting, access to health and other insurance, dependent coverage, and end dates for U.S. plans.
  • Payroll and social insurance: withholding responsibilities, Social Security and Medicare treatment, and whether a qualifying foreign-affiliate agreement applies.
  • Tax support: responsibility for returns and withholding, any tax equalization, and the scope of cross-border advice or coordination.
  • Authorization and contingencies: work-authorization route, sponsor, timeline, start-date conditions, and the terms if the move cannot proceed or later ends.
  • Return rights: whether a U.S. role, level, location, or service-date recognition is guaranteed, and what happens if the original assignment concludes.

Evaluate each alternative from its documents, not from the label or a general statement that it is a “transfer.” A lower apparent risk in one area may come with different terms elsewhere; keep the comparison tied to the written offer and the relevant plan documents.

A practical decision rule before you sign

Do not accept the transfer on the assumption that benefits or seniority automatically follow you. You have a workable basis for deciding when the employer has named the legal employer and payroll entity; stated how continuity and service dates work by purpose; explained pay, bonus, equity, retirement, and insurance in writing; identified payroll and social-insurance treatment; assigned tax and immigration responsibilities; and addressed the end-of-assignment or return scenario.

If any answer is missing, vague, or inconsistent with a plan document, ask the responsible HR, plan, payroll, mobility, or legal contact to clarify it in writing before you commit. For tax residence, cross-border compensation, and India authorization, obtain advice that matches your facts rather than relying on a general transfer promise.
