The most dependable way to track a public-company merger and its executives’ pay is to monitor the issuer’s SEC EDGAR filing page, follow the relevant forms and amendments in date order, and keep a source-linked event log. Use the target’s page first, add the acquirer when its filings matter, and read the filed documents and exhibits rather than relying on a form label or a news release.
What you are actually tracking
A merger creates a developing disclosure record, not a single announcement. The initial current report or proxy filing may be followed by revised proxy materials, supplemental information, shareholder-vote results, tender-offer amendments, and other transaction updates. Executive compensation is similarly distributed across several document types: the annual proxy explains reported pay and shareholder votes, current reports can describe appointments or compensatory arrangements, and ownership reports record certain securities transactions.

EDGAR is the authoritative record for the filings themselves. Investor-relations pages can provide a convenient parallel view, but they may reproduce or redirect to SEC documents and can differ in presentation. For a complete chronology, use EDGAR’s company filing page and open the actual filing plus its exhibits.
Transaction structure determines the exact filing set. A stock-for-stock merger, a cash acquisition, a tender offer, and a transaction involving a special-purpose vehicle can produce different forms. The form names below are a practical watchlist, not a universal checklist or a statement of filing deadlines.

Start with the issuer’s EDGAR company page
1. Identify the correct issuer
Search by the company’s legal name or Central Index Key (CIK), then verify the result against the issuer’s legal name, ticker and business description. A familiar brand name may not be the registrant that files the relevant report. For a proposed acquisition, open the target’s page and add the acquirer’s page when the acquirer is issuing consideration, seeking approval, reporting an executive event or filing transaction-specific material.
2. Learn the filing-list columns
Company pages show a chronological list with a form type, filing date and a document description; a reporting date may also be displayed. Select the accession or document entry to reach the filing and its exhibits. The description is useful for triage, but the body of the filing is where you confirm parties, terms, conditions, votes, dates and compensation details.
3. Save the page as your monitoring hub
Record the issuer’s CIK and the date you began monitoring. EDGAR pages can expose an RSS feed option, which is useful for noticing new entries. Treat the feed as an aid rather than a complete alerting system: revisit the live filing page to confirm that a new item is present, inspect amendments and check both parties when appropriate. Feed behavior and the inventory shown on a page can change.

Merger agreements, voting agreements, fairness-opinion materials, employment arrangements and supplemental proxy documents may appear as exhibits or linked documents. A form label tells you where to look; the attachments often contain the operative language. Download or archive the filing link used in your log so another reader can reproduce the entry later.
Merger forms to place on your watchlist
| Filing label | When it is relevant | What to extract | Important qualification |
|---|---|---|---|
| PREM14A | Preliminary merger proxy materials | Parties, proposed consideration, transaction background, board recommendation, shareholder meeting information and expected conditions | Preliminary materials can change before the definitive version and may be followed by supplements or amendments. |
| DEFM14A | Definitive merger proxy materials | Final disclosed terms, voting instructions, board recommendation, risks, conditions and the record or meeting dates stated in the document | Use the filed document for the controlling disclosure; do not infer a deadline or closing date from the form name. |
| DEFA14A | Additional definitive proxy soliciting materials | New explanations, presentations, responses or other supplemental solicitation information | It may add context to a definitive proxy without replacing every earlier statement. |
| Form 8-K | Material current reports during the transaction | Announcement, agreement execution, board or management events, amendments, vote results and other material updates described in the report | Not every deal uses the same 8-K pattern; read the item and exhibits. |
| Applicable tender-offer statements and amendments | Deals structured as tender offers | Offer terms, conditions, expiration information, changes and responses stated in the filing | Form selection depends on the offer and filer. SC TO-I/A is an amendment label shown in EDGAR examples, not a form required for every transaction. |
These labels are examples of filings that can appear in a merger record. A particular issuer may use only some of them, and an amendment can be more important than the first filing because it changes a term, supplies omitted detail or responds to a regulatory or shareholder issue.
A step-by-step merger-tracking procedure
- Open both sides of the record. Start with the target’s EDGAR page. Add the acquirer if it is a public company whose shareholders, financing, securities or executives are involved.
- Filter mentally by event, not only by date. Scan for PREM14A, DEFM14A, DEFA14A, Form 8-K and any tender-offer statement or amendment that fits the transaction.
- Read the earliest transaction filing completely enough to establish context. Note the parties, consideration, treatment of options or other equity awards, board recommendation, shareholder action, conditions and dates exactly as stated.
- Check the filing list after every new entry. Look for an amendment, supplemental proxy material or later current report that changes or clarifies the earlier disclosure.
- Compare versions. Keep the prior entry in your log, then record what changed in the new filing. Do not overwrite the original date or link.
- Continue through the decision point. Track meeting materials, vote results, tender-offer updates and closing-related reports when they appear. The record remains open until the issuer’s filings show that the relevant event has occurred or the transaction has been abandoned.
Where executive compensation appears
Definitive annual proxy statements
The definitive proxy is the central annual source for named executive officer compensation disclosure and the shareholder vote on that compensation. Read the compensation discussion, summary tables, equity-award information, employment or severance descriptions and the proposal describing the vote. The proxy may also explain how the board reached its recommendations and identify arrangements that become relevant during a merger.
Form 8-K current reports
Current reports can disclose a material departure or appointment of certain officers and compensatory arrangements. When an executive leaves, joins, receives a new agreement or becomes subject to a severance or change-in-control arrangement, inspect the applicable 8-K item and every exhibit. The filing may describe terms that are not presented in the annual proxy until a later reporting cycle.
Form 4 ownership reports
Form 4 reports changes in a reporting person’s beneficial ownership. It can show a reported purchase, sale, option exercise, award or other transaction, but it is not a complete compensation statement. Do not treat a Form 4 as a substitute for the proxy’s pay tables or for an employment agreement filed elsewhere.

Section 16(a) reporting context
Filed proxy materials commonly discuss Section 16(a) reporting obligations for directors, executive officers and persons above the stated 10 percent ownership threshold. A company’s discussion is an example of how it describes compliance; apply the current rule and form instructions when deciding who must file or whether a report was timely.
| Question | Best starting document | What it can answer | What it cannot establish by itself |
|---|---|---|---|
| What did named executives receive during the year? | Definitive annual proxy | Reported salary, incentive, equity and other compensation disclosures, plus the shareholder vote | A complete real-time picture of every later arrangement or transaction |
| Did an executive leave, join or receive a new arrangement? | Form 8-K and its exhibits | Material departure, appointment or compensatory terms described in the report | That every internal personnel change was required to be reported |
| Did an insider’s beneficial ownership change? | Form 4 | The reported transaction, date, amount and ownership information shown on the form | Total compensation, motivation or an unreported transaction |
| What did shareholders vote on? | Definitive proxy and later vote-results filing | The proposal, recommendation, voting instructions and results when filed | Whether a proposal will pass before the vote is held |
Build a dated event log
A log prevents a fast-moving filing sequence from becoming a pile of browser tabs. Use one row per filing, amendment or document that changes your understanding of the event. Keep the filing date supplied by EDGAR and, separately, any reporting, record, meeting, expiration or closing date stated inside the document.
- Issuer and CIK: identify which company filed the document.
- Filing date: preserve the date shown on EDGAR.
- Form and accession or document link: distinguish the filing from a later amendment.
- Event category: merger proxy, current report, tender offer, annual compensation, executive event or ownership change.
- Key facts: parties, consideration, shareholder action, conditions, executive, arrangement or transaction amount as disclosed.
- Version relationship: mark whether the entry is original, amended, supplemental or superseding.
- Open questions: record what you still need to verify in a later filing.
| Date | Issuer | Form | Event | Version note | Source-reading reminder |
|---|---|---|---|---|---|
| Filing date from EDGAR | Target or acquirer | PREM14A, DEFM14A, DEFA14A, 8-K, tender-offer filing, proxy or Form 4 | One-sentence description using the document’s terms | Original, amendment or supplement | Open exhibits and verify dates, conditions and amounts in the text |
Use wording that preserves uncertainty. Write “the filing states that the board recommended approval” rather than “the deal is approved” if the shareholder vote has not occurred. Write “the company disclosed an agreement providing for…” rather than converting a contingent arrangement into cash already paid.
Set a monitoring rhythm that catches amendments
During an active merger
Check the target and, where relevant, the acquirer’s EDGAR pages whenever the transaction is awaiting a vote, tender expiration or regulatory condition. Use the available feed for prompts, then confirm each item on the live page. A practical routine is to review new entries, open every transaction-related filing, and update the log before moving on to unrelated reports.
Between major events
Keep a periodic check for proxy supplements, additional solicitation materials, executive changes and ownership filings. A transaction can generate a new document after the initial announcement even when the headline terms appear unchanged.
After a filing alert
- Confirm the issuer, filing date and form on EDGAR.
- Open the primary document and all relevant exhibits.
- Determine whether it is new, amended or supplemental.
- Update the event log with only facts stated in the document.
- Look for a related filing by the other transaction party.
Do not rely on an RSS item, email subject or third-party headline as the final record. Alerts can omit context, combine versions or fail to show a related filing from another issuer.
How to read the documents without mixing categories
Separate transaction mechanics from executive pay
In a merger proxy, identify the proposed consideration and shareholder action first. Then locate sections on executive interests, employment agreements, retention awards, severance or change-in-control benefits. Those interests can explain why executives or directors may have a financial stake, but they are not the same as the company’s annual compensation totals.
Separate a proposal from an outcome
“The board recommends” describes a recommendation. “Shareholders approved” requires a filed vote result. “The transaction is expected to close” describes an expectation subject to stated conditions. Preserve those distinctions in notes and published reporting.
Rank #3
Separate a filing date from an event date
EDGAR’s filing date tells you when the document was submitted. The document may describe an agreement signed earlier, a meeting scheduled later, an award granted on another date or an ownership transaction that occurred on a specified trade date. Record each date with its label.
Separate disclosure from interpretation
Capture the company’s stated terms before adding analysis. If a filing says consideration is subject to adjustment, retain that qualification. If a compensation table reports a value calculated under the company’s methodology, do not present it as cash received without explaining the category.
Choosing between EDGAR, investor-relations pages and other tools
EDGAR should remain the source of record. An investor-relations page can be convenient for a company-specific view, while a data service may add search, export or alerting features. The right choice depends on what you need and whether the service preserves the underlying documents.

Watching only the announcement
Problem: The first 8-K or preliminary proxy becomes the entire story.
Fix: Keep monitoring until the record shows the relevant vote, tender-offer development, closing or termination, and include every amendment or supplement.
Monitoring only the target
Problem: The acquirer may disclose financing, shareholder action or executive consequences on its own page.
Fix: Add the other public transaction party when its filing obligations or disclosures affect your question.

Problem: A ticker can change, be reused or omit a subsidiary or legal registrant.
Fix: Verify the legal name and CIK before building the watchlist.
Treating Form 4 as a pay statement
Problem: An ownership transaction is mistaken for total compensation.

Overstating dates
Problem: A filing date is presented as the meeting, expiration or closing date.

A practical example of the chronology
Suppose a target announces a proposed acquisition. You first log the announcement filing and identify whether a PREM14A follows. When the preliminary proxy appears, you record the proposed consideration, board recommendation, shareholder meeting information and conditions. A DEFA14A may then add solicitation material, followed by a DEFM14A containing the definitive proxy disclosure.
The Tool Desk
Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →If the target files an 8-K describing a new executive agreement, you create a separate compensation event linked to that filing and its exhibit; you do not bury it in the merger row. If an executive later files Form 4, you log the ownership change separately and avoid calling it compensation unless another filing establishes that connection. When an amendment changes a condition or date, retain the earlier row and add the amended row with a clear version note.
For a tender offer, substitute the applicable tender-offer statement and amendments for the proxy sequence, while continuing to watch 8-K reports and executive disclosures. The exact sequence depends on the transaction structure and the filings the issuer is required to make.
Scope, accuracy and legal boundaries
This workflow is for monitoring public disclosures, not legal or investment advice. The examples of forms do not establish deadlines for every issuer or transaction. Current SEC form instructions and the actual filing control when they conflict with a secondary explanation.
Company filing pages are live records that change as new documents arrive. Filed proxy statements illustrate the information companies disclose but are not substitutes for current regulations or advice about a particular deal. For a consequential decision, verify the latest filing, its exhibits, amendments and the applicable official instructions.
