The strongest internal audit teams are not built from a standard head-count ratio or a fashionable org chart. They are designed from four decisions: what the board has authorized internal audit to do, how the chief audit executive (CAE) is protected from interference, which risks the audit plan must cover, and which people and skills can deliver that work. A small organization may combine roles and bring in specialists; a complex organization may need dedicated coverage leaders. Both designs can work when the mandate, independence, capability and resources are demonstrably sufficient.

Use the current Global Internal Audit Standards as the baseline. The IIA issued the 2024 standards on January 9, 2024; they became effective January 9, 2025 and superseded the 2017 International Professional Practices Framework. The framework is organized into five domains: Purpose of Internal Auditing; Ethics and Professionalism; Governing the Internal Audit Function; Managing the Internal Audit Function; and Performing Internal Audit Services.

1. Establish the mandate before drawing the organization chart

Begin with a board-approved mandate, then express it in an internal audit charter. The mandate gives internal audit its authority, role and responsibilities. The charter turns that authority into operating rules that people inside and outside the function can understand.

What the charter should settle

  • Purpose and objectives: State how internal audit supports governance, risk management and control, while preserving its role as an independent assurance and advisory function.
  • Scope: Cover the legal entity or group, subsidiaries, joint ventures, outsourced activities, information systems, data, projects and any other areas the board expects the function to reach.
  • Types of service: Distinguish assurance engagements, advisory work, investigations or other services the board has authorized. Describe how advisory work will avoid taking management decisions.
  • Authority and access: Give auditors timely, unrestricted access to records, systems, premises, personnel, committees and external parties needed for their work. Define the CAE’s right to attend relevant meetings and communicate privately with the board or audit committee.
  • Reporting relationships: Name the board or audit committee as the CAE’s functional reporting body and identify the administrative executive who supports day-to-day operations.
  • Standards and quality: Commit the function to the Global Internal Audit Standards and describe quality-assurance, performance-reporting and improvement expectations.
  • Review triggers: Require the charter to be revisited when strategy, ownership, regulation, risk exposure, structure or the board’s expectations change.

Have the board approve the charter rather than treating it as an internal policy. Senior management should help shape practical access, scheduling and coordination provisions, but the board owns the mandate and the safeguards that make it credible.

Map stakeholders and other assurance providers

List the board, audit committee, senior management, regulators, external auditors, compliance, risk, security, quality, legal and other assurance providers. For each, document its role, authority, reporting route and planned coverage. This map exposes gaps and unnecessary duplication before the annual plan is locked. Coordination does not transfer internal audit’s accountability; it gives the CAE a clearer view of what has and has not been independently examined.

2. Make independence visible in the reporting design

Independence is an operating condition, not a sentence in the charter. The board establishes and protects it. The CAE should be able to set the audit agenda, perform work, communicate results and escalate restrictions without management veto.

Use a two-line reporting model deliberately

The CAE’s functional accountability should run directly to the board or audit committee. That relationship normally covers approval of the charter, risk-based strategy and plan, budget and resource needs; appointment, evaluation and removal of the CAE; private sessions; and receipt of significant findings or restrictions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

An administrative line to a chief executive, chief financial officer or another senior executive can handle practical matters such as payroll, facilities, procurement and scheduling. It must not give that executive authority to suppress scope, rewrite findings, delay reports or select engagements for personal protection.

Document and test safeguards

  • Show both reporting lines and the CAE’s direct access to the board in the charter.
  • Schedule private sessions between the CAE and the board or audit committee, without management present.
  • Require the CAE to disclose attempted restrictions on scope, access, staffing, budget, timing or communication.
  • Confirm the function’s organizational independence to the board at least annually. The IIA’s Standard 7.1 states: “The chief audit executive must confirm to the board the organizational independence of the internal audit function at least annually.”
  • Record any impairment, its effect on the engagement or plan, and the safeguard used. A safeguard may include independent review, reassignment, additional board oversight or obtaining assurance from another provider.

Control conflicts from nonaudit responsibilities

If the CAE or an auditor temporarily owns a process, designs a control, approves transactions or performs management work, that person should not provide independent assurance over the same area while the conflict exists. Assign the assurance to an independent auditor, use an appropriately independent external provider, or wait for a defined cooling-off period. Put the arrangement, risk and safeguard in writing so the board can judge whether the resulting assurance is reliable.

3. Translate organizational risk into an audit plan and capability map

Staffing follows the work that the mandate and risk profile require. The CAE first needs a defensible view of the organization’s governance, risk and control environment, then a plan that states what will be examined, when and with what level of effort.

A practical planning sequence

  1. Refresh the risk universe. Include strategic objectives, financial reporting, operations, technology, cybersecurity, privacy, third parties, projects, people, culture, legal and regulatory obligations, and emerging risks. Weight the universe using the organization’s own risk criteria rather than an imported scoring formula.
  2. Understand governance and risk ownership. Identify who sets risk appetite, who owns each risk, which committees receive information and where decisions or escalation can fail.
  3. Inventory existing assurance. Capture recent and planned work by compliance, risk, security, quality, external audit, regulators and specialist reviewers. Note the objective, period covered, methods, findings and residual gaps.
  4. Set the risk-based audit plan. Rank proposed engagements by risk, regulatory obligation, change, control maturity, past findings and stakeholder need. Reserve capacity for investigations, emerging risks, follow-up and unplanned board requests.
  5. Define the capability needed for each engagement. Specify subject knowledge, audit methodology, data-analysis ability, language, location, independence requirements and estimated effort. Separate skills needed continuously from those required only occasionally.
  6. Compare demand with supply. Match the plan against available people, productive time, competencies, technology and budget. Mark work that cannot be delivered to the expected quality or timing.
  7. Present choices to the board. For every material gap, show the affected engagement or risk, the consequence of leaving it uncovered, and a remedy such as reprioritization, hiring, training, co-sourcing or external assurance.

Coordinate without creating blind reliance

Use other assurance work to inform scope and timing, not to assume that someone else has covered a risk merely because a report exists. Assess the provider’s objective, authority, competence, methodology, evidence and reporting. Where reliance is appropriate, document its basis and retain enough work to support the internal audit conclusion.

4. Choose the delivery model that fits the plan

The Standards apply whether services are delivered by employees, an external provider or both. The CAE remains accountable for the function even when individual engagements are delegated. The IIA puts the principle plainly: “The chief audit executive may delegate appropriate responsibilities to other qualified professionals in the internal audit function but retains ultimate accountability.”

Design question Mostly in-house Co-sourced Predominantly external
Independence and accountability The CAE controls selection, supervision and communication, provided the reporting line is protected. The CAE retains scope, acceptance and escalation decisions while a provider supplies agreed capacity or expertise. The board and CAE must preserve direct access, clear deliverables and a way to challenge provider conclusions.
Coverage and capability Builds a stable core for recurring risks; gaps may remain in rare or technical disciplines. Combines a core team with targeted specialists or additional capacity for peaks. Can supply a broad range of skills quickly, but the contract must define the mandate and quality expectations precisely.
Continuity and organizational knowledge Employees usually accumulate day-to-day context and relationships. Internal staff retain institutional memory while specialists add outside perspective; handoffs need documentation. Continuity depends on provider retention, transition arrangements and the quality of information kept by the organization.
Flexibility for specialist needs Requires hiring or developing skills that may not be needed every year. Offers access to specialists when the plan calls for them without making every skill permanent. Can be suitable where an organization cannot economically maintain an internal function, subject to independence and oversight.
Resource transparency Capacity and capability shortfalls appear in the internal budget and workforce plan. Variable external spend can be tied to specific engagements, but total demand still needs a multi-year view. Fees, scope assumptions, provider availability and contract changes must be visible to the board.

Mostly in-house

This model works well when recurring coverage, close operational knowledge and development of an internal career path are priorities. It requires deliberate investment in training, technology, succession and specialist depth. A team that is nominally large but lacks the skills for its highest-risk systems is not adequately resourced.

Co-sourced

Co-sourcing keeps a core internal capability while bringing in specialists for areas such as advanced technology, complex regulation, data analytics, investigations or a temporary workload peak. Define who owns the risk assessment, workpaper standards, supervision, issue rating, report approval and follow-up. Avoid a pattern in which external personnel become the de facto CAE without board visibility.

Predominantly external

An external provider can deliver the service where internal scale, independence or specialist access is difficult to maintain. The board should still approve the mandate, evaluate the provider’s conflicts and competence, receive results directly when appropriate, and ensure the provider’s contract permits unrestricted access and escalation. Keep organizational knowledge inside the company through a complete risk universe, plan, workpapers, issue log and transition provisions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Size the team by workload and capability, not a universal ratio

There is no authoritative “auditors per employee” formula in the Standards, and no numerical staffing benchmark should be presented as universal. Sufficiency is qualitative: the function needs enough people and the right capabilities to deliver its approved mandate and plan.

Build a capacity picture

  • Estimate effort for each planned engagement, including planning, fieldwork, review, reporting, issue validation and follow-up.
  • Reserve time for risk assessment, quality assurance, training, leave, investigations, emerging risks and board requests.
  • Identify work that requires two-person review, language or location coverage, special clearance, or separation from a conflicted process owner.
  • Distinguish available calendar time from productive audit capacity; meetings, administration and required learning reduce the latter.
  • Model scenarios if the board adds a major risk, a new subsidiary, a regulatory requirement or a technology transformation.

Map competencies, not just job titles

Create a matrix that compares each engagement’s needs with named capabilities. Typical categories include accounting and reporting, operational processes, information technology, cybersecurity, privacy, data analysis, investigations, regulatory knowledge, project assurance, communication and root-cause analysis. Record proficiency, recency of experience and whether the person can work independently or needs supervision.

Use the matrix to decide whether to hire, train, rotate, borrow from another assurance function or source externally. A specialist who is needed once every three years may be better obtained through co-sourcing; a capability central to every year’s plan usually merits internal ownership.

Explain shortfalls in consequence terms

When resources are insufficient, do not report only “two vacancies” or “budget is flat.” State which engagements will be delayed, narrowed or removed; which risks will receive less assurance; what regulatory or board commitments are affected; and what remedy, cost and timing would restore coverage. The board should discuss resource sufficiency at least annually, including both the number of people and their capabilities.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

6. Organize delivery beneath the CAE

The IIA does not prescribe a universal number of layers or a mandatory internal audit org chart. Organize around the work your plan demands.

Engagement leadership and execution

Assign a leader for each engagement who owns planning, risk assessment, supervision, evidence quality, issue development and communication. Auditors execute testing, interviews, data analysis and documentation under that supervision. In a small function, one person may perform several roles; compensate with independent review and clear approval points.

Specialist capability

Create dedicated specialist roles only where the risk profile and recurring workload justify them. Otherwise maintain a capability network, training path and vetted external sources. Specialists should be integrated into planning and quality review rather than treated as an emergency help desk.

Quality and performance processes

Assign responsibility for methodology, workpaper standards, coaching, engagement supervision, issue tracking, follow-up, stakeholder feedback and improvement. This can be a separate quality lead in a complex function or a rotating duty in a small one, provided the person reviewing work is sufficiently independent from its preparation.

Examples by organizational context

  • Small organization: A CAE may lead a compact team, combine quality and engagement duties, and co-source technology or regulatory reviews. The charter, board access and independent review matter more than the number of boxes on the chart.
  • Growing group: Add coverage leads for major businesses or risk domains, maintain a central methodology and use specialists for peaks or rare skills.
  • Complex or regulated organization: Dedicated technology, data, geographic or regulatory coverage may be warranted, with portfolio leaders coordinating a multi-year plan and a formal quality function.

7. Set competency, conduct and development expectations

Recruit and develop for the work the plan actually requires. Every auditor should understand risk-based planning, evidence, interviewing, documentation, issue evaluation, report writing and professional ethics. The team may then need deeper capability in financial reporting, technology, cyber, privacy, model risk, safety, investigations, sustainability or sector regulation.

Define proficiency levels and observable evidence for each skill. Pair less experienced auditors with qualified reviewers; rotate assignments to build breadth without placing someone in a position to audit their own recent management work. Track mandatory learning, technical updates, credential requirements where applicable, and the point at which external expertise is needed.

8. Govern delegated and outsourced work

Delegation changes who performs a task, not who is accountable. The CAE should approve provider selection, scope, objectives, risk assessment, staffing, supervision, quality review and final communication. Contracts should address confidentiality, data handling, conflicts, access, retention of workpapers, use of subcontractors, incident notification, independence and termination or transition.

Require external personnel to use the function’s methodology or document approved differences. Review their evidence, conclusions and issue ratings. Give the board a clear view of which work was performed by employees, which by providers, and where limitations or conflicts affected assurance.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

9. Run a repeatable annual sufficiency review

At least once each year, combine the plan, capability map, budget and operating results into a sufficiency assessment for the board.

  1. Compare approved engagements with work completed, deferred, narrowed or cancelled.
  2. Explain changes in the risk universe and any new assurance obligations.
  3. Show vacancies, turnover, utilization, key-person dependency and critical skill gaps.
  4. Assess whether technology, data access, methodology and supervision support the expected quality.
  5. Present options: change the plan, add internal capacity, train existing staff, co-source, use another assurance provider or accept a documented residual gap.
  6. Record the board’s decision, funding, owner and review date.

This turns “resources are tight” into a governance decision with a visible risk trade-off.

10. Review the design when circumstances change

Do not wait for the annual calendar if a trigger changes the function’s suitability. Revisit the charter, reporting safeguards, risk assessment, plan and capability map after a merger, divestiture, major system implementation, cyber incident, regulatory change, rapid geographic expansion, material control failure, leadership change or significant outsourcing.

Use post-engagement feedback, recurring findings, missed deadlines, quality reviews and stakeholder concerns as design evidence. A pattern of late reports may indicate overloaded review capacity; repeated technology findings may indicate a missing specialist; unexplained scope changes may indicate weakened independence.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

11. Implementation checklist for the CAE and audit committee

  • Board approval of a current mandate and charter.
  • Explicit scope, services, authority, access, standards commitment and review triggers.
  • Functional CAE reporting to the board and a defined administrative line.
  • Private board access, annual independence confirmation and a process for reporting impairments.
  • Documented handling of nonaudit responsibilities and conflicts.
  • Risk universe, assurance-provider map and risk-based audit strategy.
  • Engagement-level estimates tied to skills, supervision and review requirements.
  • Competency matrix showing internal strengths, development needs and external requirements.
  • Delivery model decision for each material capability: in-house, co-sourced or external.
  • Board paper that quantifies the consequence of every material resource gap and proposes a remedy.
  • Quality, performance, follow-up and transition arrangements for delegated work.
  • Scheduled and trigger-based reviews of the charter, plan, capability and resource sufficiency.

12. Apply the Standards with local requirements in mind

The Global Internal Audit Standards are the authoritative professional baseline used here, but they do not replace applicable law, regulation, listing rules, funding conditions or sector-specific mandates. Some public-sector and industry requirements prescribe reporting relationships, staffing or access. Check the rules in the jurisdictions where the organization operates and document any additional obligations in the charter and plan.

The IIA describes the standards as guidance for worldwide professional practice and as a basis for evaluating and elevating internal audit quality. Use that framework to explain design choices, while tailoring the function to the organization’s size, complexity, risk appetite and operating model. Strong outcomes come from a traceable chain: board mandate, protected independence, risk-based coverage, demonstrated capability, transparent resource decisions and continuous adjustment.
