Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsShutting down a startup responsibly means treating the closure as a managed project, not a single announcement. Decide whether an orderly wind-down, sale or transfer, or bankruptcy best protects people and creditors; document that decision; reserve cash for wages, taxes, refunds, benefits, and security; then communicate in an order that gives employees and customers usable dates and remedies.
This is a U.S.-centered baseline, not legal advice. Employment, privacy, tax, consumer-protection, insolvency, sector, and entity rules vary by state and country. Have local employment, tax, privacy, and insolvency counsel review the plan before you promise severance, refunds, data deletion, or continued service.

1. Choose the closure path and put the decision in writing
Start with a written shutdown memo approved by the board, members, or other authorized owner. Record the decision date, who has authority, the accountable shutdown leaders, the company’s cash and liabilities, and the alternatives considered. The Small Business Administration advises owners to create a thorough plan to transfer ownership, sell, or close the business, file dissolution documents, cancel registrations, comply with labor laws, resolve financial obligations, and maintain records.

Do not assume that “closing” automatically means immediate termination. A short period of continued service may be needed to complete paid work, process refunds, transfer accounts, or preserve evidence. Conversely, retaining access or payment systems longer than necessary can create security and consumer risks.

| Path | Customer continuity | Cash and creditors | Speed and control | Exposure to review |
|---|---|---|---|---|
| Orderly wind-down | You control a defined service end, migration, or refund program. | Cash is used to meet payroll, taxes, contracts, refunds, and other obligations in a planned order. | Usually the most controllable option when cash remains sufficient. | Directors, officers, and owners still need advice on fiduciary duties, solvency, and statutory filings. |
| Sale or transfer | A buyer or successor may preserve service, warranties, and support. | Purchase proceeds and assumed liabilities depend on the transaction; creditors and customers need clear notice of what moves. | Requires diligence, negotiation, and time, but can reduce disruption. | Privacy notices, contracts, employee rights, and regulatory approvals may limit what can be transferred. |
| Bankruptcy or formal insolvency process | Continuity depends on the court process, financing, and an approved sale or operating plan. | Priority and payment rules are controlled by insolvency law rather than an informal payment sequence. | Can impose immediate procedural requirements and less day-to-day control. | Use insolvency counsel before moving assets, paying insiders, or preferring selected creditors. |
If the company may be insolvent, pause discretionary transfers and obtain advice before paying founders, related parties, or selected vendors. Keep a dated record of forecasts, alternatives, approvals, and conflicts of interest.
2. Build a cash-and-obligation plan before announcing anything
Create one schedule that connects the final operating date to every amount the company must pay or collect. Include bank balances, expected receivables, payroll dates, payroll taxes, expense reimbursements, accrued leave where required, severance promises, benefits premiums, rent, cloud and communications services, refunds, chargebacks, warranties, deposits, gift balances, open orders, and professional fees.
Separate money that is needed to perform an existing promise from money that is genuinely available for discretionary spending. Stop new commitments that cannot be completed. Set an approval threshold for any payment and have two people review changes to banking, payroll, billing, and customer-data systems.

Export the current customer, employee, contract, subscription, invoice, refund, and asset lists. Preserve a read-only copy and record who produced it and when.
- Forecast through the last obligation. Model payroll, taxes, refunds, benefits notices, data retention, and record-storage costs beyond the last day of service.
- Assign an owner to every liability. A named person should know the amount, due date, contract, evidence, and payment status for each item.
- Reserve for disputes. Keep a contingency for chargebacks, wage claims, warranty work, tax adjustments, and data incidents rather than distributing the apparent remainder.
- Set stop dates. Specify when sales end, recurring billing stops, new onboarding closes, support changes, and administrative systems are decommissioned.
Never publish a permanent shutdown while continuing to accept money without a documented fulfillment, transfer, or refund route. That creates avoidable consumer and payment disputes.
3. Map employees and contractors before the first announcement
Build a location-by-location workforce register. For each employee and contractor, record work location, legal employer, start date and tenure, job and manager, pay rate and payroll date, accrued leave, benefits, expense claims, equity or bonus terms, immigration constraints, collective-bargaining coverage, equipment, confidential-data access, and personal contact details for notices. Confirm which people are employees under the applicable law; labels in a contract do not always control classification.
Review employment agreements, incentive plans, confidentiality and invention-assignment terms, remote-work arrangements, and any collective-bargaining agreement. Check whether a sale, transfer, or asset assignment changes obligations. Keep an access plan that preserves evidence while removing unnecessary privileges.

When the federal WARN Act may apply
The federal Worker Adjustment and Retraining Notification Act generally covers employers with 100 or more employees and requires 60 calendar days of written notice for a covered plant closing or mass layoff affecting 50 or more employees at a single site. Notice goes to affected employees or their representatives, the local chief elected official, and the state dislocated-worker unit. The U.S. Department of Labor describes WARN as protecting workers, their families, and communities by giving people time to seek another job or enter training.

Part-time status, transfers, temporary projects, and unusual circumstances can affect the analysis. State “mini-WARN” laws may cover smaller employers, require more notice, or impose additional filings. Have counsel calculate the threshold for each site and state before selecting a last day.
| Approach | Compliance considerations | Operating cost | Knowledge and customer impact | Security considerations |
|---|---|---|---|---|
| Immediate termination | May fail federal or state notice rules unless a valid exception applies; obtain a written legal analysis. | Lower payroll duration, but reserve for final wages, benefits, and possible notice damages. | Loss of product and support knowledge can delay refunds, migrations, and records requests. | Access can be removed quickly, but preserve lawful evidence and a respectful offboarding process. |
| Notice-period continuation | Can support a required notice period and orderly handoff; issue compliant written notices. | Higher payroll and benefits cost through the final date. | Allows documentation, customer communication, and transfer of open work. | Use least-privilege access, monitoring, and clear rules for company devices and data. |
4. Pay people accurately and provide a practical offboarding channel
Reserve cash for final wages and other compensation, expense reimbursements, and any accrued amounts required by contract or state law. The Internal Revenue Service requires final wages or compensation and final federal tax deposits; payroll staff should also prepare the final federal, state, and local filings and reconcile wage records.
The Fair Labor Standards Act itself does not require severance pay. The Department of Labor states: “There is no requirement in the Fair Labor Standards Act (FLSA) for severance pay.” Severance can nevertheless be required by an employment agreement, severance plan, collective-bargaining agreement, or state law, and a written promise can create an enforceable obligation. Do not announce a severance amount until counsel and the cash forecast confirm the company can pay it.
A WARN violation can expose an employer to back pay and benefits for up to 60 days. That potential liability belongs in the cash model even when management believes an exception applies.

- Provide employment confirmations and references where possible. Share public retraining, workforce-agency, and outplacement information without implying that the company guarantees a new job.
- Explain what happens to laptops, keys, phones, tokens, source code, and paper files. Use a receipt and chain-of-custody log for returned property.
- Keep a monitored payroll-and-benefits inbox or phone line through the period in which errors and notices can reasonably arise.
- Protect immigration files, medical information, accommodation records, and other sensitive personnel data with restricted access and appropriate retention.
5. Give customers a clear run-out plan
Set a specific cutoff for new sales, new subscriptions, renewals, and recurring charges. Before that date, inventory every prepaid subscription, deposit, warranty, open order, service-level commitment, gift balance, support case, and customer credit. For each account, decide whether the promise will be completed, transferred with consent, refunded, or ended under the contract and applicable law.

Subscriptions, billing, and refunds
- Disable automatic renewal and future invoice creation at the announced cutoff.
- Reconcile the billing platform against the bank, payment processor, ledger, and customer contract so no account is missed.
- Calculate unused prepaid time, deposits, taxes, and eligible credits using the contract and applicable consumer rules.
- Send refunds through the original payment method when possible, document exceptions, and retain confirmation numbers.
- Keep a support queue for failed refunds, duplicate charges, disputed transactions, and accessibility requests.
Federal Trade Commission consumer guidance says businesses must make cancellation simple. Continuing to charge after a valid cancellation or refusing to refund an unauthorized charge can lead a consumer to seek a card chargeback. Keep billing, cancellation, refund, and chargeback records long enough to meet legal, processor, tax, and dispute requirements.
What the customer notice should contain
- The decision and the effective date, stated plainly without blaming customers or employees.
- The last date for service, downloads, support, returns, warranty claims, or data export.
- What happens to prepaid amounts, deposits, open orders, credits, and gift balances.
- Instructions for cancellation, refund requests, account export, and accessibility help.
- Whether a named successor will provide service and what customer consent or new terms are required.
- A monitored email address or phone number and the date that channel will close.
Tell customers what is known and what is still being verified. Do not promise a refund, migration, or continued support that the company cannot fund.
6. Secure, minimize, and dispose of data deliberately
Make a data map before shutting systems down. List production databases, analytics, employee and customer files, payment tokens, backups, logs, source repositories, SaaS vendors, credentials, encryption keys, paper records, and regulated information. Identify the owner, location, purpose, retention duty, deletion method, and any transfer restriction for each category.
The Federal Trade Commission’s security guidance is direct: “If you collect and retain data, you must protect it.” Its approach is to take stock, scale down, keep data only as long as needed, and securely dispose of it when the business need ends.
| Disposition | Use it when | Controls required |
|---|---|---|
| Retain | A tax, employment, litigation, contract, safety, or other legal or operational need requires it. | Document the reason and end date, restrict access, encrypt where appropriate, test restoration, and review the retention register. |
| Transfer | A buyer, successor, processor, or customer is entitled to receive the information. | Check privacy notices, contracts, consent, sector rules, security standards, and cross-border restrictions; transfer only the minimum necessary. |
| Delete or destroy | The purpose and legal need have ended. | Use verifiable deletion or physical destruction across live systems, replicas, removable media, and vendor copies; retain a destruction record without retaining the underlying personal data. |
Covered financial institutions under the FTC Safeguards Rule must securely dispose of customer information no later than two years after its most recent use unless a legitimate business need or legal requirement requires longer retention. Other data can have different deadlines, so apply the rule to the relevant record rather than using two years as a universal deletion date.
- Reduce administrator accounts to the wind-down team and review vendor access.
- Rotate passwords, API keys, certificates, signing keys, and recovery codes after staff and vendors leave.
- Preserve legal holds, tax records, payroll records, and audit logs before decommissioning systems.
- Export customer data in the format promised by the contract, then verify delivery and access expiration.
- Obtain deletion confirmations from cloud, payment, analytics, and support vendors where their contracts require them.
- Monitor for suspicious access until credentials, domains, payment channels, and integrations are finally disabled.
7. Close contracts, vendors, assets, and intellectual property
Review every lease, loan, hosting agreement, software subscription, insurance policy, processor agreement, reseller arrangement, warranty, and service-level commitment. Follow notice, termination, assignment, data-return, and destruction clauses. Ask vendors for final invoices and written confirmation of account closure; do not simply stop paying a disputed or cancellable contract without documenting the basis.

Reconcile receivables and payables, notify creditors where required, collect legitimate amounts, and preserve evidence for disputed invoices. Secure domains, trademarks, source code, product designs, customer documentation, and certificates. If assets or intellectual property are sold or transferred, document title, licenses, privacy limits, employee-created rights, and the destination of customer support records.
8. Complete entity, tax, and recordkeeping tasks
Use a jurisdiction-specific closing checklist rather than assuming that filing a tax return ends the company. Typical tasks include:
- Approve the dissolution or insolvency action under the governing documents and record the resolution.
- File state dissolution, cancellation, or withdrawal documents for every jurisdiction in which the entity registered or did business.
- Cancel business licenses, permits, assumed names, sales-tax accounts, and other registrations.
- Terminate or assign leases and vendor contracts, settle employee and customer obligations, and document creditor notices.
- Prepare final payroll, information returns, sales-tax filings, and federal and state income-tax returns, marking them final where the form requires it.
- Make final federal tax deposits and reconcile payroll accounts.
- Follow Internal Revenue Service instructions for closing the business account and notifying the agency about the EIN; an EIN is not simply erased by closing a bank account.
- Store formation documents, board and member approvals, contracts, payroll and tax records, refund evidence, security logs, legal holds, and destruction certificates for the periods required by the applicable law or contract.
The SBA warns that failing to legally dissolve an LLC or corporation can leave continuing tax and filing requirements. Obtain confirmation from each state and tax agency rather than treating a public announcement or bank closure as legal dissolution.
9. Communicate in a humane, controlled order
When practicable, tell employees first, then customers, partners, vendors, and the public. Prepare a manager briefing and written notice so people receive the same dates and mechanics. An announcement should explain the reason at an honest level without disclosing confidential details, the last operating date, pay and benefit mechanics, customer remedies, data handling, the final support date, and one monitored contact.
Give managers a script for questions they can answer and a list of issues that must go to payroll, legal, privacy, or the shutdown lead. Do not speculate about future buyers, severance, refunds, or data deletion. Correct errors quickly and preserve the original notice and later updates for the record.

10. A practical shutdown sequence
- Decision day: approve the path, appoint accountable leaders, start the cash forecast, preserve records, and impose controls on new commitments.
- Legal and workforce review: map employees by location, test federal and state notice rules, review contracts and benefits, and prepare written notices.
- Customer preparation: set the sales and billing cutoff, inventory obligations, design refund and export workflows, and staff the support channel.
- Notice and controlled operation: deliver required employee notices, communicate with customers and partners, continue only the work that the forecast can fund, and monitor access.
- Final service date: stop new charges, complete or transfer open work, issue refunds, collect company property, make final payroll and deposits, and disable unnecessary systems.
- Post-service closure: finish tax and dissolution filings, settle remaining creditors, answer payroll and privacy requests, verify vendor deletion or transfer, and retain the closing record.
11. Common failure modes and how to correct them
Announcing before checking notice laws
Risk: A public statement fixes a last day that conflicts with federal or state notice requirements. Correction: have counsel calculate coverage for each site and workforce before the announcement; if a notice period is required, fund and manage it.
Best Value
Spending the remaining cash on growth or insiders
Risk: Payroll, taxes, refunds, and creditor obligations become unpayable. Correction: use the liability schedule, dual approvals, and a documented solvency analysis; obtain insolvency advice before unusual payments or asset transfers.
Leaving subscriptions running
Risk: Customers are charged after cancellation and initiate disputes or chargebacks. Correction: disable renewals at the defined cutoff, reconcile processor reports, and keep proof of every refund or cancellation.
Deleting data immediately
Risk: The company loses tax, employment, contract, or litigation records and may violate a privacy promise or legal hold. Correction: classify each data set as retain, transfer, or destroy, document the reason, and delete only through a verified process.
Cutting every support channel at once
Risk: Employees cannot correct pay errors and customers cannot obtain refunds, exports, or warranty help. Correction: keep a named owner and monitored channel through the final obligation date, with access limited to the wind-down team.
Treating dissolution as a single filing
Risk: State registrations, tax accounts, permits, contracts, and reporting obligations continue. Correction: obtain written confirmation for each entity and jurisdiction, complete final returns and deposits, and maintain the required records.
