How to Set Up a Foreign-Owned Company in Karnataka Outside Bengaluru

Yes, a foreign company can establish an Indian subsidiary, branch, liaison office or qualifying project office in Karnataka outside Bengaluru. The practical sequence is to define the activity and ownership, confirm the sector’s foreign-direct-investment (FDI) route, select the right Indian structure, complete incorporation or Reserve Bank of India (RBI) registration, and then obtain Karnataka and local approvals for the exact site. A wholly owned Indian subsidiary is usually the most flexible option where the sector permits 100% foreign ownership, while a branch, liaison office or project office remains an extension of the foreign company with narrower permitted activities.

There is no single statewide cost or completion time. The variables include sector, capital structure, foreign-document legalisation, land or lease arrangements, building and environmental permissions, staffing, and the district and taluk in which the operation will be located.

1. Decide what you are establishing

Start with the operation, not the paperwork. Write down the proposed products or services, the relevant NIC activity, expected investment, employee count, whether the site will be an office, factory, research centre or global capability centre (GCC), and the intended Karnataka district and taluk.

Match the structure to the activity

Structure What it is Typical use Main constraints
Indian subsidiary A separate Indian company incorporated under the Companies Act; it can be wholly owned where the sector and FDI conditions allow. Manufacturing, services, software, R&D, sales, shared services and other continuing operations. Must comply with sectoral FDI caps and conditions, Indian company law, tax, accounting and operating licences.
Branch office A place of business of the foreign company in India. Specified commercial activities such as representing the parent, importing or exporting, professional or consultancy work, and other activities allowed under the approval. It is not a separate Indian legal person; permitted activities, remittance and tax treatment are narrower than for a subsidiary.
Liaison office A representative office of the foreign company. Market research, communication between the parent and Indian parties, and promotion of the parent’s interests. It generally cannot earn Indian revenue or conduct commercial activity.
Project office A temporary Indian place of business connected to a specific project contract. Executing an Indian project for which the foreign company has an awarded contract. RBI general permission depends on the qualifying contract, funding and other stated conditions. If those conditions are not met, prior RBI permission is required.

A subsidiary normally gives the broadest operating flexibility and a clean Indian liability boundary. A place of business can be appropriate when the parent needs a limited presence or a project-specific vehicle, but its activities and ability to remit funds are tied to the applicable RBI and foreign-exchange rules.

2. Check FDI eligibility before incorporating

India permits foreign investment up to 100% under the automatic route in all activities and sectors except specified exceptions. That headline does not override sector-specific caps, entry conditions, prohibited activities, pricing rules or ownership restrictions. Confirm the exact activity against the current FDI policy before money is transferred or constitutional documents are finalised.

Automatic route versus government route

  • Automatic route: prior government approval is generally not required, but the Indian entity must follow the Foreign Exchange Management Act (FEMA), RBI reporting, pricing and sector conditions.
  • Government route: submit the proposal through the Foreign Investment Facilitation Portal (FIFP), the Government of India’s digital single-point interface for FDI proposals. The portal states that submission carries no fee.
  • Prohibited or restricted activities: some activities cannot receive foreign investment, while others require a cap, minimum capitalisation, downstream-investment conditions, security clearance or other safeguards.

Keep a written eligibility record identifying the activity code, permitted foreign ownership, route, instruments, pricing rule and any approval condition. This record becomes the control document for incorporation, banking and later filings.

3. Choose ownership, capital and governance

Wholly owned subsidiary

Where the sector permits it, the foreign parent can subscribe to all shares of an Indian private company. You still need the statutory minimum number of directors and a registered office, and at least one director must satisfy the Indian residency requirement under company law. Select directors, authorised signatories and the shareholding pattern before preparing the incorporation forms.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Joint venture or other Indian company

A joint venture may be preferable when a local partner contributes licences, distribution, land or sector expertise. Its foreign ownership, reserved matters, transfer rights and downstream investment must remain consistent with the applicable FDI conditions and the shareholders’ agreement.

Capital instruments and funding

Plan whether the investment will be equity shares or another permitted capital instrument. Inward remittance should come through an authorised channel, with bank evidence retained. The issue price must follow the applicable FEMA pricing rules, and the company should not treat an informal shareholder loan or an unrecorded transfer as a substitute for compliant capital.

4. Incorporate an Indian subsidiary through SPICe

The Ministry of Corporate Affairs’ integrated process uses SPICe (INC-32), with electronic memorandum and articles forms eMoA (INC-33) and eAoA (INC-34). The filing can combine name reservation, director identification numbers (DIN), incorporation, Permanent Account Number (PAN) and Tax Deduction and Collection Account Number (TAN), subject to the current form and eligibility rules.

Prepare the incorporation pack

  • Proposed company names and the principal business activity.
  • Constitutional documents and incorporation details for the foreign shareholder.
  • Identity and address proof for foreign subscribers and directors.
  • Proof of the Indian registered office or the documents required to establish it.
  • Director consent, declarations and digital signatures.
  • Shareholding, paid-up capital and authorised-capital details.

Foreign corporate documents and identity or address proofs may need notarisation, apostille or consular legalisation, depending on the issuing jurisdiction. Requirements can change, so confirm the current MCA document treatment before submission rather than relying on an older checklist.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

After the certificate of incorporation

Open the company’s Indian bank account, establish accounting and statutory-record systems, appoint auditors where required, and document the board approvals for receiving foreign capital. Incorporation does not itself authorise a factory, warehouse, construction project, employment model or regulated service; those permissions come from the relevant authorities.

5. Bring in foreign capital and complete FEMA reporting

  1. Receive the subscription money through an authorised dealer bank and retain the remittance advice, foreign-inward-remittance certificate and beneficial-owner records.
  2. Issue the shares or other permitted instruments within the applicable FEMA timeline and at a compliant price.
  3. Notify the RBI regional office within 30 days of inward remittance, as stated in the Ministry of External Affairs’ investor FAQ.
  4. File the share-issue reporting, including Form FC-GPR where applicable, within 30 days of issuing the shares, together with the required valuation and company documents.
  5. Record the investment in the company’s statutory registers and reconcile the RBI filing, bank credit and accounting entries.

The exact form depends on the instrument, investor and transaction. Obtain a transaction-specific FEMA review when there are multiple subscribers, non-cash consideration, deferred payment, downstream investment or a transfer between residents and non-residents.

6. Register for tax and operating compliance

PAN and TAN can generally be obtained through the integrated incorporation filing. Before operations begin, determine which of the following apply:

  • Goods and Services Tax registration and invoicing rules.
  • Corporate income-tax, transfer-pricing and withholding obligations.
  • Payroll, provident-fund, employee-state-insurance and professional-tax registrations.
  • Shops-and-establishments or commercial-establishment registration for an office.
  • Factory registration, building approval, plan sanction and occupancy permissions for manufacturing.
  • Pollution-control consent, environmental clearance, hazardous-material permissions and waste-management authorisations.
  • Fire-safety approval, electricity connection, water or groundwater permissions and boiler or lift licences where relevant.
  • Sector licences for activities such as food, medical devices, financial services, telecom, logistics or education.

The final permit matrix is premises-specific. A leased office in an existing technology park may need a very different set of approvals from a greenfield plant on converted land.

7. Select a district and taluk outside Bengaluru

Karnataka’s industrial policy divides the state into three zones. The zone attached to the exact project location determines the incentives, rebates and concessions for which the enterprise may qualify. Do not estimate benefits from the district name alone: confirm the industrial area, survey number, district and taluk.

Use the official incentive calculator correctly

  1. Enter the project type, such as manufacturing, services, R&D or GCC.
  2. Select the applicable policy and enterprise category.
  3. Choose the incentive category and the proposed district and taluk.
  4. Compare the resulting eligibility with the operative guideline, not just the calculator output.
  5. Save the calculation and the policy version used for the investment decision.

Eligibility can also depend on investment size, employment, activity, commissioning date and whether the activity appears on an ineligible list. Preserve approvals, invoices, payroll records and commissioning evidence because incentive claims commonly require documentary proof.

Floor-area-ratio benefit outside Bengaluru

The Karnataka Industrial Policy 2025–30 addendum dated 1 March 2025 states: “Double the Floor Area Ratio (FAR) will be provided to industries set up outside Bengaluru.” FAR is a planning and development entitlement, not an automatic cash payment. The usable floor area remains subject to zoning, land-use permissions, road width, fire access, building bylaws, environmental conditions and local approval.

Why companies look beyond the capital

The state’s 2025–30 industrial-policy gazette says Karnataka is home to almost 40% of India’s Global Capability Centres. It also cites more than $4 billion in venture-capital investment in 2023 in the policy’s startup-ecosystem context. That figure is not a Karnataka-only FDI total and should not be used as a forecast for an individual project.

8. Use Karnataka’s single-window process

Karnataka Udyog Mitra and the state Single Window System provide a central route for in-principle approvals, infrastructure requests, incentives and concessions, followed by downstream clearances. A combined application and its supporting documents require a digital signature.

Prepare before opening the application

  • Certificate of incorporation or foreign-company registration documents.
  • Authorised signatory details and a valid digital signature.
  • Project report covering investment, employment, utilities, production or service activity and implementation schedule.
  • Exact land, lease or industrial-estate details, including district and taluk.
  • Site plan, building information and utility requirements.
  • Environmental, fire, factory and sector-specific technical documents.
  • Bank, tax and ownership information for incentive and compliance records.

Use the single-window submission for coordination, but track each department’s approval, condition, validity period and renewal date separately. A central portal does not eliminate a department’s technical inspection or a local body’s statutory permission.

9. Compare the routes before committing

Decision factor Indian subsidiary Branch or liaison office Project office
Legal status Separate Indian company. Extension of the foreign company. Extension of the foreign company for a defined project.
Permitted activity Broad, subject to sector and licence rules. Only activities permitted for the approved office. Activities connected to the qualifying project contract.
Foreign ownership Can be wholly owned where the sector permits 100% FDI. Not an equity investment in an Indian subsidiary. Not an equity investment in an Indian subsidiary.
Approval path FDI automatic or government route, followed by incorporation and reporting. RBI registration or approval under the foreign-company office rules. RBI general permission only when the stated contract, funding and other conditions are met; otherwise prior permission.
Liability Generally ring-fenced in the Indian company, subject to guarantees and law. Parent remains responsible for the office. Parent remains responsible for project-office obligations.
Repatriation Through dividends, permitted payments or exits after tax and regulatory compliance. Remittance is tied to permitted office expenses and applicable rules. Remittance is tied to project receipts, expenses and applicable rules.
Incentives May qualify if the activity, enterprise, location and timing meet Karnataka policy conditions. Eligibility is narrower and must be checked against each incentive guideline. Must be checked against the project and incentive rules; do not assume subsidiary benefits.
Exit flexibility Can continue, transfer shares, merge or wind down under Indian law. Close the office and settle liabilities under the applicable RBI and tax process. Normally winds down when the qualifying project and obligations end.

10. Common failure points and fixes

Assuming 100% automatic FDI applies to every activity

Symptom: the proposed business is incorporated before checking a cap or approval condition. Fix: classify the activity first and retain the policy analysis in the board file.

Using a project office for ordinary commercial expansion

Symptom: the parent wants a permanent sales or delivery centre but has no qualifying Indian project contract. Fix: test the contract, funding and approval conditions; use a subsidiary or another permitted structure when the project-office conditions are not met.

Sending money before the bank and reporting workflow is ready

Symptom: remittance arrives but share issuance, valuation or FC-GPR evidence is incomplete. Fix: coordinate the authorised dealer bank, company secretary, valuation professional and tax adviser before the first transfer.

Choosing a site from an incentive map alone

Symptom: the selected parcel cannot obtain building, road-access, environmental or utility approvals. Fix: complete a site due-diligence checklist and verify the exact taluk before signing an irreversible land commitment.

Treating the single window as one blanket licence

Symptom: the portal application is approved but a fire, pollution, factory or local-body clearance is missing. Fix: maintain a department-by-department permit register with conditions and expiry dates.

Claiming an incentive without evidence

Symptom: the project meets a headline threshold but cannot prove eligible investment, jobs or commissioning. Fix: preserve invoices, payroll, attendance, statutory filings, commissioning certificates and photographs from the start.

11. A practical launch checklist

  1. Define the activity, NIC classification, ownership, capital, workforce and operating model.
  2. Check prohibited activities, sectoral caps, automatic or government route, pricing and downstream-investment rules.
  3. Select subsidiary, branch, liaison office or project office and document why it fits.
  4. Prepare apostilled, notarised or legalised foreign documents as required for the investor’s jurisdiction.
  5. Incorporate through the current MCA SPICe process, or complete the applicable foreign-company office registration.
  6. Open the bank account, receive funds through an authorised channel, issue instruments and complete RBI/FEMA reporting.
  7. Obtain PAN, TAN, GST and payroll registrations as applicable.
  8. Shortlist districts and taluks, verify zoning and utilities, and run the incentive calculator.
  9. File through Karnataka Udyog Mitra or the Single Window System with a digital signature.
  10. Secure building, fire, factory, pollution, environmental, electricity, labour and sector licences before the relevant activity starts.
  11. Set a compliance calendar for annual filings, tax returns, transfer pricing, RBI reporting, licence renewals and incentive claims.

12. What to budget and how long it takes

Official sources do not publish one universal setup cost or completion time for every foreign-owned company in Karnataka. A low-complexity office subsidiary and a greenfield factory have completely different professional fees, government charges, land costs, utility deposits, construction periods and approval sequences. Prepare a project-specific estimate only after the entity, sector, foreign-document requirements, capital, site and permit list are fixed.

For planning, separate the budget into incorporation and professional fees; foreign-document legalisation; share capital and banking; tax and payroll systems; lease or land; design and construction; utilities; environmental and safety compliance; employee mobilisation; and contingency for approval conditions. Build the schedule around dependencies: entity and bank first, capital and reporting next, then site and construction permissions, followed by commissioning and incentive claims.

Conclusion

The safest route for most permanent foreign operations outside Bengaluru is a properly capitalised Indian subsidiary, often wholly owned where the sector allows, followed by FEMA reporting and a site-specific Karnataka approval plan. A branch, liaison office or project office can be faster or more suitable for a limited mandate, but each has narrower legal and commercial boundaries. Confirm the FDI route before incorporation, identify the exact district and taluk before relying on incentives, and treat the promised double FAR outside Bengaluru as a planning entitlement subject to local rules rather than as a cash subsidy.

Frequently Asked Questions

Can a foreign company own 100% of an Indian company in Karnataka?

Yes, up to 100% foreign ownership is permitted under the automatic route in many activities, but sectoral caps, prohibited activities and specific conditions still apply. Verify the exact activity before investing.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Does a company outside Bengaluru automatically receive double FAR?

The Karnataka Industrial Policy 2025–30 addendum states that double FAR will be provided to industries set up outside Bengaluru. The entitlement remains subject to zoning, building bylaws, fire access and other local approvals; it is not an automatic cash grant.

Is prior government approval required for every foreign investment?

No. Automatic-route investments generally do not require prior approval, although FEMA, RBI reporting and sector conditions still apply. Government-route proposals are submitted through the Foreign Investment Facilitation Portal.

When must foreign investment be reported?

The Ministry of External Affairs’ investor FAQ states that the RBI regional office is notified within 30 days of inward remittance and that share-issue documents, including FC-GPR where applicable, are filed within 30 days of issue. The correct form and deadline can vary by transaction, so confirm the current rule.

Can a project office be used for a normal long-term business?

A project office is tied to a qualifying Indian contract and the RBI conditions for that route. If those conditions are not met, prior RBI permission is required or another structure, such as a subsidiary, should be considered.
