Read the entire notice and its attachments immediately, then use the deadline printed on that notice as your controlling date. A statutory notice of deficiency (often called a 90-day letter) proposes a tax adjustment; it is not, by itself, an assessment or an audit bill. You can respond to the IRS about the proposed changes, but an IRS response is not a Tax Court petition.
If you disagree and want judicial review, you must file a separate petition with the U.S. Tax Court by the notice’s deadline—generally 90 days from the notice date, or 150 days when the notice is addressed to someone outside the United States. Sending documents to the IRS, calling the agency, or continuing discussions does not extend that court deadline.

What an IRS notice of deficiency means
A notice of deficiency is the IRS’s formal explanation of a proposed change to your tax. For example, the IRS says a CP3219A notice generally follows a discrepancy between information on your return and information reported by employers, financial institutions or other third parties. The notice explains the proposed adjustment, the resulting tax calculation and how to respond. The IRS describes CP3219A as a proposed change—not itself a bill or an audit.

The label matters. A CP3219A and a CP3219N do not use the same process: the IRS describes CP3219N as a notice concerning a return it says it did not receive. Do not assume that instructions for one notice apply to another. Start with the notice number, title and instructions on the document you actually received. See the IRS explanations for CP3219A and CP3219N.
Do these checks before sending anything
- Identify the notice. Record the notice number, date and tax year. Confirm whether it is addressed to you in the United States or to an address outside the United States.
- Read every page and attachment. Mark each proposed adjustment, the IRS’s explanation, the calculation, the response form, mailing or upload directions, telephone numbers and the deadline.
- Calendar the printed date. The date printed as the petition deadline controls your Tax Court timing. Do not substitute a date you calculate from the day you opened the envelope.
- Make a complete copy. Keep the notice, all attachments, your tax return and schedules, source documents, correspondence and proof of delivery. Scan the packet before mailing it.
- Separate the two decisions. Decide both how you will answer the IRS about the proposed numbers and whether you need to file a petition with the Tax Court. They are different actions with different destinations.
Also check whether the notice identifies several tax years or several adjustments. Create a simple list showing the IRS’s proposed amount, the document or line involved, your position and the evidence you have. This prevents one disputed item from being overlooked while you work on another.
The IRS’s CP3219A guidance describes the notice and its response route; the practical recordkeeping steps above help preserve evidence of what you received and sent.

Your next step depends on whether the proposed changes are correct and whether you want a court to review a disagreement.
| Action | Where it goes | Purpose | Timing and legal effect |
|---|---|---|---|
| Accept the proposed changes | IRS, using the method in the notice | Tell the IRS you agree and follow its payment or processing instructions | Use the notice’s response date; this does not create a Tax Court case |
| Dispute the calculation administratively | IRS, at the address or through the channel printed in the notice | Provide a signed explanation and supporting information for the IRS to consider | Send promptly; an IRS submission does not extend the Tax Court petition period |
| Seek judicial review | U.S. Tax Court | Ask the court to review the deficiency | File a separate petition by the deadline printed on the notice |
You can use more than one path. For example, you may send a detailed response to the IRS while also filing a Tax Court petition to protect your right to judicial review. Filing the administrative response alone does not preserve that right.
If you agree with the proposed tax change
Follow the notice, not a generic form letter
Use the response method and address specified on your notice. For CP3219A or Letter 3219 matters, the IRS and Taxpayer Advocate Service identify Form 5564, Notice of Deficiency—Waiver, as the agreement response. Read the form and the notice together: the notice controls where and how to return it, and it may provide payment directions.
The Taxpayer Advocate Service explains the agreement process and Form 5564 on its 90 Day Notice of Deficiency page. Complete every requested field, sign where required and retain a copy of the signed form and delivery evidence.

Before signing, compare the proposed figures with your records and make sure you understand which tax year and adjustments the waiver covers. If you agree with only some items, do not sign a document that states you agree with everything without first obtaining advice; identify the items you dispute and use the response procedure the notice provides.
Check the payment consequences
Confirm the notice’s payment instructions and understand that the timing of payment can affect the interest and penalties that ultimately apply. The notice may explain available payment methods or later billing steps. Do not send payment to the Tax Court; an agreement response and a payment are handled through the IRS instructions.
If you disagree with the IRS calculation
Build a point-by-point explanation
Respond as soon as possible through the channel named in the notice. Prepare a signed statement that identifies the tax year and each adjustment you dispute. For every point, explain the correct treatment and attach the records that support it—such as corrected income documents, receipts, basis records, amended schedules, employment records or account statements. Organize attachments in the same order as the IRS’s explanation and label the tax year and your identifying information on each page.
A useful explanation distinguishes facts from conclusions: state what was reported, what the IRS says is different, what actually occurred and which attached record proves it. If a number on the notice appears to be a transcription or calculation error, show the arithmetic and identify the relevant return line or third-party document. Keep a copy of the exact statement you sign.
IRS guidance says to provide a signed statement and relevant information. In its CP3219A video guidance, the IRS also advises sending photocopies rather than originals and including identifying information on each page. Keep originals in your files. The script states: “Sending us additional information won’t extend the deadline to file a petition with the Tax Court.” Read the full IRS CP3219A video script for that instruction.
Correct a wrong third-party information document
If the proposed adjustment relies on an incorrect Form W-2, Form 1099 or another third-party information document, ask the issuer for a corrected document or written statement. Tell the IRS about the error while you wait and include whatever proof you already have. Do not delay the separate Tax Court decision while waiting for an issuer to respond.
Keep copies of your request to the employer, bank or other issuer and of any reply. If the issuer will not correct the document, explain that fact and submit the records that show the correct amount. The notice’s instructions determine where that explanation belongs.

Use the exact submission route
A notice may specify a postal address, an online upload process or another contact method. Use only the route and identification instructions printed on your notice. If you mail documents, use a service that gives you delivery evidence and retain the receipt. If you upload, save the confirmation page or reference number and a copy of every file.

Do not send a mixed packet to multiple IRS addresses unless the notice directs you to do so. Put your name, tax year, notice number and other identifying information requested by the IRS on each page. Separate the signed statement from supporting exhibits with clear labels so an IRS reviewer can match each exhibit to an adjustment.
When and how to petition the U.S. Tax Court
The deadline is usually 90 or 150 days
The IRS states that a petition generally must be filed within 90 days after the notice date. The period is generally 150 days when the notice is addressed to a person outside the United States. These are general periods; the date printed on your individual notice is the date to follow. The IRS explains the right to challenge an IRS position in its Taxpayers have the right to challenge the IRS’s position on their taxes page.
Use the printed deadline even if the envelope arrived late, you were traveling, or you first contacted the IRS on another date. Those circumstances may matter to a professional evaluating your options, but they do not authorize you to replace the notice’s date with your own calculation.
Read the notice’s petition instructions carefully, including the filing address or electronic filing directions that apply to your case. The Taxpayer Advocate Service points readers to current Tax Court forms and a petition kit from its 90 Day Notice of Deficiency resource. Verify the current filing fee and any waiver procedure directly through the Tax Court before filing.

Sending an IRS response is not filing a petition
A signed explanation mailed to the IRS, a Form 5564, an upload, a phone call or an IRS employee’s review does not open a Tax Court case. The petition must reach the U.S. Tax Court by the printed deadline. The IRS’s statement is explicit: “Sending us additional information won’t extend the deadline to file a petition with the Tax Court.” The IRS also discusses finality and the court deadline in its Taxpayer Bill of Rights 6: The Right to Finality.
Decide whether to do both
You may send a substantive response to the IRS and also petition the Tax Court if you want to preserve judicial review while the administrative discussion continues. Treat them as separate workstreams: send the IRS response using the notice’s instructions, and file the court petition independently by the deadline. Do not wait for an IRS reply before filing if the court deadline is approaching.

Keep separate proof for each action. A postal receipt or IRS upload confirmation proves an IRS submission, while the Tax Court’s filing confirmation proves a petition was filed. Neither confirmation substitutes for the other.
What happens if the proposed amount is not resolved
If you do not resolve the proposed changes and do not file a timely petition, the IRS says it will assess the proposed amount and send a bill, with applicable penalties and interest. The IRS describes the assessment period and related rules on its Time IRS can assess tax page. A later bill is not a substitute for responding to the notice or petitioning on time.

If the deadline is close—or appears to have passed
Do not rely on an extension assumption
Do not assume that requesting more time, uploading additional records, speaking with the IRS or waiting for a corrected information document pauses the petition period. The IRS guidance says those exchanges do not extend the Tax Court deadline. Use the date printed on the notice and act immediately.
Get fact-specific help quickly
For a deadline that is near or has passed, contact the IRS using the notice’s contact information and promptly consult a qualified tax controversy attorney or enrolled agent about your facts. The Taxpayer Advocate Service identifies Low Income Taxpayer Clinics as a possible resource for eligible taxpayers; eligibility and local availability vary. Its notice resource links to assistance information.
General procedural guidance cannot determine whether a particular late-filing remedy, deadline calculation or legal strategy applies. A professional needs to review the notice, its date, your location and the underlying tax facts.
A practical document and deadline checklist
- Original notice, every page and every attachment
- Notice number, tax year and date entered into two calendar reminders
- Copy of the filed return and all schedules for the affected year
- Signed statement addressing each disputed adjustment, if you disagree
- Photocopies of supporting records, never irreplaceable originals
- Corrected third-party documents or correspondence requesting them
- Copy of Form 5564, if you agree and the notice directs you to use it
- Proof of mailing, delivery or online-upload confirmation
- Separate confirmation that any Tax Court petition was filed by the printed deadline
Common mistakes to avoid
- Treating a CP3219A as a bill: It is a proposed change; read the calculation and response instructions first.
- Using CP3219N instructions for CP3219A: Notice codes describe different circumstances and procedures.
- Mailing the petition to the IRS: A court challenge belongs with the U.S. Tax Court.
- Assuming an IRS response protects your court rights: It does not extend or replace the petition.
- Sending original evidence: Send photocopies and keep the originals.
- Waiting for a phone answer: A conversation does not change the printed deadline.
- Using a self-calculated date: Follow the deadline printed on the notice, including the notice’s instructions for a person outside the United States.
- Leaving pages unidentified: Put the identifying information requested by the IRS on every page so documents can be associated with your case.
- Sending an incomplete response: Address every proposed adjustment and include the signature and exhibits the notice requests.
Where to verify instructions
Use the current IRS and Tax Court directions linked from the notice. The IRS’s CP3219A explanation covers the proposed adjustment and response process; its taxpayer-rights page explains the 90-day and 150-day petition periods; and the Taxpayer Advocate Service provides a plain-language overview, Form 5564 reference, Tax Court forms and petition-kit links. These official pages are available at IRS CP3219A guidance, IRS challenge-rights guidance and Taxpayer Advocate Service guidance.

Frequently Asked Questions
I received a 90-day letter. What should I do first?
Read every page and attachment, identify the notice number and tax year, and calendar the petition deadline printed on the notice. Then compare each proposed adjustment with your return and records. Decide separately whether to respond to the IRS and whether to petition the U.S. Tax Court.
Is a CP3219A an IRS bill or an audit?
The IRS describes CP3219A as a proposed change based on an information discrepancy. It is not itself a bill or an audit. It explains the proposed adjustment, calculation and response instructions.
Can I just send documents to the IRS instead of filing in Tax Court?
You may send a signed explanation and supporting information through the route named in the notice, but that is not a Tax Court petition. If you want judicial review, file a separate petition with the U.S. Tax Court by the printed deadline.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteDoes replying to the IRS stop or extend the Tax Court deadline?
No. IRS guidance states that sending additional information, calling, or continuing discussions does not extend the deadline to file a Tax Court petition. Use the date printed on your notice.
How long do I have to file a Tax Court petition?
The usual period is 90 days from the notice date. It is generally 150 days when the notice is addressed to a person outside the United States. The individual notice’s printed date and instructions control.
What is Form 5564 used for?
For CP3219A or Letter 3219 matters, the IRS and Taxpayer Advocate Service identify Form 5564, Notice of Deficiency—Waiver, as the agreement response. Follow the notice’s directions, sign where required and keep a copy.
Should I send original receipts or tax documents?
No. IRS video guidance advises sending photocopies rather than originals and putting identifying information on each page. Keep the originals and retain proof of what you submitted.
What if the notice relies on a wrong W-2 or Form 1099?
Ask the employer, payer or other issuer for a corrected document or written statement. Inform the IRS of the error and provide the proof you already have. Do not let that request cause you to miss the separate Tax Court deadline.
Can I get more time to respond?
Do not assume an extension is available. IRS guidance says that additional information and discussions do not extend the Tax Court petition deadline. If the date is near or has passed, seek prompt, fact-specific advice from a qualified tax professional or an appropriate assistance resource.
The Bottom Line
A notice of deficiency is a proposed tax change, not a substitute for action. Identify the notice, review every adjustment, and follow its IRS response instructions if you agree or want to submit supporting evidence. If you want court review, file a separate U.S. Tax Court petition by the deadline printed on the notice—usually 90 days, or 150 days for a notice addressed outside the United States. Nothing you send to or discuss with the IRS extends that court deadline.
