How to Respond to an Income-Tax Penalty Notice in India

To respond to an income-tax penalty notice in India, first verify it on the Income Tax Department’s e-Filing portal, identify the provision and tax period, and note the response deadline shown on the notice and portal. Then answer each allegation with relevant facts and evidence, submit through the linked e-Proceedings action, and save the complete filing record. There is no single reply deadline or defence that applies to every penalty notice.

Start by verifying the notice and identifying the proceeding

Do not rely solely on an email, text message, or payment instruction. Sign in to the Income Tax Department’s e-Filing portal and look for the notice under the relevant pending action or e-Proceedings area. Compare the portal entry with the document you received.

  • Confirm the taxpayer’s name and PAN.
  • Note the issuing authority, document reference and document identification number (DIN). The Department describes the DIN as a unique number for communications from tax authorities.
  • Record the provision cited, tax or assessment year, date of service, response due date, and current proceeding status.
  • If you cannot find the notice on the portal or are unsure it is genuine, use the Department’s notice-authentication feature and official contact channels. Do not follow links or payment directions in an unverified message.

These details determine what you are being asked to explain and which procedure may apply. A notice asking for a response to a proposed penalty is not the same as a final penalty order.

Check which Income-tax Act and tax period apply

Read the cited provision and identify the relevant tax period before relying on a sample reply or advice prepared for another year. The Department’s transition guidance says the Income-tax Act, 1961 continues to govern specified pending proceedings and proceedings initiated from 1 April 2026 concerning tax years beginning before 1 April 2026. The Income-tax Act, 2025 applies to relevant later tax years, subject to the transition rules. A notice about an older tax year does not automatically shift to the new Act just because you are replying after it commences.

When the notice, tax period, or transition rules leave the applicable law unclear, get advice specific to the proceeding rather than substituting a provision from a different year.

Use the deadline in your notice—not a generic number

There is no universal response period established for all penalty show-cause notices. Use the due date and instructions in the notice, and confirm the response deadline and proceeding status in the portal. If the notice and portal appear inconsistent, contact the Department through official channels promptly and preserve a record of your enquiry.

The Department’s e-Proceedings FAQ describes a portal cutoff: submission may be unavailable in the final seven days before the proceeding’s limitation date, until 6 p.m., and may be closed when there is no limitation date. The portal may offer an adjournment request in some proceedings, but requesting one does not mean an extension has been granted. Treat an extension as effective only when it is confirmed.

Do not mistake the defective-return period for a penalty-notice deadline

The Department’s guidance gives 15 days from receipt—or the alternative period specified in the notice—for rectifying a defective return under section 139(9). That guidance is not a general deadline for replying to a penalty show-cause notice.

Prepare a focused reply to every allegation

A penalty response should address the allegations actually made, in their order. Section 274 of the Income-tax Act, 1961, as described in the Income Tax Department’s explanatory material to the Finance Bill 2026, requires a show-cause notice and a reasonable opportunity to be heard before a penalty is levied. The material states that “no penalty shall be levied unless the assessee is given a reasonable opportunity of being heard.” Use that opportunity to explain the facts and support your position, rather than sending a bare denial or an unrelated bundle of documents.

Organise the response so the officer can match each explanation to the notice:

  1. Identify the matter. State the notice reference or DIN, cited provision, tax or assessment year, and the proceeding to which you are responding.
  2. Answer each point separately. For every allegation, state which facts you accept, which you dispute, and why. Explain any discrepancy the notice identifies.
  3. Support material statements. Attach records that substantiate the facts you rely on, and label them clearly. Depending on the allegation, relevant records may include the return and computation, assessment order, tax-payment or withholding records, account statements, invoices, reconciliations, or correspondence.
  4. State the requested outcome. Make clear what you ask the authority to do, such as consider your explanation and not levy the proposed penalty, where that matches your position.
  5. Check the final submission. Confirm the response covers every allegation and that each attachment is legible and relevant.

Avoid unsupported admissions, sweeping denials, and claims that the attached records do not substantiate. The response fields and attachment options available can vary by proceeding.

Submit through e-Proceedings and preserve proof

Use the e-Proceedings action linked to the notice and select the response type and attachment controls shown for that proceeding. The Department describes e-Proceedings as a way to submit a response online and track the proceeding. Review the complete submission before sending it: the Department’s FAQ says an e-Proceedings response cannot be edited or withdrawn through the portal after submission.

Save copies of the final response and every attachment, along with the acknowledgement or transaction record and the portal’s updated proceeding status. Keep them with the notice and any related assessment or tax records.

If a penalty order has already been issued, consider an appeal

A reply to a show-cause notice addresses a proposed penalty; it does not itself appeal a final penalty order. The Department’s Form 35 guidance gives a general 30-day period for an appeal relating to an assessment or penalty, measured from service of the notice of demand relating to the order. Confirm the applicable Act, appeal forum, filing route, fee, and limitation trigger from the actual order and current portal instructions. If an order has been served, check the appeal deadline promptly rather than treating the earlier show-cause response deadline as the relevant one.

What determines the right response in an individual case

The appropriate explanation and any potential penalty depend on the notice’s cited provision, the alleged conduct, the relevant tax period, the assessment record, and the facts around service. The official guidance does not establish a case-independent penalty estimate or a universal defence. If the allegations are complex, the amount is significant, or a limitation date is near, an Indian tax professional or chartered accountant can help assess the records and the procedural options. The portal supports an authorised representative.
