Research North American Construction Group Ltd. (NACG; TSX and NYSE ticker NOA) by checking its latest filings, separating acquisition-driven growth from underlying performance, testing whether backlog can turn into cash, and weighing capital needs against debt. Its Q2 2026 results showed higher revenue and adjusted EBITDA, but lower net income year over year; that mix makes cash flow, investment spending and leverage essential parts of the analysis—not afterthoughts.
What North American Construction Group does
NACG is an industrial contractor focused on contract mining and heavy civil earthworks. Its 2025 Annual Information Form describes a long operating history in western Canada and Queensland, Australia, with work on mining, civil infrastructure and resource-development projects in Canada, Australia and the United States. A January 2026 investor presentation described activity at more than 60 mining and civil construction sites across three countries; treat that as a dated snapshot, not a guaranteed current site count. The 2025 Annual Information Form and company presentations provide context.

The business relies on large equipment, skilled labour, customer project schedules and safe execution. Its equipment, parts, consumables and service requirements help explain its capital and operating demands; supplier relationships alone do not prove that it has a durable competitive moat.
Start with the latest filings
Use issuer filings for reported results, guidance and risk disclosures rather than relying on a stock summary or an older presentation. The latest interim filing located for this article was NACG’s Q2 and six-month report for the period ended June 30, 2026, filed August 12, 2026. Check the company’s reports and regulatory filings index for any later update before making a decision. The index links to Canadian regulatory filings and EDGAR.

- Read the latest interim financial statements and management’s discussion and analysis (MD&A), then compare them with the latest annual report and Annual Information Form.
- Review subsequent company presentations, but distinguish historical results from estimates and non-GAAP measures.
- For every material figure, note the period, whether it includes acquisitions, and whether it is a GAAP measure, a company-defined non-GAAP measure or management guidance.
Separate reported growth from acquisition effects
In Q2 2026, NACG reported combined revenue of $456.1 million, up 23% year over year, and adjusted EBITDA of $93.5 million, compared with $80.1 million in Q2 2025. Net income was $9.4 million, down from $10.3 million. The company attributed much of the revenue and adjusted EBITDA increase to the IMC acquisition, completed in April 2026, while also describing improved performance in legacy operations. Do not treat the full increase as organic growth.
For the six months ended June 30, 2026, adjusted EBITDA was $192.9 million versus $180.0 million in the same 2025 period, while net income was $14.9 million versus $16.4 million. The difference matters: an increase in adjusted EBITDA did not translate into higher reported net income. Compare reported and combined revenue, acquisition contributions, joint ventures where relevant, margins and share-count effects to understand what changed.

Test whether earnings convert into cash
Adjusted EBITDA is not cash available to shareholders or for debt repayment. NACG cautions that this measure excludes capital expenditures, working-capital changes, and interest and principal payments; it is a non-GAAP measure whose computation may vary and should not replace analysis of GAAP results. Compare it with net income, operating cash flow, capital additions, interest expense and debt.

Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →Q2 free cash flow was $23.0 million, compared with negative $0.4 million in Q2 2025. For the first six months of 2026, free cash flow was $28.0 million. Q2 capital additions included $62.5 million for sustaining capital and $52.1 million for growth capital. These figures describe different aspects of performance: free cash flow reflects cash generation after the company’s defined deductions, while capital additions show the scale of fleet investment. Check the filing’s definitions and reconciliations rather than assuming that free cash flow is calculated identically across companies.
Assess debt and ongoing capital needs
At June 30, 2026, NACG reported net debt of $1,087.4 million and cash of $167.7 million. Net debt was $878.5 million at December 31, 2025. Cash interest expense for the first six months of 2026 was $34.2 million. Evaluate whether cash generation can support interest, required fleet maintenance, working-capital swings, growth investment and debt reduction. Review debt maturities and financing terms in the filings; a single net-debt figure does not show when obligations fall due or the terms attached to them.
Read backlog and guidance as estimates, not guarantees
Following Q2, management raised its 2026 combined-revenue outlook to $1.6–$1.8 billion, with a midpoint of $1.7 billion. Adjusted EBITDA guidance remained $380–$420 million, midpoint $400 million, and free cash flow guidance remained $110–$130 million. These are management estimates, not reported results or promises. The company cited first-half strength, backlog and anticipated improvement in the second half.
Rank #4
The Q2 outlook referenced $3.8 billion of pro forma contractual backlog. Backlog is not guaranteed revenue: start dates, scope, customer decisions, schedules and execution can affect whether and when work converts, and at what margin. Test the assumptions behind the guidance against:
- Contract start dates, completion timing, scope and customer concentration, plus cancellation or modification terms where disclosed.
- Equipment utilization, access to equipment and parts, labour availability and costs, weather and seasonality.
- Acquisition integration, earn-outs and the contribution of acquired operations to projected results.
- Customer project decisions, commodity and economic conditions, infrastructure spending, and regulatory or other changes.
- The margin and cash conversion expected from backlog—not only its headline size.
In the Q2 2026 shareholder letter, CEO Barry Palmer explained the guidance increase this way: “Record quarterly revenue of more than $450 million demonstrates both the growing scale of the business and the demand across our markets and gave us the confidence to raise our revenue midpoint guidance to $1.7 billion for this year.” That is management’s rationale, not independent confirmation that the outlook will be achieved.
Best Value
Build a balanced view of the risks
NACG’s filings and presentation identify risks involving contracted-work timing and backlog, execution, customer decisions, commodity prices, infrastructure spending, skilled-labour availability, weather, equipment access, economic conditions and changes in laws. These are risks disclosed by management, not quantified probabilities or proof that a particular outcome will occur. The Annual Information Form and MD&A provide the fuller risk discussion and assumptions behind forward-looking information.
For valuation, compare NACG with genuinely similar contract miners and heavy civil contractors. Match peers on geography, customer and commodity mix, backlog quality and conversion, margins, equipment and labour intensity, leverage and acquisition exposure. Then obtain current share prices, share counts, market capitalizations, enterprise values and comparable filings before drawing conclusions from valuation multiples. A peer set and current trading multiples are not established here, so no buy, sell or valuation verdict follows from the operating figures alone.
A practical pre-purchase checklist
- Confirm no newer filing has superseded the Q2 2026 report.
- Identify which reported growth came from IMC and which reflects legacy operations.
- Compare GAAP net income and cash flow with adjusted EBITDA, capital additions and the company’s definitions of free cash flow.
- Assess backlog quality, conversion timing and execution risks rather than treating backlog as booked cash.
- Review debt maturities, financing terms, cash interest, working capital and planned fleet spending.
- Compare valuation only with relevant peers and current market data.
- Keep historical results, management estimates and your own interpretation clearly separate.
These steps help frame the decision; they do not establish whether NOA suits a particular investor’s objectives, time horizon or risk tolerance.
