A reported number, an annualized run rate, a fundraising price and an independent valuation estimate are different kinds of evidence—not interchangeable answers to “What is the company worth?”
Start by defining the company and the value you want
“AI company” describes a technology, not a single business model. A model developer, cloud infrastructure provider, software application vendor and AI consultancy may have very different revenue patterns, margins and capital needs. A public SaaS multiple can be a useful reference for a recurring-software business, but it is not automatically appropriate for every company that sells or uses AI.

Before collecting figures, identify the legal entity and any subsidiaries included in them. Record the company’s geography, fiscal year, reporting currency and consolidation scope. Also define the valuation question: are you looking for a financing-round valuation, a transaction value, public equity value, enterprise value or your own estimate of value?

A price paid for a preferred share is evidence about that transaction, not necessarily a valuation of every share class or an independent appraisal of common equity. Financing rights and other terms matter to what that price represents.

What revenue has the company actually reported?
Use audited financial statements or regulatory filings when available, followed by company-reported statements. A press release, investor presentation or interview can add useful context, but label its figures according to their source and status—especially if management calls them preliminary, unaudited or forward-looking. Third-party estimates belong in a separate category from company-reported results.
Preserve the company’s exact metric label. “Revenue” may refer to recognized revenue, annual recurring revenue (ARR), an annualized recent run rate, bookings, billings, total contract value, usage revenue or a forecast. These measures describe different things. Do not silently relabel one as another or place them in a comparison as if they shared the same accounting basis.
Build a record for every figure
For each figure, capture the source and publication date, period covered, exact metric name, reported value, accounting basis, entity scope, geography, currency, recurring and nonrecurring mix, and any known limitations. State whether the figure is actual, guidance, an estimate or an analyst inference. If a company omits a detail, mark it as undisclosed rather than filling the gap with an assumption.

A private company may not publish equivalent information to a public company; missing disclosure does not establish that a third-party estimate is correct.

Separate recognized revenue, ARR and run rate
Recognized revenue is recorded under the company’s accounting policies as goods or services are delivered. ARR is a company-defined measure of recurring revenue, and its calculation may vary. An annualized run rate extrapolates a shorter period; it is not automatically contracted, recurring or earned revenue.
The SaaS Capital Index illustrates why the calculation needs to travel with the number: its methodology takes the most recent quarterly revenue, divides it by three to obtain a monthly amount, then annualizes that run rate. Its revenue multiple uses current market capitalization divided by that annualized amount. SaaS Capital says, “The revenue multiple is based on annualized current run-rate revenue, not trailing or projected revenue.” This is a specific index convention, not a universal definition of revenue or a substitute for trailing-twelve-month revenue.
Check how revenue is recognized
Cash collected, billings and recognized revenue can fall in different periods. Inspect the revenue-recognition note in the financial statements and see what products and services the company includes. An SEC-filed software-company annual report for the fiscal year ended January 31, 2025, for example, describes SaaS subscriptions, term and perpetual licenses, support, subscription services and professional services. In that report, subscriptions are generally recognized over the service term, licenses generally at transfer, and services as rendered. Contracts can bundle obligations, and allocating consideration among them requires judgment.

Use the company’s own disclosures to understand when it recognizes revenue, and do not treat cash receipts or the face value of a contract as revenue recognized in the period.
Is the revenue durable and economically attractive?
A revenue total says little on its own about retention, delivery cost or cash conversion. Where disclosures permit, examine the following alongside growth:
- Recurring revenue and renewal: What is contracted or subscription-based, and what depends on new projects, usage spikes or one-off work? Check how the company defines ARR and whether it reports renewal or retention.
- Retention, churn and expansion: Are customers renewing, reducing use, or increasing spend? Net revenue retention can help describe expansion and contraction among existing customers when the company provides a clear definition.
- Customer concentration: Could a small number of contracts materially change the revenue picture if they end or shrink?
- Gross margin and delivery mix: How much revenue remains after the direct cost of providing the product or service? Separate software-like delivery from services dependence where disclosures allow.
- Deferred revenue, receivables and cash collection: Do balances and collections help explain the timing or quality of reported revenue? They should be read with the company’s accounting policies, not treated as standalone proof of future performance.
- AI-specific cost drivers: How might inference and compute costs change as usage grows? Does the company operate its own models, resell access, or rely on third-party cloud or model providers? Does growth appear to depend on unusually high subsidies? Treat these as questions to investigate unless company evidence supports a conclusion.
Do not infer that an AI product has attractive unit economics simply because revenue is growing. The relevant evidence is the relationship among revenue, retention, direct delivery costs and cash generation—and that evidence may not be publicly available for a private company.
How comparable are the company’s peers?
Build a small, named peer set and explain why each company belongs in it. Match on product and customer, business model, recurring versus transactional mix, growth, gross margin, scale, geography and maturity. If model developers, infrastructure providers, application software companies and consultancies all appear in the same list, segment them rather than treating a single average as a clean benchmark.
SaaS Capital’s index is a selected public B2B SaaS universe, not a census of software or AI firms. Its stated exclusions include some B2C, very small B2B and mixed-revenue businesses because their economics differ from the index population. Its data are stated as of September 30, 2026. Before using an index figure, check its date, population and metric definition; do not mechanically apply its median to an AI business with different economics.

For private B2B SaaS, SaaS Capital’s 2025 framework identifies current public-company multiples, ARR growth and net revenue retention as inputs. Those are context-dependent considerations, not a universal formula for AI-company value. SaaS Capital summarizes the point this way: “There is no one-size-fits-all multiple – but it is possible to make an informed, data-driven estimate.”
Keep the numerator and denominator consistent
When comparing market multiples, specify whether the numerator is enterprise value or equity value and whether the denominator is trailing-twelve-month revenue, next-twelve-month revenue, an annualized quarter or ARR. Market capitalization is equity value; it is not enterprise value. A ratio with a mismatched numerator or an unclear revenue period is not a sound comparison.
Public-market multiples change over time. Software Equity Group’s 2026 Annual SaaS Report offers historical context for 2025, not a current quote for October 2026. It reports that Cloudflare’s revenue multiple nearly doubled from 20x to 36x during 2025 while the company reported 28% growth. The same report gives end-of-2025 category revenue multiples of 6.9x for DevOps & IT Management and 6.7x for ERP & Supply Chain. These are examples from a particular report and market period, not general AI-company benchmarks. SEG defines its quarterly EV/TTM revenue multiple using quarter-end enterprise value divided by the latest available TTM revenue, which may come from one quarter earlier.
Which valuation method fits the question?
Market multiples and discounted cash flow (DCF) can inform the same valuation exercise, but they answer related, distinct questions. Multiples show how public markets price selected comparables against a stated revenue measure. A DCF makes an explicit forecast of cash flows and the assumptions used to translate those cash flows into present value. Neither method removes uncertainty.
Best Value
| Lens | What it uses | What to disclose or test | Main limitation |
|---|---|---|---|
| Public-company multiples | Market value and a defined revenue measure for selected listed peers | Peer selection, valuation date, EV or equity numerator, revenue period and definition | Poorly matched peers or inconsistent measures can make the ratio misleading; market prices move. |
| Discounted cash flow | Forecast cash flows and a terminal value, discounted to present value | Forecast horizon, revenue and margin assumptions, reinvestment and cash-flow conversion, discount rate, terminal method and sensitivities | The result can move materially when forecasts or discount and terminal assumptions change. |
| Financing or transaction observation | A price and terms agreed in a particular financing or transaction | Date, security or instrument, rights, transaction type and what entity or shares the price covers | It is a transaction-specific observation, not automatically an independent estimate of common-equity value or a timeless measure of worth. |
Make a DCF’s assumptions visible
A DCF is only as useful as its assumptions. Lay out the forecast horizon, expected revenue and margins, reinvestment needs, cash-flow conversion, discount rate, terminal-value method and a sensitivity range. A point estimate without its assumptions conceals how uncertain the result is.
An SEC-filed fairness opinion by Ocean Tomo for PlusAI, delivered June 5, 2025, used both DCF and market approaches, including exit multiples based on selected public comparables. Its scenarios varied truck deployment timing, utilization and deployment assumptions. Although that company is not a generic AI valuation template, the example shows why operating scenarios can matter to a forecast-based valuation.
Adjust a public benchmark before applying it to a private company
Do not copy a public-company multiple onto a private business without explaining the differences. Consider scale, liquidity, control, financing rights, execution risk and data quality, as well as differences in business model and growth. The appropriate adjustment cannot be determined from a headline multiple alone. If the available evidence cannot support a numerical range, say so and identify the missing inputs rather than manufacturing precision.
How to reach a defensible valuation range
- Fix the subject and date. State the entity, scope, geography, currency and valuation date, and distinguish equity value from enterprise value.
- Classify each revenue figure. Record its exact label, period, accounting basis, source and whether it is actual, guidance, an estimate or an inference.
- Assess revenue quality. Use disclosed retention, customer concentration, revenue mix, margins, compute costs and cash-conversion evidence; label unanswered questions as unknown.
- Select and defend the peer set. Explain inclusions and exclusions, and calculate multiples only from compatible revenue definitions and valuation measures.
- Use more than one lens when information permits. Compare market evidence with a DCF or another suitable method, making the assumptions and sensitivities explicit.
- Present a range with conditions. Explain which operating outcomes, market evidence and rights assumptions support the range. Separate observed transaction terms from your estimate.
- Date and qualify the conclusion. State what is known, what is estimated, and which new disclosure or change in operating assumptions could alter the result.
A useful conclusion does not pretend that uncertainty has disappeared. It shows how the evidence leads to a range, which assumptions matter most, and where disclosure is too thin to justify a number.
