1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesTo research a U.S. public company before investing, start with its latest SEC filings, compare its financial statements and risks over time, update your view with newer filings, and assess whether the share price and investment fit your circumstances. The SEC’s EDGAR database provides free access to those primary documents. Foreign issuers may use different forms and disclosure rules.
Start with the company’s filed documents
Search the SEC’s EDGAR database by company name or ticker. A company’s investor-relations site can help you find reports, but use the filed versions as your primary record. Check filing dates and any amendments so you are working from the latest available information.

For a first pass, gather the latest Form 10-K, subsequent Form 10-Q and Form 8-K filings, and the definitive proxy statement, often labeled DEF 14A. A 10-K provides an annual baseline; newer filings show what has changed since it was submitted.
Understand how the business makes money
Begin with the 10-K’s business description and management’s discussion and analysis (MD&A). Identify what the company sells, how it earns revenue, who its customers are, and which markets it serves. Then look for management’s account of what changed during the year and why.
#1 Best Overall
Use the company’s own description as a starting point, not as proof that its prospects will match its plans. Compare explanations of growth or setbacks with reported financial results and later filings.
Read financial statements together and across periods
Review the income statement, balance sheet, cash-flow statement, and stockholders’ equity statement as connected evidence. The SEC’s guide to reading a 10-K or 10-Q also points investors to MD&A discussions of liquidity, capital resources, trends, uncertainties, and critical accounting judgments.
- Revenue and costs: Check how sales and major costs change over time, and whether reported growth is accompanied by improving or weakening profitability.
- Cash generation: Compare earnings with cash from operations and cash used for investment. A favorable earnings figure alone does not establish durable cash generation.
- Liquidity and debt: Review cash, obligations, and the company’s discussion of its ability to meet near-term needs and fund operations.
- Share count and equity: Track share issuance, repurchases, and other changes in stockholders’ equity. These affect an investor’s ownership share and can help explain changes in per-share results.
- Notes and accounting: Read the notes for explanations of accounting choices, estimates, and items that affect how the headline figures should be interpreted.
Look for trends, not a single number in isolation. Compare consistent fiscal periods and account for differences in business models or accounting before drawing conclusions about another company.

Update the annual picture with newer filings
A 10-K is not a continuously updated account. A 10-Q provides unaudited quarterly financial statements, updates to material risks, and management discussion for the quarter. An 8-K reports certain material events before the next scheduled annual or quarterly report. Read both for developments since the 10-K, and check whether a filing has been amended.
Assess risks, legal matters, and controls
In the 10-K and 10-Q, examine Item 1A risk factors, legal proceedings, market-risk disclosures, and the MD&A’s discussion of known trends and uncertainties. Separate risks that are common to an industry or the broader economy from those specific to the company, its operations, or its geography.
Where disclosed, check for unresolved SEC staff comments and changes or disagreements with auditors. Risk disclosures help identify issues management considers material; they cannot predict every event or guarantee a complete account of future outcomes.
Review governance, compensation, and ownership
Read the definitive proxy statement for the matters shareholders are being asked to vote on, board and executive information, compensation, ownership, and applicable related-party disclosures. A 10-K may incorporate some proxy information by reference. Follow those directions and check whether the proxy was filed after the annual report.

These documents provide context about reported transactions and significant ownership, but they do not by themselves establish whether a stock is attractive.
Build a valuation view rather than relying on a ratio
Company quality and stock attractiveness are different questions: a strong business can still be overpriced, and a stock that looks cheap can carry serious risks. Ask what assumptions about growth, margins, cash flows, debt, and share count would need to hold for the current price to make sense.

Compare valuation measures with the business model, the company’s own history where meaningful, and genuinely similar companies. State the assumptions behind any estimate; a ratio alone is not a buy-or-sell verdict. SEC materials do not prescribe one valuation method or a universal fair-value cutoff. Measures used for an IPO analysis, such as revenue, customers, and financial results, do not create a single method for valuing every public company.
Verify persuasive claims and watch for information gaps
Check claims in presentations, news, newsletters, and social media against filed disclosures and independent evidence. The SEC warns investors not to make decisions solely from unsolicited emails, message-board posts, or company news releases. Its guidance on avoiding investment fraud also identifies a lack of current, reliable financial information as a warning sign.

Make the decision in the context of your own needs
Even a well-supported view of a company does not determine whether its stock suits a particular investor. Consider your time horizon, need for liquidity, ability to tolerate a loss, and existing holdings. Stock prices can move because of company-specific problems or external events; stocks are generally one part of an investor’s holdings. The SEC’s stock investor guidance discusses these risks and the role of stocks in a portfolio.

If the company has just gone public
A newly public company may have little public reporting history. Its registration statement, typically Form S-1, and prospectus may contain information not yet available in later periodic reports. Read the most recent version and amendments, since disclosure can change during the IPO process. Focus on risk factors, use of proceeds, dividend policy, dilution, and offering terms.
The SEC’s declaration that a registration statement is effective is not approval of an investment’s merits and does not guarantee that disclosures are complete or accurate. These points are covered in the SEC’s IPO investor bulletin, dated October 14, 2022.
