Before buying a newly listed stock, read the company’s latest effective registration statement and final prospectus, then test the offering story against its financial statements, ownership, share supply, ongoing disclosures, and the price you would pay. A prospectus is a starting point—not proof that the investment is sound, and not an endorsement by the SEC.
Start with the actual filing, not the IPO headline
For a typical U.S. initial public offering, the core document is a registration statement filed on Form S-1. Amendments may appear as Form S-1/A, and other offerings can use different forms. The prospectus explains the company, the offer, and information intended to help investors assess it. Find the issuer’s SEC filings through EDGAR and use the latest effective registration statement and final prospectus, rather than relying on a news story or an early draft. The SEC’s EDGAR research guidance, titled “Researching Public Companies,” explains how to look up public-company filings.

First confirm that the U.S. IPO framework applies. A company may list in another country, use a different route to market, or be subject to different reporting requirements. Check the issuer’s jurisdiction, exchange, registration documents, and reporting status before applying this checklist. Even within the United States, an issuer’s form and disclosure obligations can vary.
Keep a small source file as you read
Record the document title, filing date, and whether it is an amendment, effective registration statement, final prospectus, or later report. If you compare statements, make sure you are comparing the same reporting periods and accounting measures. A dated record helps prevent mixing an early offer range, a final offer price, and later market information.

Separate three kinds of statements in your notes: reported financial or ownership information; management’s explanation or forecast; and your own inference. A company’s growth plan is not the same thing as evidence that the plan is working. Check claims against the business description, risk factors, financial statements, and use-of-proceeds section.
Understand what the company sells and what could go wrong
Before looking at valuation, be able to explain the business plainly: what it sells, who pays for it, and what drives revenue. Then identify the company’s stated plan for growth and the conditions that plan depends on. The goal is not to repeat the prospectus narrative, but to find out what would have to be true for the business to deliver the results implied by that narrative.
Translate the business model into questions
- Product and customer: What product or service does the company describe, and who is the paying customer? Distinguish the user of a product from the customer who pays, where they differ.
- Revenue quality: Does the filing describe recurring revenue, one-time sales, or a mixture? Note customer concentration and any dependence on a small number of customers or relationships when disclosed.
- Growth drivers: What does management say will increase sales—new customers, more spending by existing customers, new products, geographic expansion, or another driver? Identify which are established business activities and which are future expectations.
- Execution risks: Which factors could interrupt the plan? Read the risk factors and relate each important risk to the business description and financial statements rather than treating the risk section as boilerplate.
- Use of proceeds: What does the issuer say it expects to do with the money raised? Consider whether the stated uses support the growth plan, address existing obligations, or leave a need for additional financing.
Risk disclosures are not a forecast that every listed problem will occur. They are a map of material uncertainties the company identifies. The useful question is how a risk could affect revenue, costs, cash needs, or the number of shares—not simply how many risks appear on the page.
Read the financial statements as a connected picture
Revenue growth by itself does not establish profitability or durable economics. Review the statements together across the periods the filing presents: revenue and margins, operating expenses, cash and equivalents, debt, cash flow, and material commitments. Look for what is changing and whether the company’s explanation is consistent with the reported figures.
Build a period-by-period view
- Revenue: Note the amount and direction of change for each period presented. Check the company’s explanation for major changes and whether the business description supports it.
- Margins: Compare gross profit with revenue to understand the share remaining after the costs included in cost of revenue. Review operating expenses and operating results as well; improving sales do not automatically mean improving operating performance.
- Cash flow: Compare cash generated or used in operations with reported earnings. A company can report revenue and still use substantial cash to run the business.
- Cash and debt: Record cash and equivalents, debt, and material commitments. Consider the balance alongside the rate and causes of cash use, not as an isolated snapshot.
- Financing needs: Determine how much capital the offering is expected to provide to the issuer after expenses and what the filing says about future funding. Do not assume the IPO eliminates the possibility of another financing.
Use the periods and measures the issuer actually reports. When calculating a change or margin, state the period and denominator; do not compare unlike measures or imply that a one-period movement proves a long-term trend. If the filing does not establish a useful figure, leave it unknown rather than filling the gap with an estimate.

Work out who gets the IPO proceeds and how many shares exist
An IPO can issue new shares, allow existing shareholders to sell shares, or combine both. That distinction affects both the cash received by the company and the supply of shares entering public trading. Record the offer price and shares offered, then determine what portion is newly issued and what portion is being sold by existing holders.
Separate company proceeds from shareholder sales
Read the offering and use-of-proceeds disclosures to identify how much of the sale goes to the issuer and how much goes to selling shareholders. Existing holders selling shares receive proceeds from their sales; those proceeds are not company operating cash. The prospectus identifies selling shareholders and describes the shares they own, plan to sell, and retain.
Look at the proportion of each selling holder’s position being sold, not just the number of shares offered. The SEC’s “Updated Investor Bulletin: Investing in an IPO,” published October 14, 2022, advises considering selling shareholders’ relationships to the issuer and what proportion of their holdings they plan to sell. A sale is a disclosed fact; the seller’s motive is not established merely by the sale.
Use the most complete share count the filing supports
Record the shares outstanding before and after the offering where disclosed. Then check whether the filing provides a fully diluted share count and what it includes. Options, warrants, convertible securities, and other instruments may add shares, so the headline share count may not capture all potential dilution.
When comparing the stock’s price with the company’s scale, be explicit about which share count you use. A market capitalization estimate is the share price multiplied by the relevant shares outstanding. If potential shares are material, show the fully diluted basis separately instead of presenting the basic share count as the whole picture. Do not treat securities that might convert or vest as though they have already become ordinary shares; explain the basis of the calculation.

Assess leadership, voting control, and incentives
Identify the executive leadership and directors, voting rights, related-party transactions, and material relationships described in the filing. Check whether founders or other insiders retain control after the offering. If the company has multiple share classes, compare their voting rights: economic ownership and control over votes may not be the same.

Read what the filing says about the parties, the relationship, and the transaction. Do not infer wrongdoing from the existence of a disclosed relationship; assess the terms and their importance to the business.
Set insider ownership beside the selling-shareholder disclosures. The relevant questions are who is selling, how much of their holdings they plan to sell, what they retain, and whether their voting control changes after the offer. These details help describe incentives and control; they do not, by themselves, predict the stock’s performance.
Estimate the tradable float and map future share supply
The number of shares trading immediately after an IPO can be much smaller than the company’s total shares outstanding. Some existing shares may be restricted under securities-law resale conditions or covered by contractual lock-up agreements. This makes it important to distinguish total ownership from shares that may be available for sale at a given time.
Read the prospectus’s lock-up terms rather than assuming a standard schedule. Investor.gov’s SEC guidance, “Initial Public Offerings: Lockup Agreements,” says most IPO lock-ups prevent insider sales for 180 days, but terms vary. That is a description of what is typical, not a universal rule. The issuer’s actual terms control.

Extract the terms that can change supply
- Dates: Record the start and end dates and any staged release dates. A calendar period may be described relative to the offering or another event, so confirm how the document defines it.
- Covered holders and securities: Identify which shareholders and which types of securities are covered. Do not assume every insider or every share is subject to identical restrictions.
- Exceptions: Note permitted transfers, sales, or other exceptions described in the agreement.
- Early release: Look for provisions that could shorten the restriction or allow a release under specified conditions.
- Potential size: Compare the shares that could become eligible for sale with the shares initially available to trade, where the filing provides enough information.
A lock-up expiration creates the possibility that more shares become eligible for sale. It does not establish that holders will sell, and it does not prove that the stock must fall. Treat it as a possible change in supply that belongs in your risk assessment, not as a price forecast.

The prospectus is a starting snapshot, not a substitute for later disclosures. For U.S. public companies, annual reports on Form 10-K and quarterly reports on Form 10-Q are important sources for tracking performance, risks, financing needs, share count, and management’s discussion of results. Newly public companies are expected to make public disclosures including annual and quarterly reports, although precise requirements can depend on issuer category and applicable exemptions.
Compare later reports with the claims and plans in the prospectus. Ask whether growth drivers are developing as described, whether margins and cash use are changing, whether risks have changed, and whether additional financing or dilution has become more relevant. A newly public issuer may have a short public reporting history, so there may be less public history with which to judge its record.
Keep the reporting status in view. Do not assume every issuer follows the same schedule or has identical obligations; confirm its applicable filing requirements and read the reports actually filed. Use the most recent available filing for the question you are answering, especially when assessing current cash, debt, share count, or risk.

The IPO offer price and the stock’s early trading price are market outcomes, not independent evidence of fair value. The SEC’s IPO guidance explains offering mechanics but does not endorse a valuation method or any issuer’s price. Your task is to decide what the price assumes about the business and whether those assumptions are supported by the filings.
Best Value
Start with a clearly dated share price and a share count that matches the calculation. Market capitalization is price multiplied by shares outstanding. If you use enterprise value, identify the calculation basis and account for cash and debt consistently; do not compare a figure based on basic shares with another based on a fully diluted count without saying so. Compare the resulting valuation with actual financial results, dilution, risks, and a plausible business trajectory.
Comparable companies can help only when their business models and accounting measures are meaningfully comparable. A similar label or technology category does not prove that two businesses have similar revenue quality, growth, margins, risks, or capital needs. State the basis for each comparison and its limitations. If a valuation depends on future growth, identify the assumption rather than presenting it as an established result.
A compact comparison framework
| Area | What to compare | Why it matters |
|---|---|---|
| Business quality | Products, customers, customer concentration, recurring versus one-time revenue, and evidence for growth claims | Shows what supports revenue and how much the case depends on future execution |
| Financial resilience | Growth, margins, cash generation or use, debt, commitments, and expected funding needs | Indicates whether the operating plan is supported by the company’s financial position |
| Price and dilution | Valuation relative to disclosed results, share-count basis, options or warrants, and proceeds going to the issuer | Connects the price to ownership and the amount of capital the business actually receives |
| Governance and incentives | Voting control, insider ownership, related-party dealings, and existing holders’ planned sales | Clarifies who controls decisions and how ownership interests may differ |
| Tradable supply | Public float, restricted shares, lock-up dates and exceptions, and possible future releases | Distinguishes shares outstanding from shares that may be available to trade |
| Disclosure and uncertainty | Operating history, clarity of risk disclosures, and assumptions required by the investment case | Shows how much confidence the available evidence can reasonably support |
Use the same date and consistent definitions when comparing two newly public companies. The SEC’s guidance establishes why these factors are relevant to reviewing an IPO; it does not rank issuers or determine a fair price.

Before deciding, put the investment case and its failure conditions in writing. The exercise makes it easier to distinguish evidence from enthusiasm and gives you a reason to revisit the decision when new disclosures arrive.
- State the case in a few factual points. Tie each point to a disclosed business driver, financial result, or ownership fact.
- Name the strongest counterevidence. Include the risks, cash needs, dilution, governance concerns, or execution questions that matter most to your view.
- List the assumptions behind the price. Identify what must happen for the valuation to make sense, and distinguish that expectation from results already reported.
- Choose what to monitor. Identify the next relevant filing, lock-up event, or business milestone and the specific fact you will check.
- Set a decision boundary. Decide in advance what new evidence would weaken or invalidate your thesis. If essential details remain unclear, acknowledge that uncertainty instead of filling it with the IPO narrative.
Finally, keep the SEC’s role in perspective. The SEC Office of Investor Education and Advocacy stated in its October 14, 2022 bulletin: “The SEC’s declaration of effectiveness does not represent an approval of the merits of the IPO or an indication that the information disclosed is complete or accurate.” Effectiveness is not an investment recommendation or a guarantee that every disclosure is complete or accurate.
