The most reliable way to research a stock is to work from the company’s filings outward: find the latest Form 10-K and Form 10-Q, understand how the business makes money, read its stated risks, test the financial statements and cash flows, then decide whether the stock’s risk fits your goals, time horizon and portfolio. This process supplies evidence for a decision; it does not guarantee a return or determine whether a security is suitable for you.

What this process covers

This guide is centered on U.S.-listed public companies because the U.S. Securities and Exchange Commission (SEC) and Investor.gov provide the clearest source material here. Companies in other jurisdictions use different regulators, filing names and disclosure timetables, so adapt the document search to the company’s home market.

Investor.gov summarizes the purpose of disclosure this way: “The laws and rules that govern the securities industry in the United States derive from a simple and straightforward concept: all investors should have access to certain basic facts about an investment prior to buying it and as long as they hold it.” You can read the full explanation in Research Before You Invest.

Filings are authored by the company. They give you primary information and management’s explanations, not an independent buy or sell recommendation. Keep those explanations separate from what the underlying numbers demonstrate. No filing, registration status or database can remove investment risk.

1. Find the company’s current filings

Start with the SEC’s EDGAR database and locate the company’s latest annual Form 10-K and subsequent quarterly Form 10-Q reports. EDGAR filings are free, and the SEC says public-company disclosures are intended to provide the basic facts investors need when deciding whether to buy, sell or hold a security. Investor.gov’s How to Read a 10-K/10-Q explains where the important sections appear.

Record the filing dates and the period each report covers. The most recent filing may describe a quarter that ended weeks or months earlier, so distinguish the reporting period from the date you downloaded the document. Read the newest 10-Q after the latest 10-K, then compare the language and figures with the prior annual report. This helps you identify developments that occurred after the year-end baseline.

Use the documents in the right order

Document What it adds How to use it
Form 10-K Annual description of the business, risks, management discussion, audited financial statements and notes. Use it as the baseline for the company’s business model, full-year results and accounting context.
Form 10-Q Quarterly update to the company’s operations, risks and financial statements. Read the latest 10-Q after the 10-K to identify changes in performance, liquidity, debt or risk.
Auditor’s report within the 10-K The independent auditor’s opinion on the audited financial statements, together with the related report language. Read it before relying on the statements, and investigate qualifications or other prominent wording.

Most U.S. public companies file 10-Ks and 10-Qs, but exceptions exist, including different forms for some foreign issuers. Confirm which reporting regime applies rather than assuming every company has identical filings. A paid screening service is not required for this initial work; the government filing system and Investor.gov material are available online.

2. Understand how the business works

Read the 10-K’s Business section before trying to interpret a stock chart or a financial ratio. Your first task is to explain, in plain language, what the company sells, to whom and through which channels.

Write a one-page business map

  • Products and services: List the main offerings and distinguish recurring, transactional and project-based revenue where the filing allows.
  • Customers and markets: Note geographic markets, customer types and any concentration in a small number of customers or regions.
  • Revenue drivers: Identify the volume, price, subscription, advertising, usage or other factors management says influence revenue.
  • Subsidiaries and segments: Record material subsidiaries and operating segments so you know which activities generate profit or consume capital.
  • Competition: Capture the competitors and alternatives named in the filing. Consider whether customers could switch, build internally or stop buying.
  • Operating conditions: Note regulation, labor issues, seasonality, supply constraints and other conditions the company says affect results.

Then describe the business without repeating its promotional language. For example, instead of writing “a leading platform,” identify the customers, transaction or contract that produces revenue and the cost required to deliver it. This short description becomes a testable hypothesis when you examine later results.

Ask whether the model depends on a small number of customers, suppliers, products or geographic markets. Note any seasonality that makes one quarter look unusually strong or weak. Separate a change in the amount of activity from a change in the price charged. These distinctions make later explanations of revenue and margin movements more precise.

3. Read the risks before forming a conclusion

Go to the 10-K’s Risk Factors section before deciding that growth or profitability makes the stock attractive. Investor.gov notes that filings can describe broad economic risks, industry and regional risks, and company-specific risks. Treat this section as the company’s disclosure of potential adverse outcomes, not as a complete independent risk analysis.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Turn disclosures into an actionable risk list

  1. Copy each material risk into your own notes in one sentence.
  2. Classify it as an operating, financial, legal, regulatory, competitive, geographic or market risk.
  3. Write the mechanism: what event would hurt revenue, margins, cash, access to financing or the stock price?
  4. Record the evidence you would watch for in the next 10-Q or other filing.
  5. State what information would change your investment thesis, including evidence that would make the thesis weaker.

Do not dismiss a risk because it appears in standard legal language. A risk repeated across filings may be routine disclosure, or it may signal a persistent exposure; compare its wording, prominence and related results over time. Conversely, the absence of a risk in a filing does not prove that the risk is absent.

Separate risks the company can partly control from risks it can only absorb. A product delay, customer loss or cost increase may show up in operating results; a recession, regional event or industry-wide rule change may affect many companies at once. Your notes should say whether a risk is already visible in revenue, margins, cash flow or obligations, rather than merely listing a possibility.

4. Reconcile the story with the financial statements

Read management’s discussion and analysis (MD&A) together with the income statement, balance sheet, cash-flow statement and notes. The statements provide reported figures; MD&A provides management’s account of what changed and why. Your job is to test whether the explanation is consistent with the numbers and disclosures.

Income statement: performance and profitability

  • Compare revenue, operating income, net income and margins across several reported periods.
  • Separate changes caused by volume, pricing, acquisitions, currency, one-time items or accounting classification when the filing identifies them.
  • Ask whether profit is improving because the core business is stronger or because costs, taxes or other temporary factors changed.
  • Check whether a new segment, acquisition or discontinued activity makes a period-to-period comparison less direct.

Balance sheet: obligations and resilience

  • Review cash, restricted cash, short-term investments, debt, leases, payables and other significant obligations.
  • Read the notes for debt maturities, interest rates, covenants, guarantees, commitments and contingencies.
  • Check whether working-capital movements could make reported profit look stronger or weaker than the cash available to the business.
  • Look for obligations that do not appear as a simple current-period expense, including commitments and legal matters described in the notes.

Cash-flow statement: what the business funds

  • Compare cash from operations with net income over the same periods.
  • Identify capital expenditures, acquisitions, share repurchases, dividends, debt issuance and repayment.
  • Ask whether operating cash can fund the company’s stated needs without repeated external financing.
  • Explain large differences between earnings and operating cash using the working-capital and other cash-flow disclosures.

Notes: the definitions behind the totals

Notes can change how you interpret a headline number. Read revenue-recognition policies, segment information, stock compensation, impairment charges, tax disclosures, pension obligations, legal proceedings and related-party transactions when they are material. A total without its definition, period and accounting policy is not enough for a comparison.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Use the same periods and definitions when tracking a trend. A figure described as a quarterly result should not be silently mixed with a full-year total, and a management-defined metric should not be treated as interchangeable with a filed financial-statement line. Write down any definition change before drawing a conclusion about growth or profitability.

5. Check the auditor and distinguish reported from adjusted figures

Investor.gov describes the audited financial statements and auditor’s report as important parts of the 10-K. Read the report’s opinion and any explanatory or emphasis language before treating the statements as a sound basis for analysis. A clean opinion does not make the stock a good investment; it addresses the audit of the financial statements, not future performance or suitability.

Companies often present non-GAAP or “adjusted” measures in MD&A, earnings releases or investor presentations. The SEC’s guidance says investors must decide how much weight to give those measures. Compare every adjusted figure with the corresponding GAAP figure in the filing and inspect the reconciliation. Determine which costs were excluded, whether the exclusions recur and whether management uses the same definition from period to period. Never substitute an adjusted measure for the filed financial statements.

A useful check is to write both numbers side by side and then list every reconciliation item. If the same type of charge appears repeatedly, describe it as recurring in your analysis even if management labels it exceptional. If a measure changes definition, do not compare the old and new versions without explaining the difference.

6. Compare companies on consistent definitions

If you are choosing among companies, compare the same reporting periods and use matching definitions. A trailing annual figure for one company should not be compared with a quarterly or forward estimate for another without clearly labeling the difference.

Comparison axis Questions to answer
Business model and revenue drivers Do the companies earn revenue in comparable ways, serve similar customers and face similar seasonality or regulation?
Growth and profitability How have revenue, operating income and margins changed over the same periods, and what does each company say caused the change?
Cash generation Does each company convert operations into cash, and how much cash is consumed by capital spending, acquisitions or working capital?
Balance-sheet obligations How do debt, leases, maturities, guarantees and other commitments affect flexibility?
Disclosed risks Which risks are common to the industry and which are specific to one company, region or product?
Valuation assumptions What assumptions about growth, margins, cash generation and risk are embedded in the current price? Use consistent definitions and do not treat a screening ratio as a universal fair-value rule.

The official material supports examining filings and risks, but it does not endorse one valuation formula or a universal fair-value threshold. A valuation conclusion is only as credible as the periods, definitions and assumptions behind it. If two companies report similar revenue growth but one requires much more capital spending or carries materially different obligations, the headline comparison is incomplete.

7. Decide whether the stock fits your circumstances

Company analysis cannot establish suitability on its own. Before buying, define your goal, time horizon and tolerance for loss, then consider how the position would affect your existing portfolio. Investor.gov’s Introduction to Investing explains these foundational considerations.

Account for stock-specific downside

  • Stock prices can fall, including after a company reports apparently strong results.
  • Common stockholders are residual claimants: if a company is liquidated, they stand behind creditors and other senior claims.
  • A single-company position concentrates exposure in that company’s operations, financing and legal risks. Diversification can partly offset risks associated with an individual holding, but it cannot eliminate market losses.

Investor.gov’s Stocks – FAQs notes that large-company stocks as a group have lost money on average about one out of every three years. That is a historical observation, not a forecast for any particular stock or year.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Set a position-size limit before you buy rather than allowing a rising price to determine how much of your portfolio the stock occupies. Recheck whether the holding creates too much exposure to one industry, region or business factor. Research can explain a company; it cannot decide how much loss you can afford.

8. Watch for fraud and claims of certainty

Every investment carries risk. Investor.gov advises comparing potential risks with potential rewards and treating promises of high returns with little or no risk as a warning sign. Use the SEC’s Protect Your Investments guidance when checking an offering, promoter or investment professional.

Registration, a public filing or access to a financial database supplies information; none guarantees performance, prevents fraud or makes a security suitable. Be especially cautious when someone pressures you to act quickly, refuses to explain downside scenarios or presents a past return as a promise. A persuasive presentation is not a substitute for the company’s filings and your own risk assessment.

A repeatable worksheet for each company

Keep a dated research file so that your conclusion can be checked against later evidence. A compact worksheet should contain:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Company identity: legal name, ticker, reporting jurisdiction and the dates of the 10-K and latest 10-Q.
  2. Business summary: products, customers, markets, segments, competitors and the main revenue drivers.
  3. Thesis: the few factual conditions that would have to remain true for the investment to work.
  4. Risk register: each material risk, its mechanism, evidence to monitor and what would invalidate the thesis.
  5. Financial review: multi-period revenue, profitability, operating cash flow, capital spending, debt, leases and other material obligations.
  6. Accounting review: auditor’s report, important notes, non-GAAP reconciliations and any changes in definitions.
  7. Comparison notes: peer periods and definitions, plus the assumptions used to interpret the current price.
  8. Portfolio decision: intended position size, time horizon, acceptable loss and the reason the position fits—or does not fit—your existing holdings.

Date the worksheet and keep the source filing beside every important number. When a new 10-Q arrives, update the same fields rather than starting with a fresh narrative; this makes changes easier to detect. Mark unanswered questions instead of filling gaps with assumptions. A clear “unknown” is more useful than a confident conclusion unsupported by a filing.

When to revisit the research

Review the company when a new 10-Q or 10-K changes a material fact, when management reports a major shift in operations or financing, or when your own goals, time horizon or portfolio concentration changes. Recheck the original thesis against the latest business description, risk disclosures, cash generation and obligations. A stock should not be held merely because an earlier analysis took time to complete.

For a broader explanation of the questions to ask before committing money, see Investor.gov’s Five Questions to Ask Before You Invest. The SEC’s How to Read a 10-K page provides additional guidance on navigating the annual filing.

Frequently Asked Questions

Which filing should I read first when researching a stock?

Start with the latest Form 10-K, then read the most recent Form 10-Q. The 10-K gives the annual business, risk, audited-financial and notes baseline; the 10-Q shows what changed afterward. Record the period covered by each report as well as its filing date.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do I need a paid stock screener or research service?

No. SEC EDGAR filings and Investor.gov education material are available online at no charge. Paid tools may organize information, but they cannot replace reading the company’s disclosures or deciding whether the stock fits your circumstances.

Are company filings an independent investment recommendation?

No. Filings are authored by the company and include management’s explanations. Treat those explanations as claims to test against reported figures, notes, cash flows and later filings, not as an independent buy or sell recommendation.

How should I use non-GAAP or adjusted earnings?

Compare each adjusted measure with its corresponding GAAP figure and inspect the reconciliation. List excluded costs, check whether they recur and verify that the definition is consistent across periods. Do not substitute an adjusted measure for the filed financial statements.

What if the company is incorporated outside the United States?

Foreign issuers may use different forms, regulators and disclosure timetables. Identify the company’s home-market reporting system and locate its equivalent annual, interim, risk and audited-financial disclosures before applying this process.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

When should I update my company research?

Update it when a new 10-Q or 10-K changes a material fact, when operations or financing shift, or when your goals, time horizon or portfolio concentration changes. Compare the new disclosure with your original thesis and risk register.

The Bottom Line

Use free SEC filings as your starting point: read the 10-K, then the latest 10-Q; understand the business and risks; reconcile MD&A with the statements, notes and cash flows; check the auditor and adjusted metrics; compare peers using consistent periods; and test the position against your own goals, loss tolerance and diversification. The result is a disciplined research record, not a promise that the stock will rise.
