How to Register a Startup in India and Choose the Right Business Structure

There is no universally best business structure for an Indian startup. If you expect equity investors, plan to issue employee equity, or need a clear separation between business and personal liability, compare a private limited company first. An LLP can suit founders who want limited liability with partnership-style flexibility and do not expect the same equity-funding route. A sole proprietorship or general partnership is often simpler to begin, but may be a poor fit if ownership, liability protection or future investment matters.

Choose the entity before filing by weighing four questions: who will own and control the business, whether outside funding or employee equity is likely, how much personal-liability separation you need, and whether the founders can maintain recurring filings and governance. Then use the registration route that matches that entity. Incorporation is not the same as recognition under the Startup India programme, and neither automatically grants a tax exemption.

Start with the decision, not the form

Your legal structure determines how ownership is recorded, how decisions are made, how investors can participate and how much administration continues after registration. Startup India describes these trade-offs in its guide to business types: a private limited company is commonly used by growing startups seeking outside funding and limited shareholder liability, while an LLP combines limited liability with partnership flexibility but has a different funding profile and compliance framework. The guide also notes that companies carry board and annual-filing obligations. Read the comparison at Startup India’s business-structure guide.

Structure Ownership and control Fundraising and employee equity Liability Ongoing governance Registration context
Private limited company Shareholders own shares; directors manage the company under the Companies Act framework. Usually the first structure to examine when issuing shares to investors or creating an employee-equity plan is expected. Shareholder liability is generally separated from company obligations, subject to applicable law and personal misconduct. Board processes, statutory registers and annual filings require continuing attention. Incorporate through the Ministry of Corporate Affairs (MCA) using SPICe+ and linked filings.
Limited liability partnership (LLP) Partners hold interests under an LLP agreement; management rights can be customised in that agreement. Can work when founders want partnership flexibility and do not expect the same equity-funding route as a company. Partners generally receive a liability shield for the LLP’s obligations, subject to applicable law and their own acts. Statutory filings and maintenance remain necessary, but governance is organised around partners and the LLP agreement. Use MCA’s FiLLiP route and associated services.
Sole proprietorship One individual owns and controls the business directly. No separate shareholding framework for issuing company equity to investors or employees. Business and personal responsibility are not separated in the way they are for an incorporated entity. Often simpler to start, but registrations, licences and tax obligations still depend on the activity and location. There is no single company-style MCA incorporation checklist; applicable local, tax and sector registrations govern.
General partnership Two or more partners share ownership and control under a partnership agreement. Partner admission and profit-sharing can be arranged contractually, but it is not the same as issuing company shares. Partners may face personal exposure for partnership obligations under applicable law. The partnership agreement and applicable filings must be maintained; requirements vary by state and activity. Registration of a partnership firm follows applicable partnership law and processes rather than SPICe+ or FiLLiP.

The table is a decision aid, not a substitute for reviewing your facts. Founder residency, foreign investment, a regulated activity, state rules and tax circumstances can change the practical answer.

Which structure fits your startup?

Choose a private limited company when equity is central

Put a private limited company at the top of your comparison if you expect angel or institutional investment, want to issue shares to new investors, or intend to create an employee-equity arrangement. A company gives ownership a share-based framework that is familiar to investors and makes changes in shareholding easier to document than an informal co-founder arrangement.

The trade-off is administration. Directors must observe company-law governance, maintain records and complete recurring filings. If the founders are not prepared to track board decisions, registers and annual compliance, the apparent fundraising advantage can become an operational burden. Startup India’s structure guide identifies both the funding and limited-liability advantages and the board and annual-filing obligations; use it as a starting point, not as current tax advice.

Choose an LLP when flexibility matters more than a share-issuance route

An LLP may fit a professional, consulting, services or closely held venture where founders want limited liability but prefer to set management, contributions and profit-sharing through an LLP agreement. It can also be sensible when the business does not anticipate the same investor or employee-equity pathway associated with a company.

An LLP still has statutory obligations and is not an informal partnership. At incorporation, MCA’s FiLLiP instruction kit requires at least two designated partners, with at least one resident in India. Confirm the current interpretation and document requirements on the MCA portal before filing because forms and instructions can be updated.

Use a sole proprietorship only when one-person simplicity outweighs separation

A sole proprietorship can be practical for a single founder testing a small operation with no immediate co-owner or equity investor. The owner makes decisions directly and does not create a separate shareholding system. The central drawback is that the business does not provide the same separation between the owner’s personal position and business obligations as an incorporated entity.

Do not treat proprietorship registration as a lighter version of SPICe+. Local registrations, tax registrations, licences and sector permissions depend on what you sell and where you operate. If you later bring in co-founders or investors, changing structure can require new agreements, registrations and operational work.

Use a general partnership only with a strong written agreement

A general partnership can suit two or more founders who want a contractual arrangement for contributions, profits and decision-making. Before starting, document authority to sign contracts, ownership of intellectual property, treatment of a departing partner, dispute resolution and responsibility for debts. Partners can face personal exposure for partnership obligations, so the structure should not be selected solely because it is familiar or quick.

Partnership-firm registration is governed by applicable law and processes, and state and sector requirements vary. The MCA company and LLP checklists below do not apply automatically to a general partnership.

A practical structure-selection checklist

Answer these questions in writing with every founder before reserving a name:

  • Who owns the business? Is there one owner, or do several founders need documented percentages, voting rights and transfer rules?
  • Will outside investors enter? If yes, do they expect shares, board rights or a familiar company-governance framework?
  • Will employees receive equity? A share-based company structure is usually easier to evaluate for that purpose than an informal profit-sharing promise.
  • How much liability separation is necessary? Consider contracts, employees, inventory, borrowing, product risk and regulated activities rather than assuming every startup has the same exposure.
  • Can the team manage continuing compliance? Count the people, professional support and calendar discipline needed for board, partner and annual filings.
  • Could your facts trigger special rules? Foreign capital, non-resident founders, a regulated sector and state-specific licences can alter the route.

If your answers point in different directions, write down the compromise explicitly. For example, an LLP may reduce governance complexity compared with a company while limiting the funding options you plan to use; a company may support an investment plan while imposing more formal administration.

How to register a private limited company through SPICe+

MCA’s SPICe+ system is the company-incorporation route. It uses a main incorporation form together with linked filings. The exact screens, fields and attachments can change in the MCA V3 system, so read the current portal instructions immediately before submission. The older MCA SPICe+ FAQ is useful for understanding the process and supporting materials, but it should not be treated as a guarantee that the current portal has identical requirements. MCA also publishes a V3 linked-filing FAQ.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Prepare the founders’ decisions first

  1. Agree on the proposed company name and business objects. Check that the name and objects accurately describe the activity you intend to conduct.
  2. Set out the initial shareholding, director roles, capital contributions and decision rights in a founder document. This is an internal planning step; it does not replace the company’s constitutional documents.
  3. Decide where the registered office will be located and confirm that the owner permits the company to use that address.
  4. Identify whether any founder, director or activity creates a foreign-investment, residency or sector-specific issue that needs professional review before filing.

Collect the core supporting documents

The MCA FAQ lists supporting materials such as the Memorandum of Association (MOA), Articles of Association (AOA), registered-office address proof, a recent utility bill and the owner’s no-objection certificate. Requirements vary by applicant and facts, and the portal may request additional identity, address or authorisation material.

  • [Dont Hesite to Order] 24 hours customer services and professional technology team are standing by
  • Keep names, addresses and identification details consistent across every document and form.
  • Use a registered-office address for which the company can retain valid proof and permission.
  • Check document dates, signatures, file formats and certification requirements shown in the current V3 instructions.
  • Do not upload an old checklist blindly; the linked MCA FAQs themselves are dated documents.

Complete SPICe+ and linked filings

  1. Open the MCA portal and select the current SPICe+ incorporation workflow.
  2. Complete the name and incorporation details exactly as approved or as required by the current workflow.
  3. Attach the MOA, AOA, registered-office proof, utility bill, owner’s no-objection certificate and any other documents the portal requests for your facts.
  4. Complete the associated linked forms shown by the MCA workflow. Review every prefilled field and ensure that the proposed directors, subscribers and share details agree with the constitutional documents.
  5. Apply the required electronic signatures and submit through the MCA process. Preserve the acknowledgement and every filed attachment.
  6. Respond promptly if the Registrar of Companies requests clarification or resubmission. Correct only what is requested and recheck the entire package before resubmitting.

Approval of incorporation creates the company; it does not by itself make the business a DPIIT-recognised startup, grant a tax exemption or replace licences required for the company’s particular activity.

How to register an LLP through FiLLiP

MCA’s FiLLiP instruction kit describes a combined form for name reservation and LLP incorporation, alongside related services. The Ministry of Corporate Affairs says in that kit: “The webform ‘Form FiLLiP’ aims to simplify the process of incorporation of LLP and its registration with the Registrar of Companies (RoC) by the user.”

Confirm the designated-partner requirement

An LLP must have at least two designated partners, including at least one resident in India, according to the FiLLiP instruction kit. Confirm that your proposed partners satisfy the current rules and that their identity, address and consent documents are available in the format MCA currently accepts.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Agree the commercial terms before filing

  • Decide each partner’s contribution and profit-sharing ratio.
  • Define who can bind the LLP to contracts and who approves borrowing, hiring and major spending.
  • Assign responsibility for intellectual property, customer data and work created by each founder.
  • Set rules for admitting a new partner, a partner’s exit, incapacity, death and dispute resolution.
  • Plan how the LLP agreement will be executed and filed after incorporation under the current MCA process.

File the FiLLiP application

  1. Use the current MCA portal version of FiLLiP and check whether the proposed name requires reservation through the available service.
  2. Enter the LLP’s registered-office details, business activity and designated-partner information.
  3. Attach the identity, address, consent, registered-office and authorisation documents requested for your facts.
  4. Apply the required signatures, submit the form and retain the acknowledgement and attachments.
  5. After approval, complete the current post-incorporation LLP-agreement and filing steps shown by MCA. Do not rely on an old instruction-kit sequence if the portal presents a revised process.

Registering a proprietorship or partnership

A sole proprietorship and a general partnership are not incorporated through the SPICe+ or FiLLiP routes. Their registration context depends on applicable law, state practice, tax status, business activity and location. A shop, food business, financial service, technology service and export operation can each trigger different permissions.

For a sole proprietorship

  • Choose and document the trading name and ownership.
  • Identify local, tax, labour, sector and premises registrations that apply to the activity.
  • Keep business and personal records clearly separated even though the legal owner is one person.
  • Reassess the structure before taking on a co-founder, outside investor, substantial debt or higher-risk contracts.

For a general partnership

  • Execute a detailed partnership agreement covering contributions, profit allocation, authority and exit.
  • Check the applicable state process for registration of the partnership firm and any stamp or filing requirements.
  • Obtain activity-specific licences and tax registrations rather than assuming partnership registration covers them.
  • Review personal-liability exposure with a qualified professional before signing leases, loans or customer contracts.

Incorporation is separate from DPIIT startup recognition

DPIIT recognition through Startup India is a separate application after incorporation or registration. The current Startup India recognition page lists eligible entity forms and criteria involving the entity’s age, turnover and innovation or scalability. Those displayed thresholds can differ from older Startup India articles and legacy notifications, so use the current programme page and the governing notification when checking eligibility.

Do not describe recognition as an automatic result of creating a company or LLP. A proprietorship or partnership should also be checked against the current eligible-form list before anyone promises that recognition is available.

What to prepare for a recognition application

  • Evidence of the legal entity’s incorporation or registration.
  • A clear description of the product, service or process and the innovation or scalability it claims.
  • Current information needed to test the programme’s age and turnover conditions.
  • Authorised applicant details and documents requested by the Startup India portal.

Recheck every criterion at the time of application. A business can be validly incorporated yet fail a current recognition condition.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Section 80-IAC is a separate tax application

Startup India’s Section 80-IAC page describes a separate application and eligibility conditions for the tax-exemption route. The page limits this route to qualifying DPIIT-recognised private limited companies and LLPs. Incorporation and DPIIT recognition do not automatically produce the exemption.

Because tax rules and eligibility conditions can change, treat the page as the programme’s current starting point and obtain tax advice on your entity, financial years and transactions before relying on an exemption.

Documents, governance and compliance after registration

Registration is the beginning of administration, not the end. Build a compliance calendar that matches the structure you selected.

Private limited company priorities

  • Maintain statutory registers and company records.
  • Hold and document required board and shareholder decisions.
  • Track annual filing deadlines and changes in directors, registered office and shareholding.
  • Record share issuances, transfers and employee-equity decisions formally.

LLP priorities

  • Keep the LLP agreement and partner contributions current.
  • Document designated-partner decisions and changes in partners or registered office.
  • Track recurring LLP filings and accounts requirements.
  • Ensure the actual profit-sharing and authority arrangements match the filed and signed documents.

All structures

  • Separate business bookkeeping from personal spending.
  • Protect intellectual property through written assignments from founders, employees and contractors.
  • Review contracts, employment obligations, data handling and sector licences for the state where you operate.
  • Revisit foreign-investment and residency rules before accepting overseas money or appointing non-resident founders.

Common filing mistakes and how to avoid them

Choosing the structure for today’s paperwork only

A proprietorship may be quick for a solo test, but converting after an investment commitment can disrupt contracts, licences and ownership records. Decide whether a funding or employee-equity event is realistically within your planning horizon before filing.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Using an old MCA checklist

The SPICe+ and FiLLiP reference documents available online are not all current. Check the live MCA V3 instructions for fields, attachment formats, signatures and linked forms immediately before submission.

Inconsistent names and addresses

Differences between identity documents, MOA or AOA, registered-office proof and the online form can trigger clarification or resubmission. Standardise spellings, abbreviations and address lines before uploading.

Assuming incorporation covers licences

Company or LLP registration does not automatically authorise a regulated or location-specific activity. List every licence, tax registration and local permission your actual operations require.

Promising recognition or tax benefits

DPIIT recognition and the Section 80-IAC route have separate applications and current eligibility tests. Do not advertise either as an automatic consequence of incorporation.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

When professional help is justified

Qualified legal, tax or company-secretarial advice is particularly valuable when founders are non-resident, foreign investment is involved, the activity is regulated, ownership is split among several founders, intellectual property is being transferred, or the business expects an investment round soon. A professional can also check whether state and sector registrations alter the basic MCA filing plan.

For a straightforward domestic founder group, you can still prepare the structure decision, ownership plan and documents yourself, then use the current MCA and Startup India instructions to verify the filing. Keep a complete record of what was submitted and which version of each instruction you relied on.

A decision you can defend

Select a private limited company when share-based fundraising or employee equity is a central objective and the team can handle formal governance. Select an LLP when limited liability and flexible partner arrangements matter more than that funding route. Select a proprietorship or general partnership only after considering personal liability, future ownership changes and the absence of a company-style share framework.

Whichever form you choose, register through the route designed for that form, verify the current MCA or Startup India instructions, and treat recognition, tax programmes, licences and state requirements as separate questions. That approach produces a structure that supports the startup you intend to build rather than merely the simplest form to file today.
