How to Read Promoter and Public Shareholding Disclosures in Indian Listed Companies

An Indian listed company’s shareholding-pattern filing is a dated regulatory snapshot, not a permanent ownership record or a forecast. To read it correctly, verify the as-on date and any revision, use SEBI’s A/B/C categories and denominator, separate promoters from promoter-group entities, inspect beneficial-owner and concentration details, and check dilution and encumbrances separately from the headline percentages.

What a shareholding-pattern filing tells you

Every filing describes who held the company’s specified securities on a particular date. It reports share counts, percentages and, where relevant, voting rights, potential shares from convertibles or warrants, employee-benefit trusts, depository-receipt holdings and encumbrances. It is therefore a snapshot of reported positions at the stated “as on” date.

Do not treat the newest item in a filing list as automatically definitive. An exchange may show a later revision to the same period. Record all three dates shown by the exchange:

  • As-on date: the ownership date covered by the statement.
  • Submission date: when the issuer submitted that version.
  • Revision date: when a corrected or amended version was submitted, if one exists.

For any analysis, use the latest valid revision for the period and retain the earlier version only if you need to understand what changed.

Where to find the filing

SEBI’s Corporate Filings locator directs users to the relevant exchange pages. The NSE Shareholding Patterns – Equity, SME interface lets you search by company or symbol and displays the as-on date, filing status, submission date, revision date and an XBRL filing link.

Step-by-step on the exchange interface

  1. Open the exchange’s shareholding-pattern page and search for the issuer or trading symbol.
  2. Choose the period you need and note the as-on date before opening the details.
  3. Check filing status, submission date and revision date. If a revision is listed, open the revised filing rather than relying on the first submission.
  4. Open the XBRL or detailed view. NSE separates the summary, promoter and promoter-group, public, non-promoter non-public, significant-beneficial-owner and foreign-ownership-limit sections.
  5. Save the filing link or download and label it with the issuer, security class, as-on date and revision date so later comparisons use the same document.

An exchange page is an index and presentation layer. The issuer’s filed statement remains the underlying disclosure. If the exchange and an issuer announcement appear inconsistent, check the revision and any subsequent exchange notice.

How often companies file

The consolidated SEBI Listing Obligations and Disclosure Requirements text surfaced in April 2026 states that specified securities listed on the main board, an SME platform or the Innovators Growth Platform are reported quarterly within 21 days after the end of the quarter. It also states a filing within 10 days after a capital restructuring that changes paid-up share capital by more than 2%. For specified securities listed on an SME exchange, the stated cadence is half-yearly within 21 days after each half year. These are regulatory timing provisions, not guarantees that every document will appear on an exchange page on the same day; provisions can be amended, so check the applicable current regulation before relying on them for compliance.

Read the timing language in the SEBI consolidated LODR text together with the issuer’s listing segment. The numbers 21 days and 10 days apply in the specific circumstances described above, not as a universal deadline for every security or event.

SEBI’s ownership categories and the denominator

The reporting framework divides specified securities into three top-level categories:

Code Category What to inspect
A Promoter and Promoter Group Promoter rows and each promoter-group entity, including shares, voting rights and encumbrances.
B Public Public institutions, bodies corporate, individuals and other public holders, including disclosed holders of 1% or more.
C Non-Promoter Non-Public Subcategories such as C1 depository-receipt holders that do not meet public-shareholding conditions and C2 employee-benefit-trust holdings.

The calculation framework in SEBI’s July 2023 master circular uses A + B + C2 as the denominator for the headline percentages. In that framework:

  • Promoter percentage = A ÷ (A + B + C2)
  • Public percentage = B ÷ (A + B + C2)

Do not casually substitute a different denominator or assume public ownership is simply 100% minus the promoter percentage. A C1 or other non-public category may be shown in the filing even though it is not included in the specified A+B+C2 calculation in the same way. Confirm the column headings and formula in the version you are reading because formats can be revised.

An illustrative calculation

Suppose a hypothetical filing reports 5,000,000 promoter shares (A), 4,000,000 public shares (B) and 1,000,000 employee-benefit-trust shares (C2). The calculation denominator is 10,000,000. Promoter ownership is 50% and public ownership is 40%. The remaining 10% is the C2 holding; it is part of the denominator even though it is not public shareholding. These figures are an explanation of the formula, not data from a particular issuer.

Read the summary, then open every detailed section

The summary gives the quickest view of total shares and headline percentages, but it can hide concentration, special categories or potential dilution. The framework provides six disclosure areas:

  1. Summary.
  2. Promoter and promoter-group holdings.
  3. Public holdings.
  4. Non-promoter non-public holdings.
  5. Significant beneficial owners, where applicable.
  6. Foreign ownership limits.

Start with the summary to orient yourself, then reconcile its totals with the detailed tables. A total that does not reconcile may indicate a revised filing, a different security class, a conversion assumption or a data-entry issue that needs investigation.

Promoter versus promoter-group ownership

Promoter(s) and promoter-group entities are not interchangeable. SEBI requires promoter(s) to be segregated from promoter-group entities. Read the direct promoter row and each group-entity row separately before adding them to understand the structure of control and economic exposure. The 13 August 2021 SEBI circular states: “In the interest of transparency to the investors, all listed entities shall now provide such shareholding, segregated into promoter(s) and promoter group.” You can read that circular at SEBI’s disclosure of shareholding pattern of promoter(s) and promoter group entities.

When several rows may represent the same person or organisation, consolidate holdings using the PAN and folio number fields where provided. This prevents the same holder from appearing to be multiple independent owners. Also check whether a promoter-group entity is a company, trust, partnership or another vehicle; the legal form can matter when you investigate subsequent transactions.

Registered holder is not always the ultimate owner

The name in a shareholding row is the registered holder. A nominee, investment vehicle or other intermediary may hold securities for someone else. The separate significant-beneficial-owner (SBO) section addresses ownership or influence interests under the applicable rules. Compare it with the registered-holder table, but do not replace one with the other or assume every registered holder is the ultimate beneficial owner.

How to read public shareholding and concentration

Public shareholding is a category, not a statement that ownership is widely dispersed. A small number of public investors can hold a large part of category B. The filing discloses names of public shareholders holding 1% or more and persons acting in concert, if available. List those holders and calculate their combined reported percentage using the same denominator and period.

A practical concentration check

  1. Copy every disclosed public holder at or above the 1% threshold.
  2. Use PAN and folio information to consolidate duplicate rows where the filing supplies it.
  3. Add the disclosed percentages without mixing current and fully diluted columns.
  4. Compare the largest holders with the total public category in the summary.
  5. Read the SBO section for ownership or influence interests that may sit behind registered names.

This reveals how much of category B is represented by named large holders. It does not reveal every small holder or prove that holders act together when the filing does not report that fact.

Voting rights, current ownership and potential dilution

Share count and economic ownership are not always the same as voting power. The detailed format can report voting rights, partly paid shares, shares underlying depository receipts, outstanding convertible securities, warrants and ESOPs. It also provides a fully diluted share total and a percentage assuming full conversion where applicable.

Measure Question it answers How to use it
Current shareholding Who owns the issued shares on the as-on date? Use the issued-share columns and the filing’s stated denominator.
Voting rights Who can vote, and with how many votes? Compare voting percentages with economic ownership, especially where classes or differential voting rights exist.
Fully diluted shareholding What would ownership look like if reported convertibles, warrants or ESOPs were fully converted? Compare it with current ownership to identify possible dilution.

When potential issuance exists, compare the current-share percentage with the full-conversion percentage. They answer different questions: the first describes ownership now; the second models the filing’s stated conversion assumption. Check whether the instrument is outstanding, its conversion terms and the table’s headings before drawing a conclusion. Field numbering and formats may change between versions.

A lower fully diluted promoter percentage does not by itself mean a transaction has occurred; it can simply reflect securities that have not yet converted. For the reason and timetable, consult the relevant allotment, corporate-action and exchange announcements.

How to read pledge and other encumbrances

In the promoter and promoter-group tables, look for separate columns for:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Pledged shares.
  • Non-disposal undertakings (NDU).
  • Other encumbrances.
  • Total encumbered shares.
  • Dematerialized holdings.

Compare each encumbered number with that holder’s own shares, not merely with the company-wide promoter total. Then compare the same fields across successive filings. A falling ownership percentage and a rising encumbered count are different events; do not merge them into one conclusion.

A reported pledge is a disclosed encumbrance. It does not, by itself, establish that a lender has invoked the pledge, that shares were sold or that a default occurred. To verify a later event, check separate company announcements and exchange notices. The NSE XBRL example filing as on 17 March 2026 shows the type of fields to inspect, but each issuer’s actual values and headings must be read from its own filing.

A consistent method for comparing periods

Ownership comparisons are meaningful only when the basis is held constant. For every period, create a record with the issuer, security class, as-on date, submission date, revision date, calculation basis and source link.

Comparison What to record Why it matters
Promoter and promoter-group Shares and percentages for each promoter and group entity. Shows whether a change is concentrated in the named promoter or elsewhere in the group.
Public concentration Largest disclosed public holders and their combined percentage. Separates a large public category from genuinely dispersed ownership.
Potential dilution Current percentage and fully diluted percentage. Shows the effect of outstanding convertibles, warrants or ESOPs under the filing’s assumption.
Encumbrances Pledge, NDU, other encumbrances and total encumbered shares. Prevents a pledge from being hidden inside a single ownership percentage.
Voting versus economic ownership Voting rights and share ownership by class. Highlights differential-vote or multiple-class effects.
Special categories C1, C2, depository-receipt and employee-trust holdings. Explains denominator differences and non-public positions.

After identifying a rise or fall, investigate the cause through corporate actions, allotments, buybacks, transfers, conversion notices and other exchange disclosures. A change in promoter ownership alone does not establish why it happened or predict investment returns.

Common reading errors and how to avoid them

Using the wrong period

Search results may show several submissions for the same quarter. Match the as-on date to the period you intend to analyse and use the latest revision for that date.

Subtracting promoter ownership from 100%

That shortcut can ignore C2 and other categories. Apply the filing’s A+B+C2 calculation instead.

Combining promoter and promoter-group rows too early

Adding them may be useful for a total, but first inspect each row so a change in one entity is not mistaken for a change in another.

Treating a registered name as the beneficial owner

Compare registered-holder rows with the separate SBO disclosure and the applicable beneficial-ownership rules.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Counting a pledge as a sale

Encumbrance is not invocation. Look for a later announcement or exchange notice before claiming that ownership changed.

Mixing current and fully diluted percentages

Keep current shares, voting rights and full-conversion assumptions in separate columns in your worksheet.

Comparing different securities or formats

Use the same security class and calculation basis. If the exchange changes field numbering or table labels, read the headings and formula rather than matching column positions mechanically.

What the percentages cannot tell you

A promoter percentage does not prove promoter quality, effective control, liquidity, governance, valuation or future price direction. A high public percentage does not guarantee active trading or dispersed ownership. A pledge percentage does not establish default or an imminent sale. The filing is descriptive: it reports the issuer’s stated holdings and related fields for a defined date.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For an investment decision, combine the shareholding pattern with audited financial statements, related-party disclosures, voting outcomes, corporate-action notices, insider-trading disclosures and exchange announcements. Those documents answer questions that a periodic shareholding table cannot.

A compact checklist before you rely on a filing

  • Have you recorded the as-on, submission and revision dates?
  • Are you reading the latest valid revision?
  • Did you confirm the issuer, security class and listing segment?
  • Did you apply A+B+C2 rather than an improvised denominator?
  • Did you inspect promoter and promoter-group rows separately?
  • Did you consolidate duplicate holders using PAN and folio where available?
  • Did you review disclosed public holders of 1% or more and any persons acting in concert?
  • Did you compare registered holders with the SBO section?
  • Did you separate current, voting and fully diluted measures?
  • Did you inspect pledge, NDU, other encumbrances and dematerialized holdings?
  • Did you check corporate actions and exchange notices for the reason behind a change?

The Bottom Line

Read the filing as a dated, revisable record: verify the dates, apply SEBI’s denominator, trace the holders behind each category, and analyse dilution and encumbrances in their own columns. The resulting picture is a more reliable description of reported ownership—but not a standalone verdict on control, liquidity or investment returns.
