To understand a homebuilder’s revolver, read the executed credit agreement and amendments for the rules, then use the company’s latest SEC filings to see how it reports capacity, covenants and compliance. Do not treat the stated commitment as cash on hand: borrowing-base rules, letters of credit, outstanding loans and other conditions can reduce what the company can actually draw.
Start with the signed agreement, then reconcile it to the latest filing
The credit agreement is the controlling document for a facility’s terms. Read it together with every amendment, waiver and extension: a later document may change a rate, covenant, maturity date, lender commitment or other provision. SEC filings help locate and interpret the important terms and show the company’s calculations as of particular dates, but they do not replace the executed documents or legal advice.

- Find the agreement and amendments. In the company’s SEC filings, look for debt and liquidity disclosures and exhibits identified as credit agreements or amendments. Check that you have the operative version, not just the original agreement.
- Read the facility note and covenant disclosures. Use the latest 10-Q or 10-K to identify reported commitment, borrowings, letters of credit, availability, maturity, pricing and covenant results.
- Match each reported figure to its date and definition. A balance-sheet debt figure, borrowing-base amount and unused commitment are different measures. Check the agreement’s definitions and the filing’s wording before treating two figures as comparable.
For example, M/I Homes’ Form 10-Q debt disclosure for June 30, 2026 describes its facility and reported availability at that date (M/I Homes, Form 10-Q debt disclosure). KB Home’s Form 10-Q for the quarter ended February 28, 2026 explains that its covenant calculations are defined by its credit documents and may differ from GAAP or commonly used metrics (KB Home, Form 10-Q).
Identify who can borrow and what the facility allows
Begin with the agreement’s parties and facility structure. Note each borrower, guarantor, administrative agent and lender, and distinguish the total commitment from individual lender commitments. Confirm whether the facility is revolving and whether it has separate sublimits for letters of credit, swingline loans or other uses. A sublimit allocates part of the facility to a particular type of exposure; it does not automatically add capacity above the main commitment.

Check whether the agreement permits an accordion (an increase in commitments) or maturity extensions. These are usually conditional mechanisms, not current funding: identify any required lender consent, additional commitments, fees, certifications or absence-of-default conditions. Record the stated maturity and the conditions for any extension separately.
Calculate usable availability, not just headline commitment
For a homebuilder, the key question is how much can be drawn under the contract at the relevant date. A useful starting calculation is:
Potential unused commitment = total commitments − loans outstanding − letters of credit and other exposures counted against the facility.
That arithmetic is not enough if a borrowing-base limit, reserves, sublimits or conditions further restrict access. Read the agreement’s borrowing-base definition and the company’s certificate or filing description. Record the eligible asset categories, advance rates, caps, exclusions, reserves, appraisal rules, concentration limits, deductions for other debt and any required certifications. Then identify which limit controls: total commitment, borrowing base, a subfacility limit, or another contractual cap.

Homebuilding inventory is not one uniform pool. Land, lots under development, finished lots, homes under construction, completed homes and contract receivables may receive different treatment under an agreement. Project status, appraised value, development conditions, sales and cancellations can affect eligibility or calculations. Do not assume that all inventory qualifies, or that the reported borrowing base is the same as net unused revolver availability.
M/I Homes illustrates why the components matter. As of June 30, 2026, it reported a $900 million commitment, no cash borrowings, $82.5 million of letters of credit outstanding and $817.5 million of remaining availability. It also disclosed a $250 million letter-of-credit subfacility, an accordion to $1.05 billion subject to additional lender commitments, and a borrowing-base calculation using different inventory advance rates. These are M/I Homes’ reported terms and amounts on that date, not industry norms; the potential accordion should not be read as part of the existing $900 million commitment (M/I Homes, Form 10-Q debt disclosure).
Work out the cost of borrowing
Find the interest-rate definition and pricing provisions rather than relying on a headline rate. A facility may set a benchmark plus a margin, with the margin changing according to a leverage or other pricing grid. Check the benchmark’s definition, any floor, the applicable grid tier, reset dates and the terms for default interest. Also look for commitment fees on unused amounts, utilization fees, letter-of-credit fees and fronting fees, as well as payment dates and any rate-conversion mechanics.

Check what must happen before a borrowing or letter of credit
Review the conditions precedent for each borrowing and each letter of credit. The agreement may require a borrowing notice by a specified deadline, a current borrowing-base certificate, representations to remain accurate, delivery of financial statements or a compliance certificate, and the absence of a default. Note which conditions apply each time funds are requested and which apply only when the facility is first established.
Separate documentary requirements from continuing obligations. A missed notice deadline, an inaccurate repeated representation or a late certificate can matter even when a company appears to have unused commitment. The agreement controls the required form, timing, delivery method and consequences.
Translate covenants into a worksheet and calendar
For each financial or operational covenant, copy the contract-defined formula rather than substituting a familiar accounting ratio. Record the threshold, measurement period, test date, reporting deadline, permitted cure and consequence of failure. Keep the covenant worksheet distinct from GAAP balance-sheet figures unless the contract explicitly uses them.

- Consolidated tangible net worth: Find the starting minimum and any increases tied to earnings or equity proceeds. Check how the agreement treats goodwill, other intangibles, minority interests and losses.
- Leverage: Copy the exact numerator and denominator. Identify which debt counts, whether cash may be netted, and how equity or other adjustments are defined. Note whether the covenant sets a maximum ratio.
- Interest coverage or liquidity: Check whether the agreement requires both tests or allows compliance with either. Record the measurement period and the specific definition of liquidity.
- Borrowing-base condition: Distinguish the calculation used to determine availability from any separate covenant requiring borrowing-base indebtedness to stay within collateral support. One should not be assumed to be the other.
- Investment and structural limits: Check caps on investments in joint ventures, unrestricted subsidiaries or other unconsolidated entities, along with restrictions on liens, debt, asset sales, mergers, distributions, affiliate transactions and other investments.
- Reporting and remedies: Add certificate and financial-reporting due dates to a calendar. For a potential breach, find notice requirements, grace or cure periods, event-of-default language and available lender remedies.
KB Home’s filing for the quarter ended February 28, 2026 provides a dated example of why definitions matter: it describes tangible-net-worth and leverage covenants, an interest-coverage-or-minimum-liquidity alternative, an investment limit and a borrowing-base condition that applies when the company lacks an investment-grade rating. At that date, KB Home reported a 0.311 leverage ratio against a 0.600 ceiling, a 5.616 interest-coverage ratio against a 1.500 minimum, and $2.04 billion of borrowing-base excess. Those are company-specific figures under its documents, not benchmarks for other builders (KB Home, Form 10-Q).

Trace guarantees, liens and priority
Identify which subsidiaries guarantee the facility, which entities are excluded and what exceptions apply. Then read the lien provisions: a facility may be secured, unsecured or supported differently across obligations. Check permitted liens and debt to understand what other claims may exist against assets, and review subordination or ranking language before describing which creditors have priority.
M/I Homes’ 2025 Form 10-K described its facility as senior unsecured and said subsidiary guarantees generally applied subject to stated exceptions. That is a company-specific description, not a general feature of homebuilder revolvers (M/I Homes, 2025 Form 10-K).

Locate the events-of-default section and note any grace periods or thresholds. Identify what a default permits lenders or the agent to do, including accelerating repayment, terminating commitments or exercising other remedies.

Then check amendment and waiver provisions. Determine the voting threshold for ordinary changes and whether particular lenders must consent to changes affecting their commitments, payments or other protected rights. A waiver may address a specific breach without rewriting the covenant; an amendment may change the continuing terms. Review the amendment history before relying on an original provision.

Compare facilities on the same basis
When comparing two homebuilders, use filings from the same or clearly stated reporting dates and keep contractual definitions visible. A larger commitment does not by itself mean greater usable liquidity, and covenant ratios cannot be compared responsibly without checking how each agreement calculates them.

What a filing can—and cannot—tell you
A filing reports the company’s position at a date and under its own facility terms. It can show reported compliance and availability, but neither nominal commitment nor covenant compliance alone guarantees that every borrowing or letter of credit will be funded in every circumstance. KB Home’s February 28, 2026 filing, while reporting compliance, also cautioned that access to full borrowing and letter-of-credit capacity depends on lenders’ ability and willingness to fund or extend credit (KB Home, Form 10-Q).
For a reliable reading, keep three things separate throughout: the contractual limit, the company’s reported calculation at a stated date, and the amount that could actually be drawn after all applicable conditions are satisfied.
