Do not assume that an employer described as “restricted” is automatically illegal to work for. First identify the exact U.S. measure, the legal entity it covers, the activity involved, and whether you are personally within its scope. This guide focuses on sanctions administered by the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC); export controls, government-contracting exclusions and other restrictions follow different rules.
Once you know the restriction, protect your position by pausing risky transactions, preserving employment records you are legally entitled to keep, obtaining situation-specific legal advice, and preparing a lawful career transition without copying confidential, export-controlled or blocked property.

What “U.S. restrictions” can mean for your job
“Restricted” is not a single legal status. OFAC explains that sanctions programs differ substantially: some broadly restrict transactions involving an entire jurisdiction, while others target named people, companies, industries or activities. A restriction may affect payments, services, property, financing or dealings with particular parties without making every job at the employer unlawful.
The first career mistake is treating a news report, customer notice or internal email as a complete legal analysis. Ask what government action actually occurred and what it covers. The answer could be an OFAC sanctions designation, an export-control measure, a government-contracting restriction or another rule outside the sanctions framework. The OFAC sources discussed here do not establish the rules for those other measures.

Four questions to answer before acting
- What is the measure? Record the agency, program, order, notice or list named in the communication.
- Which legal entity is affected? Distinguish the employing company from its parent, subsidiaries, trading names, contractors and affiliates.
- What conduct is restricted? Determine whether the rule concerns transactions, services, property, financing, exports, a sector or a named person.
- Who is covered? Your citizenship, residence, location, role, authority to approve transactions and connection to the affected property may matter. The sources cited here do not resolve every worker’s status.
How OFAC sanctions differ
OFAC’s distinctions help you estimate the kind of exposure you may face, but they do not by themselves answer whether your employment may continue.
| Restriction pattern | What it generally targets | Career question to investigate |
|---|---|---|
| Broad jurisdiction-based sanctions | Transactions involving a specified country or territory, subject to program rules, exceptions and authorizations. | Does your role involve transactions, services, payments or property connected with the jurisdiction? |
| Targeted person or entity sanctions | Named individuals or organizations, often with property and transaction prohibitions. | Is your employer, customer, owner, bank or counterparty the covered party, and what activities does your job perform? |
| Sector-based measures | Specified sectors or activities that may face narrower restrictions than a full blocking designation. | Is the activity you perform one of the listed restrictions, or is it outside the scope? |
| Blocked entity through ownership | An entity owned 50 percent or more in aggregate by one or more blocked persons can be blocked even if it is not separately named on the SDN List. | Have you checked ownership in aggregate rather than relying only on an exact-name list search? |
| Non-blocking list restrictions | Some OFAC lists impose restrictions without the full property-blocking consequences of an SDN designation. | What specific transactions or activities does the applicable list prohibit or limit? |
OFAC’s FAQ 10, updated August 21, 2024, warns that “Sanctions programs may change frequently.” A result you saw months ago may no longer describe the current status. Keep a dated copy of the notice and the list result you relied on, then recheck the official OFAC service before taking a consequential step.
Why a list search is necessary but not conclusive
Searching OFAC’s sanctions-list service is a useful starting point, not a complete legal conclusion. FAQ 91 explains that an entity may be blocked under the 50 Percent Rule even when its name does not appear on the SDN List. The rule aggregates ownership by blocked persons; it is not limited to a single owner holding a majority stake.

Use the exact legal name, registration details, location and ownership information from the notice, contract, invoice or corporate filing. A parent company, subsidiary and employer brand can have different legal identities. Do not assume that a designation of one affiliate automatically designates every company using the same logo, and do not assume the opposite without checking ownership and program language.
Check more than one OFAC list and the program text
OFAC maintains multiple lists and program-specific rules. A name appearing on a non-blocking list does not necessarily have the same effect as a blocked-person designation. Read the program description, applicable executive order or regulation, general licenses and official FAQs that accompany the listing.

Capture evidence of the check
- Save the date and time of the search.
- Record the exact legal name and any identifying information used.
- Note the program, list, ownership information and relevant result.
- Keep the original employer communication without altering it.
- Ask counsel whether the evidence is sufficient for the transaction or employment decision you face.
The narrow employment example in OFAC FAQ 568
OFAC FAQ 568 is unusually direct but deliberately narrow. Published April 6, 2018, it asks whether a U.S. person can continue to be employed by or sit on the board of certain entities blocked in connection with specified Russia-related designations. OFAC answers: “Absent authorization from OFAC, your continued employment or board membership with such an entity is prohibited.”
That sentence applies to the particular scenario described in the FAQ. It is not a universal rule that every worker must leave every employer affected by any U.S. restriction. It does not establish the outcome for a non-U.S. person, an unblocked subsidiary, a sectoral restriction, a different sanctions program or a different type of government action.
What to do if your situation resembles FAQ 568
- Confirm that the employer is the same type of blocked entity and that the designation and program are the ones covered by the FAQ.
- Confirm whether you are a U.S. person for the purpose of the applicable rule; do not guess based only on where you work.
- Stop making new commitments, approvals or transactions that could involve blocked property until qualified counsel reviews them.
- Ask counsel to analyze your employment, board role, compensation, equity, benefits and communications separately.
- Follow OFAC’s instruction to review contemplated severance actions against the applicable regulations, authorizations and public guidance.
- If a proposed action appears prohibited, ask about a specific license. Contact OFAC when you are uncertain rather than treating silence as permission.
A license application is a legal process, not a guarantee that authorization will be granted. Keep working only to the extent your counsel and the applicable authorization permit; do not create a personal exception by continuing a prohibited activity because a manager asks you to.
A practical response plan for the first 48 hours
1. Preserve the notice and make a fact sheet
Save the email, letter, filing or customer communication that raised the issue. Write down the date, sender, affected entity, named program, transactions mentioned, your job title, work location and any deadline. Separate confirmed facts from assumptions. This prevents a later discussion from relying on a headline or an inaccurate entity name.
2. Pause only the activities that may create exposure
Do not improvise a company-wide shutdown or destroy records. Instead, identify pending payments, shipments, approvals, onboarding decisions, board votes, customer support, technical access and other tasks that touch the affected entity or property. Ask compliance or counsel for written instructions on what to hold, what may continue and how to document the hold.

3. Avoid moving or copying sensitive material
For career preparation, retain personal employment records you are legally entitled to keep, such as your contract, pay statements, benefits information and performance reviews. Do not copy customer databases, source code, internal strategy, export-controlled technical data, personal data, trade secrets or property that may be blocked. A resume can describe your accomplishments using non-confidential information; it should not reproduce employer documents.

- Sanctions or regulatory counsel: to identify the program, entity, ownership, prohibited activity, authorization and reporting duties.
- Employment counsel: to address pay, benefits, leave, termination, severance, restrictive covenants, whistleblower protections, immigration and local employment law.
OFAC’s FAQs do not decide whether your employer may terminate you, must continue paying you, owes severance, or must preserve your immigration status. Those questions depend on facts and law outside the cited sanctions guidance.
5. Keep communications factual
Ask the employer to identify the legal entity, government action, affected activities and interim instructions. Use neutral language: request clarification rather than accusing colleagues of violating sanctions. Keep a private chronology of notices, meetings and decisions, but do not record conversations or remove documents in ways that violate local law or company policy.
Protecting income and career continuity
Review the employment documents you already possess lawfully
Locate your employment agreement, offer letter, compensation statements, equity documents, benefits summaries, leave balances, bonus criteria and any severance plan. Check governing-law and dispute-resolution clauses. Do not assume that a sanctions event automatically cancels contractual rights; have counsel determine whether performance has become unlawful, impossible or merely more difficult.
Prepare a non-confidential resume and portfolio
Describe role, scope, skills, outcomes and publicly verifiable products without naming restricted customers or revealing controlled information. Replace confidential numbers with accurate, non-sensitive descriptions such as team size, systems maintained or process improvements. Keep copies of work samples only when you have a clear right to use them.

Quietly rebuild your professional network
Contact former colleagues, professional associations and prospective employers using personal contact details and truthful explanations. You can say that regulatory uncertainty is prompting a career review; you do not need to disclose protected or confidential information. Ask prospective employers whether they have sanctions-compliance procedures relevant to your role, especially if the work involves cross-border payments, logistics, finance, cloud access or controlled technology.
Plan for several outcomes
- Business continues with limits: your role may be narrowed, reassigned or subject to approval controls.
- Temporary suspension: clarify pay, benefits, leave status, system access and review dates in writing.
- Resignation or termination: ask counsel about notice, severance, equity, references, unemployment or equivalent local benefits.
- Entity sale or restructuring: recheck the legal employer and ownership after the transaction; a new parent does not automatically answer every sanctions question.
Severing ties without creating a new violation
Leaving a company can involve more than submitting a resignation. You may need to return equipment, transfer accounts, receive final pay, exercise equity, settle expenses, sign releases or participate in a board resignation. In the FAQ 568 scenario, OFAC specifically directs the covered person to review contemplated actions needed to sever ties against applicable regulations, authorizations and public guidance.
Build a written exit checklist
- Ask counsel which resignation, board, payroll, benefits and property-return steps are permitted.
- Identify who may receive your notice and who may approve final payments or transfers.
- Separate personal property from company property before returning equipment.
- Do not transfer blocked funds, securities, tokens, customer information or technical files to a personal account.
- Obtain confirmation of final wages, benefits and tax documents through an approved channel.
- Keep a copy of the signed resignation or board notice and delivery evidence if counsel approves retaining it.
If a contemplated step appears prohibited, OFAC’s FAQ 568 says to apply for a specific license and to contact OFAC if you are uncertain. A rushed payment or data transfer can create a separate problem even when your goal is simply to leave.
When the restriction is not an OFAC sanctions case
Some headlines use “U.S. restrictions” to describe export controls, denial of government contracts, investment restrictions, telecommunications rules, immigration limits or court orders. The OFAC framework cannot be substituted for those regimes.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsExport controls
If your work involves controlled technical data, software, hardware or destinations, ask the employer’s export-compliance officer which access and transfer rules apply. Do not download files for your portfolio or send them to a personal device while trying to protect your career.

Government-contracting restrictions
A contractor may lose a contract, be suspended or face a procurement limitation without being an OFAC-blocked entity. Ask whether the restriction applies to a specific contract, facility, subsidiary, employee role or funding stream.
Immigration and cross-border employment
A relocation, payroll change or employer restructuring can affect work authorization independently of sanctions. Consult qualified immigration counsel before changing location, payroll entity or job duties.
Common mistakes and safer alternatives
| Mistake | Why it is risky | Safer approach |
|---|---|---|
| Assuming a media label means the employer is blocked. | “Restricted” may describe a sector, jurisdiction or non-OFAC measure. | Obtain the program, legal entity and activity in writing. |
| Searching only the SDN List. | FAQ 91 says ownership can block an entity absent a separate listing, and other lists can be non-blocking. | Check ownership, other applicable lists and program rules. |
| Applying FAQ 568 to every worker. | The FAQ covers a U.S. person, specified Russia-related blocked entities and a particular question. | Use it only as a fact-specific example and obtain advice. |
| Continuing approvals to prove loyalty. | A transaction or service may be the prohibited conduct, even if your title remains unchanged. | Pause the activity and obtain written compliance instructions. |
| Taking company files for a job search. | Files may contain confidential, personal, export-controlled or blocked material. | Use non-confidential descriptions and lawfully retained personal records. |
| Resigning before checking severance mechanics. | Notice, final pay, equity and property transfers may require regulatory review. | Have sanctions and employment counsel review the exit plan. |
| Relying on an old sanctions result. | OFAC says sanctions programs may change frequently. | Recheck the current official service and preserve the date of the check. |
Questions to take to counsel and compliance
- What exact legal entity employs me, and is it the entity named or covered by the measure?
- Is the restriction blocking, non-blocking, jurisdictional, sectoral or unrelated to OFAC?
- Does the 50 Percent Rule affect this entity through aggregate ownership?
- Which of my duties involve payments, services, property, exports, customers or counterparties within scope?
- Am I permitted to receive salary, reimbursement, equity, benefits or severance, and through which channel?
- May I continue working, transfer teams, take leave or access systems while the review is pending?
- What records may I retain, and what must be returned or deleted?
- Would a specific license, general license or other authorization apply?
- What reporting deadline, if any, applies to blocked property or a blocked transaction?
- What employment, wage, benefits, immigration or local-law rights require separate advice?
Official channels and reporting awareness
OFAC directs users to its sanctions-list service, license-application process, reporting resources, delisting information and compliance hotline. Use those official channels for current information and questions about the sanctions rules. Do not treat an internet search, a vendor’s screening result or an informal instruction as a substitute for the program text and professional advice.
OFAC’s broader guidance also includes deadlines for certain blocked-property reports. A reporting deadline is a legal obligation tied to the relevant property and rule, not a measure of how many jobs are at risk. Ask counsel whether any reporting duty applies to your facts before moving or disposing of property.
A decision framework for protecting your next move
- Classify: identify the agency, program, entity, ownership and activity.
- Contain: pause potentially covered transactions and preserve notices without copying sensitive data.
- Clarify: obtain written instructions from compliance and advice from sanctions and employment counsel.
- Document: keep lawful personal employment records, dated list checks and a factual chronology.
- Continue or exit lawfully: follow authorized work instructions, or execute a reviewed resignation, transfer or severance plan.
- Recheck: verify current OFAC status after ownership changes, delistings, new designations or program updates.
Your best protection is not a blanket decision to stay or leave. It is a documented, fact-specific process that distinguishes the employer’s legal entity from its brand, the actual restriction from a headline, and your employment rights from sanctions compliance. That process gives you a safer basis for deciding whether to continue, seek authorization, change roles or move to another employer.
