Design your exit before you choose a generative-AI provider. Keep your data, prompts, evaluation sets, application code, configurations, logs, and other contract-produced assets under your control; require usable exports and documentation; isolate provider-specific APIs behind a replaceable interface; and put transition rights, licensing, pricing, and egress terms in the contract. Then prove the plan with a migration rehearsal before the system becomes business-critical.
These measures reduce switching friction, but they cannot make two models interchangeable. A replacement may produce different answers, latency, safety behavior, or cost. The realistic objective is an economically and operationally credible exit—not a promise of identical output.

What vendor lock-in means in generative AI
Lock-in is dependence on one supplier that makes changing providers impractical, excessively expensive, or too risky. In generative AI, that dependence extends well beyond whether you can download a database. It can include:
- Unavailable or unusable information: prompts, templates, retrieval indexes, embeddings, metadata, logs, evaluation data, model settings, or workflow records may be missing, incomplete, or delivered in a format another system cannot use.
- Knowledge held by the supplier: undocumented tuning, hidden routing, operational runbooks, labeling decisions, and integration assumptions can leave your team unable to rebuild or operate the service.
- Restrictive rights: a contract may let you export an asset while limiting your right to modify, train on, share, or run it elsewhere. Third-party and model licenses can impose additional constraints.
- Non-interoperable services: applications may depend on proprietary API fields, tool-calling behavior, identity integrations, safety controls, or workflow orchestration that another provider does not support.
- Exit economics: egress fees, transition-assistance charges, overlapping subscriptions, engineering work, retraining, and downtime can make an otherwise possible move unaffordable.
- Operational dependence: your staff may lack the skills, test suites, credentials, or runbooks needed to operate during a transition.
OMB Memorandum M-24-18 describes the same pattern in federal acquisition: “Contractual requirements can help prevent vendor lock-in, which may arise from unreasonably high costs to switch vendors, insufficient knowledge transfer and documentation about acquired AI systems and services, unreasonable licensing restrictions, and maintenance and auditing practices intended to prevent agencies from switching vendors or reducing use of acquired AI and supporting infrastructure.” Although that memorandum is federal guidance, its categories are a useful checklist for any buyer.

The European Commission’s Interoperable Europe Portal describes the underlying cloud problem: when essential information is unavailable to a new supplier, changing providers becomes difficult; low interoperability and low portability increase dependence on the incumbent. Generative-AI systems add model artifacts, prompts, evaluations, and behavior-specific integrations to that familiar problem.
Map what would have to move
Before requesting proposals, draw the complete technical and operational stack. A model endpoint is only one dependency. Mark the owner, format, location, backup method, contractual rights, and replacement plan for every item.
| Layer | Examples to inventory | Exit question |
|---|---|---|
| Business inputs and outputs | User prompts, source documents, generated text or media, approvals, feedback, and retention records | Can the organization export complete records with timestamps, identifiers, and relationships intact? |
| Prompt and workflow logic | System prompts, templates, guardrails, tool definitions, routing rules, agents, and post-processing code | Are these assets stored in a repository you control, or only in a provider console? |
| Retrieval layer | Source files, chunking rules, metadata, embeddings, vector indexes, filters, and access mappings | Can you recreate retrieval with another database or embedding model, and do you have the original source data? |
| Model adaptation | Fine-tuning datasets, adapters, checkpoints, preference data, labels, and training configuration | What can be exported, under which license, and with what runtime requirements? |
| Application and integration | API calls, schemas, SDKs, webhooks, identity and access management, queues, monitoring, and downstream systems | Which components rely on provider-specific behavior or credentials? |
| Operations and evidence | Evaluation sets, test results, audit logs, incident records, safety configurations, cost data, and runbooks | Could another team reproduce, test, secure, and support the service from the records you retain? |
| Infrastructure | Compute, storage, networking, hardware accelerators, model hubs, system integrators, and managed services | Which infrastructure assumptions would change during a move, and who can operate the replacement? |
This is a planning checklist, not a claim that every item is transferable between every vendor. Some embeddings, fine-tuning artifacts, safety policies, or proprietary tools may need to be regenerated. Identify that work early and price it honestly.
Include every participant in the stack
OMB’s technical-stack description covers data collectors and labelers, model developers, downstream developers, model hubs, hardware and compute providers, system integrators, and AI service providers. A contract with the model endpoint alone cannot guarantee that a labeling pipeline, hosted index, accelerator dependency, or integrator’s undocumented code can move. Assign an owner and an exit requirement to each participant.
Put portability requirements in procurement
Portability is a procurement requirement, not a feature to discover after deployment. Add acceptance criteria to the request for proposals and make them testable.
Ask for a demonstrated export
Require each bidder to show how it exports representative data and artifacts in the environment you intend to use. Ask the bidder to identify any item that cannot be exported, any conversion required, and any rights that do not travel with the file. A screenshot of a download button is not evidence of a usable exit.

- Specify the records, metadata, identifiers, relationships, and history that must be included.
- Specify machine-readable formats and a schema or data dictionary. For model-related files, require the runtime, dependencies, tokenizer or preprocessing details, and version information needed to use them.
- Define delivery deadlines, integrity checks, encryption, transfer method, and a process for correcting an incomplete export.
- Require documentation for configuration, prompts, evaluation procedures, identity integration, monitoring, incident response, and known limitations.
- Ask the vendor to run a replacement or interoperability demonstration using your representative workflow, not a generic sample.
Make replacement measurable
Define what “replaceable” means for your use case. For example, acceptance may require importing a selected dataset into a second environment, replaying a fixed evaluation set, reproducing access controls, and running a critical workflow without undocumented manual steps. Record the effort, elapsed time, conversion loss, and supplier assistance required. OMB specifically recommends well-defined APIs and robust documentation that facilitate transition; use those as explicit evaluation criteria.
Score the whole provider, not only the model
Compare viable options on the following axes. The sources do not prescribe universal weights, so set weights according to your risk, workload, and regulatory obligations.
| Decision axis | Evidence to request | Questions for your team |
|---|---|---|
| Task quality | Results on your repeatable evaluation set, including failure cases | What quality loss is acceptable for a replacement? |
| Data and artifact portability | Export schema, sample package, conversion tools, and documented exclusions | Can you restore the package without the incumbent’s console? |
| API interoperability | Versioned specifications, authentication options, rate-limit behavior, error semantics, and webhook contracts | Can your application call a second provider through an internal interface? |
| Documentation and knowledge transfer | Architecture diagrams, runbooks, training plan, support procedures, and operational demonstrations | Could your staff or a new supplier operate the system? |
| Licensing and rights | Terms for data, code, prompts, outputs, fine-tunes, logs, and third-party components | May you modify, reuse, share, or migrate each asset? |
| Security, privacy, and governance | Data-use controls, retention, access logs, incident processes, regional options, and audit evidence | Would a replacement preserve required controls and obligations? |
| Transition support | Named services, response times, staffing, fees, and wind-down process | What happens if the provider is acquired, fails, or discontinues the service? |
| Lifecycle cost | Usage, storage, training, support, minimums, overages, egress, and overlap costs | What is the cost of leaving at your expected scale? |
Negotiate a contract that makes exit real
A portability promise is weak if the agreement does not define deliverables, rights, timing, and assistance. Have counsel adapt the terms to your jurisdiction, sector, and data obligations.
Define the portable deliverable
Attach an inventory and export specification to the agreement. State whether the supplier must return raw inputs, generated outputs, prompts, templates, metadata, logs, evaluation data, indexes, embeddings, fine-tuning artifacts, configurations, code, and documentation. “Customer data” may not automatically include all of these categories.
State the format, encryption, integrity verification, delivery location, retention period, and maximum delivery time after a request or termination. Require continued read-only access during an orderly wind-down and a secure deletion certificate only after you confirm that the export is complete.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesSecure rights separately from possession
Receiving a file does not grant permission to reuse it. Negotiate appropriate rights to code, data, prompts, outputs, configurations, and models produced under the contract. Review third-party and model licenses separately; a supplier cannot grant rights it does not own. Address derivative works, internal testing, migration to another provider, archival copies, and disclosure to a replacement contractor where those uses are necessary.

Require knowledge transfer
Include a documented knowledge-transfer and staff-training plan. It should cover architecture, dependencies, deployment, monitoring, security controls, evaluation, incident handling, and known failure modes. Require operational demonstrations and documentation sufficient for another provider to build on or integrate with the system. Name deliverables, responsible personnel, dates, and acceptance tests rather than relying on a general “reasonable assistance” clause.
Set transparent lifecycle pricing
Request pricing by domain or use case across the full lifecycle: implementation, inference, storage, fine-tuning, evaluation, support, minimum commitments, overages, data transfer, and transition. Address egress and other charges for taking data or business away from the service explicitly. Require advance notice of material price or API changes and a defined period in which you can export before a discontinuation takes effect.
Handle pricing confidentiality carefully
OMB M-24-18 includes provisions relevant to federal agencies, including restrictions on terms that impede sharing pricing information. Other buyers should treat that memorandum as a procurement reference, not as automatically applicable law. Obtain jurisdiction-specific advice and write any transparency rights your organization needs into the agreement.
Cover supplier failure and service changes
Define what happens if the provider discontinues a model, changes an API, enters insolvency, is acquired, or loses a required certification. A wind-down period, export assistance, escrow or equivalent continuity arrangement where appropriate, and an obligation to preserve documentation can turn a sudden outage into a managed transition.
Architect the application for replacement
Use a stable internal interface between your application and provider-specific APIs wherever that abstraction does not erase capabilities you genuinely need. Keep the interface small and explicit: request and response schemas, model-selection fields, tool calls, streaming behavior, errors, usage accounting, safety outcomes, and timeouts. Version it and test it independently.
Keep provider-specific behavior visible
Do not hide every difference behind a lowest-common-denominator wrapper. Track provider-specific features—such as a special tool protocol, long-context setting, or moderation control—in configuration and documentation. Make their use a deliberate choice with a fallback or removal plan. Otherwise, an abstraction can conceal new lock-in while appearing portable.

Control your own systems of record
Keep source data, application code, evaluation data, prompts, configuration, and operational records in repositories your organization can access and back up independently, subject to security and privacy requirements. A provider may process a copy, but it should not be the only place where a critical artifact exists. Use automated exports and restore tests rather than assuming that a dashboard download will work during an incident.
Design retrieval for regeneration
Retain original documents and metadata, not only provider-generated vectors. Record chunking, preprocessing, embedding-model version, index settings, filters, and access mappings. If a new embedding model is required, you can rebuild the index from source data instead of treating an opaque vector store as irreplaceable.
Version prompts and configurations
Store prompts, templates, model parameters, tool schemas, safety rules, routing decisions, and evaluation thresholds in version control. Link each production result to the versions used. This makes it possible to reproduce behavior, compare a replacement fairly, and roll back a change.

Build a repeatable evaluation set
Create a representative, privacy-appropriate set of tasks and failure cases. Measure quality, factuality or task success, latency, reliability, security and privacy controls, integration effort, and total cost. This is an engineering comparison framework, not a universal benchmark mandated by the cited standards. Keep the set stable enough to compare providers and update it when real incidents reveal a new failure mode.
Run a migration rehearsal
- Select a realistic slice. Include production-shaped inputs, metadata, permissions, prompts, retrieval content, logs, and downstream integrations, with sensitive data handled according to policy.
- Export from the incumbent. Use the documented process and record elapsed time, staff hours, transfer fees, missing fields, conversion errors, and supplier assistance.
- Restore in an independent environment. Confirm that the package can be read, searched, backed up, and audited without the incumbent’s console or credentials.
- Rebuild dependencies. Recreate indexes, authentication, webhooks, tool calls, monitoring, and workflow steps. Document every manual workaround.
- Replay the evaluation set. Compare task quality, latency, reliability, safety and privacy behavior, integration changes, and total transition cost. Expect differences rather than identical output.
- Exercise operations. Have your own staff follow the runbooks for deployment, incident response, access changes, rollback, and data restoration.
- Fix the contract and design. Turn every failed step or undocumented dependency into a requirement, deliverable, or architectural change before production launch.
Retain skills and runbooks
At least one internal team should understand the data flows, interface, evaluation process, and recovery steps. Supplier-managed services can remain useful, but exclusive operational knowledge is itself a lock-in vector. Review documentation after major model, API, or workflow changes.

Best Value
Use standards and governance as organizing tools
Standards can structure questions, but none of the following is a portability certification.
- ISO/IEC 19941:2017 specifies cloud interoperability and portability types and their relationship. Verify its current status and detailed requirements before relying on it for a purchase decision.
- ISO/IEC 22624:2020 provides a framework for cloud data-handling policies and practices, including access, portability, use, management, governance, location, and cross-border flows. ISO says it was reviewed and confirmed current in 2025. It can inform the data-handling part of an exit plan, but it is not an AI model-interchange guarantee.
- NIST AI Risk Management Framework 1.0 is voluntary, and NIST says it is being revised. NIST released its Generative AI Profile on July 26, 2024. These resources help organize risk governance; they do not certify that a service is portable.
- NIST SP 800-218A (July 2024) supplements SSDF 1.1 with practices relevant to generative AI and dual-use foundation models for producers and acquirers. It can strengthen secure development and acquisition work, but it does not by itself make a model or service portable.
Map each governance control to a concrete artifact: an export test, a contract clause, a versioned evaluation set, an access record, a runbook, or a migration exercise. A framework without those controls will not lower switching costs.
Common mistakes and how to correct them
“The API is standard, so we are portable.”
An HTTP endpoint does not standardize model behavior, tool calls, safety responses, quotas, identity, or data rights. Keep an internal interface, document differences, and test a second implementation.
Quick wins for a faster PC:
Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Clear out junk files and repair common Windows errorsFree Scan →“We can download our data later.”
Late exports may omit metadata, logs, indexes, configuration, or relationships, and the terms may prohibit reuse. Define the complete package, rights, format, timing, and verification before signing.
“Our prompts are the only valuable asset.”
Prompts depend on model versions, retrieval context, tools, preprocessing, and post-processing. Preserve the surrounding configuration, source data, evaluations, and code so another system can be tested fairly.
“A fine-tune will transfer unchanged.”
Weights, adapters, tokenizers, training data, licenses, and runtime dependencies may not be accepted elsewhere. Treat portability as an explicit technical and legal question; plan to regenerate when necessary.
“A multi-provider setup eliminates lock-in.”
It may reduce concentration while increasing cost and operational risk. Compare the added controls and staffing with a well-tested single-provider exit plan.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
“A certification or framework guarantees portability.”
Governance frameworks organize risk. They do not guarantee exportability, rights, interoperability, or equivalent model performance. Verify those properties directly.
A practical decision sequence
- Set the exit objective. Decide the maximum acceptable downtime, quality change, transition duration, and cost for your critical use case.
- Inventory dependencies. Map data, prompts, retrieval, adaptation, code, integrations, infrastructure, records, rights, and skills.
- Write procurement tests. Require export demonstrations, API documentation, replacement evidence, knowledge transfer, and lifecycle pricing.
- Negotiate the agreement. Define deliverables, formats, rights, assistance, wind-down access, egress, price transparency, and supplier-failure procedures.
- Build the seam. Use a versioned internal interface and keep provider-specific capabilities explicit.
- Own the records. Back up source data, code, prompts, configurations, evaluations, and logs independently.
- Rehearse before launch. Perform an end-to-end export, restore, rebuild, evaluation, and operations exercise with representative data.
- Review continuously. Repeat the exercise after major model, API, contract, or architecture changes and when the provider announces a discontinuation.
The strongest protection is a credible alternative: the information, rights, interfaces, skills, and budget to move when you choose. Portability is therefore an ongoing operating capability, not a checkbox completed at contract signature.
