The reliable way to stop pre-departure copying is a layered process: classify trade-secret repositories, limit access to what each role needs, monitor file access and transfers, control removable media and external sharing, and execute a documented notice-to-separation checklist. No single alert or policy is enough. Controls should deter copying, reveal it quickly, and preserve evidence if an investigation becomes necessary.
DOJ best-practice material recommends exit procedures, compartmentalized access, real-time monitoring and auditing, and content-management, data-loss-prevention (DLP), and network-forensics tools. The practical objective is to make legitimate work easy while making unexplained bulk collection, forwarding, archiving, or copying visible and reviewable.

What you are trying to protect
Start by defining the information that would materially harm the business if a departing worker retained or disclosed it. Depending on your company, that may include source code, formulas, product road maps, pricing models, customer lists, designs, manufacturing methods, security configurations, contracts, research data, or unpublished financial information. Treat the classification as an operational map, not a label exercise: every sensitive category should have an owner, an approved repository, an access group, and a retention rule.

Over-classifying everything creates alert fatigue and encourages broad access; under-classifying a small set of high-value files leaves the most important material exposed. NIST SP 1800-28 addresses identifying and protecting assets against data-confidentiality attacks, which is a useful model for connecting inventory, classification, and protective controls.

Create a repository inventory
- List file shares, code repositories, document-management systems, cloud drives, email stores, databases, backup locations, and collaboration spaces that contain sensitive material.
- Record the business owner, technical owner, approved user groups, external guests, download capability, sharing settings, and logging available for each repository.
- Mark whether the repository permits local synchronization, offline copies, printing, screenshots, API access, or removable-media export.
- Review the inventory at a defined cadence and whenever a system, team, or project changes.
Use practical classification levels
A small number of levels is easier to enforce. For example, designate information as public, internal, confidential, or restricted trade secret. Restricted material should require a documented business need, stronger authentication, tighter sharing defaults, and more detailed audit records. Put handling instructions beside the classification so employees know whether they may download, email, print, or copy an item.
Controls to put in place before anyone gives notice
Prevention works best when it is normal business practice rather than an improvised reaction to one employee. CISA describes the goal this way: “A holistic insider threat mitigation program combines physical security, personnel awareness, and information-centric principles.” Build those elements before a resignation is announced.
Compartmentalize access
- Use role-based groups and least privilege. Grant access to a project or repository, not to an entire department by default.
- Require multi-factor authentication for identity-provider, VPN, SaaS, administrative, and remote-access accounts.
- Separate ordinary user accounts from privileged administration accounts, and review privileged membership regularly.
- Set external sharing to deny by default for restricted repositories. Require an owner-approved exception with an expiration date.
- Remove dormant accounts, inherited permissions, and broad links. Review service accounts and API tokens as carefully as human accounts.
Access reviews should verify both what a person can open and what they can do after opening it. Read-only access, blocked downloads, watermarked exports, and approval-based sharing can reduce exposure without interrupting necessary work.

Monitor the paths used for copying
Enable logs for reads, searches, modifications, deletions, downloads, sync events, permission changes, sharing changes, and administrative actions. Centralize the records where practical so a user cannot erase the only copy by deleting a local log. Configure alerts for behavior that warrants review, including:

- Bulk reads or downloads from a restricted repository.
- Creation of archives containing many files.
- Unusual uploads to a personal or newly added cloud service.
- Forwarding of sensitive messages or attachments to personal email.
- Writes to USB devices or other removable media.
- Large or unusual transfers outside the employee’s normal project, location, or work hours.
- Rapid changes to sharing permissions, deletion of audit records, or attempts to disable security software.
Alerting is not proof of theft. Tune thresholds against normal work patterns, document who reviews alerts, and record the disposition of each investigation so the program improves rather than becoming background noise.
Control removable media and local copies
Use managed removable media where business needs require it, and block or restrict unapproved USB storage. Apply endpoint controls that can record device identifiers, file names, users, and timestamps when files are written. Disable local synchronization for repositories that do not need offline access. If offline work is necessary, use an approved encrypted location and an expiration or revocation process.
Keep policies enforceable and consistent
Maintain current confidentiality, acceptable-use, return-of-property, monitoring, and remote-work policies. Explain what is monitored, the business purpose, and prohibited transfers. Apply the same rules to comparable roles and document exceptions; inconsistent enforcement weakens both deterrence and the credibility of a later investigation.

- [Dont Hesite to Order] 24 hours customer services and professional technology team are standing by
- Confirm the timing and role. Record the notice date, planned last working day, current projects, reporting line, work locations, devices, and any approved transition duties.
- Reassess access immediately. Review permissions, privileged roles, external shares, forwarding rules, recent searches and downloads, endpoint posture, active sessions, and tokens. WIPO advises assessing the risk of allowing a departing employee to retain access until the last day.
- Choose an access decision. The approver should document whether access is maintained for continuity, reduced to specific repositories, supervised, or ended immediately. State the business reason and the exact time and systems covered.
- Check recent activity. Compare access and transfer logs with the employee’s assigned work. Look for bulk reads, archive creation, personal-email forwarding, unusual cloud uploads, USB writes, or access to projects outside the stated role. Preserve relevant records before routine retention removes them.
- Give a written reminder. Restate confidentiality, acceptable-use, return-of-property, and no-copying obligations in a neutral written notice. Identify the property and records that must be returned and the approved method for transferring work.
- Plan the handoff. List business records that must move to an approved repository, the receiving owner, and the deadline. Do not ask the employee to create an ad-hoc personal copy for a successor.
DOJ best-practice material notes that most intellectual-property theft by employees occurs within one month of resignation. Treat that as guidance for heightened review around departure, not as a universal prediction about every employee or jurisdiction.
Final-day separation checklist
Schedule the cutoff with HR and the manager, then execute it consistently. FTC guidance says: “Have a procedure in place for making sure that workers who leave your employ or transfer to another part of the company no longer have access to sensitive information.”
- Disable digital identity. At the approved time, suspend the identity-provider account and revoke VPN, SaaS, email, collaboration, and administrative sessions. Invalidate API tokens, personal access tokens, application passwords, and active refresh tokens.
- Remove physical access. Deactivate badges and facility permissions; collect keys, identification cards, access fobs, and other credentials.
- Collect company property. Retrieve laptops, phones, tablets, removable media, paper records, storage devices, and security keys. Record serial numbers, condition, date, and the person receiving each item so custody is clear.
- Complete the approved handoff. Move business records through designated repositories. Verify that the receiving owner can access them, then remove temporary sharing links and guest permissions that are no longer needed.
- Preserve before reuse. If activity is relevant to a concern, preserve the appropriate logs and devices before wiping, reimaging, or reassigning equipment. Coordinate the scope and method with legal and privacy advisers.
- Close residual access. Check shared passwords, service accounts, distribution lists, forwarding rules, mobile-device management, backup consoles, code-signing credentials, and vendor portals. Rotate shared secrets when the departing worker knew them.
How to prove whether files were copied
Proof comes from correlating independent records, not from one alarming event. Build a timeline that connects the person, asset, action, destination, and time.
Sources of evidence
| Source | Useful events | Questions it can answer |
|---|---|---|
| Endpoint logs | File access, archive creation, USB writes, sync activity, security-agent events | Was data collected locally, compressed, or written to removable media? |
| Cloud and repository logs | Searches, reads, downloads, shares, permission changes, deletions | Which files were accessed, by which account, and from which session or device? |
| Email and collaboration records | Forwarding, attachment sends, external recipients, link creation | Did sensitive material leave through personal or newly added accounts? |
| DLP and network records | Policy matches, upload destinations, transfer volume, blocked or allowed events | Was a transfer attempted, stopped, or completed? |
| Identity and access systems | Sign-ins, token use, VPN sessions, MFA events, privilege changes | Was the account used by the employee, from an unusual device, or after access should have ended? |
Preserve the original records in a controlled location, note collection timestamps, identify custodians and handlers, and keep a written chain of decisions. Retention periods depend on your systems, policies, contracts, and legal obligations; set them deliberately rather than assuming a vendor’s default will preserve what you need.

Interpret signals carefully
A large download may be a legitimate project export, a scheduled backup, or unauthorized collection. Compare the event with assigned duties, approved tickets, destination, file sensitivity, and prior behavior. Avoid changing a device or confronting the employee before an evidence and legal plan exists, because premature action can destroy context or trigger deletion.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What to do when copying is suspected
- Preserve first. Secure endpoint, cloud, email, DLP, and access-control logs and document timestamps, custodians, and handlers. Preserve relevant devices before wiping or reassigning them.
- Limit further exposure. Apply the approved access decision, revoke sessions or tokens when justified, and protect repositories without altering unrelated records.
- Engage counsel. Trade-secret counsel can assess injunctions, civil remedies, criminal referral, employment restrictions, contracts, and jurisdiction. Employment, privacy, labor, and cross-border rules may affect searches and monitoring.
- Investigate proportionately. Define the question, systems, date range, and people in scope. Use documented, consistently applied procedures and keep personal data unrelated to the question out of the review.
- Communicate on a need-to-know basis. Avoid accusations or broad notices until facts and legal strategy are established. Preserve confidentiality of the investigation.
Choosing a layered control set
The following comparison shows how common controls contribute differently. “Visibility” describes the systems the control can cover when integrated; it is not a guaranteed product capability or a measured performance result.
| Control | Endpoint | Cloud and email | USB and removable media | Prevention value | Evidence value | Deployment and privacy considerations |
|---|---|---|---|---|---|---|
| Least privilege and role-based access | Indirect | Strong for repositories and sharing | Indirect | Reduces the files available to copy | Access and permission history | Requires accurate role ownership and periodic review |
| MFA and session/token revocation | For managed sign-ins | Strong for identity, VPN, and SaaS | Indirect | Blocks use of stale credentials | Sign-in, token, and session records | Coordinate timing to avoid interrupting approved handoffs |
| DLP and download controls | When an endpoint agent is deployed | Strong where connectors exist | Can block or alert on writes | Stops or warns on policy-defined transfers | Policy matches, destinations, and outcomes | Rules need tuning; retention is set by policy and system capability |
| Managed removable media | Strong on enrolled devices | Not applicable | Strong for approved devices | Prevents unapproved USB export | Device, user, file, and timestamp records when configured | Requires an exception process for legitimate field work |
| Real-time monitoring and auditing | Strong with endpoint telemetry | Strong with repository and mail logs | Strong when device events are logged | Raises the chance of early intervention | Broad timeline across systems | Alert volume, employee notice, and proportionality must be managed |
| Exit checklist and property recovery | Device and account closure | Account, forwarding, and token closure | Collection and custody | Closes access at separation | Approvals, timestamps, inventory, and custody records | Low technical burden; depends on consistent execution |
No control covers every path. For example, repository permissions will not stop a permitted user from photographing a screen, while endpoint monitoring may miss activity on an unmanaged personal device. Combine preventive restrictions, visible logging, and a reliable human process.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsGovernance, testing, and continuous improvement
Assign ownership
Name an owner for each sensitive repository and a coordinator for the notice-to-separation process. Define who can approve continued access, who reviews alerts, who preserves records, and who contacts counsel. Keep an escalation roster current, including after-hours contacts for urgent departures.
Best Value
Test the process without staging a false accusation
- Run a documented tabletop exercise using a fictional departure and verify that HR, the manager, IT, security, and legal know their roles.
- Audit a sample of departures for timely account disablement, token revocation, property custody, and removal of external shares.
- Review whether alerts include enough context to identify the file, account, device, destination, and outcome.
- Measure false positives and missed events, then tune rules and access groups.
- Confirm that logs remain available for the period required by your policy, contracts, and applicable law.
Train employees and managers
Explain why trade secrets are restricted, how to request an approved export, what personal-email and USB rules apply, and how to report a suspected loss. Train managers to notify HR and security promptly when notice arrives rather than copying files themselves or conducting an informal search.
Privacy and legal boundaries
Monitoring, searches, employee restrictions, and trade-secret remedies vary by jurisdiction and may be affected by labor agreements, privacy laws, employment contracts, and cross-border data-transfer rules. Give employees clear notice of monitoring where required, collect only information relevant to a defined security purpose, restrict investigative access, and document proportionality. Obtain employment, privacy, and trade-secret counsel before covert searches, accusations, device examination, restrictive measures, or litigation.
The strongest program is predictable: sensitive assets are classified, access is limited before a resignation, unusual transfers generate reviewable records, and every separation follows the same approved sequence. That combination protects continuity while reducing the opportunity and uncertainty that make pre-departure copying difficult to detect.
