How to Preserve Project Files and Records When an Archaeology Firm Closes

When an archaeology firm closes, preserve the archive as a custody-and-continuity problem, not as a simple file copy. Identify the authorized custodian, inventory every project record, keep lawful access to cloud and local systems, protect context and sensitive information, and transfer the physical and digital archive to the client and intended repository with a documented receipt. Ownership, retention duties and disclosure rules depend on the contract, jurisdiction, funder, record type and whether formal insolvency has begun.

What must be preserved

A final report is only one part of an archaeological archive. A project may also contain the evidence needed to understand, verify and reinterpret the work years later. Historic England describes archives as written and visual documentation in paper, film and digital forms, together with finds, environmental remains and samples. Digital records can be the only surviving product of a project.

Record group Examples to locate Why it matters
Project administration Contract, scope, permits, correspondence, invoices relevant to ownership or delivery, meeting notes and archive-plan decisions Establishes obligations, title, decisions and the chain of custody
Field records Context sheets, registers, notebooks, sample logs, trench records, survey notes and field databases Preserves how observations were made and linked to objects or locations
Visual records Photographs, negatives, scans, drawings, plans, section drawings, photogrammetry and image metadata Retains spatial and visual evidence that a narrative report may compress
Structured digital data GIS projects, CAD files, relational databases, spreadsheets, specialist datasets, scripts, exports and readme files Maintains machine-readable information, relationships and potential for reuse
Interpretation and outputs Draft and final reports, specialist reports, illustrations, publication files and correspondence with reviewers Documents analysis, revisions and the basis for published conclusions
Physical archive Finds, environmental remains, samples, boxes, labels, conservation records and storage-location details Connects digital documentation to the material collection

For each project, record the client and contract, site and project identifiers, the physical-archive location, all digital storage locations, the repository named in the archive plan, deposition status and accession references. Add known copyright or title arrangements and any personal, confidential or sensitive-location restrictions. This is a practical inventory assembled from archaeological archive requirements; no single form is universal.

Act first: a closure-response sequence

The order matters. A subscription can lapse, a device can be wiped, or an insolvency practitioner can restrict access before someone has copied the inventory. Take only actions you are authorized to take.

  1. Establish the legal situation. Determine whether the firm has merely stopped trading or is in administration, liquidation or another formal insolvency process. Identify the director or authorized records contact, the client and any appointed insolvency practitioner or official receiver. If a legal custodian has been appointed, obtain written authority for access, copying and transfer.
  2. Freeze avoidable change. Ask authorized administrators to stop automatic deletion, account closure, device recycling and software-seat cancellation. Do not alter source files or reorganize a live repository before an inventory has been captured.
  3. Locate all copies. Check offices, storage units, network shares, staff laptops, removable media, personal devices used for work, email, project-management systems, GIS and CAD platforms, databases, cloud drives and repository portals. Note systems that are inaccessible, encrypted, incomplete or dependent on a former employee’s credentials.
  4. Create a project-level inventory. Use one entry per project or site. Record file paths or box locations, formats, approximate dates, volume, owner or custodian, access restrictions, missing items and whether the material has been deposited.
  5. Secure an authorized working copy. Copy data to reliable, access-controlled media while maintaining the original structure and filenames. Keep a manifest identifying what was copied, by whom, when, from which system and with what exclusions or redactions.
  6. Coordinate the destination. Contact the client, named museum or repository and any trusted digital repository identified in the archive plan. Agree what will be transferred, what requires restriction and what evidence of receipt will be issued.
  7. Document completion. Retain transfer lists, accession or deposit receipts, delivery dates, responsible people and links between digital files, boxes, finds and samples.

Who controls the records?

Closure does not automatically decide ownership. A firm may have created records without owning every copy, find, sample, image or database. The contract may give the client title to deliverables while copyright, database rights, physical ownership and personal-data responsibilities remain distinct. A funder, planning authority, museum, landowner or public agency may also have specified deposition terms.

Ask these questions for each project:

  • Who commissioned the work, and what does the contract say about title, copyright, licences, confidentiality and delivery?
  • Who owns or legally holds finds, environmental remains and samples?
  • Does the archive plan name a museum, repository or digital archive?
  • Has an accession number, deposition agreement or transfer-of-title document already been issued?
  • Is an insolvency practitioner, official receiver, trustee or other legal custodian now controlling company systems?
  • Are any records subject to an open investigation, claim, audit, planning condition, grant requirement or litigation hold?

Do not enter a former employee’s account, remove a server or download a client archive without authority. Coordinate access and copying with the appointed custodian. The official-receiver approach in the United Kingdom includes locating, securing and transferring insolvent-business records and information about cloud storage; that does not give an unrelated person permission to bypass access controls.

Build an inventory that another repository can use

Use stable identifiers

Assign each project a consistent identifier based on the client, site and existing project code. Keep the identifier in folder names, database exports, image batches, box labels and the manifest. Record former names so that old correspondence and filenames remain discoverable.

Describe files and physical material

For digital items, capture format, software dependency, size, date range, creator, version, relationships and whether the item is an original, export or derivative. Preserve native GIS, CAD, database and image files where permitted, alongside open or widely documented exports and a readme explaining software versions and field names. For paper and physical material, record box numbers, labels, condition, conservation needs, storage address and any mismatch between registers and contents.

Mark gaps instead of silently filling them

List missing photographs, broken links, unreadable media, incomplete context registers, unprocessed samples and projects with no known repository. State whether an item was never created, was destroyed under an approved instruction, or simply has not been found. A transparent gap is safer than an apparently complete archive that cannot be audited.

Keep cloud and local access alive

Cloud storage is an account relationship, not a permanent archive. For every service, record the provider, account name, subscription status, renewal date, storage region if known, administrator, recovery method and data-export options. Confirm which account is the legal owner and which staff members merely had delegated access.

Ask the authorized custodian to maintain the subscription long enough to complete a controlled export. If payment has failed or the account is suspended, the insolvency official or account owner may need to negotiate recovery with the provider. Preserve permissions and folder structure in the export where practical, but do not assume that sharing links, comments, version history or application metadata will survive a download.

Use a portable external drive only as temporary transfer or backup media for an authorized copy. It is not, by itself, a long-term preservation arrangement. Keep at least one additional controlled copy during handover, protect media from unauthorized access, and record the copy date and responsible person. If you use checksums, include the algorithm and resulting values in the manifest so later recipients can detect accidental change.

Preserve context, provenance and machine-readable data

A flattened PDF, printed spreadsheet or screenshot can hide the relationships that make archaeological data meaningful. Retain source files and the documentation describing how they were collected, processed, quality-checked and managed. Keep coordinate reference systems, database schemas, field definitions, layer descriptions, image captions, processing notes and links between records and physical objects.

For each transfer, record who created the copy, when, from which system, what selection or redaction was applied, the destination, the delivery method and the person who accepted it. The Federal Acquisition Regulation offers a concrete United States federal example: “Contractors may transfer computer data in machine readable form from one reliable computer medium to another.” Its related requirements for covered records emphasize reliable media, integrity, reliability, security and a transfer audit trail. Those rules are not a universal archaeology law, but the underlying control principles are useful.

Do not overwrite originals to make them look tidy. If filenames must be normalized, keep a crosswalk from the original name to the new name. If a database is exported to CSV, preserve the database and document the export date, encoding, field meanings and relationships that the CSV cannot carry.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Review privacy, confidentiality and site security

Before permanent deposit, separate preservation from disclosure. An archive may contain staff and specialist contact details, financial information, personal data in correspondence, confidential commercial terms, unpublished results or access credentials. Review material against the repository’s access policy and applicable privacy law. Remove or restrict information only under an authorized selection or redaction decision, and record what was withheld and why.

Exact archaeological site coordinates can create a security risk by facilitating looting. The United States National Archives and Records Administration identifies archaeological site locations as protected information in relevant federal records-transfer contexts. That example does not determine the rule in every country, but it illustrates why a public catalogue, a restricted researcher copy and a sealed administrative record may need different treatments.

  • Never include passwords, recovery codes or active API keys in a deposit.
  • Keep a restricted access register for personal, confidential or security-sensitive material.
  • Ask the repository how it handles embargoes, redacted files, restricted coordinates and later access requests.
  • Do not publish a site plan merely because it was found in an open project folder.

Compare possible handover destinations

The best destination is usually the repository named in the project plan, provided it can curate the relevant physical media and digital formats. If that destination is unavailable, the client, heritage authority and intended repository should agree an alternative in writing.

Option Authority and title Preservation and access test Evidence required
Named museum or archaeological repository Usually established by the project archive plan or deposition agreement; verify title to finds and samples Can it curate boxes, finds, samples and associated documentation, and provide controlled research access? Accession number, box list, transfer-of-title record and acceptance receipt
Trusted digital repository Requires agreement from the client or legal custodian and compliance with repository conditions Can it preserve formats, metadata, relationships, restrictions and future access rather than merely host downloads? Submission manifest, repository identifier, accepted files and access restrictions
Client-controlled archive Appropriate only where the contract or written agreement gives the client custody and defines continuing responsibilities Does the client have managed storage, backups, documented permissions and a route to eventual repository deposition? Signed handover, inventory, access list and preservation plan
Insolvency-held temporary storage Controlled by the appointed practitioner while ownership and destination are resolved Can access be maintained, media protected and costs funded until transfer? Custody log, storage agreement and subsequent repository receipt

A consumer drive, an email attachment or a folder left in a cancelled cloud account fails the continuity test if nobody can prove who controls it, what it contains or how it will be preserved. Compare every option on legal authority, repository capability, preservation of structure and metadata, security, privacy, continuity cost and evidence of completed transfer.

United Kingdom considerations

Historic England and the Chartered Institute for Archaeologists describe archaeological archive compilation and transfer, including digital material. Historic England’s stated destination is clear: “The archive will be transferred to a museum, repository or digital archive where it will be curated and made accessible for further research, education or enjoyment.” The Archaeology Data Service provides guidance on digital preservation, documentation and personal-data handling, while CIfA’s Dig Digital guidance stresses identifying the intended repository and planning for long-term preservation, access and reuse.

These are professional guidance examples, not a single statute that resolves every closure. Check the planning condition, local authority or heritage body, client contract, repository acceptance criteria, copyright arrangements and privacy requirements for the specific project. AAF guidance also treats repository identification, transfer of title and copyright as planning issues that should be settled before work is complete.

United States considerations

Federal Acquisition Regulation 4.703 applies to specified federal contractors and sets record-retention and electronic-data requirements. The commonly cited period is three years after final payment for covered contractor records, subject to exceptions, record-specific periods and contract terms. It does not establish the retention period for every private archaeology firm or project.

For specified federally owned or administered archaeological collections, 36 CFR Part 79 is a relevant curation framework. Confirm the responsible federal agency, the collection’s legal status and the repository agreement. Federal records-transfer rules may also restrict disclosure of archaeological site locations. A state, tribal, municipal or privately funded project can have different obligations.

Retention and destruction: do not guess

No universal retention period applies to every archaeological archive. Before deleting anything, check the contract, funder conditions, planning requirements, applicable law, record category, open investigations, claims, publication commitments and written instructions from the client or repository. Ask the insolvency practitioner whether records are needed for administration or investigation.

If destruction is authorized, document the decision, scope, date, approving authority, method and resulting certificate. Preserve the inventory and destruction record so a future custodian knows what existed and why it is no longer available. Never treat the end of a cloud subscription, a full server or a staff departure as permission to delete.

A practical handover package

Deliver a package that lets the receiving organization understand both the content and the custody history:

  • Project summary with client, site, identifiers, dates and status
  • Inventory or manifest covering physical and digital records
  • File-format list, software dependencies, exports and readme documentation
  • Box, finds, sample and storage-location schedules
  • Archive-plan, accession and repository correspondence
  • Copyright, title, licence, confidentiality and access decisions
  • Personal-data and sensitive-site review record
  • Copy, checksum or integrity record where used
  • Transfer log naming the source, destination, dates and responsible people
  • Accession, deposit or acceptance receipt

Keep one controlled administrative copy of the handover documentation, even after the repository accepts the archive. It proves what was delivered and helps resolve later questions without reopening the closed firm’s systems.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Common failure modes and recovery steps

The cloud account has been suspended

Do not create a new account and assume it contains the same data. Contact the account owner, insolvency practitioner or authorized administrator; request a hold on deletion and a provider-assisted export. Record the suspension date, support case, data requested and any files that could not be recovered.

Only a report and a few PDFs remain

Search physical storage, staff devices, email attachments, repository portals, external drives and client copies. Ask specialists and subcontractors what they delivered and under which project identifier. Mark unlocated primary data as missing rather than reconstructing it from the report.

The repository rejects the files

Obtain its format, metadata, naming, privacy and packaging requirements. Keep the original files, create documented preservation copies or exports, and retain the rejection and resubmission history. Do not discard a native database simply because the repository accepts only a spreadsheet.

Ownership is disputed

Pause irreversible transfer, preserve access and provide each claimant with the contract, inventory and custody log. Ask the appointed legal custodian and relevant repository to determine whether a neutral temporary holding arrangement is needed.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Personal data are mixed into research files

Do not publish the whole directory to solve an access problem. Create a restricted set, redact or separate personal information under an authorized decision, and document the relationship between the public and restricted versions.

Who should do what?

Party Primary responsibility during closure
Client or commissioning body Confirm contractual rights, fund repository work, approve restrictions and identify the intended destination
Firm director or records lead Explain systems, create inventories, preserve access and disclose known gaps while authorized
Insolvency practitioner or official receiver Control company assets and records in the insolvency process, authorize access and coordinate recovery
Museum or archaeological repository Set acceptance, packaging, metadata, title and access requirements for the physical archive
Digital repository Assess formats, ingest documented packages, preserve them and provide defined access
Funder, planning or heritage authority Enforce project-specific deposition, reporting and retention conditions where applicable

When the handover is complete

Completion means more than copying bytes. The authorized custodian has approved the transfer; the receiving repository has accepted the agreed package; physical and digital records are linked; restrictions are recorded; and manifests, receipts and custody decisions are retained. If any project remains unresolved, leave it on an exceptions list with an owner, next action and deadline. That list prevents a forgotten cloud account or box of finds from becoming the next archival loss.
