How to Prepare a Startup for Acquisition Due Diligence

Start preparing before a buyer sends a request list. Assign one internal owner, assemble a small cross-functional team, build a secure and indexed data room, reconcile your records, verify ownership of intellectual property and contractual rights, and rehearse a buyer-style review with qualified advisers. Keep the company operating while requests are handled, disclose sensitive information in stages, and document every known gap instead of hoping it remains undiscovered.

Why acquisition diligence is a readiness system

Due diligence is the buyer’s process for testing what the company owns, earns, owes, operates and promises. It can change the price, the assets or liabilities included in the deal, the protections required in the purchase agreement, or the buyer’s willingness to proceed. Preparation therefore is not a last-minute upload exercise. Orrick’s technology-company M&A guidance recommends opening the data room when an exit becomes realistic, while GOV.UK investment-readiness guidance emphasizes a dedicated owner, current information and mock diligence.

Buyer requests vary with the transaction structure, industry, company stage and jurisdiction. A software startup may face detailed questions about source-code development, open-source licenses, security, privacy and intellectual-property assignments. A regulated or specialized business may also need licensing, export-control, spectrum or security-clearance records. Those examples are not universal requirements; use them to identify areas that apply to your business.

Appoint one accountable owner

Choose a CFO, COO or similarly senior operator to own the room’s accuracy, permissions, update schedule and response log. That person should not answer every question alone. Form a small team able to route requests to finance, engineering, sales, HR, operations and counsel, and give each workstream a named backup.

  • Keep an issue register showing the question, owner, status, due date and whether legal review is required.
  • Protect operating priorities by limiting the diligence team to people who need access and by using standard response templates.

Define the scope before collecting documents

Clarify what is being sold: the whole company, selected assets, a subsidiary, a product line or a merger interest. The scope determines which entities, contracts, employees, liabilities, data sets and intellectual-property rights belong in the review. Record the intended geography, sector and likely buyer type because a strategic competitor, private-equity investor and financial buyer may require different access controls and analyses.

Write a short internal scope note covering the entities involved, reporting currency, periods to be supplied, materiality thresholds, regulated activities, major products and known transaction constraints. This prevents teams from collecting thousands of irrelevant files while missing a decisive obligation in a small subsidiary or acquired codebase.

Build a secure, searchable data room

Use a secure online repository with role-based permissions, version control and detailed access logs. Number folders consistently, use descriptive filenames and maintain an index that records the document owner, period covered, update date and status. Keep one authoritative current version while retaining earlier versions when they explain a historical approval, amendment or financial change. Every buyer request should map to a room location or to a clearly documented reason the item is unavailable.

Practical top-level structure

Folder What to prepare
Corporate and governance Formation and constitutional documents, statutory books, board and shareholder minutes, organizational chart, capitalization table, financing agreements, shareholder agreements, options and other equity incentives, debt, warrants, and consent or change-of-control provisions.
Financial Statutory or audited accounts where available, current management accounts, budgets, forecasts, revenue and margin breakdowns, bank and debt information, leases, reconciliations, one-off costs, customer concentration and working-capital materials.
Tax Filed returns, assessments, audits and correspondence, payroll and indirect-tax records where relevant, and evidence supporting credits or incentives.
Commercial Product and service descriptions, strategy and market materials, sales pipeline, revenue detail, customer and supplier lists, concentration and churn or retention metrics where applicable, plus material customer, vendor, reseller and partnership agreements.
Legal and contracts Executed material agreements, licenses, leases, litigation and threatened claims, insurance and claims, permits, regulatory correspondence, employment and contractor agreements, unusual obligations and disputes.
Intellectual property and technology Patents and applications, trademarks, copyrights, domains, trade-secret controls, invention and assignment agreements, contractor IP transfers, software and open-source inventory, license terms, source-code development records, architecture, infrastructure, security, incidents and continuity or recovery materials.
People and HR Employee and contractor roster, roles, compensation and benefits, equity grants, policies, key-person dependencies, retention needs and material claims, with personal-data restrictions.
Privacy, cybersecurity and compliance Data inventory, privacy notices and policies, security controls, incident and breach records, vendor-processing arrangements, applicable regulatory obligations and evidence of compliance.
Insurance and other assets Policies, claims, equipment and property lists, leases, liens, and relevant environmental or regulatory material.

This structure synthesizes guidance from GOV.UK, Orrick and Acquire.com. It is an index to adapt, not a universal buyer checklist. Add folders for sector licenses, clinical or safety evidence, export controls, government contracts or other requirements that create value or risk in your business.

Make the index useful

  • Use filenames such as 03.02_CustomerAgreement_CompanyName_2026-08-15_Executed.pdf rather than generic names such as final2.pdf.
  • Record whether each item is executed, draft, expired, superseded, under negotiation or not applicable.
  • Link amendments and schedules to the main agreement so a reviewer can see the complete obligation.
  • Remove duplicates and clearly label translations, summaries and redacted copies.
  • Test that a new user can find a requested document without help and that revoked users immediately lose access.

Reconcile the records a buyer will compare

Accuracy matters as much as completeness. Compare management reporting with statutory accounts and filings, then investigate differences rather than allowing multiple versions of the truth. Depending on the business, reconcile revenue definitions, customer and product segments, cash, debt, deferred revenue, taxes and material expenses.

Attach context to unusual numbers

Prepare a short note for one-off costs, unusual margins, major variances, deferred revenue, customer concentration, rapid hiring, grants, credits or non-recurring revenue. Each note should state what happened, when, the financial or operational effect, the current status and the supporting documents. Separate verified facts from estimates and management judgments.

Clean up stale documents

Replace unsigned drafts with executed agreements, upload current schedules and confirm dates, signatures, renewal terms and amendments. Recheck that the capitalization table agrees with board approvals, financing records and option grants. If a period is unavailable, say which period, why it is unavailable and what substitute evidence exists.

Verify intellectual-property ownership and technology rights

For every important product, codebase, brand, domain, dataset and invention, answer four questions: who created it, which agreement governs it, whether the company owns or licenses it, and what restrictions follow. A missing assignment or uncertain license can delay a transaction, reduce valuation or disrupt the deal, particularly in technology M&A.

Ownership checklist

  • Collect employee invention-assignment and confidentiality agreements and confirm they cover the relevant jurisdictions.
  • Obtain contractor statements of work and express IP-transfer language; do not assume payment alone transferred rights.
  • List patents, applications, trademarks, copyrights, domains and renewal dates.
  • Inventory third-party software, open-source components, datasets, APIs and development tools, including license obligations and attribution requirements.
  • Identify co-development, university, grant-funded, customer-owned or jointly owned work.
  • Document trade-secret controls, repository permissions and who can access production and source code.

Have counsel review gaps, liens, grants, exclusivity and use restrictions. Technical staff should provide architecture, build and deployment records that allow a buyer to understand what it is actually acquiring.

Review contracts for obligations that survive closing

Read material customer, supplier, cloud, employment, financing, partnership, reseller and lease contracts for terms that affect value or the ability to transfer the business. Create a concise contract summary or obligation calendar for agreements that require action before or after closing.

Service commitments What uptime, support, delivery, service-credit or remediation promises are outstanding?

Prepare finance, tax and commercial evidence

Finance and tax

Give the buyer a coherent explanation of how the company makes money and uses cash. Include revenue recognition policies, customer and product mix, gross-margin drivers, forecasts, budgets, debt, leases, bank information and working-capital assumptions where relevant. Make sure tax filings, assessments, audits, payroll records and indirect-tax evidence agree with the financial story. Document credits or incentives and any open correspondence with tax authorities.

Customers, suppliers and pipeline

Prepare customer and supplier lists, concentration analysis, churn or retention metrics where applicable, renewal dates, pipeline definitions and material agreements. Explain dependencies on one customer, supplier, cloud provider, reseller or channel. Distinguish signed revenue from pipeline and management estimates. Do not provide a presentation metric without the underlying report that defines its period and calculation.

Make people, privacy and cybersecurity reviewable

People and key-person risk

Provide a current employee and contractor roster, roles, compensation, benefits, equity grants, policies, reporting lines and material claims. Identify key-person dependencies and any retention arrangements likely to be needed after closing. Restrict personal records to people who need them and use redaction or summaries where detailed data is unnecessary.

Security and continuity

Document security controls, access management, incident and breach history, vulnerability management, backups, disaster recovery, business continuity and material vendors. Explain what happened in any incident, when it occurred, affected systems or data, notifications made, remediation and remaining risk. A clean incident history is not required; an unexplained incident is harder for a buyer to underwrite.

Privacy and regulated data

Maintain a data inventory, privacy notices, policies, processing records and vendor arrangements. Personal-data sharing may trigger privacy, employment, competition, export-control or sector rules. An NDA does not automatically authorize disclosure. Counsel should decide what can be shared, with whom, at which stage and in what form, taking account of the data, location, purpose and participants.

Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Support on Ko-Fi

Control disclosure without blocking the review

Use role-based access, multi-factor authentication where available, download controls, watermarking when appropriate, version history and access logs. Start with information needed to establish fit and value, then expand access as the process advances and legal protections are in place.

Consider staged disclosure and a clean room

Customer-level data, employee records, source code, detailed pricing and sensitive strategic plans may not belong in the first release. A clean room can limit especially sensitive competitive information to approved reviewers and defined analyses. The design must match competition, privacy and sector obligations; have counsel set the rules and audit compliance.

Run a mock diligence review

Before granting buyer access, ask advisers or board members to act as a buyer. Have them test links and permissions, search for missing periods, compare presentations with source records and challenge unsupported claims. The goal is not to create a perfect room; it is to discover which questions will consume management time or affect price.

  1. Give the mock reviewers the index, management presentation and a representative set of records.
  2. Ask them to identify unclear metrics, missing signatures, inconsistent dates, unexplained variances and ownership gaps.
  3. Convert each finding into an issue with an owner, evidence, status and planned remedy.
  4. Decide which issues require correction, disclosure, a purchase-agreement protection or specialist advice.
  5. Repeat the review after material financing, hiring, product, security or contract changes.

Manage the buyer’s request process

Business Queensland describes requests for information as formal questions supported by document review, advisers and information-sharing systems. Timing depends on transaction scale and complexity, so do not promise a fixed diligence period.

  1. Log every request with its exact wording, priority, owner, deadline and room location.
  2. Answer the question asked, then attach the smallest complete set of supporting documents.
  3. Mark answers as verified, estimated, not applicable, unavailable or subject to legal review.
  4. Record follow-up questions and keep one version of the response in the room.
  5. Escalate requests involving privileged material, personal data, source code, export controls, competition sensitivity or disputed facts.

Do not conceal a known problem. Prepare a factual explanation covering the event, effect, mitigation and evidence. Buyers may price a risk, require a covenant or indemnity, exclude an asset or withdraw; early disclosure gives the parties more ways to solve it.

How diligence findings can change the deal

Questions are not merely administrative. Findings can alter price, scope, terms or willingness to proceed. Business Queensland gives a buyer-side example in which an RFI about slow-moving stock led to that stock being removed from the sale agreement and the price being reduced. That is an illustration, not a guaranteed outcome, but it shows why inventory, customer concentration, liabilities and contract restrictions should be understood before negotiations.

Choose tools and advisers by capability

The available guidance identifies service categories rather than endorsing a particular vendor. Compare tools and advisers against the work they must perform.

Selection Criteria
Virtual data room Permission granularity, audit and access logs, version control, search and organization, confidentiality features, export controls, support and fit for transaction scale.
Legal counsel Startup and M&A experience, jurisdiction and sector knowledge, conflict checks, privacy and IP capability, scope, responsiveness and ability to coordinate with other advisers.
Transaction accounting Experience reconciling management and statutory records, quality-of-earnings work, working capital, debt and forecast review.
Tax adviser Knowledge of the relevant entities, jurisdictions, incentives, payroll and indirect taxes, audits and transaction structuring.
Technical or security adviser Ability to assess architecture, code ownership, open-source compliance, security controls, incidents, continuity and regulated data.

Engage advisers early enough to identify gaps, not merely to review a nearly finished room. Keep a single internal owner responsible for coordinating their conclusions and preventing contradictory answers.

Final readiness checklist

  • One accountable owner and a small response team are named.
  • Transaction scope, entities, jurisdictions and sensitive-data rules are documented.
  • The room has numbered folders, descriptive filenames, an index, version history and tested permissions.
  • Corporate records, capitalization, financing, debt and approvals agree.
  • Management reports reconcile to statutory accounts and filings, with explanations for material variances.
  • Tax returns, audits, incentives and correspondence are complete for the relevant periods.
  • IP ownership, contractor transfers, open-source use, domains and third-party licenses are evidenced.
  • Material contracts are executed, current and reviewed for consent, termination, liability, exclusivity and service obligations.
  • Customer, supplier, pipeline, retention and concentration information has defined metrics and supporting reports.
  • Employee, contractor, equity, benefits, key-person and claims information is current and access-controlled.
  • Security, privacy, incident, continuity and vendor-processing records are organized.
  • Known gaps have owners, explanations, mitigation plans and counsel input where needed.
  • A mock review has tested searchability, consistency, permissions and likely buyer questions.
  • Incoming requests are logged, routed, answered and versioned without disrupting customers or product work.

Acquisition readiness is the discipline of keeping evidence accurate, rights transferable and risk explainable while the company continues to operate. Start early, update continuously and use qualified legal, accounting, tax and transaction advisers for issues that depend on your jurisdiction, sector or deal structure.

Product prices and availability are accurate as of the date/time indicated and are subject to change. Any price and availability information displayed on Amazon at the time of purchase will apply.
