For a U.S. public-company merger-arbitrage situation, monitor SEC EDGAR filings for both the target and acquirer, use filing alerts to find new documents, and compare each document with the current deal terms and timeline. An alert is only a pointer to a filing—not proof that the deal has changed or a signal to trade. EDGAR is a U.S. filing system, not a complete monitor for every market or jurisdiction.
Build a monitoring list for the whole situation
Start with the companies and securities that could produce material information about the event. For a merger, track both the target and the acquirer: either party may disclose an amendment, an approval, a vote result, a financing development, or closing information. Add other public companies only when their filings are genuinely relevant to the situation.

Keep a simple record for each situation: company name, CIK, relevant filing types, last reviewed filing, current deal terms, next known milestone or deadline, and the date you last checked the documents. This makes it easier to distinguish a new development from an old filing resurfacing in an alert.
Set up official SEC filing alerts
Subscribe to each company’s EDGAR search results
Use SEC EDGAR company search to find each company, then subscribe to its search results. The SEC says these subscriptions can provide the company’s most recent filings and can be filtered by filing type. For a merger, make a separate subscription for each party rather than relying on the target’s feed alone.

Use latest filings for broader discovery
The SEC’s latest-filings search is useful when you want to scan beyond a single company. It can be filtered by company, CIK, or form type, and EDGAR search results provide RSS subscription links. A broad feed can surface filings you did not think to follow, but it can also generate more noise; use company-specific feeds for core coverage and broader discovery as a supplement.
The SEC describes these EDGAR and RSS options on its page about searching and accessing company filings, which was modified in 2016. Interface details can change, so follow the subscription controls shown on the current EDGAR pages.
Read the filing, not just the alert
Form 8-K is a current report used for material corporate events. The SEC’s Investor Bulletin, How to Read an 8-K, says: “Form 8-K provides investors with current information to enable them to make informed decisions.” That describes the form’s purpose; it does not mean every relevant development appears immediately or that a filing is an investment recommendation.

Most required Form 8-K disclosures are due within four business days of the triggering event, and some are due sooner, according to the SEC Investor Bulletin. Consequently, an alert workflow can help locate filings but cannot guarantee immediate public notice of every development. Check the underlying filing, identify who submitted it and what form it is, and read the relevant section and any exhibits before updating your view of the situation.
Compare each new document against the deal record
When a filing or amendment arrives, compare it with the definitive deal documents and your latest timeline. Record only changes that the documents support.
- Consideration: Did the cash amount, exchange ratio, election terms, or other stated consideration change?
- Conditions: Has a closing condition been added, amended, satisfied, waived, or described differently?
- Approvals: Is there a new regulatory, shareholder, or other approval status, and what exactly does the filing say?
- Vote: Are meeting dates, voting instructions, or results reported?
- Timing: Did a deadline, expected milestone, outside date, or meeting date move?
- Completion: Does a party report that the transaction closed, was terminated, or remains pending?
This is a practical comparison checklist, not a claim that every item must appear in a particular filing. Preserve the filing date and the document’s own wording in your notes so that a later amendment can be compared against the correct prior version.

Control alert noise and verify the source
Not every item surfaced in an EDGAR page or automated alert is a required company filing. In a 2026 proposed-rule discussion, the SEC noted that voluntary notices can appear on EDGAR pages and in automated alerts alongside required filings, potentially making required materials harder to find. Where available, filter by company and form type; then inspect the filing type and source before treating an alert as an official transaction update.

Keep an auditable event log
- Capture the lead: Note the alert time and the filing’s company, form, filing date, and link or identifier.
- Open the source: Confirm the item is the company filing or other source you intended to monitor.
- Read and compare: Check the filing and exhibits against the last deal documents and timeline.
- Write a factual update: Record what changed, what did not change, and which document supports the note. Separate reported facts from your interpretation.
- Set the next check: Update the next known deadline or milestone and continue monitoring both parties.
This process helps keep the record coherent; it does not establish that faster alerts improve returns or prevent losses. No effectiveness statistic is established here.

ScreenshotNeo is a website screenshot API and MCP server, not a filing-alert service, so it does not replace EDGAR subscriptions or document review. If you want a visual capture of a public filing page for your own records, its one-request API can capture a URL. See the ScreenshotNeo API documentation for options and response details.
curl -G "https://api.screenshotneo.com/v1/shot" -d access_key=YOUR_API_KEY --data-urlencode url=https://www.sec.gov/edgar/search/ -o shot.webp
ScreenshotNeo accepts cookie or consent banners and removes more than 60 known consent platforms, newsletter popups, and chat widgets before a capture; each of those steps can be disabled. Bot checks, blank pages, timeouts, failed loads, and cache hits are not billed, with response headers indicating the page verdict and billing status. Its MCP server offers tools for AI agents, and the free plan includes 1,000 screenshots a month without a card; paid plans start at $5 for 3,000. A screenshot is a visual copy, not a substitute for the filing itself or a reliable record of subsequent amendments.

An alert did not arrive
Check the company subscription and its filters, then search EDGAR directly for the company and relevant form types. An alert feed is a discovery aid, not a guarantee that every development will generate a notification as soon as it occurs.

A feed contains an unfamiliar or voluntary item
Verify the filing type, company, and source on the underlying EDGAR page. Do not treat an item as a required transaction update merely because it appeared in a search result or alert.
A filing appears to conflict with an earlier document
Check whether it is an amendment, whether it refers to an earlier agreement or disclosure, and whether exhibits contain the operative wording. Update the deal record only after comparing the actual documents and dates.

A development is reported before a filing appears
Do not infer that the absence of an alert means nothing happened. The SEC says most required 8-K disclosures are due within four business days, with some due sooner; check the underlying company and official materials as appropriate.
