SpaceX is no longer a private-only investment: it announced an IPO on June 11, 2026, with shares expected to begin trading as SPCX on June 12. The IPO offer period is over; $135 was the historical offering price, not today’s share price. If you are considering an investment now, the main route is to check whether a brokerage serving your country offers SPCX. Private placements and funds are separate, indirect or restricted options—not a way to join the expired IPO.
Can you invest in SpaceX as a private company now?
Not in the sense implied by the title. SpaceX announced an initial public offering (IPO), so investors may seek access to publicly traded shares through a brokerage, subject to the brokerage’s availability and the rules that apply in their country and account. A private placement, special-purpose vehicle (SPV), or fund is a different route with its own eligibility, ownership, fees, liquidity, and disclosure terms.

SpaceX’s June 11, 2026 announcement said it priced an IPO of 555,555,555 Class A shares at $135 per share. It expected trading on the Nasdaq Global Select Market and Nasdaq Texas under ticker SPCX to begin June 12, 2026. The $135 figure is the IPO offering price, not a current quote. Check a brokerage or other reliable market-data source for a current price and confirm that the security is available in your jurisdiction. SpaceX Investor Relations, June 11, 2026.

How to seek access to publicly traded SPCX shares
- Check your brokerage and jurisdiction. Ask whether the brokerage supports trading SPCX for residents of your country and whether your account type can hold it. Access can differ by location, account, and broker; the available information does not establish universal availability.
- Find the current listing and quote. Search the brokerage for SPCX and verify the security identity and current market price. Do not use the IPO price as a current quote.
- Review the order details before placing one. Confirm the order type, quantity, trading currency, commissions or other charges, and any relevant market-hours or settlement information shown by your broker.
- Make an independent decision. A listing makes shares publicly tradable; it does not establish that the stock fits your financial circumstances or guarantee a return.
Why the June 2026 IPO offer is no longer an option
An IPO allocation is distinct from buying shares after trading begins. SpaceX’s IPO announcement gave June 12, 2026 as the expected first trading date. Its European retail offer was also time-limited: the prospectus described an offer period expected to end around June 11, with trading expected around June 12. It was not a standing offer, and those dates have passed. The prospectus does not make the old offer available to new investors now. SpaceX EU Prospectus, approved by BaFin, June 5, 2026.
How public shares, private placements, and funds differ
| Route | What you hold | Access and eligibility | Liquidity and key checks |
|---|---|---|---|
| Public shares | Shares purchased through a brokerage, subject to the security and account terms. | Availability depends on the broker, jurisdiction, and account circumstances. | Check current trading access, quote, transaction charges, and any applicable account restrictions. |
| Private placement or SPV | An interest in an offer-specific company or vehicle; do not assume it is direct ownership of SpaceX shares. | Depends on the specific offering and applicable rules. For generally solicited Rule 506(c) offerings, only accredited investors may purchase, and issuers must take reasonable steps to verify accreditation. | Review resale limits, fees, minimums, ownership structure, valuation, conflicts, transfer rules, and exit terms in the current offering documents. |
| Pooled fund | An interest in a fund that may hold private-company securities; exposure is mediated by the fund, not identical to direct share ownership. | Depends on that fund’s current offering terms and eligibility requirements; specific terms vary. | Check holdings, fees, valuation approach, redemption or tender terms, liquidity, and fund-specific risks. One SEC-filed fund document describes private-company securities as potentially illiquid and volatile. |
The SEC’s Regulation D guidance states: “Only accredited investors, however, are allowed to purchase in generally solicited offerings under Rule 506(c), and the issuer will have to take reasonable steps to verify your accredited investor status.” This qualification is specific to Rule 506(c), not every private placement. The SEC also notes that private-placement investors should consider the information available, resale restrictions, and the rules applicable to the offering. What a SpaceX-related Form D filing does—and does not—show
SEC EDGAR records show that SpaceX Investors 5 LLC filed a Form D for an exempt offering on May 6, 2026. That establishes that a vehicle with a SpaceX-related name made a filing; it does not establish that the offering is open to you, that the vehicle owns direct SpaceX shares, or that it is suitable for you. A Form D is a notice filing, not SEC approval or an endorsement. Verify the entity and offering documents rather than relying on the name. SEC EDGAR, SpaceX Investors 5 LLC Form D, filed May 6, 2026.
What to verify before investing through any private vehicle or fund
- What you actually own: Determine whether you would own shares, an interest in an SPV, or fund shares, and how that interest relates to SpaceX.
- Eligibility and geography: Confirm who may invest and whether the offering is available where you live. For a private placement, identify the exemption and any required accreditation verification.
- Fees and minimums: Find all fees, expenses, and minimum investment amounts in current offering documents; none should be assumed from a vehicle’s name or filing.
- Transfer and exit rules: Check whether interests can be resold or transferred, and how and when a fund might offer redemptions or tenders.
- Valuation and concentration: Understand how private holdings are valued, how much exposure the vehicle may have to SpaceX, and what other assets it holds.
- Disclosure, governance, and conflicts: Review what information and rights investors receive, how decisions are made, and how conflicts are handled.
Private securities can be difficult to sell, and their value can be uncertain. A March 2026 SEC-filed ARK Venture Fund document describes that particular fund as a non-diversified, closed-end tender-offer fund and warns that private-company securities may be illiquid and volatile. Those are disclosures about that fund and its holdings—not terms that can be assumed for every fund. ARK Venture Fund, SEC-filed Form 497AD, March 2026.
