How to Invest in Indian IPOs as a Foreign Investor

First identify which rules apply to you: an overseas portfolio investor may need to use India’s Foreign Portfolio Investor (FPI) framework, while a non-resident Indian (NRI) is treated under a distinct set of rules. The application route, eligible account and payment method can depend on your category, country of residence and the specific IPO. This guide reflects information checked on October 13, 2026; confirm the current prospectus, SEBI instructions, your bank’s requirements and your regulated intermediary’s acceptance before applying.

Start by identifying your investor category

“Foreign investor” is not a single IPO application category. The route that may be available to you depends on your legal status and the investment you intend to make. Do not assume that an overseas address alone makes you eligible to apply through an ordinary retail brokerage account.

As an Amazon Associate I earn from qualifying purchases.

Overseas portfolio investor

An overseas investor seeking to invest in Indian securities as a portfolio investor must consider the SEBI FPI framework and applicable foreign-exchange rules under FEMA. SEBI’s regulations listing identifies the Foreign Portfolio Investors Regulations, 2019, as last amended on July 7, 2026. That is a framework reference, not a determination that any particular person, entity, account or IPO application qualifies. Review the current regulations and ask an authorized provider about applicable registration and intermediary requirements. SEBI: Foreign Portfolio Investors Regulations, 2019

For a non-individual overseas applicant, onboarding can involve more than opening a trading login. The provider may need to establish the applicant’s legal identity, beneficial ownership, regulatory status and permitted investment route. The precise documents and sequence depend on the applicant and the provider, so obtain a current checklist directly from an authorized intermediary rather than relying on a generic retail application guide.

Non-resident Indian

An NRI should check the NRI-specific provisions in the applicable FEMA rules and in the current IPO offer documents. Issue documents may prescribe different application forms and account treatment based on whether a bid is on a repatriation or non-repatriation basis. Those details should not be generalized from one issuer’s prospectus to every IPO.

Your NRI status, the account from which the bid is funded and the repatriation status selected on the form should be consistent. A mismatch can lead to rejection, a delayed mandate or difficulty documenting the source and destination of funds. Ask the bank and intermediary to confirm the permitted account before submitting a bid.

Other foreign persons

If you do not clearly fit the NRI or overseas portfolio-investor route, do not select an application category by guesswork. Ask a regulated Indian intermediary whether your status is eligible for the particular issue and which rules and application form apply. The documents and sources cited here do not establish eligibility for every kind of foreign person.

Check the current IPO documents before choosing a route

Read the current prospectus and application instructions for the issue you are considering. A general SEBI process description cannot replace issuer-specific requirements. Verify the details that determine whether your application can be submitted and funded correctly:

  • Investor categories: whether the issue accepts applications in your category, and which form or bid designation applies.
  • Application channel: whether ASBA, UPI or another permitted route is available to you for this issue.
  • Bid requirements: the applicable lot size, bid rules and submission and payment deadlines stated in the current issue documents.
  • Account and funding: which account may be used for your category and, for an NRI, whether the bid is on a repatriation or non-repatriation basis.
  • Ownership limits: whether FPI, FEMA, sectoral or issuer-specific restrictions could affect the shares you may hold or receive.
  • Intermediary acceptance: whether the provider accepts both your investor category and your country of residence for this IPO.
  • Application identifiers: the exact name, tax or investor identification details and bank information the form requires, with spelling matching your regulated account.
  • Issue timetable: opening and closing dates, the final time for bid changes or withdrawals, and the date on which allocation and debit information will be available.

The documents for a 2023 offering hosted by SEBI illustrate how an issuer may describe FPI and NRI treatment, but they are not universal instructions for later issues. Use the current documents for your target IPO. SEBI-hosted 2023 offer document

Choose an application and payment route your category can use

ASBA and UPI are payment mechanisms used in IPO applications; their existence does not mean every foreign applicant can use either one. Check the offer instructions and confirm eligibility with your bank and chosen intermediary before placing a bid.

Route or check What it means What to confirm
ASBA The application amount is blocked in the applicant’s account while the application is processed. If shares are allotted, the amount due is debited; if none are allotted, a refund is not needed because the money was blocked rather than transferred. Ask whether your account and investor category can use ASBA for this issue, and whether the account can block the required amount. SEBI describes the process in its ASBA guidance.
UPI with ASBA A UPI mandate can be used to block the application amount through the IPO process, where the applicant, account and issue are eligible. Confirm that the route is open to your category, that your bank account and UPI ID are supported, and that both belong to the applicant. SEBI says a third party’s UPI ID or bank account cannot be used for the application.
Provider acceptance An application is submitted through an eligible channel; the provider’s participation does not itself establish that a particular foreign applicant qualifies. SEBI’s UPI instructions name syndicate members, registered stock brokers, registrars and transfer agents, and depository participants as submission channels. Ask the provider directly whether it accepts your residence and category.
Bank verification The bank must be able to place and release the block or process the mandate under its IPO procedures. Confirm cut-off times, supported account type, UPI linkage where relevant and how a failed or expired mandate is reported.

SEBI’s investor guidance sets a UPI IPO application limit of ₹5 lakh per transaction for retail individual investors. Do not treat that as a limit or route available to all foreign applicants: first establish whether you qualify as a retail individual investor and whether UPI is permitted for your application. Check the live official instructions because process details can change. SEBI: UPI in IPO applications

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Understand what happens to your money

With ASBA, the application amount remains in the designated account but is unavailable for other use while the block is in place. If the application receives no shares, the blocked amount is released rather than sent back as a conventional refund. If shares are allotted, only the applicable amount is debited and any excess is unblocked under the issue’s process.

For UPI, the mandate is an authorization to block funds, not a request to send money to an unrelated person. Review the mandate’s applicant name, amount and issue reference before accepting it. Do not approve a request that does not match your application, and do not ask another person to approve it through that person’s account. Keep the mandate confirmation and screenshots or statements showing the block and later release.

Understand NRI account treatment before funding a bid

An NRI’s account choice may depend on the bid’s repatriation status and the instructions for the specific IPO. A SEBI-hosted 2023 offer document describes repatriation bids using NRE or FCNR accounts and non-repatriation bids using NRO accounts. This is an example of issuer-document treatment, not a blanket statement of current law or a substitute for the relevant issue’s instructions.

Before applying, match the account and form to the current prospectus, then confirm the permitted funding path with your bank and intermediary. The same offer document advises applicants to check UPI linkage with their bank. Do not assume that an account linked to UPI will be accepted for every NRI application or every issue. Follow the application process in order

  1. Classify yourself. Establish whether you are applying as an NRI, an overseas FPI or potential FPI, or another foreign person. If uncertain, resolve your category with a qualified intermediary before starting an application.
  2. Confirm eligibility and regulatory requirements. For an overseas portfolio investor, check the current FPI and FEMA requirements with an authorized provider. The sources here do not supply a complete registration or onboarding checklist, so do not infer one from a general IPO guide.
  3. Read the current issue documents. Find the prospectus and application instructions for the specific IPO. Check your category, application form, channel, bid and lot rules, timeline, account treatment and any ownership restrictions.
  4. Verify the provider and payment setup. Ask the chosen regulated intermediary whether it accepts your category and residence for this issue. If using ASBA, confirm that the account can block the bid amount. If using UPI, confirm that your own account and UPI ID are supported and meet the issue’s requirements.
  5. Prepare matching details. Use the same legal name, investor classification and bank details across the intermediary account, application and payment mandate. Resolve discrepancies before the issue closes because a corrected application may not be accepted after the deadline.
  6. Submit through an eligible channel. Enter the application details as required by the issue and intermediary. For a UPI application, accept only the valid mandate associated with your own application; SEBI’s guidance does not permit using another person’s UPI ID or bank account.
  7. Keep records and check the result. Retain the application confirmation and, if applicable, mandate details. Check allocation through the official channels identified for the issue. If shares are allotted, the applicable amount is debited; under the blocked-funds process, excess funds are unblocked.
  8. Escalate a problem promptly. Start with the intermediary or bank named in the issue instructions, retain the complaint reference and use the registrar or other official grievance channel if the issue’s documents direct you there.

SEBI’s June 2, 2021 circular addresses streamlining IPOs with UPI in ASBA and investor grievance handling. It is useful background for the process, but verify current procedures and support channels rather than relying on an older circular alone. SEBI circular on UPI in ASBA and investor grievances

Check whether foreign-ownership limits could affect allocation

Eligibility to submit a bid and eligibility to receive or hold shares are not necessarily the same question. The cited 2023 offer document describes a threshold below 10% of post-issue equity on a fully diluted basis for a single FPI or investor group, subject to applicable FPI and FEMA rules. Treat that number as a disclosure in that offering context—not as a complete, current limit for every issuer, sector or investor. Check the target company’s current prospectus and the applicable rules for any ownership, sectoral or issuer-specific restriction before bidding. Offer-document example of FPI ownership disclosures

Also consider whether holdings by related entities or members of an investor group are aggregated under the applicable framework. If the proposed investment could approach a stated threshold, ask the intermediary to review the calculation before you submit a bid. A successful application does not override a legal or issuer-level ownership cap.

Compare providers on acceptance and process, not just convenience

No single provider can be assumed to accept every foreign residence or investor category. Before choosing an Indian broker, syndicate member, registrar and transfer agent, or depository participant, ask concrete questions about the route for your application:

  • Will it accept your exact investor category and country of residence for this specific IPO?
  • Which application channel and account types does it support for that category?
  • What documents, funding arrangements and processing timelines does it require?
  • What fees apply, and when are they charged?
  • How can you verify submission, track a mandate or blocked amount, check allotment, and raise a grievance?
  • Does it support applications in the relevant currency and explain any conversion or bank-transfer steps?
  • What happens if the mandate is rejected, the account cannot be blocked or the application is submitted with an error?

Provider fees, account-opening documents, current acceptance by country and individual tax treatment are not established by the regulatory pages and example offer document cited here. Obtain those details from the provider, bank and relevant qualified adviser before committing funds. For the broader investor-facing UPI channel list and mandate process, see SEBI’s UPI IPO guidance.

Costs, currency and tax questions

The amount blocked for an IPO is not the same as the total cost of participating. Ask the intermediary and bank about application or account fees, payment or transfer charges, foreign-exchange conversion costs and any applicable taxes or statutory charges. Do not assume that a zero-commission trading schedule means the IPO application has no other costs.

Tax treatment can depend on your residence, investor status, holding period, account type and the eventual sale of shares. The process guidance here does not determine withholding, reporting or capital-gains obligations. Obtain advice appropriate to your circumstances and retain application, allotment, debit and sale records for any required filing.

Common mistakes to avoid

  • Using “foreign investor” as the application category: determine whether the applicable route is NRI, FPI or another category first.
  • Assuming an ordinary retail application will work: confirm that your category, residence, account and provider are accepted for this issue.
  • Using another person’s payment details: SEBI’s UPI guidance disallows a third-party UPI ID or bank account for an IPO application.
  • Accepting an unmatched mandate: compare the mandate amount, applicant and issue reference with your submitted form before approving it.
  • Applying the 2023 account example universally: use the current offer document to determine NRE, FCNR or NRO treatment and repatriation status.
  • Treating the below-10% disclosure as a universal safe harbor: the cited figure is issuer-document context and does not replace current FPI, FEMA, sectoral or issuer-specific rules.
  • Assuming funds were transferred when they were blocked: under ASBA, the application amount remains blocked pending the outcome; the amount for allotted shares is debited.
  • Waiting until the closing day to solve onboarding: account verification, category checks and bank linkage may take time, and a provider may not be able to correct an issue after the deadline.
  • Relying on an unofficial allocation message: verify the result through the registrar, exchange or other official channel identified in the issue documents.

This is general process information, not a determination of your legal eligibility, tax position or suitability of an IPO. Those depend on your circumstances, current rules and the issue documents in force when you apply.

Frequently Asked Questions

Can every foreign resident apply for an Indian IPO through a retail broker?

No. First establish whether you are an NRI, an overseas FPI or another eligible category. The intermediary must accept both your category and country of residence for that specific issue.

Is UPI available to foreign investors?

Do not assume it is. Confirm that the issue, your investor category, bank account and UPI ID support the route. SEBI’s ₹5 lakh-per-transaction UPI limit is described for retail individual investors, not all foreign applicants.

Can I use a family member’s UPI ID or bank account?

No. SEBI’s IPO guidance says a third-party UPI ID or bank account cannot be used for the application. Use the applicant’s own supported account and payment identity.

What happens to money under ASBA if I receive no shares?

The application amount is blocked while the application is processed. If there is no allotment, the block is released; a conventional refund is not required because the money was not transferred.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Which account should an NRI use?

The answer depends on the issue’s instructions and whether the bid is on a repatriation or non-repatriation basis. A 2023 SEBI-hosted offer document gives NRE or FCNR examples for repatriation bids and NRO for non-repatriation bids; check the current prospectus and bank confirmation.

Does the below-10% FPI threshold apply to every IPO?

No. The below-10% figure is an example disclosed in a 2023 offering for a single FPI or investor group, subject to applicable rules. Check current FPI, FEMA, sectoral and issuer-specific limits.

Who can submit an IPO application?

SEBI’s UPI instructions identify syndicate members, registered stock brokers, registrars and transfer agents, and depository participants as possible channels. Availability still depends on your category, residence and the issue.

What should I do if my mandate or application fails?

Check the bank and intermediary status immediately, retain the application and mandate references, and follow the grievance or registrar contact instructions in the current issue documents. Do not submit a replacement through an unauthorized or third-party account.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The Bottom Line

Indian IPO access for a foreign investor starts with classification, not with clicking an application button. Confirm whether you are applying as an NRI, FPI or another permitted category; read the current issue documents; verify account, repatriation and ownership rules; and use an intermediary and payment route that explicitly accepts your residence and status. ASBA blocks funds until the outcome, while UPI has specific eligibility and own-account requirements. Recheck SEBI guidance, the prospectus, your bank and your regulated provider before each application.
