SpaceX is publicly traded, not private: its Class A shares began trading on Nasdaq and Nasdaq Texas under ticker SPCX on June 12, 2026, and its IPO closed on June 15. To invest now, a reader needs access to a brokerage that offers the shares. For companies that remain private, access is still deal-specific: it may come through a company-arranged tender offer, a private secondary transaction, or a fund—but none guarantees that shares are available to buy.
What changed for SpaceX?
SpaceX’s June 15, 2026 IPO-closing announcement says its Class A shares began trading on the Nasdaq Global Select Market and Nasdaq Texas on June 12 under ticker SPCX. That makes buying SPCX through a brokerage a public-market investment—not a purchase of private shares.

The completed IPO involved 638,888,888 Class A shares and approximately $85.7 billion in gross proceeds, according to SpaceX. Those are historical offering figures, not a current share price or a forecast. The IPO allocation window is over, and the IPO price is not today’s quote. A public share’s market price can move after trading begins.
How can an investor get exposure to a company that is still private?
Private-company access depends on a specific seller, offering, fund, and set of approvals. A company name appearing on a marketplace is not proof that a buyer can place or complete an order. Nasdaq Private Market describes direct transactions and company-specific funds, but says that a listing does not mean shares are currently available or that the company endorses the platform.

| Route | What the investor gets | What can limit access | What to verify |
|---|---|---|---|
| Public shares, such as SPCX | Exchange-traded stock held through a brokerage account. | Brokerage availability and jurisdiction; the market price fluctuates. | Whether the brokerage supports the security and the costs and terms of the transaction. |
| Issuer-sponsored tender offer | A chance to buy or sell shares during a company-arranged event. | Invitation, eligibility, offer terms, allocation, and the company’s process. | Whether the offer is open to you, how shares are priced, and whether the transaction is a purchase or sale opportunity. |
| Direct private secondary transaction | Shares sourced from an existing shareholder, if a transaction can be completed. | Seller supply, investor eligibility, issuer approval or transfer rules, price, and resale limits. | That there is an executable offer and a path to complete the transfer—not just an indicative listing or price. |
| Single-company or other private-market fund | A fund interest that may provide exposure to a selected company or private assets. | Fund terms, investor eligibility, minimums, fees, liquidity, and actual holdings vary. | Whether the fund actually holds the named company, what the investor owns, and how and when the fund permits exit. |
| Registered fund with private assets | Indirect exposure within a registered fund, potentially alongside public-market investments. | Holdings, fees, and redemption or liquidity terms differ by fund. | The fund’s current holdings and whether its exposure fits the investor’s goal; a fund interest is not direct ownership of a named company’s shares. |
Nasdaq Private Market says direct and fund investment minimums vary. It also notes that secondary-market prices are driven by supply and demand and may differ from a company’s last 409A valuation or financing price. A mark, valuation, or marketplace indication is not necessarily a price at which a trade can be completed.
Issuer-sponsored tender offers
A tender offer is an event, not a standing public listing. A company may arrange a limited opportunity for eligible participants to buy or sell shares under stated terms. Availability, participation, allocation, and approval depend on that offer; an investor should read its documents rather than assume that past or rumored offers are still open.

Direct secondary purchases
A secondary transaction seeks shares from an existing holder rather than buying newly issued shares from the company. It requires an available seller and may be subject to company or transfer-agent approval and restrictions on who can own or transfer the shares. Before committing money, confirm the seller, share class, price basis, fees, transfer process, and what happens if approval is denied.
Funds and indirect exposure
A private-market fund gives the investor an interest in the vehicle, not necessarily direct title to portfolio-company shares. A registered fund can also hold private assets along with public investments; its holdings, diversification, fees, and redemption terms are specific to that fund. The SEC Investor Advisory Committee cited more than $35 trillion in assets managed by registered funds in its September 18, 2025 recommendation discussing registered funds as a retail route to private assets. That is a 2025 figure, not a current 2026 total, and it does not establish that any particular fund owns a particular private company.

Who may qualify to buy private placements?
For U.S. offerings, accreditation is common but not universal, and qualifying does not guarantee access. The actual offering documents and applicable rules determine who may invest. SEC guidance identifies several individual accredited-investor pathways, including:
- Income above $200,000 individually, or above $300,000 with a spouse or spousal equivalent, in each of the prior two years, with a reasonable expectation of reaching the same income level in the current year.
- Net worth over $1 million, excluding the value of the primary residence.
- Certain professional licenses, subject to the applicable SEC criteria.
These are U.S. legal eligibility tests, not a promise that an issuer or intermediary will accept an investor. Under SEC guidance, Rule 506(b) offerings may sell to an unlimited number of accredited investors and no more than 35 non-accredited investors in a 90-calendar-day period, subject to the rule’s conditions. Rule 506(c) allows general solicitation only if all purchasers are accredited and the issuer takes reasonable steps to verify that status. Check current SEC guidance and the actual offering documents; creating a platform account does not itself provide a right to buy.

What risks make private investments different?
Resale may be difficult or impossible when you want it
The SEC Office of Investor Education and Assistance says in its Private Placements under Regulation D investor bulletin: “Unlike an investment purchased on a stock exchange, an investment in a private placement is highly illiquid.” A private security may be restricted, and resale exemptions can impose holding periods or other conditions. An investor may struggle to find a buyer or need to hold the investment indefinitely.

Private placements can require less disclosure than registered public offerings. SEC investor guidance warns that an investor may not have enough information to judge whether an asking price is fair. A recent financing price, 409A valuation, or seller’s asking price is not necessarily an independent, current, executable market price.

Loss is possible
Private-company investments can lose some or all of their value. Consider whether the money can remain invested for an indefinite period, whether the information available is sufficient to assess the business and price, and whether the investment’s risks fit your broader finances. Do not treat a platform listing, an expected future listing, or an issuer’s name as a substitute for evaluating the specific security or fund.
How to assess a specific opportunity
- Identify what is being sold. Is it publicly traded stock, a direct share purchase, a tender-offer participation, or an interest in a fund?
- Confirm that access is real. Ask whether an offer is open, a seller is committed, and the intermediary can complete the transaction. Check issuer or transfer-agent approval requirements.
- Check eligibility and documents. Confirm jurisdictional requirements, investor qualifications, share class, fees, and the offering’s terms before sending funds.
- Understand the price basis. Distinguish an executable transaction price from an estimate, a prior financing price, or a valuation mark.
- Read the exit terms. Determine whether and when shares or fund interests can be resold or redeemed, and whether approval or a holding period applies.
- Assess the information and risk. Review what is disclosed, what rights come with the investment, and whether you can tolerate a total loss or a long period without liquidity.
These points matter for private-company investments generally. For SPCX, the route is a brokerage account and public-market trading; private-placement eligibility rules do not turn the completed IPO into an ongoing private-share offering.
