How to Invest in Chinese EV Stocks: ADSs, Hong Kong Shares, Currency and Regulatory Risks

You can invest in some Chinese EV makers through U.S.-traded American depositary shares (ADSs) or through ordinary shares listed in Hong Kong. The two lines can represent interests in the same issuer, but they are not necessarily interchangeable: ADS ratios, broker access, conversion terms, trading conditions and legal risks differ by company. Compare the specific issuer and listing before placing an order.

Choose the issuer and listing before choosing a ticker

There is no single “Chinese EV stock” route. NIO, XPeng and Li Auto each report both a U.S. listing and a Hong Kong listing, but their symbols and ADS ratios differ. NIO also reports a Singapore listing. These are issuer-reported listing details; confirm that the line is still available and supported by your broker when you invest.

Issuer U.S.-traded security Hong Kong line ADS represents Other listing stated by issuer

XPeng NYSE: XPEV ADS 9868 ordinary shares 2 Class A ordinary shares Not stated
Li Auto Nasdaq: LI ADS 02015.HK ordinary shares 2 Class A ordinary shares Not stated

Ratios and listing details are reported in the companies’ investor FAQs. An ADS ratio is a share-representation term, not a measure of which listing is cheaper or better. Compare prices on a per-underlying-share basis if you are comparing lines, and account for exchange rates, fees and any difference in trading prices.

Understand what you are buying: an ADS, not a separate car company

An American depositary share is a security issued under a depositary arrangement to represent a stated number of a foreign issuer’s ordinary shares. Investors often use “ADR” informally for the U.S.-traded instrument; technically, an American depositary receipt is the document evidencing ADSs. The operating company is not made different simply because its security trades in the United States.

The ratio matters when comparing units: one NIO ADS represents one Class A ordinary share, while one XPeng ADS and one Li Auto ADS each represent two Class A ordinary shares, according to the respective issuer FAQs. The ratio does not by itself establish equivalent voting rights, settlement arrangements, currency exposure or conversion cost. Read the issuer’s deposit agreement and current filings for the terms that apply to the line you are considering.

Compare the U.S. and Hong Kong route for your circumstances

Neither route is universally preferable. A U.S. ADS may be more convenient for an investor whose broker supports U.S. trading, while a Hong Kong ordinary share may fit an account with Hong Kong-market access. Convenience is only one factor: check the security form, market hours, available order types, settlement and the broker’s charges and eligibility rules.

  • Broker and account access: Confirm that your broker permits trading in the exact security and market from your country and account type. A ticker appearing in a search does not prove you can trade it.
  • Quote and settlement currency: Check the live instrument details with the exchange and broker. A U.S. quote or Hong Kong quote does not remove the company’s business exposure to other currencies.
  • Conversion terms: Do not assume you can freely or instantly switch an ADS into Hong Kong shares. XPeng says exchanges are governed by securities law and depositary terms, may incur costs and delays, and do not provide direct trading or settlement between the two venues.
  • Liquidity and market hours: The U.S. and Hong Kong lines trade in different sessions, and XPeng warns that liquidity and trading prices may differ between its ADSs and Hong Kong shares. Check the specific line’s current trading conditions rather than assuming one venue is always more liquid.
  • Issuer-level risks: Read the company’s current annual report and deposit agreement. Similar products or listings do not mean identical ownership structures, disclosures or risks.

Account for currency exposure at more than one level

The currency shown beside a stock quote is only one part of the exposure. Your result can be affected by conversion between your account’s base currency and the security’s trading currency, as well as by the currencies in which the issuer earns revenue, pays costs, holds assets and reports results. A USD-traded ADS does not make the company’s underlying business a U.S.-dollar business.

Li Auto identifies exchange-rate fluctuations as a potential material adverse effect on its results and on the value of an investment. The cited company disclosure does not quantify a current sensitivity or establish a current exchange rate. Before buying, check the issuer’s latest filings for its stated exposures, and check your broker’s currency-conversion method and charges. Do not treat a USD or HKD display price as a currency hedge.

Assess ownership structure and China-related legal risk

A U.S.-listed holding company may not directly own the China-based operating entity that conducts important business. The SEC’s September 20, 2021 investor bulletin explains that some China-based variable interest entity (VIE) structures rely on contracts for control and economic rights rather than equity ownership in the operating company. The SEC cautions: “A U.S.-listed company and its China-based VIE might appear to be the same company—because they are presented in a consolidated manner—but they are not.”

This is a general explanation, not a finding that every Chinese EV issuer uses an identical structure. Li Auto’s fiscal 2025 Form 20-F describes it as a Cayman Islands holding company with no equity ownership in its VIEs, and warns that PRC authorities could find contractual arrangements non-compliant, potentially resulting in severe penalties or forced relinquishment. The SEC bulletin also warns that a breach or a change in Chinese law affecting enforceability could mean significant losses and little or no recourse. Review each issuer’s own current filings rather than applying one company’s structure to another.

Put U.S. audit-inspection risk in its current, conditional context

The Holding Foreign Companies Accountable Act (HFCAA) creates a risk to U.S. trading if the relevant audit-inspection conditions are met; it is not accurate to describe all Chinese EV ADSs as currently prohibited from trading on that basis. XPeng’s fiscal 2025 Form 20-F says the PCAOB’s earlier inability-to-inspect determination was vacated in December 2022 after inspection access for mainland China and Hong Kong was restored. The filing also explains that a future inability to inspect for two consecutive years could lead to SEC identification and a U.S. trading prohibition, and that inspection access may be reassessed annually.

That account is specific to XPeng’s filing and the status it describes; it does not establish the status of every issuer or the position after that filing. Check current PCAOB and SEC notices and the company’s most recent annual report before relying on the U.S. listing remaining available.

A practical checklist before placing an order

  1. Identify the issuer and exact security. Confirm the company, exchange, ticker, whether it is an ADS or ordinary share, and the ADS-to-share ratio in the issuer’s current materials.
  2. Confirm account access and order details. Ask your broker whether the listing is tradable in your jurisdiction and account, and check market hours, order types, settlement currency and fees.
  3. Read the relevant documents. Review the latest annual report for ownership structure, regulatory disclosures, currency risks and audit-inspection discussion; read the deposit agreement if buying an ADS or considering conversion.
  4. Compare total friction, not just the displayed price. Account for currency conversion, broker and depositary charges, possible conversion delays, liquidity and any difference between the U.S. and Hong Kong prices.
  5. Decide whether single-company exposure is appropriate. These listings are individual-company investments. If considering a fund instead, verify its current holdings, fees, market availability and risks; a fund’s presence or suitability cannot be inferred from the issuer listing details.

Trading symbols, broker access, exchange rules, conversion terms, fees and regulatory status can change. The ratios and listing details above are based on issuer FAQs; the structural and risk descriptions are tied to the SEC bulletin and the cited company filings, including XPeng’s fiscal 2025 report and Li Auto’s fiscal 2025 Form 20-F.
