(Nasdaq: MSTR). But you would own shares in the company—not Bitcoin—and the stock is not designed to mirror Bitcoin’s price. The company’s business, financing, liabilities, share issuance and market valuation can all affect your investment.
What does it mean to invest in a Bitcoin treasury company?
A Bitcoin treasury company is a public company that holds Bitcoin as part of its corporate treasury strategy. Its shares are ordinary equity in the corporation. The Bitcoin belongs to the company; shareholders do not receive direct ownership of the coins or a right to withdraw them.

Strategy is one example. In its Form 10-K for the year ended December 31, 2025, filed in February 2026, the company describes enterprise analytics software as its operating business and Bitcoin as its primary treasury reserve asset. It says it uses proceeds from equity and debt financing, as well as operating cash flows, to acquire Bitcoin. Those are disclosures about its strategy and financing approach, not a guarantee of future purchases or current holdings. Read Strategy’s 2025 Form 10-K.
How can you buy the company’s stock?
If your brokerage account offers U.S.-listed shares, you can look up a company by its ticker and place an order through that broker. For Strategy, the Nasdaq ticker is MSTR. The following is a general process; the labels and available order types vary by brokerage.
#1 Best Overall
- Review the company. Read its latest annual and quarterly filings, investor materials and risk disclosures before deciding whether its stock fits your circumstances.
- Check access and account details. Confirm that your brokerage lets you trade the security and review any account, trading-hours or order restrictions that apply.
- Find the listing. Search for the ticker, verify the company name and exchange listing, and make sure you have selected the stock rather than a similarly named security.
- Choose an order type and amount. Review the order details, including the number of shares or eligible fractional-share amount, any price limit, and any fees disclosed by your broker.
- Review before submitting. Check the ticker, order type, quantity, price conditions and estimated cost. After the order is placed, use your brokerage account to review its status and any executed transaction.
Buying a share gives you exposure to the company’s equity. It does not give you a Bitcoin wallet, transfer rights or a fixed claim on a certain amount of Bitcoin.
Why doesn’t the stock necessarily track Bitcoin?
Bitcoin’s price can influence a treasury company’s assets and investor sentiment, but the stock also reflects the corporation as a whole. Strategy’s 2025 Form 10-K says its common stock does not seek to track the Bitcoin it holds before expenses and liabilities. It also warns that the stock’s market price relative to the value of its Bitcoin holdings can change.
Rank #2
That means the stock could rise or fall by a different amount than Bitcoin, and its price may not move in the same direction over a given period. Operating results, debt and other claims, new share issuance, corporate decisions, and investor demand can affect the stock independently of Bitcoin’s price. A rise in Bitcoin therefore does not guarantee a matching gain in the shares.
How is company stock different from a spot Bitcoin ETP?
A spot Bitcoin exchange-traded product (ETP) and a Bitcoin treasury company stock are different securities with different structures. The SEC Office of Investor Education and Advocacy’s September 9, 2024 bulletin describes spot Bitcoin ETPs as exchange-traded commodity trusts that hold Bitcoin and seek to track its price. It also notes that their share prices can deviate from Bitcoin and that they charge sponsor fees. The bulletin is staff guidance, not a Commission rule or regulation.
Rank #3
| Comparison | Bitcoin treasury company stock | Spot Bitcoin ETP |
|---|---|---|
| What you hold | Equity in a corporation with a Bitcoin treasury strategy and potentially other operations. | A share or unit in an exchange-traded commodity trust that holds Bitcoin. |
| Intended exposure | The share price may be affected by Bitcoin, but Strategy says its common stock does not seek to track its Bitcoin holdings. | Seeks to track Bitcoin’s price, although the ETP’s share price may deviate from it. |
| Other factors to consider | Operating business, financing, liabilities, share issuance, company decisions and the stock’s valuation relative to Bitcoin holdings. | Trust structure, tracking, market trading and sponsor fees. |
| Regulatory distinction | Strategy says it is not registered as an investment company; its stockholders do not receive the protections associated with shares in a registered investment company. | The SEC staff bulletin says spot Bitcoin ETPs register their offerings and securities, but are not registered as investment companies under the Investment Company Act. |
For its explanation of ETP structures, tracking and fees, see the SEC Office of Investor Education and Advocacy’s September 9, 2024 Investor Bulletin. Neither structure removes Bitcoin-related investment risk.
What should you check before investing?
Use current disclosures rather than assuming that a company’s past Bitcoin holdings, financing or share structure are unchanged. A focused review can include:
Rank #4
- Operating business: What does the company sell, and how do its operations contribute to its finances apart from its Bitcoin holdings?
- Bitcoin exposure: What do the latest filings disclose about the company’s holdings and strategy? Is Bitcoin a large or concentrated part of its treasury?
- Debt and preferred claims: What obligations or other securities rank ahead of common shareholders, and what payments or other terms do they involve?
- Share issuance and dilution: Has the company issued shares or other securities to raise funds, and how could future issuance affect existing shareholders?
- Valuation: How does the stock’s market value compare with the value of its Bitcoin holdings and other assets, taking expenses and liabilities into account? That relationship can change.
- Custody and cybersecurity: What risks does the company disclose around safeguarding Bitcoin, access to its holdings and cybersecurity?
- Regulatory and company-specific risks: What do current filings say about regulatory changes, financing, market pricing relative to other ways of gaining Bitcoin exposure, and protections available to shareholders?
- If comparing an ETP: Review its structure, fees, tracking and product disclosures as well as the risks described by its issuer.
Strategy’s 2025 Form 10-K identifies risks including Bitcoin volatility and concentration, custody and cybersecurity, regulatory changes, financing and issuance of new securities, and market pricing relative to ETPs and other alternatives. Those disclosures are specific to Strategy and the report period; they are not a substitute for reviewing a company’s newest filings or current product documents.

What does this choice mean for risk?
You are taking both corporate equity risk and exposure to a company whose treasury strategy involves Bitcoin. The SEC Office of Investor Education and Advocacy said in its September 9, 2024 bulletin: “Investors should understand that bitcoin and ether are highly speculative investments.” That is a statement by SEC office staff, not a rule or regulation. Company stock can add risks beyond Bitcoin’s price movements, while an ETP has its own structure, tracking, fee and market risks. Which, if either, suits an investor depends on their circumstances and risk tolerance.
