The best candidates for AI-assisted modernization are not simply the oldest applications. They are systems where the risk and cost of continued operation are demonstrably high, the business case for change is clear, the technical environment fits a supported modernization workflow, and the organization can test and review every proposed change.
Identify them through a documented portfolio assessment. Inventory each system, establish its mission impact, compare the risks of keeping it with the risks of changing it, calculate lifecycle costs, verify organizational and technical readiness, then test whether an AI tool supports the relevant language, framework, repository and transformation. Treat AI-generated findings and code as inputs for accountable engineers and governance boards—not as an automatic modernization decision.

What makes a legacy system a good AI-modernization candidate?
A candidate has a compelling reason to change and a controlled way to change. The reason may be exploitable vulnerabilities, unsupported infrastructure, unacceptable performance, high specialist-support costs, or an inability to meet new business requirements. The control comes from accessible source code, reproducible builds, representative tests, known dependencies, an achievable target platform and people who can review the work.
Age is only a signal. A decades-old system that is stable, secure, affordable and well understood may be a lower priority than a newer application running on unsupported software with serious operational risk. Conversely, a mission-critical system can be a strong modernization candidate because its risks are substantial, but its criticality also imposes stricter sequencing, testing and cutover requirements.

No universal score or return-on-investment cutoff establishes suitability. A practical assessment makes the evidence, uncertainty and trade-offs visible so that business and technical owners can make a defensible decision.
1. Build an inventory before ranking anything
Start with an application-and-dependency inventory rather than a list based on age or technology fashion. Microsoft describes assessment as examining the digital estate and producing a complete estate inventory and business plan with cost analysis. Your inventory should be specific enough that another team can understand what would be affected by a change.
Record the system’s identity and ownership
- Application name, owner, technical lead and business process.
- Primary users, user volumes, operating regions and service hours.
- Business capabilities and downstream services that depend on it.
- Whether the organization owns the source code, build scripts, deployment configuration and test data needed for a change.
Capture the technical estate
- Runtime, programming languages, frameworks, versions and operating systems.
- Databases, files, queues, identity services, external APIs and batch schedules.
- Hosting location, network boundaries, recovery architecture and environment count.
- Interfaces, data flows, authentication methods, secrets handling and privileged accounts.
- Third-party components, licenses, vendor-support status and known end-of-life dates.
Capture operating evidence
- Availability, response-time and throughput baselines.
- Incident history, recurring defects, failed jobs and manual workarounds.
- Patch status, vulnerability findings, audit issues and compensating controls.
- Current operations, maintenance, infrastructure, licensing and specialist-staffing costs.
- Skills held by the current team, succession risk and dependence on individual experts.
Mark each field with its evidence source and date. “Unknown” is not a reason to stop; it is an uncertainty that should affect confidence and trigger discovery work before a migration commitment.
2. Establish mission and service criticality
Determine what the application enables and what failure or prolonged maintenance would mean. GAO reports that agencies consider mission criticality when deciding whether to modernize legacy systems. Criticality should influence both priority and method: a high-impact service may deserve urgent risk reduction, but it also needs stronger controls and narrower change windows.
Questions to answer with business owners
- Which customer, employee, safety, financial or regulatory processes stop if the system is unavailable?
- How long can the service be unavailable, and how much data can be lost?
- Are there legal, contractual or reporting deadlines that constrain releases?
- What manual fallback exists, and for how long can it operate?
- Which other applications, partners or data products consume its outputs?
Document recovery-time and recovery-point requirements, peak periods, blackout windows and approval authorities. A system that appears technically simple may be difficult to change if it sits at the center of many time-sensitive processes.
3. Compare the risk of keeping the system with the risk of changing it
Modernization is not automatically safer than operation. Evaluate both paths using the same decision record. GAO’s selection factors include mission criticality, security, vendor support, operational performance and cost; those factors are useful prompts, not a universal formula.
Risk of continued operation
- Known exploitable vulnerabilities, missing patches or unsupported hardware and software.
- Inability to meet required performance, capacity, availability or recovery objectives.
- Failure points that only one employee or contractor understands.
- Rising maintenance effort, scarce skills, obsolete tooling or expiring licenses.
- Data-quality, audit or compliance weaknesses that cannot be corrected economically in place.
Risk of modernization
- Loss of undocumented behavior or business rules during translation.
- Data-conversion errors, interface incompatibilities and changed timing in batch processes.
- Extended parallel operation, duplicate costs and a difficult rollback.
- Security exposure introduced by a new platform, pipeline or migration utility.
- Insufficient test coverage, unavailable subject-matter experts or an unrealistic schedule.
For each major risk, record likelihood, consequence, owner, evidence and mitigation. If the modernization case depends on a benefit that cannot yet be measured, mark it as an assumption and define how it will be tested.

4. Calculate the full lifecycle cost and the benefits you can defend
Compare the cost of keeping the current system with the cost of changing and then operating the target. Include costs that are often hidden in departmental budgets.
Costs of continuing
- Operations and maintenance labor, on-call coverage and specialist contractors.
- Infrastructure, hosting, energy, backup, monitoring and security tooling.
- Licenses, support contracts and fees for obsolete platforms.
- Incident response, emergency fixes, audit remediation and downtime where those costs are known.
- Recruiting, training and succession planning for scarce skills.
Costs of changing
- Discovery, architecture, code transformation and data migration.
- New environments, licenses, connectivity, tooling and security controls.
- Test creation, performance testing, user acceptance and independent assurance.
- Parallel running, reconciliation, cutover rehearsals and rollback capability.
- Training, documentation, support transition and decommissioning.
Estimate benefits in operational terms: reduced recovery time, measurable response-time improvement, removal of a support dependency, faster release capability or retirement of a costly platform. The available evidence does not establish a universal ROI threshold, so do not present an internally chosen threshold as an industry rule.
5. Check technical and organizational readiness
An assessment tool can reveal code patterns and dependencies, but readiness still requires local judgment about people, process and constraints.
Technical readiness checklist
- Source repositories and build instructions are available and can be reproduced.
- Dependencies, interfaces, data stores and scheduled jobs are mapped.
- Representative test data can be used lawfully and safely.
- Automated unit, integration, regression or contract tests exist—or there is a funded plan to create them.
- The proposed target platform supports required security, performance, resilience and data-residency controls.
- Observability can detect functional and operational regressions after a change.
Organizational readiness checklist
- A business owner can define acceptance criteria and approve behavior changes.
- Qualified engineers can review plans, generated code, configuration and migration scripts.
- Security, privacy, risk and architecture reviewers are available at the required points.
- There is capacity for discovery, remediation, testing, parallel operation and support transition.
- Governance can stop or re-sequence a wave when evidence changes.
Low test coverage does not always disqualify a system, but it changes the first deliverable. Establish characterization tests and production-behavior baselines before asking an automated tool to transform large portions of code.

AI-assisted modernization is a workflow, not a guarantee that any legacy code can be rewritten automatically. Microsoft documents modernization capabilities for assessing code, configuration and dependencies, planning migrations, applying supported transformations and validating builds and tests. Its documentation also describes human review of recommendations and changes.
Confirm product and ecosystem coverage
Check the tool’s current documentation for the exact language, framework, build system, repository type, operating system and target platform. Microsoft’s Java-oriented assessment examples cover cloud-readiness concerns such as credentials, databases, messaging, file-system use, sessions, authentication and containerization, as well as Java upgrade and security findings. Its .NET upgrade guidance describes examining project structure, dependencies and code patterns, then producing reviewable assessment and planning artifacts and validation criteria.
Those examples demonstrate what a particular product can detect. They do not establish support for every language, mainframe environment, proprietary runtime, embedded device, real-time constraint or operational dependency. Verify scope before selecting a tool or promising a delivery date.

Choose bounded, testable work
AI assistance is easier to govern when the first task has a clear boundary, such as a supported framework upgrade, dependency remediation, configuration conversion or a well-defined service extraction. Define inputs, outputs, acceptance tests, security checks and rollback conditions. Avoid beginning with an unrestricted request to “modernize” an application whose business behavior is undocumented.

Require a qualified person to review the assessment, proposed plan, code changes, infrastructure changes and test results. Reviewers should be able to explain why a change preserves behavior, identify assumptions and reject a recommendation that conflicts with operational reality. Build and test validation is evidence, not proof that every production scenario is safe.
7. Prioritize several systems as a portfolio
When many applications qualify, compare them on consistent axes and publish the organization-specific weights. At minimum, compare:
- Mission criticality and user impact.
- Security and vendor-support exposure.
- Operational performance and ability to meet service objectives.
- Current and projected lifecycle cost.
- Skills availability and long-term supportability.
- Dependency complexity and migration effort.
- Organizational readiness and test capability.
- Confidence in the target-state benefits.
Keep the risk of the status quo visible beside the risk of modernization. A high-risk system with no feasible migration path may need containment and skills investment before transformation. A moderately critical system with strong tests, a supported target and clear savings may be a safer first wave.
Use a decision record, not a mysterious score
A portfolio record can use locally chosen weights or qualitative bands, but it should show the underlying evidence. Record the rating, evidence date, confidence, owner, dependencies, assumptions and next validation step. Do not copy a scorecard from another organization as if it were a standard.

Plan waves and disposition
For each selected system, document milestones, work packages, decision gates, legacy disposition and the conditions for pausing. Disposition may be transformation, replacement, retirement, containment or continued operation with specific risk controls. Microsoft’s batch-assessment documentation describes reports for Java, .NET and JavaScript/TypeScript repositories that include issues, effort, target platforms, cost estimates, migration strategy and readiness-based waves. Such reports can organize a portfolio, but a generated recommendation remains an input to governance.
Signals that deserve investigation
| Signal | Why it matters | How to use it |
|---|---|---|
| Known vulnerabilities or unsupported vendor software | Continued operation may carry material security and support risk. | Confirm exposure and compensating controls, then weigh the security risk of migration itself. |
| High mission criticality | Failure or disruption could have substantial consequences. | Use it to justify careful planning and to constrain change windows. |
| High operating or specialist-staffing burden | Costs and scarce expertise can undermine sustainable operation. | Quantify actual costs and succession risk rather than assuming modernization saves money. |
| Poor performance or inability to meet needs | The application may no longer deliver the required service. | Define measurable service outcomes and capture baselines before choosing a target. |
| Outdated components with a supported migration path | Concrete findings can create a bounded modernization scope. | Validate tool detection against the real code and environment; detection alone does not prove business fit. |
| Build, test and review capability | AI-assisted changes need evidence that behavior is preserved or improved. | Require reproducible builds, representative tests, security checks and accountable human review. |
| Documented disposition and delivery plan | Modernization needs a route to completion and retirement of old components. | Record milestones, required work and legacy disposition before assigning a delivery wave. |
What federal reviews show—and what they do not show
The U.S. Government Accountability Office’s July 17, 2025 review illustrates why structured screening matters. Of the 11 most critical federal legacy systems GAO identified, eight used outdated languages, four had unsupported hardware or software, and seven operated with known cybersecurity vulnerabilities. GAO scored 69 agency-identified systems using 16 attributes, including age, vendor support, legacy programming languages, cybersecurity risk and operating costs. Only three of the 11 systems had fully documented modernization plans; the other eight had incomplete plans.

These figures describe the selected federal systems in that review, not the prevalence of conditions across all organizations. GAO’s summary warns that until agencies fully document modernization plans for critical legacy systems, modernization efforts have an increased likelihood of cost overruns, schedule delays and overall project failure. The practical lesson is to document the case and delivery route before treating an application as ready for a modernization wave.

Common mistakes and how to correct them
Choosing by age alone
Problem: An old system is placed first without evidence of risk or benefit. Correction: Require mission, security, performance, cost, skills and dependency evidence.
Treating an assessment finding as a business case
Problem: A tool flags an outdated dependency, so the organization assumes a rewrite is justified. Correction: Validate the finding in the running environment and connect it to a service, security or cost outcome.
Ignoring the risk of change
Problem: Migration risk is hidden to make the business case look simple. Correction: Record data, interface, testing, cutover and rollback risks beside status-quo risks.
Starting without tests
Problem: Generated changes are accepted because they compile. Correction: Establish characterization, integration, security and performance checks, then require human review of results.
Free tools Windows power users keep installed
One-click scans. No signup required.
Assuming vendor coverage is universal
Problem: A workflow documented for Java or .NET is applied to an unsupported language or proprietary runtime. Correction: Verify current product coverage for the exact repository and target, and plan manual work where coverage ends.
Best Value
Letting a portfolio score make the decision
Problem: A number hides uncertainty and overrides owners’ knowledge. Correction: Publish the evidence, assumptions, confidence and governance decision behind any score.
When not to make AI-assisted modernization the next step
Pause when the organization cannot identify an owner, cannot access source or data, cannot reproduce a build, has no credible test strategy, or cannot staff review and operational transition. Also pause when the target platform is not approved for the data or workload, when a critical dependency has no migration path, or when the claimed benefit is not measurable. In these cases, fund discovery, documentation, containment, test creation or skills development first. A controlled preparation phase is safer than labeling an unready system an AI candidate.
Frequently asked questions
Does a system have to be very old to qualify?
No. Age can indicate accumulated technical debt, but security exposure, unsupported components, mission impact, cost, performance and maintainability are more useful decision factors.
Can an AI assessment decide which application to modernize?
No. It can surface code, dependency and migration facts within its documented coverage. Business criticality, organizational readiness, risk acceptance and final sequencing require accountable local governance.
What evidence should be required before approving a first wave?
Require an inventory, mission and recovery requirements, keep-versus-change risk record, lifecycle-cost estimate, dependency map, documented tool coverage, reproducible build, representative tests, human reviewers, milestones, rollback conditions and legacy disposition.
Are GAO’s statistics a benchmark for private organizations?
No. The figures come from selected U.S. federal systems reviewed in 2025. They illustrate the value of structured assessment, not a prevalence rate or a universal scoring model.
