Start with the work arrangement, not the contract label. Under Mexico’s Federal Labor Law, personal subordinated work performed for a wage can constitute an employment relationship regardless of the document that gave rise to it. If the work is genuinely independent, document a defined service and manage it accordingly. If a vendor makes workers available to your business, separately assess Mexico’s specialized-services and REPSE rules before the work begins.
How does Mexican law distinguish an independent contractor from an employee?
Article 20 of Mexico’s Federal Labor Law defines a work relationship as personal subordinated work for a wage, whatever act gave rise to it. The decisive issue is the relationship in practice—not whether an agreement calls someone a contractor, consultant, or service provider. Read Article 20 and the related provisions in the Federal Labor Law.

Before choosing a hiring route, write down what the person will do, what outputs they are responsible for, where the work will happen, who supplies tools, whether they can serve other clients, and how your business will direct and review the work. These are useful facts to assess, not a statutory checklist or a guarantee of independent status. A 2024 overview by Mexican law firm Creel Abogados notes that features such as a set schedule, required workplace attendance, employer-supplied tools, and fixed, consistent compensation may support an employee classification; no single factor decides every case. See the 2024 Mexico employment overview.

| Arrangement | When to consider it | What to plan for |
|---|---|---|
| Employee-like role | Your business expects to direct the person’s work in a subordinated relationship. | Use employment as the working assumption and get Mexico-specific advice on local employment, registration, and payroll arrangements. |
| Independent professional service | The person provides a genuinely independent, defined service rather than working as part of your staff. | Use a written services agreement and ensure actual working practices match it. A contractor label alone does not determine classification. |
| Specialized-service or works provider | A vendor supplies its own workers or makes them available for another party’s benefit. | Assess the subcontracting restrictions, qualifying conditions, REPSE registration, contract requirements, and ongoing reporting before work starts. |
These routes are not interchangeable labels. A foreign payer does not, by itself, settle whether the relationship is employment, whether a provider needs REPSE registration, or what tax duties apply.

When does REPSE apply?
Mexico prohibits personnel subcontracting—providing or making one party’s workers available for another party’s benefit. The law permits specialized services or works only under specified conditions: the service must not form part of the beneficiary’s corporate purpose or predominant economic activity, and the provider must have registration with the Secretaría del Trabajo y Previsión Social (STPS), known as REPSE. The 2021 reform decree sets out the statutory conditions.
STPS guidance ties REPSE to providers making their own workers available for a third party’s benefit in a workplace owned, administered, or controlled by the beneficiary. It also covers qualifying intra-group services. That makes the actual service, worksite, and relationship important: do not assume every independent professional needs REPSE, or that describing a personnel arrangement as “consulting” avoids the rules. Check the current registration and whether the registered activity corresponds to the service being contracted. Consult STPS’s REPSE portal and guidance.

What should a services agreement cover?
For a genuinely independent service, use terms that describe the arrangement as it will operate. Specify the service and deliverables, fees, term, confidentiality obligations, treatment of intellectual property, and workable termination and dispute provisions. Align the agreement with the actual level of direction, schedule, work location, tools, and ongoing responsibilities. No single clause makes a person independent if the working relationship is subordinated.
For covered specialized services or works, the law requires a written contract that states the service or work’s object and the approximate number of workers who will participate. The beneficiary may face joint liability for the provider’s labor obligations. Build practical cooperation into the contract and vendor process—for example, identifying who supplies relevant compliance evidence, who coordinates filings, and how records will be retained. These provisions help administer the engagement; they do not replace the statutory conditions. See the decree’s contract and liability provisions.

How should you manage a covered provider after signing?
- Verify the service and registration. Confirm that the work qualifies as specialized, falls outside both the beneficiary’s corporate purpose and predominant economic activity, and corresponds to the provider’s current REPSE registration.
- Record the required contract details. Put the service or work and approximate participating-worker count in the written agreement, then retain the contract and relevant registration and compliance records.
- Coordinate reporting. For covered specialized-service or works contracts, clarify who handles the IMSS ICSOE report and when. IMSS describes ICSOE as a system for periodic reporting by four-month period; keep evidence of required filings. Review IMSS’s ICSOE overview.
- Confirm current tax-document requirements. Ask a Mexican tax professional to check the applicable SAT CFDI rules and party identifiers for your parties and transaction. SAT’s cited rule includes the generic RFC key XEXX010101000 for certain transactions with foreign residents not registered in Mexico and addresses certain payroll CFDIs issued by Mexican providers serving foreign residents. The rule does not answer every foreign-company withholding, VAT, or registration question. Consult the SAT rule.
- Reassess when the arrangement changes. If a defined project becomes continuous staff work, or management introduces employee-like schedules, required attendance, or supplied tools, revisit the classification against the real facts rather than relying on the original agreement.
SAT and STPS have stated that covered services without required current registration may lead to tax and labor sanctions and that payments for those services are not deductible or creditable. Read the SAT/STPS notice.

The core Mexican labor rules do not settle every cross-border consequence for an unspecified company and worker. The company’s country and Mexican presence, the worker’s location and tax residence, the duration and type of service, and any immigration questions can affect the analysis. Mexico’s VAT law defines independent services separately from subordinated work, while tax-document rules address particular transactions with foreign residents; neither point resolves all withholding, permanent-establishment, VAT, or registration questions. See Article 14 of Mexico’s VAT Law.

Have Mexican labor and tax advisers review the actual arrangement when classification, REPSE, payroll, or cross-border tax treatment is uncertain. The right route depends on the facts of the engagement, not just the foreign business’s location or the document’s title.
