Start with the company’s latest definitive proxy statement (DEF 14A) on its SEC EDGAR company page. Search for the beneficial-ownership table for directors and executive officers, then check its measurement date, security class, definition, and footnotes. To follow changes after that snapshot, review the issuer’s Forms 3 and 4, including amendments.
Find the ownership table in the proxy statement
- Open the issuer’s EDGAR company page. Search by company name or ticker at SEC EDGAR. Confirm the issuer and the relevant class of securities; company filing pages show filing categories and separate filing and reporting dates. SEC EDGAR
- Choose the latest definitive proxy statement (DEF 14A). Check that it is the company’s own proxy and note the meeting and filing context. The proxy’s filing date may be later or earlier than the ownership table’s measurement date.
- Search within the filing. Try “Security Ownership of Certain Beneficial Owners and Management,” “Stock Ownership by Directors and Executive Officers,” “Stock Ownership by Directors, Executive Officers and 5% Shareholders,” or simply “beneficial ownership.” Issuers may use different but similar headings.
- Record the table’s stated date. Do not call its figures current without qualification. For example, Oracle’s 2026 DEF 14A search result gives September 21, 2026—the annual-meeting record date—as the date for its table. That is an Oracle-specific example, not a universal convention. SEC EDGAR
Read the definition and footnotes before using the figures
A beneficial-ownership figure does not necessarily mean the person holds that number of settled shares outright. The proxy’s definition and notes control what is counted. Beneficial ownership generally concerns voting or investment power, and some issuers include specified options exercisable within a stated period or equity awards expected to vest or settle within that period.

Check which security class the table covers, whether holdings are direct or indirect, and what the percentage denominator is. An issuer may count shares underlying near-term options in an individual’s beneficial-ownership figure while excluding those unissued shares from the general outstanding-share denominator. CeriBell’s SEC-hosted proxy describes that approach for its own table; it should not be assumed to apply to other companies. CeriBell 2025 proxy

Track later changes with Forms 3 and 4
For activity after the proxy’s snapshot, return to the issuer’s EDGAR filings and review Forms 3 and 4, as well as amended filings labeled 3/A or 4/A. The SEC describes Form 3 as the initial statement of beneficial ownership and Form 4 as a statement of changes. Form 4 instructions generally require filing before the end of the second business day after a transaction that changes beneficial ownership. SEC Forms 3, 4 and 5 instructions
Keep the transaction date, reporting date, and filing date distinct. Use the transaction details in the ownership filing to understand a reported change; use the proxy table’s stated date for the annual snapshot. EDGAR displays filing and reporting dates separately, and the proxy is not a real-time holdings feed. SEC EDGAR SEC Forms 3, 4 and 5 instructions

Use the Section 16(a) disclosure as a compliance cross-check
Proxy statements commonly include a Section 16(a) compliance discussion describing the issuer’s review of Forms 3, 4, and 5 and any known late reports. CeriBell’s 2026 proxy, for example, describes the reporting population and issuer-specific late-report exceptions for fiscal year 2025. This disclosure can flag compliance issues, but it does not replace checking the individual ownership filings. CeriBell 2026 proxy

Compare executives on consistent terms
Before comparing two people—or the same person across filings—align the facts that determine what each number means:
- Ownership measurement date and security class.
- Direct, indirect, and other beneficial ownership categories.
- Currently held or vested shares versus options and unvested awards included under the issuer’s stated convention.
- The share-count denominator used for each percentage.
- For a reported change, the transaction date, filing date, transaction details, and whether the filing is an amendment.
Ownership filings report holdings and transactions; they do not by themselves establish that an executive’s activity predicts a stock’s future performance or amounts to a buy or sell recommendation.
