Find PennyMac Mortgage Investment Trust insider filings on the company’s Insider Filings page under “Forms 3, 4 & 5,” or search SEC EDGAR for the trust using CIK 0001464423 and filter for Form 4. To interpret a filing, verify the reporting person and dates, then read the transaction code, ownership details, and footnotes together. A reported sale or purchase does not, by itself, reveal the insider’s motive or predict the company’s performance.

Where to find PennyMac Mortgage Investment Trust Form 4 filings

Use PennyMac’s insider-filings page

Go to the company’s Insider Filings page and choose “Forms 3, 4 & 5.” The table organizes records by filing description, form type, filing date, and download options. Check the form type to distinguish Form 4 from the other insider reports listed there.

Use SEC EDGAR to confirm the record

Search EDGAR for PennyMac Mortgage Investment Trust or its SEC Central Index Key, 0001464423, and filter for Form 4. The CIK helps distinguish this trust from similarly named PennyMac entities. EDGAR’s filing detail page identifies the issuer and form type and provides the filing date, period of report, and links to the primary HTML and XML documents. For example, this SEC record is a Form 4 for the trust.

What to check before interpreting a transaction

Start by confirming the issuer, reporting person, form type, filing date, and period of report. The dates answer different questions: the period of report concerns the transaction period, while the filing date is when the report was submitted. In the cited EDGAR example, the transaction period ended September 22, 2025, and the filing date was September 24, 2025.

Open the primary HTML document for a readable view; EDGAR also provides XML for structured data. Review the transaction table alongside its footnotes. A Form 4 may cover common stock or derivative securities. For each relevant line, check the transaction date and code, the amount and price where shown, whether ownership is direct or indirect, and the holdings reported after the transaction. Footnotes may clarify the circumstances, relationships, or nature of indirect ownership. Describe only what the filing establishes.

How to read common Form 4 transaction codes

The SEC’s Investor Bulletin on insider transactions and Forms 3, 4, and 5 explains these frequently encountered codes:

Rank #2
Code Meaning
P Purchase on an exchange or from another person.
S Sale on an exchange or to another person.
A Grant, award, or other acquisition from the company.
F Use of securities to pay an exercise price or tax liability.
M Exercise or conversion of a derivative security.
G Gift.
J Another transaction, accompanied by a footnote.

These codes describe the reported transaction, not necessarily its wider context. In particular, an acquisition from the company, a tax-related disposition, and an open-market purchase are different events. Read any footnote associated with a code, and consult the Form 4 general instructions referenced by the SEC bulletin for the full code set.

Who files and when Form 4 is due

Form 4 reports transactions and holdings for covered reporting persons, including directors, officers, and certain beneficial owners of more than 10 percent. The SEC Investor Bulletin says that, in most cases, the form must be filed within two business days following the transaction date. The Federal Reserve’s Form 4 description states the deadline as before the end of the second business day following the day a transaction changing beneficial ownership is executed.

What a Form 4 does—and does not—show

A filing documents reported transactions and ownership information; it does not automatically explain why an insider acted or what the action means for the trust’s outlook. The SEC Office of Investor Education and Advocacy notes: “Of course, insiders may sell company securities for any number of reasons, including for liquidity and diversification purposes.” (SEC Investor Bulletin, SEC Pub. No. 137, Feb. 2013.) Treat a code, amount, and post-transaction holding as facts reported in the filing, not as a standalone forecast.
