Do not judge a real-estate investment by its property photos, projected return or promoter’s confidence. First identify the legal instrument you would receive, then verify the issuer and people involved, rebuild the economics from documented assumptions, test how you could lose money, and confirm that you can exit—or tolerate being unable to exit. If material questions remain unanswered, do not send funds.
This is a U.S.-centered framework for screening a solicitation. The applicable rules depend on the offer’s structure, the property and issuer’s jurisdictions, and your location. Educational SEC materials do not determine whether a particular offer is fraudulent or whether you are eligible to invest.

1. Establish exactly what you are buying
“Real estate investment” can describe very different legal and economic arrangements. Before discussing returns, ask for the precise name of the issuer, the entity receiving your money, the property owner, and the instrument you would hold. Your rights differ substantially between owning real property, lending money, and buying an interest in an entity.
| Structure | What you may receive | Primary risk questions |
|---|---|---|
| Direct property ownership | Title or a deeded ownership interest | Who is on title, what liens exist, and who controls leasing, maintenance and sale? |
| Loan or note | A creditor claim requiring repayment under stated terms | Is the loan secured, where do you rank against other creditors, and is collateral value independently supported? |
| Limited partnership or LLC interest | An indirect equity interest governed by an operating or partnership agreement | What voting, information, distribution and removal rights do you have, and can additional capital be required? |
| Pooled fund | Fund units or another pooled investment interest | What assets and liabilities does the fund have, who controls it, and how are fees and redemptions handled? |
| Other security or contract | A contractual or securities interest defined by offering documents | What legal rights, restrictions and remedies apply if performance fails? |
A property photograph, a “preferred return,” or a statement that an investment is “backed by real estate” does not substitute for the governing instrument. Ask where the investor’s money sits in the capital structure and whether distributions come from property operations, refinancing, a sale, or new investor money.

2. Know what a private placement filing does—and does not—prove
Securities offerings generally must be registered with the SEC or rely on an exemption. Private placements often provide less disclosure than registered offerings and can be difficult or impossible to resell. Eligibility, disclosure and resale rules vary by exemption and investor circumstances.
A Form D filing reports information about certain exempt offerings; it is not a merit review. The SEC’s investor bulletin states: “Form D does not represent SEC approval or registration.” A filing, an SEC-looking logo, or a registration number supplied by a salesperson therefore cannot establish that an offer is safe, genuine or endorsed.
Offering memoranda and private-placement memoranda (PPMs) are not required in every exempt offering. When one exists, it is generally prepared by the issuer, is not typically reviewed by a regulator, and may not present risks in a balanced way. Read it as evidence to test, not as an independent certification.

3. Obtain the complete document set
Request documents before making a commitment or transferring money. Refusal, unexplained delay or a package that changes materially from one conversation to the next is itself information about the sponsor’s process.

Check that names, addresses, entity numbers, bank instructions and property descriptions are consistent across documents. Treat unexplained inconsistencies as a reason to pause rather than trying to reconcile them yourself.
4. Rebuild the return claim from assumptions
Do not accept a headline internal rate of return (IRR), cash-on-cash figure, preferred return or “guaranteed” distribution without reconstructing the cash flows that produce it. Ask for the timing and amount of every expected contribution and distribution, then test the assumptions individually.
Operating assumptions
- How is rental income calculated, and what occupancy, rent growth and collection rates are assumed?
- Which expenses are included for taxes, insurance, utilities, repairs, management, reserves and capital improvements?
- Are projected expenses based on historical property records, comparable properties or an unsupported estimate?
- What happens to distributions if occupancy, rents or expenses are worse than projected?
Financing and sale assumptions
- What interest rate, amortization, fees and refinancing date are assumed?
- What debt remains ahead of equity investors, and can lenders demand additional collateral or cash?
- What sale price, capitalization rate, selling costs and holding period produce the projected exit?
- Is the exit dependent on refinancing or a buyer paying a price that has not been independently supported?
Fees, taxes and timing
Separate gross property revenue from cash actually available to investors after operating expenses, debt service, reserves, sponsor fees and taxes. A preferred return is a priority in a distribution waterfall, not a guarantee that the underlying property will generate enough cash. Ask whether unpaid amounts accrue, whether the sponsor can defer or waive them, and what happens in a loss year.
Recommended Free Tools
Use a simple cash-flow schedule in a spreadsheet: record each contribution as a negative amount on its actual date and each distribution or sale proceeds as a positive amount on its actual date. Recalculate the advertised metric after changing one assumption at a time. The purpose is not to produce a universal valuation formula; it is to expose which assumptions carry the result and whether the claim remains plausible when conditions deteriorate.

5. Verify the promoter and every regulatory claim independently
Use the SEC’s Investment Adviser Public Disclosure database, FINRA BrokerCheck where relevant, and the applicable state securities regulator. Search the precise legal name and identity, not merely a brand, badge, copied registration number or link supplied by the salesperson. Compare addresses, employment history, disciplinary information and registration status with the documents you received.
Registration or a filing does not mean the SEC approved the investment. Scammers can impersonate real professionals or misuse genuine filings to appear legitimate. On August 27, 2026, the SEC warned that exempt reporting advisers (ERAs) are not registered with the SEC and cannot give investment advice directly to individual investors; scammers may misuse ERA filings to create a false impression of legitimacy. An ERA record is therefore not evidence that a direct-to-consumer pitch is endorsed or legitimate.
Verify contact details through independently sourced records. Call a firm using a telephone number obtained from an official regulator or established public record, not only the number in an email. Confirm that the person soliciting you is actually associated with the entity named in the filing and that payment instructions identify the same legal entity described in the offering documents.

- Sloppy, contradictory or incomplete documents.
- Evasive answers about ownership, fees, debt, conflicts, losses or the exit plan.
- Claims that the SEC approved, registered or guaranteed the offering when the claim cannot be verified.
- Inability to explain which exemption is being used or why you qualify.
- Payment instructions that change suddenly or direct money to an unrelated individual or entity.
- Required legends or risk disclosures missing from Regulation D materials.
The SEC advises that if an issuer fails to adequately answer your questions, you should treat that as a warning against making the investment. Do not let a past distribution override unresolved documentation problems.
7. Test whether the apparent profits are real
A Ponzi scheme pays earlier investors with money from newer investors instead of generating the represented legitimate earnings. A distribution, account statement or successful referral therefore does not independently prove that a property is producing profit. Seek evidence of the underlying asset, tenant or operating cash flow, bank records where appropriate, and accounting that can be independently checked.
Ask what proportion of distributions came from operating income, reserves, refinancing, asset sales or new capital. If the sponsor cannot explain the source of a payment, or if payments depend on continually raising money, the economics and liquidity risk are fundamentally different from an operating real-estate investment.
8. Underwrite the loss and exit case
Private placements can be highly illiquid. You may have to hold indefinitely, need permission to transfer, or lose all of the invested capital. Evaluate the worst credible outcome before considering the optimistic case.
Best Value
Questions about liquidity
- When, if ever, may you sell or transfer your interest?
- Is there a company buyback, redemption right or secondary market, and is it actually available rather than merely contemplated?
- What consent, valuation or waiting-period requirements apply to a transfer?
- Can the manager suspend redemptions or extend the holding period?
Questions about loss
- What happens if rents fall, vacancies rise, repairs exceed reserves or insurance costs increase?
- Could lenders foreclose, require a capital call or take priority over distributions?
- Can you lose more than your initial contribution through guarantees or additional funding obligations?
- Would a delayed sale interfere with rent, tuition, taxes, emergency savings or other near-term needs?
Do not invest money needed for essential expenses in an opportunity whose exit rights and downside you cannot explain in your own words.
9. Compare two offers on the same decision axes
Compare like with like. A higher projected return may simply reflect more leverage, weaker liquidity or more aggressive sale assumptions.
| Axis | Evidence to compare | Why it matters |
|---|---|---|
| Legal ownership and rights | Title, note, LLC or partnership interest; voting, information and distribution rights | Determines your claim if the project underperforms or the manager fails. |
| Property and valuation | Location, condition, rent history, appraisal date and valuation method | Tests whether the asset and projected exit value are supported. |
| Debt and priority | Loan balance, rate, maturity, covenants and lien position | Shows how much value can be consumed before equity receives money. |
| Cash-flow assumptions | Occupancy, rents, expenses, reserves, refinancing and sale inputs | Reveals which assumptions drive the advertised result. |
| Fees and conflicts | Acquisition, management, financing, performance and disposition charges; related parties | Shows how much value is paid out before investors participate. |
| Sponsor background | Identity, disciplinary history, relevant experience and independently verified track record | Helps distinguish documented experience from marketing claims. |
| Disclosure quality | Completeness, consistency, audits and responses to questions | Weak disclosure increases the chance that material risks are hidden. |
| Transfer and exit | Lockups, consent requirements, redemption terms and sale timetable | Determines whether you can access capital when needed. |
| Loss capacity | Amount at risk, possible capital calls and time your money can remain tied up | Tests suitability independently of the advertised return. |
There is no universal scoring system that makes a private offering safe. Record the evidence for each axis and mark items that are unknown rather than awarding them the benefit of the doubt.
10. A practical decision sequence
- Map the structure. Write down the issuer, property owner, money recipient, instrument, investor rights, distribution source, fees, conflicts and exit conditions.
- Collect the full package. Obtain governing agreements, financial and property information, debt details, valuation support, use of proceeds and risk disclosures.
- Verify identities. Check SEC, FINRA and state records independently and reconcile names and contact details.
- Rebuild the economics. Recreate expected cash flows and vary occupancy, expenses, financing, sale price, fees and timing.
- Run the stop test. Pause for pressure, risk-free promises, missing documents, evasive responses or unsupported regulatory claims.
- Stress the exit. Assume a delayed sale, restricted transfer, refinancing failure and a total loss. Decide whether that outcome is financially tolerable.
- Escalate unanswered issues. Obtain advice from a qualified lawyer, accountant or investment professional whose compensation does not depend on your investment.
- Document the decision. Keep the advertisement, offering documents, emails, texts, call notes and payment instructions before sending funds.
11. If you suspect a scam or misrepresentation
Stop communicating through the promoter’s payment instructions and do not send additional money to “unlock” withdrawals, pay taxes, recover losses or satisfy a new deadline. Preserve advertisements, documents, messages, recordings where lawful, account statements and transfer records. Do not alter originals.
Contact the SEC, FINRA or your state securities regulator to report suspected securities fraud or request assistance. A report may help authorities investigate, but it is not a promise that money will be recovered. If funds have already moved, contact your bank or payment provider immediately and obtain independent legal advice about preservation and recovery options.
12. Understand the limits of this framework
This checklist is centered on U.S. SEC investor-education material. Securities, real-estate, lending, tax and consumer-protection rules can differ by state and country. A direct property purchase may not be a securities offering, while an LLC interest, note or pooled vehicle may be. Investor eligibility, disclosure obligations and remedies depend on the exact structure and facts.
For a specific transaction, have an independent professional review the governing documents and your jurisdiction’s rules. The promoter’s lawyer, accountant or paid introducer is not a substitute for advice whose compensation does not depend on your participation.
